The following are responses to your questions related to agenda items from the above-referenced
meeting:
• Comm. 418 (Bill 185), Microwave Relocation System. A copy of the analysis done for the project
upgrades and their costs to allow co-location and a copy of any MOU were requested of Police
Major Elroy Osorio. I will forward him a copy of your request, together with this response for his
follow-up.
• Comm. 421 (Bill 187) Exempting Totally Disabled Veterans from certain fees. The 284 totally
disabled veterans on the Big Island is an estimate furnished by the Office of Veterans Services
(Keith Ribbenthrop). The $10,000 estimate was based on the County portion of fees when
registering a 2002 Toyota Camry ($39.70) and multiplying it by the estimated number disabled
veterans (284} on the island. The total is $10,083. As I stated in the Finance Committee meeting,
the number would probably be less since we do not believe a112S4 veterans will have vehicles to
register.
• Comm. 423 (Bill 189) Shippers' Wharf Committee Trust Fund. The past court decisions, orders,
and a decree related to the Shippers' Wharf Committee Trust were sent to the Finance Committee,
as requested by its Chair. I will be forwarding you a copy of what was sent.

THIS MEMORANDUM OF AGREEMENT (hereinafter "MOA") is catered into

ATMOSPHERIC ADMIlVISTRATION (hereinafter "NOAH").
HPD is the primary provider of law eafomemrnt service in the County of
Hawai i. In order to facilitate and achieve its professional objectives, HPD relies upon

includes an island-wide loop microwave system, radio towers and facilities, and a land
mobile radio system.

III. Rlehts and Responsibilities of \O:~-\
1. NOAH sball be exclusivtly responsible for any and all costs rela[ed to the
relocation and/or reconstruction of NOAA's existing equipment at presrnt shelter/tower
sites to the new shelter/tower sites. N0.~1 shall be responsible for any damages
resulting to its equipment or othtt property, or injuries or damages sustained by third
parties in ef5ectuating relocation of its equipment.
2. NOAA shall promptly notify HPD no later than July 15, 2003, of any and
all current and future system needs, including but not limited to, rack space, and the types
of equipment to be installed in the shelter and ten the tower at the respective sites.
3. NOAA shall be solely financially respanstble for any and all costs payable
to Vendor associated with the eo-location of NOAA's equipment with 13PD. Cosa shall
include, but not be limited to, "change orders," administrative expenses incurred by IIPD
- (HPD and NOAA herein ags•ee to negotiate all admirtisetative expenses in good faith), and
costs necessitated and incurred by Vendor, that are attributed to the co-location of
NOAA's equipment with HPD, in an e$ott to maintain the nature and quality of the
goods and services negotiated between HPD and Vendor.
4. NOAH agrees herein to notify HPD in writiag of any and all
eommunieaiion it tnay have with Vendor, with respect to matters which may result in
amendments to the Contract. Such eommuaitatioas include, but are not limited to,
tequesu for quotations for work or arnitzs fromVendor. Ntrthiag in this MOA ahall be
wnstcued to prevent NOAH from contracting with Vendor for goods or services outside
the scope of the Contract.
5. In consideration for HPD allowing NOAH to co-locate on shelter/tower
sites, NOAH agms herein to contribute a portion of the maintenance costs contracted by
HPD for facilities which are affected by NOAA operations. The amount shall be
negotiated and determined in good faith between the parties and shall be set forth in a
wTinen maintenance agreement to be e<ecutcd between HPD and A'OA.a. The amount is
anticipated to be 50% of the pro rata share of costs, which pro rata share would be
Calculated by equally dividing the actual costs of tow•CC maintenance among all the
current occupants ofthc tower.
6. [n consideration for HPD allowing,\OAA to co-locate on shelter/towcr
silts, NOA.4 agrets herein to indemnify, hold harrrtlcss and defend HPD for any and al I
claims for damages, ptnonal injury, or other monetary loss brougllt by any third party

MEMORANDUM OF AGREEMENT BETWEEN THE HAWAII COUNTY
POLICE DEPARTMENT AND DEPARTMENT OF LAND AND NATURAL
RESOURCES REGARDING CO-LOCATION ON HAWAII
COUNTY POLICE MICROWAVE SYSTEM
I. Premises
This Memorandum of Agreement (hereinafter "MOA") is entered into between
the Hawaii County Police Department, a subdivision of the County of Hawaii
(hereinafter "HPD"), and Department of Land and Natural Resources (hereinafter
"DLNR").
HPD is the primary provider of law enforcement service in the County of
Hawaii. In order to facilitate and achieve its professional objectives, HPD relies upon
timely communication between its employees as well as with other service providing
agencies. To this end, HPD owns and operates a public safety radio system which
includes anisland-wide loop microwave system, radio towers and facilities, and a land
mobile radio system.
DLNR currently co-locates on the HPD public safety radio system to
communicate with DLNR facilities for which DLNR does not have the necessary
infrastructure.
HPD has entered into an agreement with vendor ScienTel, Inc. (hereinafter
"Vendor") for the purpose of designing and constructing a Microwave System
Replacement for HPD, in order to upgrade the existing public safety radio system to
better achieve its goals and serve the public.
DLNR and HPD have agreed to continue their co-location arrangement pursuant
to the terms of this MOA, for the purpose of DLNR continuing to receive the benefits of
radio service for its operations.
The purpose of this MOA is to identify and memorialize the respective rights and
responsibilities of the parties.
II. Rights and Responsibilities of HPD
1. County of Hawaii Contract No. 03093 (RFP 1996 -Digital Microwave
Radio System Contract) (hereinafter "Contract") is an agreement entered into and
between HPD and Vendor exclusively, under the purchasing laws of the State of Hawaii.
2. HPD alone shall negotiate any formal changes, amendments, deletions,
and/or other adjustments to the Contract with Vendor. At DLNR's request, HPD shall
notify Vendor of DLNR's requests and concerns, to ensure that DLNR's requests receive
due consideration.
3. HPD shall notify DLNR of the timeline and dates for completion of
migration of any and all equipment from old shelter/towers to new shelter/towers, once
this information is made available to HPD by Vendor. To the extent possible, the
timeline and dates for completion of migration shall allow reasonable time for DLNR to
design, purchase, and install necessary equipment.
III. Rights and Responsibilities of DLNR
1. DLNR shall be exclusively responsible for any and all costs related to the
relocation and/or reconstruction of DLNR's existing equipment at present shelter/tower
sites to the new shelter/tower sites. DLNR shall be responsible for any damages resulting
to its equipment or other property, or injuries or damages sustained by third parties in
effectuating relocation of its equipment.
2. DLNR shall promptly notify HPD no later than Mazch 31, 2003, of any
and all current and future system needs, including but not limited to, rack space, and the
types of equipment to be installed in the shelter and on the tower at the respective sites.
3. DLNR shall be solely financially responsible for any and all costs payable
to Vendor associated with the co-location of DLNR's equipment with HPD. Costs shall
include, but not be limited to, "change orders," administrative expenses incurred by HPD
(HPD and DLNR herein agree to negotiate all administrative expenses in good faith), and
costs necessitated and incurred by Vendor, that aze attributed to the co-location of
DLNR's equipment with HPD, in an effort to maintain the nature and quality of the
goods and services negotiated between HPD and Vendor.
4. DLNR agrees herein to notify HPD in writing of any and all
communication it may have with Vendor, with respect to matters which may result in
amendments to the Contract. Such communications include, but aze not limited to,
requests for quotations for work or services from Vendor. Nothing in this MOA shall be
construed to prevent DLNR from contracting with Vendor for goods or services outside
the scope of the Contract.
5. In consideration for HPD allowing DLNR to co-locate on shelter/tower
sites, DLNR agrees herein to contribute a portion of the maintenance costs contracted by
HPD for facilities which are affected by DLNR operations. The amount shall be
negotiated and determined in good faith between the parties and shall be set forth in a
written maintenance agreement to be executed between HPD and DLNR.
6. In consideration for HPD allowing DLNR to co-locate on shelter/tower
sites, DLNR agrees herein to indemnify, hold harmless and defend HPD for any and all
claims for damages, personal injury, or other monetary loss brought by any third party
against HPD as a result of DLNR's construction or activities associated with or resulting
from DLNR's co-location activities.
IV. Amendments
This MOA may be amended by the mutual consent of HPD and DLNR in writing.
In agreement thereof, the parties have entered into this Memorandum of
Agreement on this 11th day of April, 2003.

EMS and HPD have agreed to continue their co-location arrangement pursuant to
the terms of this MOA, for the purpose of EMS continuing to receive the benefits of radio
service for its operations.
The purpose of this MOA is to identify and memorialize the respective rights and
responsibilities of the parties.
II. Rights and Responsibilities of HPD
1. County of Hawaii Contract No. 03093 (RFP 1996 -Digital Microwave
Radio System Contract) (hereinafter "Contract") is an agreement entered into and
between HPD and Vendor exclusively, under the purchasing laws of the State of Hawaii.
2. HPD alone shall negotiate any formal changes, amendments, deletions,
and/or other adjustments to the Contract with Vendor. At EMS' request, HPD shall
notify Vendor of EMS' requests and concerns, to ensure that EMS' requests receive due
consideration.
3. HPD shall notify EMS of the timeline and dates for completion of
migration of any and all equipment from old shelter/towers to new shelter/towers, once
this information is made available to HPD by Vendor. To the extent possible, the
timeline and dates for completion of migration shall allow reasonable time for EMS to
design, purchase, and install necessary equipment.
III. Rights and Responsibilities of EMS
1. EMS shall be exclusively responsible for any and all costs related to the
relocation and/or reconstruction of EMS' existing equipment at present shelter/tower sites
to the new shelter/tower sites. EMS shall be responsible for any damages resulting to its
equipment or other property, or injuries or damages sustained by third parties in
effectuating relocation of its equipment.
2. EMS shall promptly notify HPD no later than March 31, 2003, of any and
all current and future system needs, including but not limited to, rack space, and the types
of equipment to be installed in the shelter and on the tower at the respective sites.
3. EMS shall be solely financially responsible for any and all costs payable
to Vendor associated with the co-location of EMS' equipment with HPD. Costs shall
include, but not be limited to, "change orders," administrative expenses incurred by HPD
(HPD and EMS herein agree to negotiate all administrative expenses in good faith), and
costs necessitated and incurred by Vendor, that aze attributed to the co-location of EMS'
equipment with HPD, in an effort to maintain the nature and quality of the goods and
services negotiated between HPD and Vendor.
4. EMS agrees herein to notify HPD in writing of any and all communication
it may have with Vendor, with respect to matters which may result in amendments to the
Contract. Such communications include, but aze not limited to, requests for quotations
for work or services from Vendor. Nothing in this MOA shall be construed to prevent
EMS from contracting with Vendor for goods or services outside the scope of the
Contract.
5. In consideration for HPD allowing EMS to co-locate on shelter/tower
sites, EMS agrees herein to contribute a portion of the maintenance costs contracted by
HPD for facilities which aze affected by EMS operations. The amount shall be
negotiated and determined in good faith between the parties and shall be set forth in a
written maintenance agreement to be executed between HPD and EMS.
6. In consideration for HPD allowing EMS to co-locate on shelter/tower
sites, EMS agrees herein to indemnify, hold harmless and defend HPD for any and all
claims for damages, personal injury, or other monetary loss brought by any third party
against HPD as a result of EMS' construction or activities associated with or resulting
from EMS' co-location activities.
IV. Amendments
This MOA maybe amended by the mutual consent of HPD and EMS in writing.
In agreement thereof, the parties have entered into this Memorandum of
Agreement on this 21st day of April, 2003.

COUNTY POLICE MICROWAVE SYSTEM
I. Premises
This Memorandum of Agreement (hereinafter "MOA") is entered into between
the Hawaii County Police Department, a subdivision of the County of Hawaii
(hereinafter "HPD"), and Department of Transportation (hereinafter "DOT").
HPD is the primary provider of law enforcement service in the County of
Hawaii. In order to facilitate and achieve its professional objectives, HPD relies upon
timely communication between its employees as well as with other service providing
agencies. To this end, HPD owns and operates a public safety radio system which
includes anisland-wide loop microwave system, radio towers and facilities, and a land
mobile radio system.
DOT currently co-locates on the HPD public safety radio system to communicate
with DOT facilities for which DOT does not have the necessary infrastructure.
HPD has entered into an agreement with vendor ScienTel, Inc. (hereinafter
"Vendor") for the purpose of designing and constructing a Microwave System
Replacement for HPD, in order to upgrade the existing public safety radio system to
better achieve its goals and serve the public.
DOT and HPD have agreed to continue their co-location arrangement pursuant to
the terms of this MOA, for the purpose of DOT continuing to receive the benefits of radio

necessary infrastructure. Two supergroups of the HPD public safety radio
system are assigned for HELCO's use, of which 16 channels are in use.
Maintenance costs for the facilities are equally shared between HPD and HELLO
through a Memorandum of Agreement dated September t7, 2002 (attached
hereto as "Exhibit 1").
HPD has entered into an agreement with vendor ScienTel, Inc.

transmit PBS free public broadcasts for which PBS does not have the necessary
infrastructure. Maintenance costs for the facilities are currently borne by HPD.

Microwave Radio System Contract) (hereinafter "Contract") is an agreement
entered into and between HPD and Vendor exclusively, under the purchasing
laws of the State of Hawaii.
2. HPD alone shall negotiate any formal changes, amendments,
deletions, and/or other adjustments to the Contract with Vendor. At PBS's
request, HPD shall notify Vendor of PBS's requests and concerns, to ensure that
PBS's requests receive due consideration.
3. HPD shall notify PBS of the timeline and dates for completion of
migration of any and all equipment from old shelter/towers to new shelter/towers,
once this information is made available to HPD by Vendor. To the extent
possible, the timeline and dates for completion of migration shall allow
reasonable time for PBS to design, purchase, and install necessary equipment.
III. Rights and Responsibilities of~BS
1. PBS shall be exclusively responsible for reasonable costs related to
the relocation and/or reconstruction of PBS's existing equipment at present
shelter/tower sites to the new shelter/tower sites. PBS shall be responsible for
any damages resulting to its equipment or other property, or injuries or damages
sustained by third parties in effectuating relocation of its equipment caused by
PBS's negligence.
2. PBS shall promptly notify HPD of any and all current and future
system needs, including but not limited to, rack space, and the types of
equipment to be installed in the shelter and on the tower at the respective sites.
3. PBS shall be solely financially responsible for any and all
reasonable costs payable to Vendor associated with the co-location of PBS's
equipment with HPD. Costs shall include, but not be limited to, "change orders,"
administrative expenses incurred by HPD (HPD and PBS herein agree to
negotiate all administrative expenses in good faith), and costs necessitated and
incurred by Vendor, that are attributed to the co-location of PBS's equipment with
HPD, in an effort to maintain the nature and quality of the goods and services
negotiated between HPD and Vendor. Attached as Exhibit "1" is the current
estimated cost of co-location at the South Point site, totaling $18,220.00.
4. PBS agrees herein to notify HPD in writing of any and all
communication it may have with Vendor, with respect to matters which may
result in amendments to the Contract. Such communications include, but are not
limited to, requests for quotations for work or services from Vendor. Nothing in
this MOA shall be construed to prevent PBS from contracting with Vendor for
goods or services outside the scope of the Contract.
5. In consideration for HPD allowing PBS to co-locate on shelter/tower
sites, PBS agrees herein to contribute a portion of the maintenance costs
contracted by HPD for facilities which are affected by PBS operations. The
amount shall be negotiated and determined in good faith between the parties and
shall be set forth in a written maintenance agreement to be executed between
HPD and PBS. Attached as Exhibit "2" is the current estimated cost of PBS's
share of monthly maintenance costs at the South Point site, totaling $175 per
month.
6. In consideration for HPD allowing PBS to co-locate on shelter/tower
sites, PBS agrees herein to indemnify, hold harmless and defend HPD for any
and all claims for damages, personal injury, or other monetary loss brought by
any third party against HPD as a result of PBS's construction or activities
associated with or resulting from PBS's co-location activities except such claims

or damages as may be due to or caused by the acts or omissions of HPD, its
servants or agents.
7. PBS's equipment will be housed in the shelter to be constructed by
HPD, with partitions and separate doorway for PBS. As part of the relocation
cost, PBS will be responsible for providing, at its own expense, its own power
supply and will bear its own power costs.
IV. Amendments
This MOA may be amended by the mutual consent of HPD and PBS in
writing.
In agreement thereof, the parties hav entered into this Memorandum of
