No.: X089-7-00-51-5~-H ~ ' LBR 11I-003 Part-Time Community Services Employment Opportunities for Older Workers STATE OF HAWAII AGREEMENT FOR GRANTS, SUBSIDIES, AND PURCHASES OF SERVICE This Agreement, effective the lst of July, 1997, is entered into between the Department of Labor and Industrial Relations (hereinafter "AGENCY"), State of Hawaii (hereinafter "STATE"), by its Director (hereinafter "DIRECTOR"), and Hawaii County Office of Aging. (hereinafter "AWARDEE"), anon-profit organization/governmental agency, under the laws of the State of Hawaii, whose business address and taxpayer identification numbers are as follows: 101 Aupuni Street, Suite 342, Hilo, Hawaii 96720. Federal I.D. No.: 99-6000567; State [.D. No.: 30016002. RECITALS A. Chapter 42D, Hawaii Revised Statutes, establishes standards for disbursing public funds to private organizations to fulfill specified public purposes. B. The AWARDEE has requested funding from the State of Hawaii for the project or program described in Attachment l of this Agreement. C. The STATE finds that the AWARDEE's performance as described in Attachment t of this Agreement will fulfill the public purpose set forth therein. D. The STATE desires to contract with [he AWARDEE to fulfill the specified public purpose, and the AWARDEE is agreeable to performing under this Agreement. E. Money is available to fund this Agreement pursuant to the Omnibus Consolidated Appropriations Act of 1997, P.L. 104-208 and Act 328 of the Session Laws of Hawaii, Regular Session of 1997 in the following amount: 5277,165.00. (Signature) (Date) (Title) State of Hawaii Attachment 1 SCOPE OF PERFORMANCE 4rnTP of Srrvirr_ The AWARDEE shall, in a satisfactory and proper manner as determined by the STATE and in strict accordance with the terms and conditions of this Agreement, provide and perform the services, activities and programs set forth in the specifications of the Request for Proposal-Identification Number LBR 111-003, and AWARDEE's Proposal Application, which are not attached hereto but incorporated as part of this Agreement by this reference, and Detailed Program Objectives attached hereto as Exhibit A, and the Budget attached hereto as Exhibit B. The AWARDEE shall comply with the Cost Principles dated December, 1994, and applicable federal cost principles listed in OMB Circulars A-87, A-21 and A-122, which are hereby incorporated and made a part of this Agreement. The AWARDEE shall ensure that such services, activities, and programs shall be in accordance with Title V of the Older Americans Act promulgated thereunder; and applicable Federal and State laws and regulations, policies and instructions. The services, activities, and programs shall be designed to foster and promote useful part-time opportunities in community service activities for unemployed, low- income persons while promoting transition into unsubsidized employment. The AWARDEE shall, to the maximum extent feasible, cooperate with other agencies providing services to the elderly, including ITPA agencies. Exhibits A and B supersede previous documents regarding program performance and budget. Perfnrt Banc? i?PgniremPntc_ 1. Reporting Requirements: In order that the STATE may monitor the AWARDEE's compliance with this Agreement, the AWARDEE shall submit written monthly fiscal and quarterly program progress reports and summary of terminations to the STATE within ten (10) calendar days after the last day of each calendar quarter during the Agreement period. Quarterly Review reports are due twenty-five (25) days after the end of each quarter. 2. Fiscal Reports: The fiscal reports shall detail the uses made by the AWARDEE of compensation paid to it pursuant to this Agreement, outline the expenditures incurred, and be certified as to accuracy by the AWARDEE. Such reports are due no later than twenty (20) days after each month ends. 3. Program Reports: The program progress report shall consist of statemenu by the AWARDEE relating to the work accomplished during the reporting period and shall include a statement of the nature of the work performed, including actual performance measures, activity levels, and target group indicators, identification of persons served by the AWARDEE during the reporting period, identification of any immediate problems encountered during the period, and any recommendations deemed pertinent by the AWARDEE. 4. Reporting Penalty: Should the AWARDEE fail to file the written fiscal and program progress reports with the STATE on or before the required date, the STATE is authorized to withhold funds owed to the AWARDEE until such time as the reports are acceptable and placed on file with the STATE. 1 5. Additional Reports: In addition to the quarterly written reports, the AWARDEE, upon request, shall be required to submit additional reports that the STATE from time to time may request and to meet with representatives of the STATE to discuss the progress of the work required hereunder. 6. Audit Requirement: The AWARDEE shall have an audit conducted by an independent Certified Public Accountant to verify that its financial management system and internal control procedures are effective in meeting the terms and conditions of this Agreement. The AWARDEE shall obtain an audit in accordance with generally accepted auditing standards. This requirement shall apply to all AWARDEES receiving State general funds from the STATE. AWARDEES receiving Federal funds from the STATE shall obtain a financial audit in accordance with the requirements of OMB Circular A-133, and the Government Auditing Standards, issued by the U.S. General Accounting Office. The audit report shall be furnished to the STATE within twelve (12) months after the completion of the Agreement. 7. Personnel: The AWARDEE represents that it has, or will secure at its own expense, all personnel required in performing the services under this Agreement. Such personnel shall not be employees of, or have any contactual relationship with the STATE. All of the services required hereunder will be performed by the AWARDEE or under its supervision, and all personnel engaged in the work shall be fully qualified and shall be authorized under federal, state and local laws to perform such services. 2 Attachment 2 TIlVIE SCHEDULE Prrind ~f A~y~mPOr_ This Agreement shall be for the period from July 1, 1997 through June 30, 1998, unless this Agreement is sooner terminated as hereinafter provided. Subject to the availability of Federal funds and the STATE's finding that the AWARDEE's performance has been satisfactory, this Agreement may be extended for an additional year for the period from July 1, 1998 through June 30, 1999. Attachment 3 COMPENSATION AND PAYMENT SCHEDULE C'mm~enc?tinn aid Mrrhnd of PayIIrPOt_ Subject to continuing availability of Federal funds, the STATE agrees to pay the AWARDEE, for services satisfactorily performed under this Agreement, a sum not to exceed (add dollar amount here) ($277,165.00), which sum is allocated for the purpose of this Agreement as set forth in the Budget attached hereto as Exhibit B, which by this reference is made a part hereof. Such payments shall include all of the AWARDEE's services, materials, supplies, equipment, overhead, taxes, and other incidentals and operating expenses of the AWARDEE for this Agreement that are in accord with the AGENCY cost principles. 1. The AWARDEE further agrees that no additional fees for services shall be charged to eligible participants for services provided under the terms of this Agreement unless otherwise permitted in writing by the DIRECTOR and that the inability of the participant to pay the additional fees shall not be used as the basis for non-participation of the participant who is otherwise qualified and eligible. 2. Payments shall be made to the AWARDEE in advance monthly installments, upon submission by the AWARDEE of written requests for payment. 3. After the fast payment, written requests for payment shall be followed by the monthly fiscal and quarterly program progress reports required under this Agreement. The reports shall be reviewed by the STATE and shall be subject to the STATE's preliminary determination of appropriateness, and allowability of the reported expenditures. The STATE's preliminary determination of appropriateness and allowability of the reported expenditures shall be subject to later verification and subsequent audit. 4. The STATE will make paymenu to the AWARDEE in accordance with the amounts specified in Exhibit B for actual expenses incurred in the performance of this Agreement. Payments will be made only upon presentation of invoices and fiscal reports submitted by the AWARDEE certifying, to the satisfaction of the STATE, that the work has been performed in accordance with this Agreement and payment is requested. 1 5. If an amount of reported expenditures is preliminarily determined by the STATE to be inappropriate and unallowable, the STATE may deduct an equivalent amount from the next payable installment due and may withhold payment of the amount of monies equivalent to the questioned expenditures until later resolution of the discrepancy by audit or other means. If, after payment of the last installment, investigation and examination reveal additional expenditures that are determined by the STATE to be inappropriate and unallowable, the STATE may require that an equivalent amount of monies be refunded to the STATE notwithstanding the STATE's preliminary determination of appropriateness and allowability. 6. This Agreement constitutes approval for the expenditure of funds for specific items in the budget referred to in Exhibit B. Except as provided below, the AWARDEE may make revisions between the budgeted line items within the total budget of the program, provided that the funds are used for allowable costs of the program and do not exceed 596 or $500.00 of the budgeted line item, whichever is more. Items requiring prior approval include: Object cost categories not included in the original budget; and any increase to the personnel, other personnel, equipment, travel, and consultant/contract service categories. 7. Where applicable, the AWARDEE certifies that the service unit of payment under this Agreement is not greater than the rate AWARDEE charges to any other public or private agency or individual for comparable services. 8. The AWARDEE shall provide a minimum of ten (]0) percent match in funding for this program from nonfederal sources. 2 , Attachment 4 ~ ~ STANDARDS OF CONDUCT DECLARATION For the purposes of this declaration: 'Controlling interest' means an interest in a business or other undertaking which is sufficient in fact to control, whether the interest be greater or less than filly per teat. Form AG-3-AGSPS(2-93) Attachment 5 STATE OF HAWAII GENERAL CONDITIONS FOR GRANT, SUBSIDY, AND PURCHASE OF SERVICE AGREEMENTS 1. AwartleP'c n~ alif~~g Ctantlarrlc a. The AWARDEE is a profit organization incorporated under the laws of the State of Hawaii or a nonprofit organization determined by the Internal Revenue Service to be exempt from the federal income tax. b. If the AWARDEE is a nonprofit corporation, AWARDEE has a governing board whose members have no material conflict of interest and serve without compensation. c. The AWARDEE has bylaws or policies that describe the manner in which business is conducted and policies that relate to nepotism and management of potential conflicts of interest. d. The AWARDEE has at least one year's experience with the project or in the program area for which the award is made; or has been granted an exception to this standard by the Director of Finance or the Administrative Director of the Courts. e. The AWARDEE is licensed and accredited in accordance with federal, state, or county requirements. 2, Stahun Cnnditinnc a. The AWARDEE has agreed to and will during the term of this Agreement: (1) Employ or have under contact persons qualified to engage in the activity to be funded under this Agreement. (2) If the AWARDEE is a nonprofit organization, it does not employ or have under contract any two or more members of a family or ldn of the first or second degree, unless agreed to in this Agreement. (3) Not grant any salary or benefit increases to its employees or contractors with public funds unless the increases are agreed to in this Agreement. (4) Comply with applicable federal and state laws prohibiting discrimination against any person. (5) Not use public funds for entertainment or perquisites. For the purpose of this Agreement, "perquisite" means a privilege furnished or a service rendered by the AWARDEE to an employes, officer, director, or member of the AWARDEE to reduce that individual's personal expenses. (6) Comply with any other requirement that the Director of Finance or the Administrative Director of the Courts may prescribe to ensure adherence by the AWARDEE to federal, state, and county laws. b. The AWARDEE shall allow the STATE, the Director of Finance or the Administrative Director of the Courts, the committees of the legislative bodies and their staffs, and the Legislative Auditor full access to records, reports, files, and other related documents so that the program, management, and fiscal practices of the AWARDEE may be monitored and evaluated to assure the proper and effective expenditure of public funds. This right of access shall last as long as the records and other related documents are retained. 3, R nQ~ nrting_and Rernrcikerpirlg_Rp~nirementc a. Within thirty (30) days after the expiration of the time for performance, the AWARDEE shall submit to the STATE a Final Project Report in a form satisfactory to the STATE, documenting its overall efforts toward meeting the requirement of this Agreement 1 Form AG-3-AGSPS (2-93) ' Attachment 5 and listing expenditures actually incurred in the performance of this Agreement. The AWARDEE shall return any unencumbered funds to the STATE. b. The AWARDEE shall, in accordance with generally accepted accounting practices, maintain fiscal records and supporting documents and related files, papers, receipts, reports, and other evidence that sufficiently and properly reflect all direct and indirect expenditures and management and fiscal practices related to the AWARDEE's performance under this Agreement. The AWARDEE shall retain all records related to the AWARDEE's performance under this Agreement for at least three (3) years after the date of submission of the AWARDEE's Final Project Report. 4. Smnk;ng Fns- The AWARDEE shall implement and maintain a written smoking policy as required by chapter 328K, Hawaii Revised Statutes. g, ('nnflicrc of interest The AWARDEE represents that neither the AWARDEE, nor any employee or agent of the AWARDEE, presently has any interest, and promises that no such interest, direct or indirect, shall be acqutred, that would or might conflict in any manner or degree with the AWARDEE's performance under this Agreement. 6, ('nm~ lianre with i awe The AWARDEE shall comply with all federal, state, and county laws, ordinances, codes, rules, and regulations, as the same may be amended from time to time, that in any way affect the AWARDEE's performance under this Agreement. 7. Indemnifirar;nn and nrfPncP_ The AWARDEE shall defend, indemnify, and hold harmless the State of Hawaii, the contracting agency, and their officers, employees, and agents from and against all claims, damages, and costs, including attorneys' fees, arising out of or in connection with the acts or omissions of the AWARDEE under this Agreement. The provisions of this paragraph shall remain in full force and effect notwithstanding the expiration or early termination of this Agreement. g. rncnranre The AWARDEE shall obtain, maintain, and keep in force throughout the period of this Agreement liability insurance issued by an insurance company in a combined amount of at least ONE MILLION AND NO/100 DOLLARS ($1,000,000.00), or such other amount requested in writing by the AWARDEE and, for good cause shown, approved by the DIRECTOR, on Attachment 8, attached hereto and made a part of this Agreement, for bodily injury and property damage liability arising out of each occurrence, which insurance provides that it is the primary insurance for the State of Hawaii, the contracting agency, and their officers, employees, and agents for any liability arising out of or resulting from occurrences connected with the AWARDEE's performance under this Agreement. Poor to or upon execution of this Agreement, the AWARDEE shall obtain a certificate of insurance verifying the existence of the necessary liability insurance coverage, including the coverage of the State of Hawaii, and its officers, employees, and agents. The parties agree that the insurance policy shall be attached hereto as Attachment 7 and be a part of this Agreement. If the scheduled expiration date of the liability insurance policy is earlier than the expiration date of the time for performance under this Agreement, the AWARDEE, upon renewal of the policy, shall promptly cause to be provided to the STATE an updated certificate of insurance. In the performance of this Agreement, the AWARDEE is an "independent contractor," with the authority and responsibility to control and direct the performance required under this Agreement; however, the STATE shall have a general right of inspection to determine whether, in the STATE's opinion, the AWARDEE is in compliance with this Agreement. b. The AWARDEE and the AWARDEE's employees and agents are not, by reason of this Agreement, agents or employees of the STATE for any purpose, and the AWARDEE, and the AWARDEE's employees and agenu are not entitled to claim or receive from the STATE any vacation, sick leave, retirement, workers' compensation, unemployment insurance, or other benefits provided to state employees. c. The AWARDEE shall be responsible for the accuracy, completeness, and adequacy of its performance under this Agreement. Furthermore, the AWARDEE intentionally, voluntarily, and knowingly assumes the sole and entire liability to the AWARDEE's employees and agents, and to any individual not a party to this Agreement, for all loss, damage, or injury caused by the AWARDEE, or the AWARDEE's employees or agents in the course of their employment. d. The AWARDEE shall be responsible for payment of all applicable federal, state, and county taxes and fees which may become due and owing by the AWARDEE by reason of this Agreement, including but not limited to (i) income taxes, (ii) employment related fees, assessments, and taxes, and (iii) general excise taxes. The AWARDEE also is responsible for obtaining all licenses, permits, and certificates that may be required in order to perform this Agreement. e. The AWARDEE shall obtain a general excise tax license from the Department of Taxation, State of Hawaii, in accordance with section 237-9, Hawaii Revised Statutes, and shall comply with all requirements of that chapter. The AWARDEE shall be solely responsible for meeting all requirements necessary to obtain the tax clearance certificate required for final payment under sections 103-53 and 237-45, Hawaii Revised Statutes, and paragraph 10 of these General Conditions, including, but not limited to, obtaining a general excise tax license. f. The AWARDEE is responsible for securing al] employee-related insurance coverage for the AWARDEE and the AWARDEE's employees and agents that is required by law; and for payment of all premiums, costs, and other liabilities associated with securing the insurance coverage. 10. Such payments are subject to availability of funds and allotment by the Director of Finance in accordance with chapter 37, Hawaii Revised Statutes. Further, all payments shall be made in accordance with and subject to chapter 40, Hawaii Revised Statutes. Final payment under this Agreement shall be subject to sections 103-53 and 237- 45, Hawaii Revised Statutes, which require a tax clearance from the Director of Taxation, State of Hawaii, showing that all delinquent taxes, if any, levied or accrued under state law against the AWARDEE have been paid. 3 .-orm AG-3-AGSPS (2-93) ' Attachment 5 11. Federal Fimdc- If this Agreement is payable in whole or in part from federal funds, AWARDEE agrees that, as to the portion of the obligation under this Agreement to be payable out of federal funds, the AWARDEE agrees to be paid only from such federal funds received from the federal government, and shall not be paid from any other funds. 12. P~~hli itv The AWARDEE shall, in all news releases, public statements, announcements, broadcasts, posters, programs, and other printed or published materials relating to AWARDEE's perfottnance under this Agreement, acknowledge that the project, event, program, or activity is supported by the State of Hawaii and the contracting agency through appropriations made by the Legislature of the State of Hawaii. 13. C'nnfidentiality of Material. a. All material given to or made available to the AWARDEE by virtue of this Agreement, which is identified as proprietary or confidential information, will be safeguarded by the AWARDEE and shall not be disclosed to any individual or organisation without the prior written approval of the STATE. b. All information, data, or other material provided by the AWARDEE to the STATE shall be subject to the Uniform Information Practices Act, ch. 92F, Hawaii Revised Statutes. 14. Snhcnnrractc and Accignmentc The AWARDEE shall not assign O[ subcontract any of the AWARDEE's duties, obligations, or interests under this Agreement without the prior written consent of the STATE. Additionally, no assignment by the AWARDEE of the AWARDEE's right to compensation under this Agreement shall be effective unless and until the assignment is approved by the Comptroller of the State of Hawaii, as provided in section 40-58, Hawaii Revised Statutes. 15. Sncrrrncinn and Termination of Agreement a. The STATE reserves the right at any time and for any reason to suspend this Agreement for any reasonable period, upon written notice to the AWARDEE. Upon receipt of said notice, the AWARDEE shall immediately comply with said notice and suspend all performance under this Agreement at the time stated. b. If, for any cause, the AWARDEE breaches this Agreement by failing to satisfactorily fulfill in a timely or proper manner the AWARDEE's obligations under this Agreement or by failing to perform any of the promises, terms, or conditions of this Agreement, and having been given reasonable notice of and opportunity to cure such default, fails to take satisfactory corrective action within the time specified by the STATE, the STATE shall have the right to terminate this Agreement by giving written notice to the AWARDEE of such termination at least seven calendaz days before the effective date of such termination. Furthermore, the STATE may terminate this Agreement without statement of cause at any time by giving written notice to the AWARDEE of such termination at least thirty (30) calendaz days before the effective date of such termination. c. Upon termination of the Agreement, the AWARDEE, within thirty (30) days of the effective date of such termination, shall compile and submit in an orderly manner to the STATE an accounting of the work performed up to the date of termination. In such event, the AWARDEE shall be paid for the actual cost of the services rendered, if any, but in no event more than the total compensation payable to the AWARDEE under this Agreement. 4 Form AG-3-AGSPS (2-93) Attachment 5 d. If this Agreement is terminated for cause, the AWARDEE shall not be relieved of liability to the STATE for damages sustained because of any breach by the AWARDEE of this Agreement. In such event, the STATE may retain any amounts which may be due and owing to the AWARDEE until such time as the exact amount of damages due to the STATE from the AWARDEE has been determined. The STATE may also set off any damages so determined against the amounts retained. 16. Disputes. No dispute arising under this Agreement may be sued upon by the AWARDEE until after the AWARDEE's written request to the DIRECTOR to informally resolve the dispute is rejected, or until ninety (90) days after the DIRECTOR's receipt of the AWARDEE's written request whichever comes first. While the DIRECTOR considers the AWARDEE's written request, the AWARDEE agrees to proceed diligently with the performance necessary to complete the Project unless otherwise instructed in writing by the DIRECTOR. 17, CrarP RPmeri;PC_ The AWARDEE understands that in the event that it no longer meets all of the standards and conditions set forth in paragraphs 1 and 2 of these General Conditions, or in the event that AWARDEE fails to comply with any of the other requirements, provisions, or conditions set forth in this Agreement, that the STATE may refuse to make further payments to AWARDEE under this Agreement. AWARDEE further understands that pursuant to chapter 42D, Hawaii Revised Statutes, if it is found to have withheld or omitted any material facts or deliberately misrepresented any facts to the STATE, it shall be prohibited from requesting a grant or subsidy or submitting a proposal for a purchase of service agreement from the State of Hawaii for a period of five (5) years after the date of that finding. lg, Mnd;firar;nnc of Agrrtmenr Any modification, alteration, amendment, change, or extension of any term, provision, or condition of this Agreement shall be made only by written amendment to this Agreement, signed by the AWARDEE and the STATE. 19. Nnti Pc Any written notice required to be given by a party to this Agreement shall be (a) delivered personally, or (b) sent by United States first class mail, postage prepaid, to the DIItECTOR at the DIRECTOR'S office in Honolulu, Hawaii, or to the AWARDEE at the AWARDEE's address as indicated in the Agreement. A notice shall be deemed to have been received three (3) days after mailing or at the time of actual receipt, whichever is earlier. The AWARDEE is responsible for notifying the DIRECTOR in writing of any change of address. 20. Waiv r The failure of the STATE to insist upon the strict compliance with any term, provision or condition of this Agreement shall not constitute or be deemed to constitute a waiver or relinquishment of the STATE'S right to enforce the same in accordance with this Agreement. 21. SPVPTat)711rY In the event that any provision of this Agreement is declared invalid or unenforceable by a court, such invalidity or unenforceability shall not affect the validity or enforceability of the remaining terms of this Agreement. 22. CinvPrning 1?w_ The validity of this Agreement and any of its terms or provisions, as well as the rights and duties of the parties to this Agreement, shall be governed by the laws of the State of Hawaii. Any action at law or in equity to enforce or interpret the provisions of this Agreement shall be brought in a state court of competent jurisdiction in Honolulu, Hawaii. - 5 corm AG-3-AGSPS (2-93) z ~ Attachment 6 SPECIAL CONDITIONS 1. Failure to Deliver: The inability of the AWARDEE to provide the necessary personnel shall not be an acceptable reason for failure to complete the services required. Failure to complete any part of the services contained in Attachment 1, Scope of Performance, shall be deemed to be a tonal failure to deliver service, entitling the STATE to terminate this Agreement. The service shall not be deemed delivered or performance completed, until all elements of each service are delivered and/or completed and accepted by the STATE. 2. Notice to Participants: Within two hundred forty (240) days after the commencement of this Agreement, the AWARDEE shall have in place written procedures for the orderly termination of services to individuals and families or for the transition of services to another provider upon termination of this Agreement. These procedures shall include timely notice and counsel to individuals and families of the impending termination of this Agreement. 3. Force Majeure: Neither party shall be held responsible for delays or failures in performance resulting from acts beyond the control of such party. Such acts shall include, but not be limited to, acts of God, labor disturbances, riots, acts of war, epidemics, government regulations imposed after the fact, fire, flood, communication line failures, power failures, shortages of transportation, earthquakes, hurricanes, or other causes beyond such party's control, provided that such party notifies the other party of such delay and the reason therefore as soon as practicable after its occurrence and requests extension prior to the specified date of product delivery, service, report, or response. 4. Federal Funds: In addition to Attachment 5, Item I1, General Conditions, when receiving Federal Funds under this Agreement, the AWARDEE shall comply with all regulations and requirements of the expending Federal agency and complete all required forms and documents. The AWARDEE shall allow full access to records, reports, files, and other documents so that the program, management, and fiscal practices may be monitored by Federal representatives directly connected with the program area under this Agreement. 5. Moditicatioas of Agreement: In addition to Attachment 5, Item 18, General Conditions, no amendment, modification, alteration, change, or extension of any term, provision, or condition of this Agreement may be made during the last thirty (30) calendar days of the Agreement, unless the STATE initiates or consents to the request for an amendment, modification, alteration, change, or extension of any term, provision, or condition of this Agreement. The failure to execute the modification of agreement in accordance with this Agreement nullifies the proposed modification. 1 , 6. Copyright and Patent: No summary, report, map, chart, graph, table, study or other document or discovery, invention, or development produced in whole or in part under this Agreement shall be the subject of an application for copyright or patent by or on behalf of the AWARDEE, iu officers, iu agenu, iu employers, or iu subawardees without prior written authorisation from the DIRECTOR. It is strictly understood that all finished or unfinished documenu, reports, summaries, lisu, charts, graphs, maps, or other materials prepared by the AWARDEE and all discoveries, inventions, or developmenu produced in whole or in part under this Agreement shall be the property of the STATE. 7. Regulatory Changes: The Awardee shall ensure that iu operation complies with the regulatory changes which resulted from the enactment of the Senior Community Service Employment Program, Final Rule dated May 17, 1995. 8. Futal Reports: For the purposes of this Agreement, Attachment 5, Item 3.a. is hereby revised to read: Within ten (10) days after the expiration of the time for performance, the AWARDEE shall submit to the STATE the final program progress report and summary of terminations. The final Quarterly Review Report shall be due twenty-five (25) days after the completion of this Agreement. Within twenty (20) days after the completion of this Agreement, the AWARDEE shall submit to the STATE the expenditure report for the final month of performance. Within sixty (60) days of the completion of this Agreement, the AWARDEE shall submit a completed close-out package containing the following documenu: a. Copy of Final Subcontractor's Invoice; b. Subgrantee's Release; c. Subgrantee's Assignment of Refunds, Rebates and Crediu; d. Final (Closeout) Inventory Certification: e. Bank Statement-Special Bank/Financial Account; f. List of possible claimanu for unclaimed checks cancelled or payments stopped; g. Subgrant Closeout Tax Certification; h. Representation Letter; and i. Refund checks, if applicable. 9. Assurances and Certifications: The Department of Labor and Industrial Relations will not award a grant or agreement where the Awardee has failed to accept the ASCLTRANC'FS AND ('F.RTiFiCATinNS contained in this section. Description of Proposed Services The Senior Employment Program (SEP) will provide part-time employment opportunities to low-income individuals » years of age or older. Placements will be made with either governmental or private non-profit organizations that contribute to the general welfare of the community. Each enrollee is assessed ofhis/her skills, talents, supportive service needs, and physical capabilities to assure appropriate placements. Special emphasis is given to meeting the individual needs of the enrollee. All enrollees are encouraged to seek and secure unsubsidized employment. Job training, counseling, and information are made available to each enrollee. B. History and Function of Applicant Organization The Hawaii County Office of Aging (HCOA) was established in 1966 and serves to represent the County of Hawaii in planning, coordination, advocacy, and administration of program for older persons. The HCOA is a designated Area Agency on Aging enabling the County to receive federal funds through the Older Americans Act of 196. There are over 650 Area Agencies on Aging throughout the country that represents the interest of older persons at the community level. The HCOA received the first Senior Community Service Employment Program (SCSEP) grant in 1976. After developing and running the program for two years, it was subcontracted to the Department of Parks and Recreation, Elderly Activities Division. The Senior Employment Program (SEP) is under the Elderly Activities Division, and they have been operating and running the program since 1978. There aze no special equipment needs at this time. Client assessments are conducted at the program office or in the district where the enrollee is living. County facilities such as senior centers are frequently used [o interview or assess enrollees. II. PROBLEM/1VEED A. Description According to the 1990 Census, approximately 20% of the population of the State of Hawaii is over the age of 55. Of this total, 7% are at or below the poverty level. The problem is compounded on the Big Island which has the highest rate of unemployment, the lowest per capita income, the lowest total payroll, and the largest percentage oflow-income elderly in the State. The increasing life expectancy of older adults lengthens the period for which financial support is required. The project will allow a limited number of individuals to improve their economic status through part-time employment. B. Geographic Area The project has been established county-wide and will continue to serve the entire Island of Hawaii. Approximately 30 of the placements will be in the South Hilo district and 12 will be in the remaining districts of North Hilo, Hamakua, Kohala, Kona, Ka'u and Puna. Geographical areas served will be dependent on the residence of the applicant. They must also be residents of the County of Hawaii. Qualified enrollees who aze age 60 or older will be given priority. III. GOALS AND OBJECTIVES A. Goals 1. Increase the income level of the target group. 2. Enhance [he individual's experience of community service work. 3. Provide, foster and promote useful part-time employment activities for the target group. B. Objectives 1. Maintain and fill 42 slots during the course of the project year. Effective July 1, 1997, 42 slots will be carried over from the previous program year. As enrollees leave the program through attrition or for unsubsidized positions, new applicants will be recruited to fill the vacant slots. 2. Place a minimum of eight individuals in unsubsidized positions during the program year. Enrollees will be encouraged to seek unsubsidized placements at the time of their recruitment. The project will assist enrollees to improve their prospects of securing unsubsidized placements by providing or coordinating training or informational workshops. Outreach/Recruitment Project enrollees will be recruited and selected primarily through county-wide campaigns by the Elderly Activities Division. All enrollment vacancies will be listed with the local office of the Hawaii State Employment Service. Advertisements will be made in the local newspaper, the senior citizen magazine, "Inspirations', and senior center bulletin boazds. Continued efforts in program awazeness will hopefully generate referrals from other social service agencies in the aging network. Every effort will be made to assure equitable participation of minority groups and those with the greatest economic need. Recruitment of applicants and dissemination of information will be accomplished by using culturally appropriate channels of communication, such as ethnic newspapers, radio stations and other community support groups. B. Screening 1. The following eligibility criteria will be used. Each enrollee must: a. Be no less than 5> yeazs of aee; b. Have an income not more than 125% of the poverty line; and c. Have a place of residence in the County of Hawaii. Eligible individuals who seek re-enrollment following termination of an unsubsidized job through no fault of their own or due to illness, provided that re-enrollment is sought within one year of termination; d. Eligible individuals who are enrolled in temporary position; and e. Other eligible individuals. Each applicant will be initially interviewed to determine appropriateness and ability of agency to meet applicant needs. A standard application/enrollment form will be used to obtain the personal information necessary for proper determination of eligibility. C. Certification/Recertification The program staff will schedule interview appointments for all project enrollees for recertification effective July 1, 1997. Enrollees will be interviewed on or before their anniversary date. Enrollees found to be ineligible for continued enrollment will be given immediate written notice of termination. Orientation Each individual enrollee will receive a formal orientation by the program staff regarding the nature and objectives of the project, employment opportunities and work assignments, training, and supportive services that the program can provide. Each enrollee will be informed of his/her rights, responsibilities, benefiu, and privileges under the program. Each enrollee is made awaze of the grievance procedures available to him/her. Program staff will also give a formal orientation to host agencies concerning the project objectives and the responsibilities of both the enrollee and the agency. E. Assessment/Evaluation The assessment of enrollees will be conducted by the professional staff of the Hawaii State Employment Service Office or the Elderly Activities Division. This initial assessment will include the individual's previous work experience, employment goals, education and training, interests, goals, skills, personal train, physical limitations, job alternatives and job choices for potential transition to private or other unsubsidized employment. The assessment process will determine whether the individual is job ready and which community service employment is most beneficial for the applicant. Training and supportive service needs will be evaluated individually so appropriate placements can be made. Program staff will then develop a suitable part-time community service position that will utilize the enrollee's skills and aptitudes. Physical Examinations Each enrollee will be given an opportunity to receive a physical examination within 60 days of placement into a community setice assignment and annually thereafter. The eruollee has the option of whether to provide the results of the physical examination to the program operator. Enrollees not accepting the opportunity to receive the physical examination will be required to sign a waiver to that effect. Enrollees will be offered the physical examination as a benefit and not as a requirement. - _ The physical examinations will be provided by the County physician at no ' cost to the project. The examination cost to the project covers the radiologic examination administered by a private firm. Annual physical examinations will be scheduled on or prior to the enrollee's anniversary date. G. Service Planning A comprehensive Individual Development Plan (IDP) will be developed for each enrollee. The plan will reflect the enrollee's employment goals, appropriate achievement objectives, and supportive service needs. Specific timetables will be reflected in the plan which may include possible transition into private or unsubsidized employment. The plan will be reassessed at least once a year and placed in the enrollee's file folder. Appropriate adjustments will be made to accommodate changes in the enrollee's status. H. Supportive Counseling Program staff shall provide emotional support and employment counseling services to registered enrollees. Information and Referral Aging related information shall be made available to each applicandenrollee. Program staff shall also be aware of other community resources so appropriate referrals can be made. Coordinated Services for the Elderly (CSE) is the Information and Referral Office for aging services. The CSE program may be used as a resource to link applicants/enrollees to resources in the community. J. Community Service Assignment Enrollees will be paced into community service assignments which contributes to the general welfare of the community or provides services to the elderly. The community service assignment shall permit the most effective use of each enrollee's skills, interests, and aptitudes. Each enrollee will have the opportunity to work an average of at least 1 ~ hours per week and a maximum of 19 hours per week. However, each enrollee's community service assignment shall not exceed 1,300 hours per program year (July 1 to June 30) including paid hours of orientation, training, sick leave and vacation leave. Agencies aze selected based on their ability to provide good training and supervision, aze able to understand and support the goals and objectives of the program, are timely in reporting hours and completing and submitting reports, and are committed to hiring the enrollees within their agency. K. Host Agency Agreements Worksite agreements shall be developed with each host agency to ensure that enrollees receive adequate orientation and instructions during their community service assignment. L. Training Activities Host agencies will be strongly encouraged to provide pre-job training for etuollees which will not exceed the first 30 hours of enrollment. Other community resources such as the classroom training through the JTPA program at the Hawaii Community College may be utilized. Program staff will be responsible for arranging appropriate training which should be consistent with the enrollee's service plan. Paid training shall not exceed 500 hours during the program year. Host agencies will also be encouraged to provide training afrer subsidized placement has been made. Training may be related to specific job duties or to upgrade the enrollee's existing skills. M. Supportive Services Job related and personal counseling will be provided to enrollees to assist them in resolving problems which might adversely affect their successful participation in the program. Referrals may also be made to appropriate resources in the community. Job Development and Placement Services National Employ the Older Worker Week is recognized during the month of Mazch. During this week, program staff shall coordinate activities that hiehliehts the older workers and to inform employers of the potential senior workforce available to them. Program staff shall work closely with the JTPA program to identify unsubsidized job openings, training opportunities, and other job-seeking assistance the agency aze capable of providing. Program staff shall also encourage host agencies to employ enrollees in their regulaz work force. Follow-up services on enrollees placed into unsubsidized employment will be completed and documented on a 30-day and 90-day follow-up record. If necessary, additional follow-up services may be provided to ensure that the enrollee has a successful participation in the unsubsidized placement. O. Reassessment/Follow-Up The individual development plan shall be reviewed at least twice a yeaz to document the progress of the enrollee. However, revisions to the plan may be made at any time to accommodate changes in the enrollee's situation. Follow-up services may be provided to accommodate any changes in the plan. P. Termination The following aze various situations in which termination of an enrollee could occur: 1. Placement into an ttnsttbsidized position. Voluntary Resignation. An enrollee may voluntarily terminate his/her placement at any time. Enrollees are requested to give two weeks notice to both the host agency and the SEP program if possible. A written resignation letter is required. 3. [nvoluntarv Termination. a. Over income. If an enrollee is found to be over income during the recertification process or at any time, a 30-day notice of termination will be given. b. Fraud. If an enrollee is found to be ineligible due to an unreported source of income or as a direct result of the individual knowingly offering false information, termination will be immediate. c. Other. SEP retains the right to terminate an employee for just cause. Should this occur, written notice stating the reason(s) for the termination will be given to the enrollee. V. TIMELINE At the start of the new project year, there will be 42 filled slots that will be carried over from the previous year. These positions will be filled as they become vacant through attrition or private placemenu. Awaiting list will be maintained so vacancies can be filled in a timely manner. Unsubsidized placements will occur during the course of the program yeaz. There will be an average of two unsubsidized placements during each of the four quarters to meet the program objective of eight placements during the year. (See Exhibit B.) VI. PERSONNEL A. Description of Staff Positions and Staff Development Training There will be a total of three full time employees for the program. The Program Director (SR-22) is responsible for the overall operations and management of the project. A Senior Employment Cotnselor (SR-18) is responsible for intake, assessments, enrollment, and individual counseling. The Account Clerk (SR-11) is responsible for all accounting, clerical, and routine personnel duties. Both the Senior Employment Counselor and the Account Clerk will be under the direct supervision of the Program Director. (See Exhibit C for individual job descriptions.) B. Organizational Chart See Exhibit A. VII. COORDINATION WITH OTHER COMMUNITY AGENCIES AND RESOURCES The SEP program has operated the SCSEP program for the past 18 years. They have made a conscientious effort in promoting program awazeness, and they are known in the cotnmunity as the advocate for older workers. The SEP program is under the Elderly Activities Division. Other program in the Division includes the Coordinated Services for the Elderly, Nutrition (both home- delivered and congregate), and RSVP. Therefore, each of these programs aze closely linked to each other. This is very beneficial in sharing information and in giving and receiving referrals to each other. They are always included in HCOA's training efforts and in the dissemination of aging related information and material. The SEP program has worked closely with the Hawaii State Employment Service Office and especially with the JTPA program to exchange information and to refer clients to each other. This close relationship has also been mutually beneficial in job training efforts. VIII. EVALUATION The HCOA has a Monitoring, Assessment, and Evaluation Plan which is included in the contract with the SEP program. The plan calls for monthly "desktop" monitoring through reports and client data and formal quarterly monitoring and assessment reports. The plan also calls for Client Satisfaction Surveys, site visitations, periodic service assessment, and an Annual Program Evaluation Report. (See Exhibit D.) IX. BUDGET See Exhibit E. X. OTHER REQUIREMENTS A. Case Recordation, Data Collection, and Reporting Individual files will be maintained for all enrollees. The files shall include all client related data and the enrollee's IDP. Audit The Director of Finance for the County of Hawaii is responsible for contracting for a single audit for all federally funded programs. The audit will be conducted sometime between July through December 1998, covering the period July 1, 1997 to June 30, 1998. The audit shall be conducted in accordance to established policies and guidelines. C. Enrollee Complaint Resolution A complaint or erievance may be made over action taken by staff members or supervisors in matters such as discrimination because of race, color, religion, disability, national origin, sex, political affiliation or beliefs, wages, hours of work, work assignments, and/or disciplinary action. If a grievance is reported, the following procedures will be followed: 1. The enrollee should talk to the immediate supervisor and try to resolve the problem; 2. If the problem cannot be resolved with the supervisor, the SEP Director or Counselor should be contacted. They will conduct an informal conference with the enrollee and the host agency to try and resolve the problem. 3. If the enrollee is still not satisfied with the SEP Director's or Counselor's decision, a heazing will be scheduled involving the enrollee, host agency, SEP program staff, and a representative from the HCOA. If the enrollee is still not satisfied with the results of the hearing, the enrollee may request a review of the issue by the HCOA in accordance with the State SCSEP Complaint Resolution Procedures. 4. All complaints alleging non-criminal violation must be filed in writing within one year of the alleged violation. Over Enrollment Every effort will be made n~,l to utilize temporary enrollees. However, when a portion of project funds are not being utilized as a result of attrition, the inability to fill positions in a timely manner, unforeseen emergency leaves, or illness, the project staff will enroll additional eligible individuals in temporary positions. Enrollees will be informed of their temporary status during enrollment. They will be required to sign an Agreement to Participate in a Temporary Position, which will be filed in the enrollee's folder. Should an authorized position become available, the temporary enrollee with the greatest economic need and with the greatest seniority shall be given first consideration for enrollment in an authorized position. E. Maintenance of Effort (MOE) The Project Coordinator shall assure compliance with the MOE provision during its regular program monitoring. Host agencies will be informed that enrollees aze not to replace workers on leave or workers that have been laid off. Any host agency found in violation of this provision shall assume the full liability of cost incurred from the date of placement stated in the Agency Agreement. Should any response indicate that a more thorough assessmen[ is needed, a PaslAont Evaluation Survey shall be completed by an HCOA Program Specialist. Additional participant evaluation surve}'s may be randomly taken as deemed necessary by the Program Specialist. Other methods of assessments may include but shall not be limited to site visitations and service evaluations. Site vi citations may be conducted by the Program Specialist to assess the physical facility of the CONTRACTOR to ensure that the service environment is safe and accessible to participants. .Site visitations also enable the Program Specialist to observe the delivery of service and to provide participants with an opportunity to give informal feedback to the HCOA. CONTRACTORS receive at least two weeks notice before a fotTrtal site visit is conducted.
