No. 1-1A-IIIA-98-3(N) #3A AGREEMENT FOR OLDER AMERICAN ACT FUNDS EDUCATION AND TRAINING THIS AGREEMENT, effective the]a day of September 1997, is entered into between the Executive Office on Aging, State of Hawaii (hereinafter"STATE")and the County of Hawaii by and through its County Council and its Mayor(hereinafter"CONTRACTOR"), whose business address is c/o Hawaii County Office of Aging. 101 Aupuni Street. Room 342, Hilo. Hawaii 96720. RECITALS WHEREAS, under Title III-A of the Older Americans Act of 1965, as amended, 35 U.S.C.§3028 (a) (1) (hereafter the "Act"),the Commissioner of the Administration on Aging, Office of the United States Secretary of the Department of Health and Human Services (hereafter DHHS) is authorized to make grants to states for the administration of its State Plan, including the preparation of the State Plan on Aging,the evaluation of activities carried out under State Plan, the collection of data and carrying out analyses related to the need for services, the provision of short-term training to personnel of public and nonprofit agencies and organizations engaged in the operation of programs authorized by the Act; and WHEREAS, Hawaii County Office of Aging is designated by the STATE as the area agency on aging responsible for the collection of data and the carrying out of analyses related to the need for services and for meeting the training needs of personnel in the field of aging; and 1 WHEREAS, the DHHS has approved the Executive Office on Aging's State Plan on Aging and made funds available for its implementation; and WHEREAS, pursuant to Act 218, S.L.H. 1995, as amended by Act 287, S.L.H.. 1996, the Eighteenth Legislature of the State of Hawaii appropriated the federal funds made available to the STATE by DHHS for plans, program development and coordination of services for the elderly; NOW THEREFORE, in consideration of the promises contained in this Agreement, the STATE and the CONTRACTOR agree as follows: 1. Scope of Performance. The CONTRACTOR shall perform, in a proper and satisfactory manner as determined by the STATE, the project or program described in Attachment 1, which is hereby made a part of this Agreement. 2. Time of Performance. The performance required of the CONTRACTOR under this Agreement shall be completed in accordance with the "Time Schedule" set forth in Attachment 2, which is hereby made part of this Agreement. 3. Compensation. The CONTRACTOR shall be compensated for performance and costs incurred under this Agreement according to the "Compensation and Payment Schedule" set forth in Attachment 3, which is hereby made a part of this Agreement. 4. Standards of Conduct Declaration, The standards of Conduct Declaration by CONTRACTOR, set forth in Attachment 4, is hereby made a part of this Agreement. 5. Subject to availability of funds, payments to Contractor under this Agreement shall be made in Accordance with and are subject to the provisions of Chapter 7, Request for Payments (Area Agency Reporting Handbook), and are subject to the following appropriate federal or State provisions: c. Federal-Older Americans Act Funds (1) If federal funds are awarded, the STATE shall use the allocation plan contained on page 4 of Attachment 3 as a basis of paying contractor, provided that the STATE may reduce such said amount by any carryover funds that were previously paid to Contractor and are still held by Contractor, upon submission by Contractor of written request for payment. (2) Program income, and interest or investment income, that is collected or earned by Contractor as a result of activities supported by funds provided to Contractor or any of its subcontractors under this Agreement shall be retained by Contractor or its Subcontractors earning such income and shall be spent for the expanded level of services prior to using funds provided under this Agreement. (3) All payments shall be made in accordance with and subject to Chapter 40, Hawaii Revised Statutes, which specifies the accounting procedures and controls applicable to payments out of the Treasury of the State of Hawaii. The Contractor shall implement and maintain a written smoking policy as required by Chapter 328K, Hawaii Revised Statutes. 2. Conflicts of Interest. The Contractor represents that neither the Contractor. nor any employee or agent of the Contractor, presently has any interest, and promises that no such interest, direct or indirect, shall be acquired, that would nor might conflict in any manner or disagree with the Contractor's performance under this Agreement. 3. Compliance with Laws. The Contractor shall comply with all federal. State and county laws, ordinances, codes, rules, and regulations, as the same may be amended from time to time, that in any way affect the Contractor's performance under this Agreement. 4. Indemnification and Defense. The Contractor shall defend, indemnify, and hold harmless the State of Hawaii, the STATE, and their officers, employees, and agents from and against all claims, damages, and costs, including attorneys' fees, arising out of our connection with the acts or omissions of the Contractor under this Agreement. The provisions of this paragraph shall remain in full force and effect notwithstanding the expiration or early termination of this Agreement. 5. Insurance. a. Y3 Faze 3 each private subcontractor it engages to perform that program or any service, to obtain and keep in force an automobile liability insurance policy issued by a company authorized to do business in the State and complying with the Hawaii No Fault Insurance Law, an amount of at least One Hundred Thousand Dollars ($100,000.00) for each person with respect to bodily injury and Fiftv Thousand Dollars ($50,000.00) each occurrence with respect to property damage. Each poticv. shall name the STATE. the State of Hawaii and their officers, agents, and employees as additional insureds under the policy and each policy shall constitute primary insurance for the State of Hawaii, the STATE and their officers, employees, and agents for any liability arising out of or resulting from occurrences during or in connection with the performance of services under this Agreement. Prior to or no later than 30 days after execution of this Agreement the Contractor shall obtain and attach hereto as Attachment 6 the certificate of insurance of its private subcontractors verifying the existence of the necessary automobile liability insurance coverage, including the coverage of the State of Hawaii, the STATE and their officers, employees, and agents. If the scheduled expiration date of any existing automobile liability insurance policy is sooner than the specified termination date of this Agreement, Contractor shall promptly cause to be provided to the STATE and updated certificate of insurance evidencing renewal thereof. Each certificate of insurance shall expressly provide that the insurance policy shall not be cancelled unless the insurance company has first given to the STATE thirty (30) days written notice of the intended cancellation. c. If. for any cause, the Contractor breaches this Agreement by failing to satisfactorily fulfill in a timely or proper manner the Contractor's obligations under this Agreement or by failing to perform any of the promises, terms, or conditions of this Agreement. and having been given reasonable notice of an opportunity to cure such default, fails to take satisfactory corrective action within the time specified by the STATE, the STATE shall have the right to terminate this Agreement by giving written notice to the Contractor of such termination at least seven (7) calendar days before the effective date of such termination. Hawaii or to the Contractor at the Contractor's address as indicated in this Agreement. A notice shall be deemed to have been received three (3) days after mailing or at the time of actual receipt, whichever is earlier. The Contractor is responsible for notifying the DIRECTOR in writing of any change of address. 17. Waiver. The failure of the STATE to insist upon the strict compliance with any term, provision or condition of this Agreement shall not constitute or be deemed to constitute a waiver or relinquishment of the STATE's right to enforce the same in accordance with this Agreement. 18. Severability. In the event that any provision of this Agreement is declared invalid or unenforceable by a court, such invalidity or unenforceability shall not affect the validity or enforceability of the remaining terms of this Agreement. 19. Governing Law. The validity of this Agreement and any of its terms or provisions, as well as the rights and duties of the parties to this Agreement, shall be governed by the laws of the State of Hawaii. The subcontractor has agreed to and will during the term of this Agreement: (1) Employ or have under contract persons qualified to engage in the activity to be funded under this Agreement. (2) If the subcontractor is a nonprofit organization, it does not employ or have under contract any two or more members of a family or kin of the first or second degree, unless agreed to in this Agreement. (3) Not grant any salary or benefit increases to its employees or contractors with public funds unless the increases are agreed to in this Agreement. (4) Comply with applicable federal and state laws prohibiting discrimination against any person. • (5) Not use public funds for entertainment of perquisites. For the purpose of this Agreement. "perquisite" means a privilege furnished or a service rendered by the subcontractor to an employee, officer, director, or member of the subcontractor to reduce that individual's personal expenses. COND[TIONS 1. Reporting and Recordkeeping Requirements a. In order that the STATE may monitor Contractor's compliance with this Agreement, Contractor shall submit to the STATE written quarterly progress and financial reports using the instructions and forms contained in the Area Agency on Aging Reporting Handbook, including other reports which may be requested by the STATE subsequently. All quarterly reports are due within twenty (20) days after the last day of each calendar quarter during the period of this Agreement. All subcontractors entered into by Contractor to implement Attachment 1, Scope of Services of this Agreement shall include provisions which would facilitate the reporting requirements of this Attachment and allow Contractor to comply with this timetable. In addition to the quarterly written progress and financial reports, Contractor, upon request, shall meet with representatives of the STATE to discuss the progress of the work to be provided under this Agreement. b. Contractor shall comply with all ordinances, codes, rules and regulations of the federal, State and local government which in any way affect its performance under this Agreement, and shall require the same compliance from each of its subcontractors. g. Contractor shall ensure that any subcontract it enters into specifically incorporates or otherwise ensures that the requirements of this Attachment are applicable to and are satisfied by each of its subcontractor so as to facilitate Contractor's compliance with these requirements. 2. STANDARDS OF CONDUCT DECLARATION, Attachment 4 shall not be applicable to Contractor if the Contractor is a County agency or another State agency; provided that the provisions of Attachment 4 shall apply to the private recipient or subcontractor. The Contractor shall ensure that the provisions and limitations contained in Attachment 4 that are applicable are binding upon all its subcontractors. 3. Insurance Certificates for private subcontractors are attached. 4. Contractor shall monitor and evaluate each State funded subcontract with the provider organization at least annually to ensure compliance with Chapter 42D, HRS, the public purpose, legislative intent of the grant subsidy or purchase of services, and to determine whether the subcontract attained the intended results in the manner contemplated. Contractor shall conduct at least an annual onsite visit and maintain an annual written report for each grant, subsidy or purchase of service award which describes the progress, compliance and required corrective action by the subcontractor.
