<br />Grantee will not assert any claim, demand, action, suit or other proceeding
<br />or take any action intended to make or as a consequence might make the '
<br />Grantor, its related and affiliated entities, parents, subsidiaries, partnerships,
<br />joint ventures, limited liability companies, members, trusts and assigns, of
<br />every tier, and their respective officers, directors, partners, agents,
<br />employees, volunteers, members, managers, trustees, shareholders, and any
<br />successors or assigns or Hokuli'a lot owners, or any of the foregoing, liable
<br />for any portion of such claim, demand, action, suit or other proceeding and,
<br />further, the Grantee will not assert that the Grantor, its related and affiliated
<br />entities, parents, subsidiaries, partnerships, joint ventures, limited liability
<br />companies, members, trusts and assigns, of every tier, and their respective
<br />officers, directors, partners, agents, employees, volunteers, members,
<br />managers, trustees, shareholders, and any successors or assigns or Hokuli'a
<br />lot owners, or any of the foregoing, is or are a joint tort-feasor within the
<br />meaning of Chapter 663, Hawaii Revised Statutes, or at common law, or is
<br />or are otherwise subject to contribution for any such claim, demand, action,
<br />suit or other proceeding for any liabilities.
<br />In addition, the Grantee waives any right it may have at
<br />common law, under statute or otherwise to assert that Grantor, its related and
<br />affiliated entities, parents, subsidiaries, partnerships, joint ventures, limited ,
<br />liability companies, members, trusts and assigns, of every tier, and their
<br />respective officers, directors, partners, agents, employees, volunteers,
<br />members, managers, trustees, shareholders, and any successors or assigns or
<br />Hokuli'a lot owners, or any of the foregoing, may be or is a joint tort-feasor
<br />or otherwise subject to contribution pursuant to statute or common law or
<br />otherwise for any such liabilities.
