BYLAWS <br /> OF <br /> HO'OMALU KAU <br /> ARTICLE i <br /> NAME <br /> The name of this nonprofit corporation ("corporation") is I-Io'ontalu a'11. <br /> ARTICLE xi <br /> OFFICE <br /> The office of the corporation shall be at such place in the State of Hawai'i as the <br /> Board of Directors ("Board") shall front time to time determine. <br /> ARTICLE III <br /> MEMBERSHIP <br /> The corporation has no members. ARTICLE IV <br /> PURPOSES <br /> Section i,. The put-poses for which this corporation is organized are: <br /> a) This corporation is organized exclusively for charitable, <br /> educational, and scientific put-poses within the meaning Of 26 <br /> U.S,.C. section 501(c) (3), including,for such purposes, the making <br /> of distributions to organizations that quality as exempt <br /> organizations tinder I. .S. Section 501(c) (3) or the corresponding <br /> section of any future federal code. Relevant to these purposes, the <br /> corporation will or may engage in the following purposes and <br /> activities, which are not intended to limit the corporation as to <br /> other appropriate activities properly conducted within the scope of <br /> Section 501(c) (3). <br /> b) This corporation is created to perpetuate, protect, and conserve the <br /> lands, health, knowledge, culture and history of Ka'u and its <br /> people. <br /> c) The corporation will also,engage in any other lawful activities which <br /> are in furtherance of the above-stated objectives and not <br /> inconsistent with Section 501 M (3), whether alone or in <br /> conjunction with other persons or organizations of any kind or <br /> nature, such as individuals, corporations, firms, associations, <br /> international organizations, trusts, schools, institutions, <br />
