Section A-3 Terns of Offlee. All Directors shall hold office for a period of <br /> three (3) years and may succeed themselves indefinitely. <br /> Section .4 Vacancies. Any vacancies occurring on the Board may be filled by <br /> the affirmative vote of a majority of the remaining Directors. A Director elected <br /> to fill a vacancy shall be elected for the unexpired term of such Director's <br /> predecessor in office. <br /> Section ,4.,r, Removal. Any Director may be removed from office without <br /> cause by an affirmative vote of the majority of the Directors in office at any <br /> meeting called for such purpose. <br /> Section a.6 Compensation. Directors shall not receive any compensation for <br /> their services as Directors. Directors may be employees of the corporation, and <br /> when serving an employee, a Director may be compensated on the same basis as <br /> any other person would be compensated for like services to the corporation. 'I'lle <br /> term "employee" is intended to,cover any type of employrnent, whether the <br /> Director should be hired as a full-time employee, a part-time employee, or an <br /> independent provider of contract services. <br /> Section 4.7 Decision-mg-tking. In all matters, Directors shall strive to obtain <br /> a consensus, but lacking a consensus, a decision of the majority of the incumbent <br /> Directors present shall rule. <br /> ARTICLE VI <br /> MEETINGS OF THE BOARD OF DIRECTORS <br /> Section 5.1 Meetings. Meetings of the Board shall be held at least annually <br /> and at such times and places as maybe designated by the Board. <br /> Section 5.2 Special Meetings. Special meetings of the Board may be called <br /> by or at the request of the President,Vice-President, or any two Directors. Notice <br /> of special meetings shall be given in accordance with 5.3 of these By-laws. <br /> Section g.3 Notice. Notice of each meeting of the Board (for which notice is <br /> required) shall be given at least one day(i) day before the meeting. <br /> Section 5-4 Quorum. At any meeting of the Board, a majority of the number <br /> of Directors in office immediately before the meeting shall constitute a quorum <br /> for the transaction of business at such a meeting. <br /> Section.r;..r; Electronic Meetings. Board members may participate in a <br /> meeting of the Board by means of any kind of electronic communications as long <br /> as all persons participating can hear each other at the same time. Participation <br /> by such means shall constitute presence at a meeting. <br /> 3 <br />
