I. Call To order
The meeting was called to order by Chair Shelby Nahale-a at 10:00 A.M., in the
Meeting Room, Department of Liquor control, Hilo Lagoon centre, Unit 230,
Hilo, Hawaii.
The following were present and constituted a quorum:

Nahale-a: Good morning everyone. I'd like to call this meeting of the Hawaii county
Liquor commission to order. As a friendly reminder, please place your cell phones on
silent. We're recording the meeting, so please remember to speak one at a time so that
the recording can be clear and the microphones in the room don't necessarily amplify
your voice. They're only to record what's being said.
Nahale-a: Before introductions, I'd like to note that this agenda was amended on
June 27, 2019, to correct the day of the meeting from Thursday to Wednesday. Under
Special Licenses Issued for Ratification, correct Item f., Application No. 19-1 to Item g.
and Item g., Application No. 19-2 to Item h. could we introduce ourselves beginning
with Stacie?

Horii: My name is Aki Horii. I'll be the Manager.

Fujibayashi: I'm Tetsuya Fujibayashi and I'm the General Manager.
Nahale-a: Thank you. Are there any changes to the report submitted?

Nahale-a: Could you briefly describe your business for us, please?
Fujibayashi: Ok. We will use local (products) and we would like to sell (healthy) food
and if we can, (healthy) drinks, too. We would like to sell sake, (that is) rice and water;
wine (that is) water and grapes. We would like to sell (healthy) alcohol and (healthy)
food. We don't use any chemicals.
Gonzalez: The application report says that you will operate as a Japanese restaurant,
correct?
Fujibayashi: Yes.
Gonzalez: And you plan to serve yakitori, cutlet, tempura, sushi and ramen, correct?
Fujibayashi: No sushi.
Gonzalez: And you plan to operate seven days a week?
Fujibayashi: Yes, we would like to.
Gonzalez: Lunch and dinner service?
Fujibayashi: Yes. Morning, too.
Gonzalez: Morning, too.
Fujibayashi: Most important is morning to lunch. At night there would be just one
reservation/customer, so we will know who will be coming for that day (night) before
they arrive.
Nahale-a: Thank you. Director, are there any reports of protests?
Gonzalez: Ms. Chairperson, this is an application for an original license. The Applicant
mailed out 51 out of 52 notices within 100 feet, 131 out of 134 notices within 500 feet, and
six notices to condominium or co-operative condominium or apartment property owners.
There were 131 properties entitled to protest and we did not received protests to the
application.

the world, and sell it for a profit; and as a resident of Hawaii, providing advice and rare
wines to several resorts in the area.
Nahale-a: Director, any reports of protests?
Gonzalez: Ms. Chair, there have been no reports of protests. There were 16 notices
mailed to 16 owners within 100 feet, and 46 out of 48 notices within 500 feet. There were
25 total properties within 500 feet entitled to protest and again, there were no protests.

Gonzalez: Ms. Chair, there are no protests in this matter. The applicant in this original
application mailed 22 out of 22 notices within 100 feet, 97 out of 97 notices within 500

Gonzalez: Ms. Chair, if I may go over the notes again, the applicant mailed 2 out of 2

onizuka: No, where is it located?
Saro: It's near Pier 1 in the old KTA in Kona.
onizuka: Looking at your schematic layout here, it says Kona Commons Shopping
Center.
Sara: The Kona coast Shopping Center?
onizuka: Look at the schematic layout. It says Kona commons Shopping Center.
Kona Commons is down by Target.
Sara: The person that was supposed to be here with me today did not show up. That
is the correct floor plan, but I'm not sure why it says Kona Commons.
onizuka: Question to the Department, Brandon? Can that be changed because the
pictures on the front section, that's Kona coast Shopping center? But the layout that
we have is Kona commons.
Gonzalez: I know what you're saying, we're verifying all the other exhibits and the site
plans in our files. They indicate, like you say, the Kona coast Shopping Center, not the
Kona Commons. We'll make the correction to Exhibit 3 in the commission Report. It
looks like something that the drafter or designer did. Instead of it being Kona Commons,
it should be Kona Coast. Thank you for catching that.

Nahale-a: Could you briefly describe your business for us?
Potter: Sure. We're a farm to bar chocolate company. We grow cacao up and down
the east coast of Hawaii. The main chocolate is mainly out of Hilo, and then we're
opening this location in Kona.

Greenwell: Help educate me. Are you mixing liquor, alcohol, with the chocolate?
Potter: No, not the chocolate, but just the regular ingredients. Like the juice that
comes out of the cocoa fruit. So just as flavoring.
Greenwell: So, it's flavoring added to a drink?
VanEgtern: We're going to utilize the liquor license to make cocktails that are chocolate
inspired, like a chocolate espresso martini or a cocoa old fashion. We're not putting
liquor into our chocolate bars. Those are 100 percent non-alcoholic, because you can't
put any liquids into chocolate without destroying the temper of the chocolate. But what
we would like to do is make a chocolate bar that has inspired cocktails from chocolate.
There is a fruit pulp around all the cocoa beans and we collect the juice on the first day
of the fermentation. Then we pasteurize that and usually use that as samples; but
another thing that you can utilize that juice for is an inspired mai tai using that liquid, as
well as a margarita and possibly a cocoa mimosa using that liquid.
Greenwell: Do you have any competition? Is anybody else on the island doing the
same thing you're doing?
Potter: No one is.
Nahale-a: Interesting.
VanEgtern: Thanks.

Thomas: I have a question. Are the beverages meant to be just sold and sampled on
the premises or are you going to package them so people can take them out?
VanEgtern: Alcoholic ones only for the shop and we probably won't be able to ever
have enough production to do bottled types or to sell later on in the future; but you
never know, someday.
Thomas: Right. Thank you.

okuyama: Yes. We would like to put in a grocery and convenience store at this location,
at 511 West Kawailani located above the Hilo Golf Course in the area known as Waiakea
Uka. We'd like to sell liquor and spirits, and the main emphasis will be on hot foods to -go
with a lot of groceries.

Uka area.
Hughes: It'll be nice to have a grocery store in that area, or a convenience store.
okuyama: Yes, thank you.
Gonzalez: And It's a relatively updated building.

'I. Pacific Aqua Beverages, LLC, dba Mehana Brewing, discussion
of request to add Kai Vodka in tasting room, to their Manufacturer
Beer liquor license, located at 275 East Kawili Street, Hilo, Hawaii.
Gonzalez: Pacific Aqua Beverages, better known as Mehana Brewing, is asking
permission from the Department and the Commission so they can offer tastings of the
Kai Vodka in their tasting room in .addition to their beer samples. They own both brands,
Kai Vodka and all the beers and that is the reason they're asking to offer that in their
tasting room. We support their request.
Thomas: Where's their tasting room?
Gonzalez: Their tasting room is located at Mehana Brewing, 275 East Kawili Street.
Thomas: Okay.
Nahale-a: Mr. Vice chair?
Greenwell: Brandon, are they going to be selling the Kai Vodka or is it just a tasting, a
promotion?
Gonzalez: The tasting rooms offer samples of the products that are brewed or manufactured

Gonzalez: What I recall is they give samples but they have a tasting tour where they
give you a flight of the different types and you taste that and pay for that. They have a
beverage cooler in there as well where you can get bigger sizes as well.
Hughes: You can buy growlers and things like that. Would you be able to buy the
vodka there, though?
Gonzalez: The communications we have don't give me any information on whether or
not you can buy the vodka there. The request is simply to offer it as a tasting there.
Nahale-a: Is it manufactured at the same location?
Gonzalez: No, currently Kai Vodka is manufactured on Maui, if I recall correctly. They
have been exploring the possibility of opening a manufacturing center on this island,
which would be beneficial to both sides. Stacie will try to contact Scott (Thompson).
They don't manufacture it there presently, but they have been exploring the possibility of
doing their vodka manufacturing on this island.
Arakaki: With their current liquor license, they are allowed to sell products from their
store. Does that include distilled beverages as well?
Gonzalez: That is a good question. Yes, they are allowed to manufacture and sell for
consumption there, and sell for consumption off -premises, what they manufacture there.
What other kinds of questions?
Arakaki: I understand the request was not necessarily to sell the spirits but just to taste it.
Thomas: Yes, to have a sample.
Arakaki: So I guess, that's a moot point at this time.
Nahale-a: But if their license allows for what's manufactured on premises, then the Kai
Vodka is outside of that because it's not manufactured (here), right?
Masuda: As far as sales.

Greenwell: Is there any additional security that's needed for this beer and wine that's
supposedly stored off-site that maybe nobody's monitoring 24 hours a day?
Gonzalez: That's a good question. That's the purpose of the application existing. If they
have to store their alcohol off-site, off the vessel, which is becoming more common
because the space on the vessel is limited, then they submit the application and we
actually inspect the location to make sure it can be secured and locked and that access is
limited. Some of them have temperature controls, some do not. It is part of the process.
That's what our inspectors verify as part of the application process.

Salave`a: Is there an issue or restrictions with someone convicted of a felony who is
serving as an officer for an entity that has a liquor license?

Gonzalez: Yes. As part of the commission's authority and responsibility in granting or
denying liquor licenses, part of your review is to determine whether or not the people
associated with the company holding the license are "good." There's a specific term in the
Statute that I'm trying to find now, but it's part of your inquiry and your diligence to find it.
It is part of the inquiry. It's not a flat out bar or rejection to issuing or having a license, but
it's part of the things you will take into consideration.
Hughes: Do you bring that to our attention?
Gonzalez: Yes.
Masuda: What happens is when they do the license check on the Licensee, they also
check on who the majority shareholders are and they cannot hold more than 25 percent of
any liquor establishment. Part of the reason is from the prohibition days. That's the way it
is. If you are a convicted felon, then they look at the amount of interest you have in that
business entity.
Salave`a: Then the question of their fitness to serve as an officer for that entity is part of
our decision-making process?
Masuda: Yes. In this case, what you have is Vernon Lindsey coming out of the business
entity.
Salave`a: okay. That's very clear.
lbarra: With these merger issues, we're not approving the merger itself. We're approving
the license because they have to go through (the) DCCA or other legal requirements,
right? We're just approving the license.
Masuda: Yes, that's exactly so and that's an important fact. The merger can still occur
with or without your approval. What happens is the license doesn't transfer. If (the) DCCA
says no to the merger, there's no vessel to put the license in anyway.
Ibarra: And similarly) with the liabilities that is dissolved or extinguished as a result of the
merger for a new entity being born.
Masuda: Right. In some cases, depending on how the merger is set up, and that's what
Stacie also checks, sometimes there's a totally new license because they don't want to
pick up the liabilities of the prior establishment. Instead of having just a merger to a new
company, a new business entity merging, actually, they'll want to come in with a new
business entity instead of merging so they don't pick up the old liabilities.

it's only for a tasting, not a sale item?
Thompson: Mainly just for advertising because it's one of our other products; just to get it
out there to the public. When we open our other location, eventually, it'll be sold there.
Greenwell: It will be sold there. But then you would come for a license?
Thompson: Yes, that's going to be a separate location altogether; a full -on bar.
Greenwell: This here wouldn't cover sales of Kai Vodka?
Thompson: No, because it would be a different location.

Gonzalez: Currently the entity that Mr. Thompson represents has a Manufacturer license
and the Rule, under 3-1(B) states that...
Masuda: That's page 18 if you want to follow along.
Gonzalez: for product tasting, they need to get commission approvals. That's why they're
here.
Masuda: I'm sorry, that's page 18 of your Rules, not of the packet.
Gonzalez: That's the short answer. He's just following the rules to bring to the attention
of the commission his intent and his idea to get permission to be able to provide product
tasting. The Rule requires it.
Masuda: Usually, as a Manufacturer, you have tastings for the items that you produce at
that site. What we understand is that, currently, Kai Vodka is not produced on site.
Thompson: No, it's not.
Masuda: Also, because it's not produced on site, it says in Section B of 3-1, that only
items produced on that Manufacturer's site can be sold retail. So, they can't sell Vodka if
they wanted to, at this time, on this site.
Greenwell: It would have to be a complimentary tasting only?
Masuda: Yes. But because it's something not manufactured there, they come before the
Commission to be proper and get permission from the commission.

come in a couple of different lines?
Thompson: There's five flavors of Kai Vodka, but it's essentially one product, Kai Vodka.
But there's lychee, coconut, a regular vodka, five flavors.

Thompson: You're welcome.
salave`a: Just for clarification, the tour is a paid tour?
Thompson: No, we don't do paid tours. People just walk in, nothing's scheduled. People
come just off the street.
Hughes: Just paid flight?
Thompson: Yes, for the beer, presently.
Gonzalez: They have a dedicated tasting room where they have the tasti'ngs, where they
verify the age of the people tasting, and they also have a card holder to make sure that for
any sales, it follows the liquor laws. To give you a little more information, the reason why
we require product tasting applications, especially for premises that are licensed for alcohol,
is if they're bringing in alcohol that is not part of their normal inventory, it's a supply chain
safeguard mechanism to make sure for the alcohol being dispensed on premises, what the
sources are, and where it's coming from.
Gonzalez: We routinely get a lot of applications for tasting permits for, say, a bar that
wants to bring in different types of alcohol instead of beer; or if they have just a beer
license and they want to bring in wine for a wine tasting, that kind of thing. The most
common ones are when (for instance) Target has the wine lady in front of the store every
weekend; those are the most common product tasting applications we get. Because it's
not a brand on the shelves in the store, but they may be thinking of bringing it in, they have
that product tasting available. That's the rationale behind -the product tasting applications
besides what Craig had talked about the manufacturer portion.
