I. Call to Order
The meeting was called to order by Chair Nishimoto at 10:00 A.M., in the Meeting Room,
Department of Liquor Control, Hanama Place, 75-5706 Kuakini Highway, Suite 107,
Kailua-Kona, Hawaii.
The following were present and constituted a quorum:

Wong: Good morning. Thank you, Commissioners. My name is Patrick Wong, Attorney
with Carlsmith Ball, we represent Nine Brains. Present with me is Amanda Thevenot,
representative of the company.
Nishimoto: Thank you, could you please describe your business.
Thevenot: Hotel.
Nishimoto: Have you received the application report?
Wong: Yes.
Nishimoto: Are there any changes to the report?
Nishimoto: Is there any public testimony?

Nishimoto: Seeing that there are none. Commission, any discussion or questions?

Greenwell: Chair, can I recuse myself from the voting? The reason I'm recusing
myself is I'm a Greenwell, and we have a deal with Lanihau, which I am a part owner of,
and that's why I want to recuse myself from making any comments, but let's bring it to
the Director here.
Takase: Are they on Lanihau property?
Greenwell: They have a lease purchase agreement with Lanihau for that particular
property. Maybe you as the attorney can shed some light on it?
Takase: Well, no I think you should probably recuse yourself but that is going to drop
us below our majority, so you know we're going to have to continue this. But you know
what, let's go through with the hearing now, we just can't vote on it, we can vote on it at
our next hearing. So, it will push you back a little bit but you guys got other things to do,
you have the temporary.
Wong: The original property is the old Seaside, and they already have in place
Takase: So, this is just for the annex?
Wong: Correct. It's an extension to the annex in order to add the mini bars.
Takase: Are you guys ready to start?
Wong: Yes.
Greenwell: This is off of the property though.
Wong: It's adjacent to.
Greenwell: Yeah, it's adjacent.
Wong: So, it's an extension of the adjacent property.
Greenwell: It's an extension of what Lanihau owns, it's on the side but it's still an
agreement.
Wong: Okay, I'm not familiar with the status of the agreement.
Takase: Yes, that's okay. I think it'll be just cleaner just to continue. Why don't you go
ahead and get everything in place, and then we can take it up next month.
Wong: So, it'll be at next month's meeting?
Takase: Yes, but we let them question you folks now because it's only the prelims
(preliminaries).

Wong: So, to the extent that there are steps that are required
Takase: I'll say, why don't you just vote on it to move them out of preliminary?
Greenwell: If it's okay with you, I'll vote on it, I mean I'm just telling you where I'm at.
Mellon -Lacey: Yeah, I'd continue it, recommend continuing it.
Takase: Yeah, because it has to go to the public hearing anyway.
Gonzalez: So, in a sense, it is like a continuance, it's just saying it can move forward to
the Public Hearing.
Takase: Yeah, there's like no final action on it.
Mellon -Lacey: Well, but you don't have quorum to vote on anything, they can certainly
present their information.
Wong: Well, to the extent that we're required to do additional things before the final, if
we are unable to act on that, then that's going to push us back even further, so I would
prefer if possible, even with the understanding that you have a personal interest in the
transaction, that we'd be allowed to move forward so that when you have a quorum and
it is voted upon, you might be able to combine both preliminary and final. That way we
go through the steps already and providing the appropriate notice to the 500 feet radius.
Takase: Maybe let's do it this way, we can't vote on it, but we'll just set the public
hearing for when it would have been anyway, the two months out.
Wong: That's fine.
Mellon -Lacey: I think that would be acceptable to set, and they can hear the
presentation and ask questions, but you can't vote.
Takase: So, it'll keep you on track.
Thevenot: Yes.
Nishimoto: Alright, is there any discussion or questions that you have at this point?
Espejo: For the annex, you're trying to add mini bars in each room, in each 12 or 19
rooms, whatever? Oh, okay.
Wong: That's correct.
Thevenot: Yes.
Wong: That's exactly it.

Nishimoto: Alright, so I understand that we're not going to take a vote because we
don't have quorum, but we will set forth Public Hearing on October 3rd. Is it informally
going to proceed to the public hearing on October 3rd, being that we were not able to
take a vote?
Takase: October 3rd will be your public hearing, go ahead and start and send out your
notices.
Wong: We will do that.
Thevenot: So, we'll stay on track
Wong: Okay, very good. Thank you.
Taniguchi: Can I ask a question real quick, how do you come up with that Nine Brains
name?
Thevenot: I wasn't around at the beginning of that, but it has to do with an octopus
having like nine brains working as one, there's some tie to that.
Taniguchi: An octopus has nine brains?
Thevenot: I don't know, I'm messing that up, it has to do with an octopus. There's an
octopus tie in somehow but I'm not exactly sure on the details.
Wong: So, the next logical question is how do you come up with Pacific 19, right? And
so, she can explain that.
Thevenot: It's the 19t" latitude, we're on the 19t" latitude across the Pacific, so that one
makes a little bit more sense than an octopus having nine brains, but.
Taniguchi: I was thinking maybe you have nine people come show up today.
Takase: But you'll be ready to answer that question.
Thevenot: Yeah, ask me again on October 3rd

Rota: Yes. So, it's a combination kitchen, retail store, and a demonstration kitchen
space. Within the demonstration kitchen space, we can do classes, dinners, because
of the way we're licensed for Health Department purposes. We can also do some small
businesses for like the farmers markets, so they can prep there, and then they can sell

legally like you know, do their Health Department requirements at the farmers markets,
like an ice-cream person and whatnot so fun stuff. But we want to be able to add
alcohol to our dinner events, chef events, and to even potentially some wine and
cocktail classes.

Rota: Yes.
Nishimoto: And are there any changes to the report?
Rota: N o .
Nishimoto: Okay, any public testimony?

Taniguchi: Yeah, I had a question. I think you had mentioned that you wanted your
clients to be able to walk around while they're drinking.
Rota: I just don't want to have to say no to them, if they happen to get up and wanna
look at something.
Taniguchi: So, carrying their drinks around?
Rota: But yeah, but they usually don't, the way that the kitchen, the demonstration area
is like where we host most of our events in, is pretty rare but you know I'm anticipating
things that could potentially happen. So, I think we should license like the way that the
space is set up, there's no clear divider between 104 and 105 once you get passed that
demonstration kitchen area. So, I think it might be better to license both sides just in
case, whatever you're most comfortable with, though. You know, I think some people
have been in to see the space, and it's a unique space.
Nishimoto: Any additional questions or discussion?
Taniguchi: So where is this, is this in the industrial area?
Rota: Yes, it's just above Home Depot, actually we had a nice orange glow during sunset
time from the Home Depot sign, but it's the former Spoon Shop, if anyone knows where the
Spoon Shop was.
Espejo: When do you propose to open?
Rota: The retail side is open now, and we've been doing dinner events, we just don't
have a liquor license, so we were able to open it up February of 2024.

Thompson: It's a full -service restaurant, serving mostly gyoza, and steamed buns,
noodles, big rice bowls.

Thompson: No, they retired. It closed down about a year ago and I opened December
12t", so we've been open a little over six months already.
Okabe: And how's it going?
Thompson: Great, yeah, this summer has been awesome.
Okabe: Especially with the Honoka`a reopening.
Thompson: Well, we were in Japan for that, so we just got back from Japan and we
missed out on some sales.
Taniguchi: So, is this a chain or you just came up with that name by yourself?

Thompson: Yeah, we, my wife and I kind of developed the concept, she's from Japan.
So, we were in Osaka like two years ago, and we fell in love with gyoza on that trip, and
we came back and started a food booth, just at the Hamakua Harvest Farmer's Market.
And that was going really good, we got really great feedback, and then Grandma's
became available. We didn't plan on opening a restaurant, it just kind of happened.
I've been in restaurants my whole career, and just wanted to do a booth, but it's right

Takase: I think they had because this is an additional six months.
Greenwell: Well, I kind of find it hard to find a good cause for things out of our hands.
Takase: Well, they still need to comply with County requirements, I mean yeah, there's
been some delays that they could have been moving, but I'll say they probably wouldn't
have been moving anyway even if they had pressed it, because all of the commercial
entities are kind of stuck in the same boat. I think Building Department is primarily
focused on residential, we've been getting a fair amount of complaints from the
commercial side of it, we just get ignored at this point. So, you know he's explaining,
yeah he wasn't pushing it but I doubt it if it would have made any difference, he would
have still been in the same boat. So, I know what you're saying, he wasn't pursuing it,
but I don't think it would have made much difference even if he was devoting all his time
and effort to it. And, we've had some trouble down at Coconut Grove because they
instituted a paid parking, and they really didn't think this out, how the patrons and the
businesses were going to adjust to it, so we've seen a dramatic drop in business at
Coconut Grove as well.
Nishimoto: So, they may be looking for a different location?
Takase: Yeah, I think now they're kind of figuring out how to do it. It's a weird system,
they don't have a parking attendant, you just got to go and put your phone in. So, if
you're going to get validation or something, they haven't figured that out, so it's keeping
people from staying there.

Greenwell: Okay, Gerald, I'm just glad that you're giving us some insight because what
he's saying here is he has problems on Maui, and he has problems with his health, and

with the Planning Department, and I just want to spend a little time, or we've spent a
little time discussing this because it's kind of hard to pinpoint his problem other than
himself.
Nishimoto: Okay, so I would need approval with good cause?
Taniguchi: I'll make the motion, and I'll say the good cause is, Gerald had kind of
clarified it for us, I had a couple questions on the fourth paragraph, and there's still
County, you know it says, efforts required to wrap up the next phase. I talked to Gerald
about that prior to the meeting, and he explained to me those were issues with the
Planning Department. So, you know that kind of satisfied me, and you know as we
know most of these guys, they not pushing it back just to push them back, they want to
follow through and open already. But I think that's the reason, so I'll make the motion
and say the good cause being the final wrap up items needed to complete his
application and license, primarily the County Planning approval.

so it's taking a little longer than expected. So that's why I said just ask for the 12 rather
than have you come back two times, so that's why there's a difference. I think they had
originally just asked for six, but when I talked to them, I said you know what, just ask for
the 12. So, we didn't catch that too.
Greenwell: I think part of the confusion is, the letter here it says, "However, my
experience with this project leads me to believe it'll be more like 180 days." More like
180 days.
Takase: My experience is it's going to take even longer.
