25 01 <br /> BY-LAWS OF <br /> HAWAIIAN ISLANDS LAND TRUST <br /> A HAWAII NONPROFIT CORPORATION <br /> AS AMENDED, DATED JANUARY 28, 2024 <br /> ARTICLE 1. NAME OF CORPORATION <br /> Section 1.01 Name <br /> The name of this Corporation is Hawaiian Islands Land Trust, d/b/a Hawaii Land Trust. <br /> ARTICLE 2. OFFICES <br /> Section 2.01 Principal Office <br /> The principal office for the transaction of the business of the Corporation shall be located on the <br /> island of Oahu, State of Hawaii. The Directors may change the principal office from one <br /> location to another, and this section shall be amended accordingly. <br /> Section 2.02 Other Offices <br /> The Board of Directors may at any time establish branch offices, either within or outside the <br /> State of Hawaii, in order to advance the proper purposes of the Corporation. <br /> ARTICLE 3. PURPOSES <br /> The purposes are those stated in the Articles of Incorporation. <br /> ARTICLE 4. DEDICATION OF ASSETS <br /> Section 4.01 Assets <br /> The properties and assets of this nonprofit Corporation are irrevocably dedicated to public <br /> benefits and/or charitable purposes. No part of the net earnings, properties, or assets of this <br /> Corporation, on dissolution or otherwise, shall inure to the benefit of any private person or <br /> individual, or any Director or Officer of this Corporation. On liquidation or dissolution, all <br /> properties and assets remaining after payment, or provision for payment, of all debts and <br /> liabilities of this Corporation shall be distributed to a nonprofit fund, foundation or corporation <br /> which is organized and operated exclusively for charitable purposes and which has established <br /> its exempt status under Section 501(c)(3) of the Internal Revenue Code. <br /> ARTICLE 5. DIRECTORS <br /> Section 5.01 Powers <br /> (a) General Corporate Powers. The business and affairs of the Corporation shall be <br /> managed, and all corporate powers shall be exercised by or under the direction of the <br /> Board of Directors. <br /> (b) Specific Powers. Without prejudice to their general powers, the Directors shall have the <br /> power to: <br /> Bylaws Amended: 01/27/2013; 04/02/2013; 10/05/2013; 01/26/2014; 04/18/2014; and <br /> 01/25/2015, 01/29/2021, 01/28/2024 <br />
