culture,farming traditions,Shing practices, and hula. 25..()C6 3 Article I Name, Purpose and Seal 1.Name a.The name of the corporation is ATd Maka Haloa o Waipi`o. 2.Purpose a.The purpose of the corporation is the preservation and restoration of indigenous Hawaiian culture,farming traditions,shing practices,and hula. 3.Non-prot a.The corporation is organized exclusively for charitable,religious,educational and scientic purposes,including,for such purposes,the making of distributions to organizations that qualify as exempt organizations under section 501(c)(3)of the Internal Revenue Code, or the corresponding section of any future federal code.4.Corporate Seal a.The Corporation shall have no seal. Article II KaMano Wai(Executive Team) 1.Executive Team a.The property and aairs of the corporation shall be managed by an Executive Team to be called Ka Mano Wai,consisting of three members.Ka Mano Wai shall exercise all lawful authority for that purpose.All of the Executive Team shall be residents of the State of Hawaii.A Cultural Consultant shall be an honorary member of the executive team to fulll the duties of advising the executive team on any and all relevant topics as deemed necessary by Ka Mano Wai.The cultural consultant shall not claim any legal or proposed liability for the corporation.Full liability in all regards falls to Ka Mano Wai(Executive Team). 2.Meetings a. Ka Mano Wai(Executive Team)shall have two(2)meetings a month the County of Hawaii, State of Hawaii, (or at a place and on a date proximate thereto, as selected by the prior agreement of all of the executive team), and may have additional meetings at such other times and places as appropriate.If necessary,any meeting of Ka Mano Wai (Executive Team)may be held virtually. 3.Quorum a.Three members of Ka Mano Wai(Executive Team)shall constitute a quorum.In all 4 matters,the members of Ka Mano Wai(Executive Team)shall yield to the decision of the Executive Director.If the Executive Director is not present then the Assistant Director will handle such matters.
