r <br />Liquor Commission <br />Kona Ocean Club LLC <br />dba Kona Canoe Club <br />Page 3 <br />DETAILS OF PREMISES: The licensed premises is located on the ground floor of the Kona <br />Inn Shopping Village and consists of approximately 3,141 square feet. The interior consists of <br />kitchen facilities, oceanfront lanai dining areas, a bar area with stool seating, and storage space. <br />Restrooms are available for both men and women within the licensed premises. For further <br />information, refer to the floorplan attached as Exhibit 4. <br />Street parking is limited, however there are several nearby parking lots available along Ali `i <br />Drive. <br />KIND OF BUSINESS: Applicant continues to operate as a casual restaurant primarily serving <br />hot entrees, sandwiches, salads, appetizers and cocktails. <br />Applicant is open seven (7) days a week from 10:00 a.m. — 9:00 p.m. <br />Employment consists of approximately twenty-nine (29) employees, five (5) of whom are <br />certified by the Department of Liquor Control to supervise the sale, service and consumption of <br />liquor. <br />MANNER OF OPERATION: The current licensee, Wind & Sea Restaurants, Inc. dba Kona <br />Canoe Club has had no violations and has operated in a reputable manner. <br />ASSIGNMENT AND ASSUMPTION OF LEASE: This Assignment and Assumption of <br />Lease ("Assignment and Assumption Agreement") by and among Wind & Sea Restaurants, Inc., <br />("Assignor") dated March 25, 2026, Kona Ocean Club, LLC ("Assignee") and Kailua Kona <br />Village Development Group LLC ("Landlord"), and pursuant to the Asset Purchase Agreement, <br />hereby sells, transfers and assigns, and sets over unto Assignee all of Assignor's assets including <br />right, title and interest in the Restatement and Amendment of Lease dated November 17, 2014 <br />("Lease"), by and between Assignor and Landlord, for certain premises located at 75-5744 Ali`i <br />Drive #21, Kailua-Kona, Hawai `i, 96740. <br />RESTATEMENT AND AMENDMENT OF LEASE: This Restatement and Amendment <br />("Amendment") dated November 17, 2014, by and between Kailua Kona Village Development <br />Group, LLC ("Landlord") and Wind & Sea Restaurants, Inc. ("Tenant"), that certain space <br />number 21 ("Kona Canoe Club") in the KONA INN SHOPPING VILLAGE, and that certain <br />space 135 ("Kona Inn Restaurant") in the KONA INN SHOPPING VILLAGE shall be for a term <br />of twenty (20) years commencing on September 1, 2014, and terminating on August 31, 2034. <br />There shall be no automatic option to extend the term of the lease. <br />TEMPORARY LIQUOR LICENSE: A temporary liquor license was issued with the effective <br />date of March 25, 2026, and was ratified by the commission on April 2, 2026. <br />ZONING: Resort -Hotel <br />
