Application No. T18-18 (10:09 A.M.) <br />Kona Brewery LLC, dba Kona Brewing Co., for a sale and transfer of a <br />Dispenser General liquor license, category B2, currently held by Kona <br />Brewing Co., LLC, dba Kona Brewing Co., LLC, located at 74-5612 Pawai <br />Place, Kailua-Kona, Hawaii, TMK: 7-4-010:001. <br />Terrence Lee, Esq., on behalf of the applicant, was present. <br />Greenwell: Will the applicant please come forward and identify themselves and their <br />relationship to the business? <br />Lee: Good morning, Mr. Chair, commissioners. Terry Lee on behalf of the applicants. The <br />reason for this transfer is because both of those entities are commonly owned by craft Brew <br />Alliance which is a publicly traded company out of Portland, Oregon. It owns various craft <br />breweries including Kona Brewing and part of the business that they own through Kona <br />Brewing company is the Kona Brewing restaurant nearby. For corporate reasons to simplify <br />administrative matters, they decided to merge Kona Brewing company into Kona Brewery LLC. <br />Lee: By operation of law whenever a merger occurs, all of the assets and liabilities <br />automatically transfer to the surviving entity, which would be Kona Brewery LLC. Hence, the <br />liquor license ends up being transferred by operational law to the surviving entity. Therefore, <br />we're appearing before this body to seek your approval to that transfer. <br />Greenwell: Have you read the report? <br />Lee: I have read the report and there are no changes. <br />Greenwell: You've already described the business quite well. Is there anymore you'd like to <br />add to that? <br />Lee: No. I will be appearing next month again because we are going to seek a change in class <br />for the license from a Dispenser General and a wholesale brewery license to a small craft <br />brewery. <br />Greenwell: Director, are there any reports of protests? <br />Takase: Mr. Chairman, this is a sale and transfer.
