LEASE AGREEMENT FOR COUNTY FACILITIES
LOCATED AT TAX MAP KEY: (3) 7-4.010:044 and (3) 7-4-010:020
This LEASE AGREEMENT (hereinafter 'Lease Agreement" or "Lease"), made this
It. t" day of a.Vb (,c.i , by and between the HOPE SERVICES
HAWAII, INC., a Hawaii non-profit corporation whose mailing address is 357
Waianuenue Ave. Hilo, HI 96720 (hereinafter the "Lessee") and the COUNTY OF
HAWAII, a municipal corporation of the State of Hawaii, by and through its Office of
Housing and Community Development (OHCD), whose principal place of business and
mailing address is 1990 Kino'ole Street, Suite 102, Hilo, Hawai'i 96720 (the "Lessor).
WITNESSETH:
That the Lessor, for and in consideration of the rent to be paid, and the terms of the
covenants, and conditions herein reserved and contained and on the part of the Lessee
to be kept observed and performed, does hereby demise and lease unto the Lessee, and
the lessee lease and hire from the Lessor the Demised Premises more particularly
described as West Hawai'i Homelcss Campus, District of North Kona, County and State
of Hawaii, Tax Map Keys (3) 7-4-010.044 and (3) 7-4-010:020, and more particularly
described in Exhibits 'A and 'B" attached hereto and made a part hereof(the 'Demised
Premises") together with the fell right of access to said Demised Premises over, across
and through any alleys and common sidewalks, in or around said buildings.
NOW THEREFORE, for and in consideration of the premises set forth herein, the Lessee
hereto agrees as follows:
SECTION I. THE LESSOR COVENANTS AND AGREES WITH THE LESSEE:
1. Definitions. As used in this Lease, the following terms shall have the following
meaning except as the context requires.
a. Homeless means people who are: 1. living in a place not meant for humar
habitation, in emergency shelter, in transitional housing, or are exiting an
institution where 'hey temporarily resided. The only significant change from
existing practice is that people will be considered homeless if they are exiting
an institution where they resided for up to 90 days and were in shelter or a
place not meant for human habitation immediately prior to entering that
institution; 2, losing their primary nighttime residence which may include a
motel or hotel or a doubled-up situation, within 14 days and lack resources or
support networks to remain in housing; 3. Families with children or

unaccompanied youth who are unstably housed and likely to continue in that
state. This applies to families with children or unaccompanied youth who have
not had a lease or ownership interest in a housing unit in the last 00 or more
days, have had two or more moves in the last 60 days and who are likely to
continue to be unstably housed because of disability or multiple barriers to
employment; and 4, people who are fleeing or attempting to flee domestic
violence, have no other residence and lack the resources or support networks
to obtain other permanent housing.
b, "Vulnerability Index - Service Prioritization Decision Assistance Tool" (VI-
SPDAT) means a pre-screening survey administered both to individuals and
families to determine risk and prioritization when assisting homeless and at-risk
of homelessness persons-
c. Therapeutic milieu" means a controlled environment that shelters homeless in
an emergency shelter and permanent supportive housing from what they
perceive to be painful and frightening stressors, thus providing there with a
safe, stable and coherent social environment that facilitates the development
and implementation of positive treatment.
2. Quiet Enjoyment. That the Lessor hereby covenants and agrees with the Lessee
that upon the observance and performance of the covenants, terms and
conditions hereof on the part of the Lessee to be observed and performed, the
Lessee shall And may have, hold, possess and enjoy the Demised Premises for
the term hereby demised, without hindrance or interruption by the Lessor or any
other person or persons lawfully claiming by, through and under•it. except for the
Lessor's right of entry to make repairs, improvements and inspections set forth
herein.
3. Term. The term of this Lease Agreement and the Lessee's obligation to pay rent
and other charges hereunder, shall begin immediately on March 3, 2020 and
continue for a term of one year with the option to renew for two additional one-year
terms. At least 180 days prior to the end of the three-year term, Lessee shall notify
Lessor of its intent to exercise the option for an additional two-year term. Further,
180 days prior to the end of the first additional one-year term, Lessee shall notify
Lessor of their intent to exercise the option for a second additional one-year term.
4. Rent. The Lessee hereby covenants and agrees to pay the sum of ten dollars
($10.00) per year for the term of this Lease, Lessee shall pay to the Lesser in such
coin or currency of the United States of America as at the time of payment shall be

legal tender for the payment of public and private debts, without any set off or
deduction whatsoever.
Payment and other charges shall be due and payable on the fifth day of the
calendar month from which this tease is executed by all parties. Lessee will be
allowed to prepay tease without penalty. Checks or other method of payment shall
be made payable to the COUNTY DIRECTOR OF FINANCE and seat to 1990
Kino`ole Street, Suite 102, Hilo, Hawai-i, 90720, or at any other address as
specified by the Lessor from time to time in writing to the Lessee at the times and
in the manner previously seI forth and without any deduction, notice, or demand.
A 0-percent late charge will be assessed if rent is not received by the 15th day of
the first month of the year,
SECTION 11. THE LESSEE COVENANTS AND AGREES WITH THE LESSOR:
1. Use and Public Purpose_ Lessee shall use the leased Demised Premises solely
for these purposes:
a. Development and implementation of a Cine-Stop Resource Center known as
the "Friendly Place" for the homeless or a risk of being homeless which will
include a comprehensive data driven case management system using the Vl-
SPDAT with homeless intake tools, care coordination tools and analysis and
outcomes of interventions. Physical support services will include at a minimum
access to washersdryers, a bathroom, a shower and lockers.
b. Administration operation and maintenance of the West Hawaii Emergency
Shelter (WHES) facility with 31 single units with a comprehensive data driven
case management system with intake tools, care coordination tools and
analysis and outcomes of interventions.
c. Administration, operation and maintenance of a Housing First Permanent
Supportive Housing facility known as "Hale Kikaha"which has 23 studio micro-
units located on TMK (3) 7-4-010:020 with a comprehensive data driven case
management system with intake tools, care coordination tools and analysis
outcomes of interventions. Four studio micro-units will give preference to
Housing and Urban Development Veteran's Administration Supportive
Housing.

d. Administration, operation and maintenance of a certified commercial kitchen to
prepare meals at a minimum for individuals residing at the WHES and Hale
Kikaha facilities.
e, Coordination,facilitation and provision of supportive services by partnering with
service providers Lased on client needs at the Resource Center building
located on TMK(3)7.4-010:020 and all common areas of the Demised Premise
to include, but not be restricted to oral health care, substance abuse and
behavioral health care, life skills, good tenant skills, Dome care, nutrition
programs, therapeutic art and music, therapeutic milieu and other appropriate
activities. Services will be varied, consistent and meaningful to clients in order
to improve their quality of life.
f. The Lessee shall not use the Demised Premises for any other purpose without
the prior written consent of Lessor.
2, Certified Kitchen. Lessee shall operate the certified kitchen and follow all Hawaii
Administrative Mules Title 11, Department of Health. Chapter 50, rules including
applying for a permit to operate within 30 days of notice in writing by the Lessor
that the construction of the Certified Kitchen is complete. Further, Lessee shall
provide Lessor written documentation that personnel have completed the DOH
Food Safety Certification Workshop and Food Safety Certification Workshop
Handling required to operate the facility. Lessee shall also procure all food,
equipment utensils linens and implement proper waste disposal systems.
a. Lessee is responsible for notifying the Lessor within 24 hours of any operational
issues with the appliances listed in Exhibit E.
b. Lessee will follow the one-year war anty period procedures developed by
Lessor for all new kitchen equipment purchased through a 2018 Community
Development dock Grant awarded to the Office of Housing and Community
Development for the installation of a certified commercial kitchen at the West
Hawaii Emergency Shelter located on TMK: (3)7-4-010:044.
c. The Lessee will be responsible for all further equipment maintenance when
notified by the Lessor that the warranty period has ended.
d. The Lessee shall provide two nutritious meals daily to homeless individuals
residing in the Shelter and the Hale Kikaha permanent support housing as
agreed upon in Exhibit D.

e. Lessee is responsible for cleaning grease trap semi-annually.. is required to
submit proof of cleaning within 30 days of cleaning to Lessor.
f. Lessee wll be responsible for recharging the fire prevention system when
discharged, and after the one-year warranty period described in Section 11 (11)
(a).
g. Use of this facility for fundraisers is prohibited.
3. Previous Participants of the Hale Kikaha Project-Based Voucher (PBV) Program.
Pursuant to 24 CFR 988.206; FR notice of January 18, 2017, the Lesser provided
a one-year notice to the Hale Kikaha PBV assisted tenants on September 5, 2019
indicating the Housing Assistance Payment (HAP) contract is 'erminated since the
Lessee did not renew the HAP contract, and the Lessee must permit the tenants
in assisted units to remain in their units for the required notice period (through
September 4, 2020) with no increase to the tenant portion of their rent, and with no
eviction as a result of the Lessee's inability to collect an increased tenant portion
of rent.
Because the HAP contract has expired, a family living at the property is entitled to
receive a tenant-based voucher, if available from the Public Housing Authority
(PHA). Tenant-based assistance would not begin until the Lessor's required notice
period ends. The PITA must provide the family with a voucher and the family must
also be given the option by the PHA and Lessee to remain in their unit with Housing
Choice Voucher (HCV) tenant based assistance as long as the unit complies with
inspection and rent reasonableness requirements. The family must pay their tota
tenant payment and any additional amount if the gross rent exceeds the applicable
payment standard. The family has the right to remain in the project as long as the
units are used for rental housing and are otherwise eligible for HCV assistance.
The Lessee may not terminate the tenancy of a family that exercises its right to
remain except for serious or repeated lease violations or other good cause.
Families that receive a tenant-based voucher at the expiration or termination of the
PBV NAP contract are not new admissions to the PHA HCV tenant-based program
and are not subject to income eligibility requirements or any other admission
requirements. If the family chooses to remain in their unit with tenant-based
assistance, the family may do so regardless of whether the family share would
initially exceed 40 percent of the family's adjusted monthly income.

4. Utilities and Services,
The Lessee will pay when due all charges, duties, rates and other outgoings of
every description for electricity, sewer water, cablelinternetJ, telephone, refuse
collection and any other utilities or services to the Demised Premises, or any part
thereof.. or any improvements thereon, or the Lessor or Lessee in respect thereof
may, during said tern± become liable, whether assessed to or payable by the
Lessor or Lessee. The Lessor is under no obligation or duty to provide any such
services or utilities to Lessee or the [demised Premises.
5, Sanitation.The Lessee covenants it shall keep the Demised Premises in a strictly
safe, clean: sanitary and orderly condition, in compliance with all applicable
standards of the county, state and federal governments.
a. Trash Control. The Lessee is responsible for trash control of the Demised
Premises and all buildings thereof.Ail haste shall be disposed of appropriately
and regularly by the Lessee.
b. Fest control. The Lessee is responsible for pest control in the interior and
exterior of the Demised Property and of all buildings thereof.
6. Condition of Demised Premises. Lessee has examined and knows the condition
of the premises, that the premises are leased as they now are, that the Lessor
expressly disclaims any warranty of fitness for any particular purpose;. and that the
Lessor shall not be responsible for the present and future condition thereof, The
Lessor shall not be required to perform any repairs, alterations or improvements
whatsoever during the term of the lease.
7. Maintenance of Eternised Premises.
a Lessor shall be responsible for all main and trunk lines leading to the point of
connection on the exterior of the building which houses the Demised Premises
for water, electricity and sewer services.
b. Lessee shall keep the Demised Premises in good order, condition and repair
and in a strictly clean and sanitary condition.
c. Lessee shall not make or suffer any waste, strip or unlawful, improper, or
offensive use of the remised Premises. Lessee shall not do or suffer any act
to

or carry on any practice which may damage the Demised Premises or become
a nuisarce
d. Lessee shall be responsible for building services such as, but not limited to:
exterior lighting on the leased buildings on the Demised Premises, grounds
maintenance, interior maintenance, repairs and services for the Demised
Premises including, but not limited to, water, electricity and sewer services,
lighting fixtures, painting, fencing, plumbing fixtures, janitorial services, glass
and windows, flooring, ceilings, walls, furniture, Lessee possessions and trash
disposal.
3. Common Area Maintenance and Building Services, Lessee or its designee
shall operate and maintain the property and common areas in a manner deemed
as responsible, appropriate and in the best interest of the Lessee of the Property.
9. Additional Construction or Remodeling. Lessor reserves the right to remodel,
repair, paint, or renovate the said building or do additional construction at any time
to the extent that it does not compromise the integrity or the security of the
Demised Premises, Said work shall be undertaken by Lessor with minimum
interference or inconvenience to Lessee's use of the Demised Premises, and any
interference or inconvenience resulting to Lessee or its use of the Demised
Premses shall not constitute a breach or violation of Lessor`s covenant of quiet
enjoyment or any other covenant. If Lessor's additional work requires entry into the
Demised Premises, Lessor and Lessee shall enter into a written agreement on the
terms and conditions of such entry and work.
0 Destruction of Demised Premises, If the Demised Premises are partially or
totally damaged or destroyed by fire or other casualty so as to become partially or
totally untenantable such damage or destruction, insofar as the same pertains to
the building itself, exclusive of any damage to Lessee's fixtures, furniture or other
property: shall be repaired or rebuilt at the discretion of the Lessor. Lessor shall
advise Lessee within 30 days after the casualty whether they intend to rebuild or
repair. If the Lessor elects not to repair or rebuild, this Lease Agreement shall
terminate without further notice and the obligations of either party shall cease, No
rent shall be payable from the date such casualty occurs until the repair or
rebuilding shall be completed, unless the Demised Premises shall be tenantable
and there is no substantial interference with Lessee's business.
11 Repairs and Renovations. The Lessee is responsible for normal wear and tear
and replacement of inventoried items or equipment at the Lessee's expense and

shall notify Lessor when inventoried items or equipment are damaged due to
rnisuse or neglect. The Lessor will provide Lessee ars inventory list upon execution
of this Lease Lessor is required to approve replacement of any inventoried items
or equipment, The Lessee has the right to charge the tenant(s) or deduct from the
tenant security deposit should the damage be due to misuse or neglect.
a. The buildings, facilities and sites shall conform to the Americans with
Disabilities Act Accessibility Guidelines, Title 38 Code of Federal Regulations Part
1191 and the requirements of the Federal Pair Housing Amendments Act of 1988.
as established in Title 24 Code of Federal Regulations Part 100, Subpart D, as
adopted and amended by the disability and communication access board under
Chapter 348F,
b. Lessee shall be responsible for planning:, design, pe%mits, procurement,
contract execu*ion and administration, project management, construction,
inspections and project completion, utility costs, waste disposal costs, all
adjustment casts.. any repair costs for damages relaters to construction for all
improvements within the Lessee's Demised Premises. Lessee shall receive
Lessor's approval of all building plans and/or contract change orders prior to
proceeding with construction. Lessee shall also provide Lessor copies of the final
contract (including change orders). plans and protect closing documents.
C. Lessor and Lessee shall work cooperatively to ensure public safety and
m nimal disturbance to Lesser and its customers during construction and timely
completion of build out/improvements. Lessee and its contractors shall make every
effort to minimize dust and noise during the construction of the improvement.
d. Lessor shall have no duties, obligations or responsibilities whatsoever
under this Lease with respect to the public restroom areas, and the Lessor and
Lessee agree the public rest room areas shall be the sole responsibility of Lessee
and I. essee's use and occupation of the same will be at the sole risk and expense
of Lessee.
12. Covenants Against Discrimination. During the performance of this tease, the
Lessee will not discriminate against any employee or applicant for employment
because of race, ancestrylnational origin, religion, color, disability, age, marital
status, military status, veterans status, sexual orientation, 4actatlon, arrest and
court record, citizenship, familial status or any other classification protected by
state or federal law. Notice setting forth the provisions of the non-discrimination
clause, furnished by the County of Hawaii, shall be posted in conspicuous places

y the Lessee, bion-compliance may lead to cancellation or suspension of this
Lease Agreement or declaration of ineligibility of future agreements
a. Americans With Disabilities Act. Lessor and L-essee understand Lessee is
required to comply with the Americans with Disabilities Act (ADA). Lessor
herein expressly warrants that all access from the parking area and common
areas to the Demised Premises is in compliance with the aforesaid ADA and
that if there are comfort stations in the common areas open to the public, those
comfort stations are in compliance with the aforesaid ADA. Should it be later
determined that the Demised Premises are not ADA compliant, Lessee shall
be responsible for all construction of accessibility improvements and costs
which may be necessary to comply with this law.
b. Fair Housing Act. Lesser and Lessee understand Lessee is required to
comply with the Fair Housing Act (FHA) which prohibits discrimination of
applicants or tenants in housing and housing-related transactions. Federal
protected classes include race, color, national origin, sex,disability, religion and
familial status.
c. Hawaii Revised Statutes (HRS) Chapter 515 and Hawaii Administrative
Rules (HAR) Subchapter 20 (Real Property Transaction Discrimination).
Lesser and Lessee understand Lessee is required to comply with Hawai`i's law
which prohibits unequal treatment in real property and residential transactions
when unequal treatment is based on either the Federal or State protected
classes. Hawaii State has additional protected classes including marital status,
sexual orientation HIV infection, age, ancestry, sex (including gender identity
or expression) and familial status which includes hanai relationships.
d. Fair Housing Accessibility Guidelines. Lessor and Lessee understand
Lessee is required to comply with the FHA. Lessor herein expressly warrants
that all access from the parking area and common areas to the Demised
Premises is in compliance with the aforesaid FHA, and that if there are comfort
stations in the common areas open to the public, those comfort stations are in
compliance with the aforesaid FHA. Should it be later determined that the
Demised Premises are not FHA compliant, Lessee shall be responsible for at
construction of accessibility improvements and costs which may be necessary
to comply with this law.
13. Compliance with Laws. Lessee shall comply with all of the requirements of all
county, state and federal authorities and observe all county ordinances and state

and federal statutes, pertaining to the said premises and pertaining to the Lessee's
activities, now in effect or which may herein after be in force and comply with all
applicable licensing requirements of the state and federal governments and with
all applicable accreditation and other standards of quality generally acceptable in
the field of Lessee`s activities. Further, Lessee will at all times during said term
keep said Premises in a strictly clean, orderly and sanitary condition and observe
and perforin all laws, ordinances, rules and regulations now or hereafter made by
any governmental authority for the time being applicable to said Premises or any
improvement thereon or use thereof (including, without limitation, the Americans
with Disabilities Act,42 U.S.C. Section 12101 et, seq., and all Hazardous Materials
Laws as defined below) and will save and indemnify Lessor harmless from and
against all actions, suits, damages and claims by whomsoever brought or made
by reason of the nonobservance or nonperformance of said laws, ordinances, rules
and regulations with respect to the Premises or of this covenant.
For purposes of the foregoing, "Hazardous Materials Laws" shall mean any
federal, state or local laws, ordinances or regulations, now or hereaft&I in effect,
relating to environmental conditions, industrial hygiene or Hazardous Materials
(defined below) on, under or about the Premises and improvements thereon,
including, without limitation, the Comprehensive Environmental Response,
Compensation and Liability Act of 1980. as amended, 42 U.S.C. Section 9601, et
seq., the Resource Conservation and Recovery Act, 42 U.S.C. Section 6901, et
seq., the Hazardous Materials 1 ransportation Act,49 U.S.C. Section 6901,et seq..
the Clean Water Act, 33 U.S.C. Section 1251, et seq.,the Clean Air Act,42 U.S.C.
Section 7401 et seq., the Toxic Substances Control Act, 15 U.S.C. Sections 2601
through 2629, the Safe Drinking Water Act, 42 U.S.C. Sections 300f through 3000,
Hawaii Revised Statutes Chapter 128D and any other federal, state and local laws
and ordinances and 'he regulations now or hereafter adapted, published and/or
promulgated with respect to Hazardous Materials.
As used in th s Lease, the term "Hazardous Materials" means and includes any
and all radioactive materials, asbestos, organic compounds known as
polychlorinated biphenyls, chemicals known to cause cancer or reproductive
toxicity, petroleum, petroleum products, pollutants, contaminants, hazardous
wastes, toxic substances and any and all other substances or materials defined as
or included in the definition of "hazardous substances," "hazardous wastes,"
"hazardous materials" or "toxic substances" under, or for the purposes of the
Hazardous Materials Laws.

a. Lessee shall promptly remove any and all hazardous materials from the leased
premises. Lessee shall promptly report in writing to Lessor any hazardous
materials found on the leased premises and details relating thereto and
information on notification of government authorities, testing and remediation
plan. If at any time Lessee places hazardous materials on the leased premises,
Lessee shall remove the same in accordance with all hazardous materials laws
and shall provide Lessor with an environmental analysis report by a competent
consultant showing that Lessee has removed or taken remedial measures to
adequately contain, encapsulate or treat, hazardous materials that cannot be
removed.
b. Lessee shall abide by the State of Ftawai`i Residential Landlord-Tenant Code,
Chapter 521. FIRS.
c. Lessee shall abide by the State of Hawaii, awai`i Administrative Rules (HAR)
for Title 11, Department of Health, Chapter 50, Food Safety Code. Lessee shall
promptly remedy any violations.
14, No Lessee Subsidy.The Lessee must maintain its own finance and is responsible
for all expenses required to operate the Demised Premises according to the Lease
covenants.
15. Demised Property Inspection and Inventory.
a The Lessor will annually inspect the Demised Property to determine if all health
and safety requirements including, but not limited to,the Fire Code are satisfied
by the Lessee.
b. The Lessor will annually complete an inspection of the fixed inventory of the
property including all items on Exhibit E within 45 days of the end of the fisca`
year to insure that all inventory assets are maintained, reconciled and
accounted for at the end of each fiscal year.
c. The Lessee is responsible for normal wear and tear and replacement of
inventoried items or equipment at the Lessee's expense and shall notify Lessor
when inventoried items or equipment are damaged due to misuse or neglect.
The Lessor will provide Lessee an inventory list upon execution of this Lease_
Lessor is required to approve replacement of any inventoried items or
equipment. The Lessee has the right to charge the tenant(s) or deduct from the
tenant security deposit should the damage be due to misuse or neglect.

16, Reporting Requirements.
Annual Audit Requirements shall be as follows
a. The Lessee shall be required to undergo an annual fiscal audit and provide an
annual single audit(or comparable report that audits the Lessees' financial
statements and financial position) at the conclusion of each fiscal year. The audit
and subsequent report must meet the criteria established in the GMB Circular
Into. A-133 and CRF, Fart 44 (and/or similar publications that may supersede this
guidance). The Lessee agrees to submit a copy of its audit to the Lessor upon
receipt from the auditor. Any Findings,. Material Weaknesses... Significant
Deficiencies or non-compliance must be corrected and rectified. Any fiscal
findings may be subject to revocation of lease. Lessee must be in goad financial
standing,
b. The Lessee shall provide the Lessor promptly submit ad&'onal reporting data to
satisfy all the CDBG grants fund reporting requirements the Certified Kitchen
Project and Health and Additional reporting, include semi-annual demographics,
the number of meals prepared at the Certified Kitchen in Section 11 (2) (D) and
other information as required by the Lessor to fulfill the reporting requirements for
grants received for projects at the Demised Premises from the Housing and Urban
Development's Community Development Block Grants (CDBC) shall be provided
promptly when requested by the Lessor.
17, Liens.
a. The Lessee will maintain the Demised Premises free and clear of all mechanic's
and materialmen's liens and, in the event any lien is filed against the said premises
or any improvements thereon will indemnify and save harmless Lessor from all
loss, cost and expense with respect thereto and will, prior to the construction of
any improvements on the Demised Premises, deposit with the Lessor a certificate
or other evidence satisfactory to the Lessor that the contractor constructing such
improvements has obtained a bond with a surety approved by Lessor,.
guaranteeing the construction of the improvements free and clear of all mechanic's
and materialmen's liens.
b. That the lessee will not commit or suffer any act or neglect whereby the Demised
Premises or any improvements thereon or the estate of the Lessee in the same
shall become subject to any attachment, lien, charge, or encumbrance
whatsoever, except as hereinafter provided and shall indemnify and hold harmless
the Lessor from and against all attachments, liens, charges and encumbrances
and all expenses resulting therefrom

18. Assignment and Sublease. Lessee shall not, without the prior written consent of
Lessor, asssgn or mortgage this Lease or any interest herein,or sublet or grant any
concession or license to use the Demised Premises or any part thereof, or allow
any other person to use the whole or any part of the Demised Premises.
19.
Insurance.
a. Commercial General Liability Insurance. Lessee shall have a Commercial
General Liability Insurance Policy in an amount not less than:
1 million Each Occurrence
$2 million General Aggregate (Per Location basis)
$2 million Products/Completed Operations Aggregate
$1 million Personal and Advertising Injury
b. Umbrella or Excess Liability Insurance. Lessee shall have an Umbrella or
Excess Liability Insurance Policy with minimum limits of $5 million (each
occurrence) and $5 million (aggregate)
c. Workers Compensation and Employers' Liability Insurance. Lessee shall,
in accordance with Nawai`i Workers' Compensation Law, NRS 386, "Employers
Liability," shall secure required workers compensation and employers' liability
insurance with minimum limits of:
Workers' Compensation: Statutory Limits
Employers' Liability: Each Accident: $1 million
Employers' Liability: Disease - Each Employee: $1 million
Employers' Liability: Disease - Policy Limit: $1 million
d. Fire Insurance_ Lessee shall procure, at its own expense and maintain during
the entire period of this Lease Agreement with an insurance company or
companies acceptable to the Lessor, a policy of insurance on an all risk basis
including natural disasters, earthquakes: floods, tsunamis volcanic eruptions,
insuring aga`nst damage or destruction of the leased Demised Premises, for
the full replacement cost of the Demised Premises.

e. All such policies of insurance shall name Lessor as Loss Payee on Property
Insurance and as an Additional Insured for General Liability and Umbrella or
Excess Liability and contain an endorsement to the effect that although Lessor
is named as an additional insured, Lessor shall be entitled to recovery under
the policy for any loss to Lessor arising from the acts, omissions and/or
negligence of Lessee, its agents, representatives and or employees.
In the event existing or new structures are appraised in the future, the Lessee
shall obtain at its own expense and maintain, during the period of this Lease
insurance to reflect the replacement value of these structures.
The Lessee shall furnish the Lessor with a certificate showing such policy to be
initially in force and shall furnish a like certificate upon renewal of such policy,.
each such certificate to contain or be accompanied by an assurance of the
insurer to notify the Lesser of any intention to cancel any such policy prior to
actual cancellation.
f. Requirements of Policies. All policies of insurance required in this Lease: 1.
Shall be effected by valid and enforceable policies issued by responsible
insurance companies authorized to do business in the State of Hawaii; 2. Shall
contain an agreement by the insurer that the policy constitutes primary
insurance. without contribution; and 3. Shall provide that the policies shall not
be canceled or materially altered without at least 30 days prior written notice to
Lessor.
g Payment of Premiums and Delivery or Policies, Lessee shall pay all
premiums and all fees and expenses for the insurance required herein when
due and will deliver true and correct copies of all policies or certificates of
insurance together with evidence of payment of the premiums to Lessor within
10 days after the commencement of the term and thereafter deliver
replacement policies or renewals not less than 20 days prior to the expiration
dates of expiring policies. If Lessee defaults in insuring the Demised Premises
or in delivering the policies (or certificates), Lessor, at its option but without
being so obligated, may affect such insurance from year to year and pay the
premiums, and Lessee will, as additional rent, reimburse Lessor on demand for
any premiums so paid. Lessor shall not be responsible for such insurance or
for the collection of any insurance proceeds or for the insolvency of any insurer
or insurance underwriter.

h, Review and Revision of Overage. The adequacy of the coverage afforded
by the insurance shall be subject to review such that if a prudent businessman
in Hawaii operating a business similar to that operated by Lessee on the
Demised Premises would increase the limits of liability or hazard insurance
coverage or would insure the Property against additional perils when such
insurance is available in Flawai"i, Lessee shall forthwith increase such
coverage and/or provide insurance against such additional perils.
i. Waiver of Recovery. Lessor shall not be liable to Lessee nor to any insurance
company (by way of subrogation or otherwise) insuring Lessee for any loss or
damage to any building, structure or tangible personal property, or any resulting
losses under worker's compensation laws and benefits, even though such loss
or damage may have been caused by the negligence of Lessor or Lessor's
authorized representatives if any such loss or damage is covered by insurance
benefitting Lessor or if Lessee was required to obtain insurance by this Lease
Agreement to cover such lass or damage. Lessee shall cause each insurance
policy obtained by it to provide that the insurance company waives all right of
recovery by way of subrogation against Lessor in connection with any damage
covered by any policy.
1. Restoration. In every case of loss or damage to the Demised Premises and/or
the improvements thereon, all proceeds of insurance (excluding the proceeds
of any rental value, use and occupancy, or personal property insurance)
available to Lessor and Lessee shall be made available to Lessee for rebuilding
or otherwise reinstating the Demised Premises and/or improvements in a good
and substantial manner according to the original plan and elevation of the
Demised Premises and/or improvements destroyed or according to such
modified plan conforming to law and regulations then in effect as shall be first
approved in writing by Lesser. If the proceeds are insufficient to rebuild the
improvements, Lesser may elect to make up any deficiency. If the proceeds
are insufficient to rebuild the improvements;. and Lessor does not elect to make
up any deficiency, then, in such event, Lessee may elect to terminate this
Lease. If there are excess insurance proceeds, Lessee shall be entitled to
retain same.
24. Costs of Litigation. The Lessee covenants that in the event it shall be made a
party to any litigation commenced by or against the Lessee, the Lessee shall and
will pay all casts and expenses incurred by or imposed can the essor, furthermore,
the Lessee shall and will pay all costs and expenses, which may be incurred by
and paid by the Lessor in enforcing the covenants and agreements of this Lease

Agreement, in recovering possession of the Demised Premises, and/or in the
collection of delinquent rental and any and all other charges.
21. Indemnity. Lessee will defend, indemnify and hold the Lessor, its elected and
appointed officers, employees and agents harmless from and against any and all
claims and demands for loss or damage. including property damage, personal
injury and wrongful death, arising out of or in connection with the use or occupancy
of said Premises by Lessee or any other person under Lessee, or any accident or
fire not caused by Lessor on said Premises or any nuisance made or suffered
thereon not caused by Lessor, or any failure by Lessee to keep said Premises or
any adjacent sidewalks in a safe condition in accordance with this Lease and
applicable law and will reimburse Lessor for all Lessor's costs and expenses
including reasonable attorneys'fees incurred in connection with the defense of any
such claims and will hold all goods, materials, furniture, fixtures, equipment,
machinery and other property whatsoever on said Premises at the sole risk of
Lessee and save Lessor harmless from any loss or damage thereto by any cause
whatsoever,
22, Inspection and Right of Entry by Lesser_ That the Lessee shall permit the
Lessor, its agents.. invitees... or independent contracts hired by the Lessor, shall
have the right to enter the Demised Premises at all reasonable times upon
providing Lessee with 24 hours prior notice for any purpose„ including. without
limiting the generality of the foregoing, the following:
a. To determine whether the Demised Premises are in geed condition and
whether Lessee is complying with its obligations under this Lease Agreement
and request in writing that the Lessee make repairs deemed necessary by the
Lessor
b To do any repairs, improvements or alterations that Lessor has the right or
obligation to perform, or desirable for the safety or the preservation of the
Demised Premises if Lessee shall have failed to perform any such repairs,
improvements or alterations within 30 days after written notice from the Lessor
requesting the same (or such longer period as may be necessary to complete
such repairs, improvements of alterations within 30 days period and diligently
pursues the completion), upon giving the Lessor or its agent 24-hour notice of
entryexcept in case of emergency, no notice will be given for entry. That the
Lessee shall cooperate with the Lessor to the fullest practical extent in
permitting the Lessor to make such inspections, alterations, repairs and
improvements.That any temporary diminution in or interference with the use of

the Demised Premises to the Lessee and shall not result in any liability on the
Lessor. Nothing in the paragraph shall be construed as requiring the Lessor to
make any inspections, repairs, improvements or alterations or the Demised
Property.
c_ To serve, post or keep posted any notices required or allowed under the
provisions of to past "For Rent" or "For Lease" signs during the last twelve
months of the term, or during any period while Lessee is in defauWl
d. To show the Demised Premises to prospective brokers, agents. buyers,
Lessees, or persons interested in an exchange, at any time during the term;
e. To shore the foundations, footings and walls within the Demised premises; and
f. To erect scaffolding in and protective barricades around and about the
Demised Premises, but not so as to prevent entry to the Demised Premises
and to do any ether act or thing necessary for the safety or preservation of the
Demised Premises or the buildings and other improvements upon the Demised
Premises if any excavWion or other construction is undertaken or is about to
be undertaken on any adjacent property or nearby street.
g. Lessor or its authorized representatives may enter at any time and without
notice to Lessee in circumstances when persons or property may be in
imminent danger provided, however, that notice of entry shall be given as soon
as reasonably possible thereafter,
23. No Liability for Entry_ Lessor shall not be liable in any manner for any
inconvenience, disturbance loss of business, nuisance, or other damage arising
out of Lessor's entry on the Demised Premises as provided in this Section 23,
except damage resulting from the willful or grossly negligent acts or omissions of
Lessor or its authorized representatives. Lessee shall not be entitled to an
abatement or reduction of rent if Lessor exercises any rights reserved in this
Section in a manner that does not materially interrupt the normal operation of
Lessee's business. Lessor shall, to the extent reasonably possible, conduct its
activities on the Demised Premises in a manner that will cause the least possible
inconvenience, annoyance or disturbance to Lessee.
24. Bions. Lessee shall not, without the prior written consent of Lessor, erect, install,
or affix any sign about the exterior or on the windows of the Demised Premises,

Lessee shall allow Lessor to affix or keep on the Demised Premises a "For Lease"
or "For Sale" notice if necessary.
25 Security
Lessee shall ensure public safety and minimal disturbances at the Demised
Premises.
2 . Non-Profit Status.The Lessee shall provide evidence prior to entering Lease,and
annually, or as requested by Lessor of its status as a non-profit organization as
defined by the IRS Code Section 42, and pursuant to the Nawai`i County Code.
Chapter 2, Administration, Section 2-120,11 (4).
27. Personal Property, That the Lessee shall, at its own expense, provide all
equipment, tools, kitchen appliances, furniture, bedding, utensils and all other
personal property of any nature necessary for the uses described in Section Il (1)
(A-F) above.
28. Breach. This dernise is upon the express condition, that if Lessee shall fail to
observe or perform faithfully any of the other covenants or agreements herein
contained and on the part of Lessee to be observed and performed and such
default shall continue for 39 days after written notice thereof given to Lessee, or if
Lessee then owning this Lease shall fail to perform any of the covenants and
agreements of Lessee hereunder or shall abandon said Premises, or if this tease
or any estate or interest of Lessee hereunder shall be sold under any attachment
or execution, Lessor may at once re-enter said Premises or any part thereof in the
name of the whole and.. subject to the provisions of Section 37, upon or without
such entry, at its option terminate this Lease, without service of notice or legal
process and without prejudice to any other remedy or right of action for arrears of
rent or for any preceding or other breach of contract.
If Lessor gives notice of any default which by its nature cannot be cured within the
period specified in the preceding paragraph, then such period shalt be extended
for so long as Lessee is proceeding to cure such default as soon as reasonably
possible under the circumstances,
2 . Non-Waiver of Breach. The acceptance of rent by Lessor shall not be deemed a
waiver by Lessor of any breach by Lessee or of the right of Lessor to terminate this
Lease Agreement for any such breach, and that the failure of Lessor to insist upon
strict performance of any condition of this Lease Agreement, or to exercise any
option herein conferred, shall not be construed as a waiver or relinquishment for

the future of any such covenant or condition but the same shall remain in full force
and effect.
30, Notice. All notices to be given to the Lessee should be given in writing and by
depositing the same in the United States mail, registered or certifiedpostage
prepaid, or via email with a read receipt notice and addressed to the NOPE
SERVICES HAWAH, INC., 357 Waianuenue Ave. Hila, HI 90720 or at such other
addresses as Lessor may give to the Lessee in writing from time to time.
31. Time of Service.Any written notice sent by registered or certified mail or via email
with a read receipt notice shall be deemed to have been served as of the date it is
mailed or emailed in accordance with the foregoing provisions.
32. Farce Maieure. In the event either Lessor or the Lessee shall be delayed,
hindered, or prevented from the performance of any act required under this Lease
Agreement by reason of strikes, lockouts, labor troubles, inability to procure
materials, failure of power, restrictive governmental laws or regulations, riots,
insurrection,, war, or other reason of like nature, not the fault of the party delayed
in performing the work or doing the acts required under the terms of this Lease
Agreement then performance of such act shall be excused for the period of the
delay and the period for the performance of any such act shall be extended for a
period equivalent to the period of such delay.
33 Lease Amendment.
a Nothing herein shall prevent the undersigned parties from mutually modifying
this agreement in writing before the expiration of the one-year term or either of
the option one-year terms. if such modification is desirable for funding or other
purposes.
b, The Lessee may request this Lease be amended. However, the Lessor will
allow an amendment only if the Lessee clearly demonstrates the modification
is justified and will enhance the overall impact of the original use as defined in
ectiori 11(1)(A-F). The Lessor will consider each request to determine whether
the modification is substantial enough to necessitate reevaluating the Lease's
original purpose.
c, The Lessor will not approve amendments to the Lease that will affect high
priority activities for the Nameless or improvements that would materially alter
the circumstances under which the Lease was originally awarded,

34, Termination of Lease, The lease may be terminated at any time by agreement
between the Lessor and the Lessee; Nothing herein shall prevent the undersigned
parties from mutually modifying this agreement in wr'ting before the expiration of
the one-year terra or either of the option one-year terms, if such modification is
desirable for funding or other purposes.
a. Termination and Modification Due to Loss of Funding. If, for any reason;
the financial resources required by the Lessee to fund the Lease's uses are
withdrawn frorn the Lessee, the Lessor may unilaterally terminate or modify the
terms of the Lease to reflect the loss of funding. If a termination or modification
is required, the Lessor will develop a 99-day transition plan to accommodate
reduced I ease use elements. The Lessor will give the Lessee written notice of
the effective date of the modification or termination of this Lease.
b. Termination Due to Noncompliance with Lease Terms. If the Lessor
determines the Lessee has failed to perform according to the uses, the general
terms, cond`tons provisions, covenants, agreements or any special conditions
of this Lease, the Lessor may terminate the lease upon 90 days previous notice
in writing. However, should the Lessee cure the stated failure to perform to the
satisfaction of the Lessor within 30 days of receipt of the notice. the Lessor
shall withdraw termination notice. However, if upon notification of the defect the
Lessee does not remedy the deficiency within seven business days;the Lessor
may terminate this Lease in whole or in part at any time before the date of the
Lease termination. The Lessor will promptly notify the Lessee in writing of the
decision to terminate the reasons for the termination and the effective date of
the termination.
c. Termination due to Abandonment. That is the Lessee abandons the
Demised Premises, its right to possession shall cease and this Lease shall
terminate, without prejudice to any other rights of the Lesser. `°Abandonment..
shall include, but not be limited to, Lessee's failure to use the premises for the
purposes and uses listed in Section 11 (f).
d. Termination Due to Health and Safety Impact. If the Lessor determines that
the Lessee has failed to cure health and safety issues such as water and
electrical issues within 24 hours, the Lessor may terminate the lease upon 90
days previous notice in writing. However, should the Lessee cure the stated
failure to perform to the satisfaction of the Lessor within 48 hours of receipt of
the notice. the Lessor shall withdraw termination notice. The Lessor will

promptly notify the Lessee in writing of the decision to terminate, the reasons
for the termination and the effective date of the termination,
e Termination Due to Adverse Environmental Impact. This Lease will
terminate if the Lessee or the Lessor determines the project would have a
significant adverse impact on the quality of the human environment and that
this impact cannot be avoided or sufficiently mitigated by reasonable, cost
effective means.
37, Surrender. The Lessee shall, at the end of the terra of this Lease Agreement or
earlier termination thereof, peaceably and quietly vacate and deliver up to Lessor
the possession of the Demised Premises, together with all additions and
alterations made by Lessee, unless Lessor requires removal of the same, Lessee
may remove all moveable trade fixtures (if installed by Lessee) on the condition
that Lessee shall repair any damage to the Demised Premises resulting from the
removal of said fixtures. Lessee shall not be required to remove any exterior
improvements other than its signs. Any property of the Lessee remaining on the
Demised Premises after the termination of the Lease Agreement may be disposed
of by the Lesso=r upon 30 days written notice and failure of Lessee to retrieve the
property.
33. Construction of Language. Nothing herein contained is intended or shall be
construed as creating a relationship of principal and agent or of a partnership or
joint venture between Lessor and Lessee. Wherever used herein, the singular
number shall include the plural and the neuter gender shall include the masculine
and feminine genders, unless the context clearly requires otherwise. The
obligations of the parties executing this Lease Agreement shall be joint and
several. The term"remised Premises"shall mean the remised Premises demised
under this Lease Agreement; the term "Lessor" shall include the Lessor, its
successors and assigns; and the term"Lessee`shall include Lessee and Lessee's
successors and permitted assigns.
39. No Party Deemed Drafter. Lessor and Lessee agree neither party shall be
deemed to be the drafter of this Lease and in the event this Lease is ever construed
by a court of law, such court shall not construe this Lease or any provision hereof
against either party as the drafter of this Lease.
40. Facsimiles, The parties hereto agree telephone facsimile {fax) copies of any
documents required to be executed by the provisions herein will be accepted as if
signed in person, as originals. Upon request, the party submitting the facsimile

shall provide the original document within a reasonable time, However, failure to
provide such an original shall have no effect upon the validity of the execution by
facsimile.
41. DisputeResolution/Forum Selection.Any dispute action or proceeding involving
this Lease Agreement, commenced by any party, if not resolved by mutual
consent, shall be commenced in the District Courts of the Third Circuit Court,
County and estate of Haa°`i,
42. Governing Law. It s agreed this Lease Agreement shall be governed by,
construed and enforced in accordance with the laws of the State of Hawaii.
43_ Condition. This Lease Agreement is subject to approval of the Hawaii County
Council and the Mayor.
44. Entire Agreement.This Lease Agreement contains the entire agreement between
the parties. Any agreement hereafter made shall be ineffective to change, modify,
cfscharge or effect an abandonment of the Lease Agreement, in whole or in part,
unless such agreement is in writing and signed by the party against whom
enforcement of the change, modification, discharge or abandonment is sought. It
is expressly understood and agreed that each and all of the provisions of this Lease
Agreement are conditions precedent to be faithfully and fully performed and
observed by the Lessee and to entitle the Lessee to continue in possession of the
Demised Premises hereunder; that said conditions are also covenants on the part
of the Lessee-, and that time of performance of each is of the essence of this interim
lease.

This memorandum relates to the annual Group Ruling determination letter issued to the
United States Conference of Catholic Bishops("USCCB")by the Internal Revenue Service
(ARS"). the most recent of which is dated August 2l,2019,with respect to the federal tax status
of subordinate organizations listed in the 2019 edition of the Official Catholic Directory
("OCD").' As explained in greater detail below,this 2019 Group Ruling determination letter is
important for establishing:
(1) exemption of subordinate organisations under the USCCB Group Ruling from
federal income tax; and
(2) deductibility of contributions to such organizations for federal
income, gift, and estate tax purposes.
The 2019 Group Ruling determination letter is the latest in a series that began with the
original determination letter of March 25 946. In the original 1946 letter. the Treasury
Department affirmed the exemption from federal income tax of all Catholic institutions listed in
the OCD for that year. Each year since 1946, in a separate letter,the 1946 ruling has been
reaffirmed with respect to subordinate organi,ations listed in the current edition of the OCD.'-
The annual group ruling letter clarifies important tax consequences for Catholic institutions
listed in the OCD, and should be retained for ready reference. Group Ruling letters from prior
years establish tax consequences with respect to transactions occurring during those years.
UBIT on Fringe Benefits. Public Law 115-97, introduced as the"Tax Cuts and Jobs Act" and
signed by President Trump on Ek-cember 22,2017,added section 512(a)(7)to the Internal
Revenue Code("Code"), which subjects tax-exempt organizations to unrelated business income
tax("UBIT")to the extent they pay or incur expenses for any qualified transportation fringe
described in section 132(f)and any parking facility used in connection with qualified parking.

Group Ruling organizations were required to file a tax return,Form 990-T, for tax year 2018
even if they did not engage in any unrelated trade or business activities. While Congress has
introduced several bills to repeal section 512(a)(7),none have been approved. Accordingly,
many Group Ruling organizations will be required to file a tax return, Form 990-T, for tar year
2019.
An organization's Form 990-T is due on the 15th day of the 5th month after the end of its taxable
year. If an organization has a June 30 year end, its Form 990-T is due on November 15. If it has
a December 31 year end. its Form 9904 is due on May 15. Organizations are also required to
make installment payments of estimated UBIT if their estimated tax(minus allowable credits) is
expected to be$500 or more. Organizations that do not make estimated tax payments when due
may be subject to an addition to tax for failure to male a sufficient and/or timely payment of
estimated income tax. The IRS waived the addition to tax for failure to make estimated tax
payments for any tax-exempt organization that was filing Form 990-T for the first time in tax
year 2018. however,this relief will not be available for tax year 2019. Please consult a local tax
advisor about any questions concerning Form 990-T, estimated tax payments,or section
512(a)(7).
Responsibilities under Group Rulin . Diocesan officials who compile OCD information for
submission to the OCD publisher are responsible for the accuracy of such information. They
must ensure that only qualified organizations are listed. that organizations are listed under their
correct legal names,that organizations that cease to qualify are deleted promptly,and that newly-
qualified organizations are listed as soon as possible.
EXPLANATION
1. Exemption from Federal Income Tax. The latest Group Ruling determination
letter reaffirms that the agencies and instrumentalities and educational, charitable,and religious
institutions operated,supervised or controlled by or in connection with the Roman Catholic
Church in the United States, its territories or possessions that appear in the 2019 OCD and are
subordinate organizations under the Group Ruling are recognized as exempt from federal income
tax and described in section 501(c)(3)of the Code. The Group Ruling determination letter does
not cover organizations listed with asterisks or any foreign organizations listed in the 2019 OCD.
Verification of Exemption under Grozrp Rylin . The latest Group Ruling determination
letter indicates that subordinate organizations are not listed in Tax Exempt Organization Search
(Pub. 78 data)("TEOS," formerly"EO Select Check), and many are not listed in the Exempt
Organizations Business Master File extract,or EO BMF . As a result,many subordinate
organizations included in the USCCB Group Ruling are not included in various online databases
(e.g..GuideStar)that are derived from the EO BMF. This does not mean that subordinate
organizations included in the Group Ruling are not tax exempt, that contributions to them are not
deductible,or that they are not eligible for grant funding from corporations,private foundations,
sponsors of donor-advised funds or other donors that rely on online databases for verification of
tax-exempt status. It does mean that a Group Ruling subordinate may have to make an extra
effort to document its eligibility to receive charitable contributions. The Group Ruling
determination letter states that donors may verify that a subordinate organization is included in

the Group Ruling by consulting the Official Catholic Directory or by contacting the USCCB
directly. It also states that the IRS does not verify inclusion of subordinate organizations under
the Group Ruling, Accordingl), neither subordinate organizations nor donors should contact the
1RS to verifi-inclusion under the Group Ruling.
Subordinate organizations should refer donors,including corporations, private
foundations. and sponsors of donor-advised funds, to the specific language in the Group Ruling
determination letter regarding verification of tax-exempt status and to IRS Publication 4573.
Group Exemptions,available on the IRS website at wwNN%�eov.3 Publication 4573 explains
that: (1)the IRS does not determine which organizations are included in a group exemption; (2)
subordinate organizations exempt under a group exemption do not receive their own IRS
determination letters;(3)exemption under a group ruling is verified by reference to the official
subordinate listing(e.g., the Official Catholic Directory);and(4)it is not necessary for an
organization included in a group exemption to be listed in TEOS or the EO BMF. Although not
required. organizations in the Group Ruling may be included in the EO BMF.and consequently.
online databases derived from it.
2. Public Charity Status. 1'he latest Group Ruling determination letter recognizes
that subordinate organizations included in the 2019 OCD are public charities and not private
foundations under section 509(a)of the Code, but that all subordinate organizations do not share
the same public charity status under section 509(a). Therefore, although the USCCB is classified
as a public charity under sections 509(a)(1)and 170(b)(1)(A)(i),that public charity status does
not automatically extend to subordinate organisations covered under the Group Ruling.
'' rijiCation of Public(hyrity Status. Each subordinate organization in the Group Ruling
must establish its own public charity status under section 509(a)(1), 509(a)(2),or 509(aX3)as a
condition to inclusion in the Group Ruling. Certain types of subordinate organizations included
in the Group Ruling qualify as public charities by definition under the Code. These are:
• churches and conventions or associations of churches under sections 509(a)(1)
and 170(b)(1)(A)(i)(generally limited to dioceses,parishes and religious orders);
• elementary and secondary schools, colleges and universities under sections
509(ax 1)and 170(b)(1)(A)(ii); and
• hospitals under sections 509(a)(1)and 170(b)(1)(A)(iii).
Other subordinate organizations covered under the Group Ruling may qualify under the
public support tests of either sections 509(a)(1)and 170(b)(1)(A)(vi)or section 509(a)(2).
Verification of public charity classification under either of the support tests generally can be
established by providing a written declaration of the applicable classification signed by an officer
of the organization.along with a reasoned written opinion of counsel and a copy of Schedule A

$. Form 990/EZ/N. All subordinate organizations included in the Group Ruling
must file Form 990. Return of Organization Exempt from Income Tax. Form 990-EZ, Short
Form Return of Organization Exempt From Income Tax,or Form 990-N, e-Postcard, unless they
are eligible for a mandatory or discretionary exception to this filing requirement. There k no
automatic exemption from the Form 9901EZIN filing requirement simply because an
organization is included in the Group Ruling or listed in the OCD. Subordinate organizations
must use their own EIN to fife Form 990/EZ/N. Do not use the EIN of the USCCB or an
affiliated parish,diocese or other organization to file a return. Form 9901EZ/N is due by the 15th
day of the fifth month after the close of an organization's fiscal year.4 The following
organizations are not required to file Form 990/F.Z./N:(i)churches and conventions or
associations of churches;(ii) integrated auxiliaries;16(iii)the .xclusively religious activities of
religious orders; and(iv)schools below college level affiliated with a church or operated by a
religious order.'1 Organizations should exercise caution if they choose not to file a Form
990/EZ/N because they believe they are not required to do so. If IRS records indicate that the

9. Certification of Racial Nondiscrimination by Private Schools in Grout)
Ruling. Revenue Procedure 75-50"sets forth notice, publication,and recordkeeping
requirements regarding racially nondiscriminatory policies with which private schools, including
church-related schools, must comply as a condition of establishing and maintaining exempt
status under section 501(cX3)of the Code. Under Rev. Proc. 75-50 private schools are required
to file an annual certification of racial nondiscrimination with the IRS. For private schools not
required to file Form 990,the annual certification must be filed on Form 5578, Annual
Certification of Racial Nondiscrimination for a Private School Exempt from Federal income
Tax. This form is available at www.irs.gov. Form 5578 must be filed by the 15th day of the
fifth month following the close of the fiscal year. Form 5578 may be filed by an individual
school or by the diocese on behalf of all schools operated under diocesan auspices. The
requirements of Rev, Proc. 75-50 remain in etTect and must be complied with by all schools
listed in the OCD. Diocesan or school officials should ensure that the requirements of Rev.
Proc. 75-50 are met since failure to do so could jeopardize the tax-exempt status of the school
and, in the case of a school not legally separate from the church,the tax-exempt status of the

10. Lobbvine Activities. Subordinate organizations under the Group Ruling may
lobby for changes in the law. provided such lobbying is not more than an insubstantial part of
their total activities. Attempts to influence legislation both directly and through grassroots
lobbying at the federal, state, or local level! are subject to this restriction. The term "lobbying"
includes activities in support of or in opposition to referenda, constitutional amendments, and
similar ballot initiatives. There is no distinction between lobbying activity that is related to a
subordinate organization's exempt purposes and lobbying that is not. There is no fixed
percentage that constitutes a safe harbor for"insubstantial" lobbying. Please consult a local tax

11. Political Activities. Subordinate organizations under the Group Ruling may not

exempt status, IRS may also impose excise taxes on an exempt organization and its managers on

12. Group Exemption Number("GEN"). The group exemption number or GEN
assigned to the USCCB Group Ruling is 0928. This number must be included on each Form
990/EZ, Form 990-T, and Form 5578 required to be filed Al,a subordinate organization under
the Group Ruling.17 We advise against using GEN 0928 on Form SS-4,Request for Employer
Identification Number. because in the past this has resulted in the IRS improperly including the
USCCB as part of the subordinate organization's name in IRS records.
13. Emnlo3,er Identification Numbers "EINs" . Each subordinate organization
under the Group Ruling must have and use its own LIN. Do not use the EIN of the t SCCB or
an affiliated parish,diocese. or other organization in any filings with IRS(e.g., Forms 941. W-2,
1099,or 990rFZ)or other financial documents. Subordinate organizations may not use
USCCB's EIN in order to qualify for online donations. grants or matching gifts.

Our records indicate that your were issued a determination letter in March 1946, that you
are currently exempt from federal income tax under section 501(c)(8) of the Internal
Revenue Code, and are not a private foundation within the meaning of section 09(a)of
the Code because you are described in sections 509(a)(1) and 170(b)(1)(A)(i)
With your request. you provided a copy of the Official Catholic Directory for 2019, which
includes the names and addresses of the agencies and instrumentalities and the
educational, charitable, and religious institutions operated by the Roman Catholic
Church in the United Mates, its terntones: and possess{ons that are subordinate
organizations under your group tax exemption. Your request indicated that each
subordinate organization is a non-profit organization, that no part of the net earnings
thereof inures to the benefit of any individual, and that no substantial part of their

WITNESETH:
WHEREAS,COUNTY OF HAWAII, a Hav‘ai'i municipal corporation,whose principal
place of business and mailing address is 25 Aupuni Street, Hilo, I lawail 96720("Lessor"), and
HOPE SERVICES HAWAII, INC., a Hawaii nonprofit corporation. whose address is 357
Waianuenue Avenue. Hilo, Hawaii 96720("Lessee")entered into a Lease dated March 4, 2020,
for a one year term from March 2, 2020 to March 2, 2021, covering the Demised Premises more
particularly described as West Hawaii Homeless Campus, District of North Kona,County and
State of Hawaii.Tax Map Keys(3) 7-4-010:044 and(3) 7-4-010:020 together with the full right
of access to said Demised Premises over,across and through any alleys and common sidewalks,
in or around said buildings.
WHEREAS, the Lessee desires and the Lessor agree to enter into the option to extend the
Lease for one (1) year from March 2, 2021 — March 2, 2022 as provided for in subsection 3,
Section I,Term, and subsection 33 of Section II,Amendment.
NOW,THEREFORE, in consideration of the mutual promise and agreement herein

3. Hale Kikaha
Hale Kikaha(HK)is a 23-unit Permanent Supportive Housing Program,helping residents to stabilize
through affordable rental assistance and ongoing,voluntary case management and wrap-around services.
Eligibility for Permanent Supportive Housing Program includes overcoming chronic homelessness-
which mcans being homeless for at least a year while struggling with a disabling condition such as a
serious mental illness.substance use disorder, or physical disability.
Since its inception,Hale Kikaha has exited nine(9)program participants to other destinations,and
experienced two(2) exits due to participants'end of life.
Current program participants who continue to build independent living and tenancy skills include:
• Five(5)participants have lived at HK for 5 years or longer
• Thirteen(13)participants have lived at HK for 2-4 years
• Two(2)participants have lived at HK for less than 2 years
• Two(2)participants have lived at HK for less than 1 year
• One(l)unit currently used as an isolation/quarantine unit
In response to the pandemic,one (1)unit at HK has served as a quarantine/isolation unit.Since June 2021,
twenty-three(23)single adults have remained safe through this intervention while having COVID-19.

Use and Public Purpose(activities to occur at leased location):
One-Stop Resource Center:
• Development and implementation of a One-Stop Resource Center known as the"Friendly
Place" for the unsheltered homeless or risk of being unsheltered, which will include a
comprehensive data-driven case management system using the VI-SPDAT(Vulnerability
Index - Service Prioritization Decision Assistance Tool is a survey administered both to
individuals and families to determine risk and prioritization when providing assistance to
homeless and at-risk of homelessness persons)with homeless intake tools,care
coordination tools and analysis and outcomes of interventions. Physical support services
will include,at a minimum,access to washers, dryers, a bathroom,a shower, and lockers.
• Coordination, facilitation,and provision of supportive services by partnering with service
providers based on client needs at the Resource Center building located on TMK(3) 7-4-
010:044 and all common areas of the Demised Premise to include,but not be restricted
to,oral health care, substance abuse and behavioral health care, life skills,good tenant
skills, home care,nutrition programs, therapeutic art and music, therapeutic milieu,and
other appropriate activities. Services will be varied, consistent and meaningful to clients
in order to improve their quality of life.
West Hawai'i Emergency Shelter(WHES):
• Administration, operation,and maintenance of the West Hawai'i Emergency Shelter
(WHES)facility with 31 single units and a comprehensive data-driven case management
system of intake tools,care coordination tools and analysis and outcomes of
interventions.
Hale Kikaha:
• Administration, operation,and maintenance of a Housing First Permanent Supportive
Housing facility known as"Hale Kikaha"which has 23 studio micro-units located on
TMK(3)7-4-010:020 with a comprehensive data-driven case management system of
intake tools, care coordination tools and analysis outcomes of interventions. Four studio
micro-units will give preference to Housing and Urban Development Veteran's
Administration Supportive Housing.
Certified Kitchen:
• Administration, operation, and maintenance of a certified commercial kitchen to prepare
meals,at a minimum for individuals residing at the WHES and Hale Kikaha facilities.

Section 2-120. Disposition to government, governmental agencies, nonprofit
organizations, and affordable housing developers.
(a) Notwithstanding any limitations to the contrary, the council may, by resolution
approved by a majority of its members, direct the finance director to negotiate the
disposition of real property by:
(1) Selling it in fee simple at such price and on such terms and conditions
deemed proper to governments and governmental agencies authorized to
hold lands in fee simple, to nonprofit organizations to develop affordable
housing, or to affordable housing developers;
(2) Leasing it to governments, governmental agencies, nonprofit
organizations, or affordable housing developers at such rentals and on
such terms and conditions as deemed proper;
(3) Exchanging it for real property owned by governments, governmental
agencies, nonprofit organizations, or affordable housing developers;
(4) Granting licenses, permits, and easements to governments, governmental
agencies, nonprofit organizations, or affordable housing developers on
such terms and conditions as deemed proper.
(b) A disposition of real property to governments, governmental agencies, nonprofit
organizations, or affordable housing developers may be made without the notice
or appraisal required in this article.
