Curtis Tyler, III Council Member From: Dixie Kaetsu Director of Finance Re: Resolution No. 243-00, Draft 2 I have perused Draft 2 of Resolution No. 243-00, regarding the exchange of real property and easements between the County, Bishop Estate, and Keauhou Community Services, Inc. I am not too familiaz with the history of this transaction. It appeazs that the resolution and attached documents are referencing an agreement reached on a lawsuit. Therefore, my only comments are fairly minor technical points/suggestions rather than on the substance of the resolution. First, on page 3 of the resolution, the Item 1 in the middle of the page would be clearer if information identifying the parcels involved (which appears in the first "whereas" clause on the first page) were repeated. I don't think this is a legal problem since "Heeia WTP" and "Bishop Estate real property" are defined on the first page, but it would be clearer to those reading this resolution later if this item read: 1. The exchange of the County of Hawaii's fee interest in the Heeia Wastewater Treatment Plant site, located at Keauhou, Kona, identified as TMK: (3)7-8-10:37, for the grant of the sewer line easement through real property identified as TMK: (3)2-1- 13:146 and 147 from the Trustees of the 8state of Bernice Pauahi Bishop, anon-profit organization, is approved and consented to, without charge to said Trustees. Next, on pages 3 through 5, the resolution states that the transactions involved in Items 2 through 5 are to be completed without charge to Keauhou Community Services, Inc. However, the documents attached for each of these transactions refers to consideration in the sum of $ I.00 paid by the grantee, which is KCS. I know the $1.00 is just a formality, but on [he face of it that is not at "no charge." Please contact me if you have questions on the above.
