DECLARATION OF RESTRICTIVE COVENANTS
KALOKO LIGHT INDUSTRIAL PARK UNIT II
THIS Declarration of Restrictive Covenants is made as of
the c~7" day of ")p , 1999, by TSA INTERNATIONAL,
LIMITED, a Hawaii corporation, whose business and post office
address is 1441 Kapiolani Boulevard, Suite 1905, Honolulu, Hawaii,
96814 (the "Declarant").
RECITALS:
A. Declarant is the owner of those certain properties
situated at Kaloko, North Kona, County and State of Hawaii, known
as the Kaloko Business Park (the `Project"), and more particularly
described in Exhibit "A" attached hereto and by reference
incorporated herein (collectively, the "Property");
B. In order to make the Project an attractive and
pleasant working environment for light industrial activity,
Declarant believes that it is necessary to establish certain
covenants, conditions and restrictions relating to the use of the
Property, the design of improvements on the Property and the
landscaping of the Property.
DECLARATION:
NOW THEREFORE, Declarant hereby declares that the
Property shall be held, sold, conveyed, encumbered, leased,
occupied and improved subject to the following conditions,
covenants and restrictions (the "Restrictive Covenants"), all of
which are established and declared for the purpose of enhancing,
protecting and preserving the attractiveness of the Project:
1. Covenants to Run with Land. The Restrictive
Covenants shall run with the land and shall be binding upon any
person or entity that owns or that acquires any right, title or
interest in and to the Property, or a portion thereof, and their
respective heirs, representatives, successors and assigns, and
shall inure to the benefit of Declarant and the owner of each lot
of the Project (collectively, the "Lots" or singularly the "Lot")
and their respective heirs, representatives, successors and
assigns.
2. Definitions. The following words when used in this
Declaration (unless the context requires otherwise) shall have the
following meanings:

2.01. "Improvements" shall mean and refer to all
buildings, outbuildings, roads, driveways, parking areas, fences,
retaining walls, stairs, decks, hedges and plantings, windbreaks,
poles, signs and any other structures of any kind appearing above
the natural ground surface.
2.02. "Owner" shall mean and refer to the record
owner, whether one or more individuals, corporations, partnerships
or other legal entities, of the fee simple title to any Lot, but
excluding mortgagees in such capacity; provided, however, that to
the extent as shall be provided in a lease or agreement of sale for
any Lot, recorded in the Bureau of Conveyances of the State of
Hawaii, the lessee or purchaser of such Lot shall be deemed the
Owner thereof under this Declaration.
3. Restrictive Covenants.
3.01. Permitted Uses. Each of the Lots may be
used only for those uses permitted in a Limited Industrial District
under the applicable County of Hawaii ordinances and rules and
regulations, as the same may from time to time be amended.
3.02. No Uses Which Create a Nuisance. No Lot
shall be used in such a manner as to create a nuisance to adjacent
Lots, such as by creating excess vibrations, sounds,
electro-mechanical disturbances, radiation, air or water pollution,
dust or emission of odorous, toxic or noxious matters.
3.03. Maintenance. Each Lot and any and all
improvements thereon shall be maintained by the Owner thereof in a
good and clean condition and repair and in such manner as not to
create a fire, safety or health hazard to the Project or any part
thereof, all at such Owner's sole cost and expense.
3.04. Speakers and Sound Devices. No exterior
speakers, horns, whistles, bells or other sound devices, except
security devices used exclusively to protect the security of the
Lot and improvements thereon shall be place or used on any Lot.
3.05. Setbacks. All setback areas established
by the County of Hawaii or other governmental agency shall be duly
observed.
3.06. Temporary Structures. No improvement of
a temporary character shall be erected or place on any Lot, except
those required for a period of not more than thirty (30) days,
before and during the construction of permanent improvements.

3.07. Loading. All loading and unloading of any
supplies, materials, products or other items delivered to or
removed from a Lot must be performed within the boundaries of such
Lot.
3.08. Construction Materials. All materials
(except for structural steel) used in the construction of any
improvements shall be new and all lumber will be treated for
termite and weather resistance. All reflective metal surfaces
shall be treated and finished to be non-reflective.
3.09. Design Manual. In addition to the
restrictions set forth above, the Owner of each Lot shall observe
and perform the guidelines set forth in that certain Design Manual
attached hereto as Exhibit "B" and by reference made a part hereof
(the "Design Manual").
4. Enforcement. Except as otherwise herein
specifically provided, Declarant or any Owner or Owners shall have
the right to enforce any and all of the Restrictive Covenants
imposed by this Declaration, and the costs of enforcement,
including court costs and attorneys' fees shall be paid by any
owner who has violated any Restrictive Covenant. No action to
enforce any Restrictive Covenants may be made or taken without
first giving thirty (30) days' prior written notice and demand to
the Owner in default to cure or rectify such default or breach
involved. Any failure to enforce any Restrictive Covenant shall
not constitute a waiver of any right to enforce the same in the
future, or in any other case against or with respect to the same
Owner or Lot or any other Owner or Lot. All of the Restrictive
Covenants shall be liberally construed together to promote and
effectuate the fundamental concepts and aims of the Project as
provided in this Declaration. Neither Declarant nor any Owner
shall have any legal obligation to enforce the Restrictive
Covenants.
5. Illegality. Anything herein to the contrary
notwithstanding, the Owners shall observe and perform all laws and
regulations promulgated by any governmental body having
jurisdiction over the maintenance or use of the Lots; and if any
uses to which a Lot may be put under this Declaration shall be or
become illegal under applicable laws, an Owner may use his Lot for
any purpose which is lawful under such laws; subject, however, to
all other provisions of this Declaration which can lawfully apply
to the Lot so used. Each Restrictive Covenant shall be deemed
independent and severable and the invalidity of any provision or
portion thereof shall not affect the validity or enforceability of
any other provision.

6. Amendment. Any of the Restrictive Covenants in this
Declaration, except the Design Manual, may be amended or repealed
by an affirmative vote of the Owners of seventy-five percent (758)
of the Lots within the Project. No amendment or repeal shall
become effective, however, until a written instrument, setting
forth in full the amendment or repeal of the Restrictive Covenant
affected, is executed by the requisite number of owners and is
recorded in said Bureau of Conveyances.
7. Term. All of the Restrictive Covenants shall
continue and run with the land and remain in full force and effect,
subject to amendment and repeal as provided in paragraph 6 above,
for a period of twenty-one (21) years from and after the death of
the last issue of Stephen Yamashiro, Mayor of the County of Hawaii,
now living.

DESIGN MANUAL
KALOKO LIGHT INDUSTRIAL SUBDIVISION
I. INTRODUCTION.
The guidelines set forth herein are intended for the express
purpose of providing uniform guidance to the Owners in
planning site improvements. The basic objective is to create
an attractive and pleasant working environment for industry,
employees, and the general public. Excellence in site
planning, landscaping, building design, and other factors
materially contribute to creating an aesthetically pleasing
environment in contrast to the classic industrial scene which
is normally unsightly and unkept. Close adherence to these
guidelines by the Owners and their consultants in the
preparation of plans should produce results which will be
reflective of the spirit, intent, and purpose of these
guidelines.
II. GENERAL CRITERIA.
The visual and aesthetic impact of the site development and
improvements is of primary concern. Therefore, the
improvements should include abundant, well-maintained
landscaping which can effectively improve the visual
environment and screen or soften unsightly views. The final
appearance of the Project should convey a pleasing impression
of permanence, completeness, and appropriateness.
The following characteristics should be given careful
consideration in the planning and design of improvements:
1. Screens, walls, fences and gates
2. Landscaping
3. Signs and graphics
4. Exterior lighting
5. Trash container locations and enclosures

III. SPECIFIC CRITERIA.
A. Building
1. Design
a. The principal buildings should be designed, if
possible, so that the mass or bulk is not
overbearing. Subsidiary buildings, whether
attached or detached, should be architecturally
compatible with the principal buildings.
b. Completely or partially open-sided buildings are
permitted if such buildings are necessary for
normal operations of permitted activities. Owner
shall use his best efforts to maintain the orderly
appearance of the buildings and contents therein.
2. Color and Surface Treatment.
Colors of all exterior surfaces, buildings, and exposed
mechanical and industrial equipment or machinery shall be
tasteful and unobstrusive. Attention to the imaginative
use of color and texture on buildings and visible
exterior surfaces is encouraged. Recommended colors are
earth and sand tones.
3. Roofs.
a. Roof design should be aesthetically and visually
pleasing; parapets and fascias should be used to
conceal the industrial appearance of roofs.
b. Roof vents and other appurtenant equipment should
blend with the building profile. A horizontal,
continuous, ridgemounted vent system should be used
on metal roofs if venting is desired.
Unobstrusive, low profile roof exhausters may be
considered.

4. Trim.
Trim should be used to finish perimeter roof edges. All
edges of any metal roofing should be obscured by gutters
or by other finishing methods. Fascias, soffits, and
other trim should be used to give buildings a finished
appearance or to cover elements that may detract from its
visual appeal.
5. Fascias.
When installed, the proportions and details (height,
depth, soffits, manner of attachment, color) should
contribute to the aesthetically pleasing appearance of
the building.
6. Exposed Mechanical and Industrial Equipment.
a. Essential towers, conveyors, stacks, and other
industrial plant equipment and machinery not
contained within buildings should be designed to
blend with the total complex in terms of
proportion, location on the site, and aesthetic
impression.
b. Air conditioning units and other accessory
equipment should not be visible from the street if
at all possible. However, if unavoidable, it
should be treated as an integral part of the total
building design using visual screens as required.
C. The location of utility poles, transformers,
incinerators, and other utility equipment or
appurtenances should be as unobstrusive as
possible.
7. office Facilities.
In office facilities, either attached or detached from
the principal building(s) are contemplated, the size,
position on the site and architectural features should
harmonize with the basic design of the principal
building.

B. Landscaping.
Landscaping of each Lot shall be installed within sixty
(60) days after completion of the first permanent building
upon a Lot. Such landscaping should harmonize with other
landscaping and site improvements. If no building is
planned to be constructed on the Lot, the Owner shall
install landscaping along the boundary or in appropriate
locations within sixty (60) days of acquisition of the Lot.
Landscaping shall present an attractive appearance, screen
any materials stored on the Lot from view, and soften the
visual impact thereof.
1. Soil.
a. For turf or other planting areas, a minimum of six
(6) inches of top soil should be added to the lava
soil to permit plant roots to establish a firm root
base and to ensure good growth.
2. Plant Material - Trees, Palms, Shrubs & Ground
Covers. (Quality, Size, Location and Variety).
The selection of proposed plant materials should be based
on their ecological habits, disposition to exposures,
suitability to soil types, sensitivity to moisture, and
climatic limits. The choice and arrangement of plants
should respect growth rates, ultimate form, color,
texture, seasonable variations, and availability. They
should be planned to complement land forms, to enhance
building lines and facades, and to preserve and frame
attractive vistas. Where possible, physical features
such as historic sites or large lava outcrops shall be
incorporated into the landscape plan.
The recommended minimum sizes of plant materials at the
time of installation are as follows:
• Trees - 5 gallon size (Six feet high).
• Palm Varieties - One foot of clear trunk (excluding
height of fronds).
• Shrubs - 18 inches high, in one gallon containers.

• Ground covers - Well-established cuttings.
Trees and shrubs, particularly those with aggressive root
systems, shall be planted a safe distance from

b. Planting Location, Ouantitv and Size
(1) Frontward Building Setback and Parking Area
Trees of at least 5-gallon (6 feet in height)
size shall be planted within the parking areas
spaced no more than thirty (30) feet apart.
(2) Building Frontage and Sides
Additional trees should be planted along the
front or sides of warehouses, factories,
shops, offices or other large structures.
Such trees should be spaced no more than
thirty (30) feet apart to visually break up
flat expanses of large wall surface areas.
(3) Screening
The visual impact of any equipment outside an
enclosed building should be screened by
planting trees and shrubs in accordance with
these guidelines. Small foliage should screen
smaller equipment from view and along with
trees should soften the appearance of larger
equipment.
C. Hedge Plantings.
Hedge plantings used for screening purposes should
be placed in staggered double rows with individual

plants located a maximum distance of 3 feet on
center, and be of a minimum 1 gallon size with
growing roots at the time of planting. The intent
of such hedge planting is to achieve a screen
within one year following planting.
d. Maintenance.
During the landscape planning process,
consideration should be given to maintenance
requirements of such landscaping. Plants and trees
which necessitate frequent trimming, trees which
produce heavy surface roots, and those plants and
trees which create a lot of rubbish should be
avoided. Proper planning and selection of good
plants will not only create an attractive setting
but also minimize the cost of maintenance.
3. Rule 17, Landscaping Requirements.
Notwithstanding any provision contained herein to the
contrary, in the event that any provision of this Section
III.B of this Design Manual conflicts with any term or
provision of Rule 17 Landscaping Requirements dated
August 3, 1998, promulgated by the Planning Department of
the County of Hawaii, ("Rule 17"), then the term or
provision of Rule 17 shall prevail and govern.
C. Lighting.
The location, design, color, size, and amount of exterior
lighting shall be done in accordance with good practice and
should not adversely impact the neighboring parcels.
Security lighting fixtures in loading, storage, or other
service areas should not project above the fascia or roof
line of the building and should be properly shielded and
directed.
D. Signs.
All signs shall conform to the Hawaii County Code, Chapter
3, "Advertising and Signs", and should also conform to
these guidelines. In the event of conflict, the provisions
of the Hawaii County Code, Chapter 3, "Advertising and
Signs", shall prevail and govern.

1. Standards.
a. Signs should be limited to one single-faced
ground sign along each street frontage of a
site.
b. Identification signs should consist only of
the individual letters and/or pictorial symbol
denoting the name of the person, firm,
company, corporation or major tenant occupying
the site.
2. Location.
a. A permanent ground identification sign should
be located within the property line.
b. Wall identification sign letters should be
affixed to the face of the principal building
in proper proportion and relationship to the
building size and design.
C. Signs must be supported by posts, or other
supports, embedded in the ground.
3. Size and Height.
a. Ground signs and structures should be limited
to an overall maximum vertical height of 4
feet above grade.
