Overview: 1 Descnbe the program for which funding is being requested The East Hawau Coalition fw the Homeless (EHCH) is seeking another year d support for both the Emergency from the County of Hawaii s Human Services Non-Profit Grant Program EHCH Kihei Pua Tranaftbnal Housing Program. A separate proposal is being submrlted for fhe EHCH Kihel Pua Eriergerxy Shelter Program during this application process EHCH has been fortunate, to have received funding from the County d Hawau's Human Sernces division in past years This support has been of great assistance in helgng to serve the homdesa on the Big Island Summary of the Kihei Pua Transitional Program The Kihei Pua Transitional Housing Program serves both homeless families with children, and homeless individuals, who are progressing from emergency ShelOers vrith the goal d becoming silt-suffiaent, and secunng permanent housng. The program provides housing, educational and seMarriprovement daaee, and case management services for a maximum d two years Extensions may be granted to diems with extenuating circumstances who are meeting the programs goals The Kihd Pua Traneitiorid Housing program is targeted toward dlents who are'transiUcning off d the welfare system. EHCH is recognized to be exempt fivm Federal and State income taxes Fin.nriat statement PrP~+t¦tGen - In 1996, EHCH Adopted Statement of Financial Accounting Standards (SFAS) No. 117, "Financial Statements ofNot-for-Ptnfit Organizations." Under SFAS No 117, EHCH is r+gtiired to report information regerdirig its financial position and activities according to three classes of net assets (utueatricted net assets, temporarily restricted net assets, and pamatiently restricted net aeaets) based upon the existence or absence ofdonor-imposed restrictions. As permitted by this statement, EHCH has discontinued its use of fiord accounting and has, accordingly, reclassified its financial atatanatts to ptesertt classes of net assets. The reclass~ation had no cumulative effect on the change in net assets for the year ended Jtme 30, 1997. The property was valued at 5105,456 at that time, and this was shown as part of Property & Equipment in 1996, a, EHCH intended to use dte property es a trartsitioaal house. In the previous fiscal year, due to vandalism and the on-going deterioration of the property EHCH deeded to sell the property thus it was reclassified to Iavestrneot property fnr sale. It was listed for 529,900 thus the reduction of this property to this amount sad the recording of a Loss on reduction in value of Investtrtertt proltertty for sak of 562,265 (net of;y~~~.,~ proceeds of S13,291) in the previous year's firtaacial stateme=tta. I. NAME The name of this corporation shall be: EAST HAWAII COALITION FOR THE HOMELESS II. ADDRESS The place of the principal office of the corporation shall be in Hilo, Island of Hawaii, State of Hawaii. Upon its incorporation, the street mailing address of the initial oirice of the corporation shall be 374 Waianuenue Avenue, Hilo, Hawaii 96720. The corporation may conduct its business at such address or at such other office or offices within and without the State of Hawaii as its business may from time to time require. III. PURPOSES The corporation is organized exclusively for charitable purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code,'including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under said Section 501(c)(3) or corresponding section of any future federal tax code. The purpose of the corporation shall be the promotion of social welfare by caring for and assisting in the maintenance and support of homeless persons through the provision of shelter, care, food and other necessities to such persons. Provided, however, that the foregoing shall be strictly limited to charitable purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code of 1954, as amended. The corporation is not organized for profit and it will not issue any stock. No part of its assets, income, oc earnings shall be distributed to any member, director, officer, employee, or any private individual, except that -2- reasonable compensation may be paid for services rendered to or for the corporation effecting one or more of its objects and purposes oc for reimbursement of expenses incurred in behalf of the corporation. No member, director, officer, or employee of the corporation, or any private individual, shall be entitled to share in the distribution of any of the corporation's assets on dissolution of the corporation. No part of the activities of the corporation shall include (i) carrying on propaganda, (ii) attempting in any manner to influence legislation, except that members of the corporation's Board of Directors and personnel of the corporation may testify or make other appropriate communications where formally requested to do so by a legislative body or a committee or a member thereof, in matters concerning legislation relating to the public purposes I of the corporation or public appropriations to program and activities of the corporation, or (iii) participating in, or intervening in (including the publication or distribution of statement), or contributing to, any political campaign on behalf of any candidate for public office. Further, and without limiting the generality of the foregoing, (a) The corporation shall distribute its income for each taxable year at such time and in such manner as not to become subject to the tax on undistributed income imposed by -3- Section 4942 of the Internal Revenue Code of 1954, or corresponding provisions of any subsequent federal tax laws. (b) The corporation shall not engage in any act of self-dealing as defined in Section 4941(d) of the Internal Revenue Code of 1954, or corresponding provisions of any subsequent federal tax laws. (c) The corporation shall not retain any excess business holdings as defined in Section 4943 (c) of the Internal Revenue Code of 1954, or corresponding provisions of any subsequent federal tax laws. (d) The corporation shall not make any investments in such manner as to subject it to tax under Section 4944 of the Internal Revenue Code of 1954, or corresponding provisions of any subsequent federal tax laws. (e) The corporation shall not make any taxable expenditures as defined in Section 4945(d) of the Internal Revenue Code of 1954, or corresponding provisions of any aubsequent federal tax laws. Notwithstanding any other provisions herein, this corporation shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from Fedecal income tax under Section 501(c)(3) of the Internal Revenue Code of 1954, as amended (or the corresponding provision of any future Onited States Internal Revenue Law) or (b) by a corporation contributions to which are deductible under Section 170(c)(2) of the Internal Revenue Code of 1954, -a- as amended (or the corresponding provision of any future Onited States Internal Revenue Law). IV. POWERS In furtherance of the corporation's .purposes, the corporation shall have•all rights, powers, privileges and immunities afforded to a Hawaii nonprofit corporation, including, but subject to any limitations imposed by any Hawaii or Federal laws imposed upon nonprofit and tax exempt cocporations, the following: (1) To acquire, improve and operate any real or personal property or interest or rights therein or appurtenant thereto. (2) To sell, convey, assign, mortgage or lease any rfal and personal property. (3) To borrow money and to execute such evidence of indebtedness and such contracts, agreements, and instruments as may be necessary to execute and deliver any mortgage, deed of trust, assignment of income, or other security instrument in connection therein; and (4) To have and exercise all powers necessary or convenient to effect any or all of the purposes set forth in these Articles of Incorporation or reasonably incidental to the fulfillment of its purposes or the exercise of its powers as set forth therein. -5- V. DURATION The duration of this corporation shall be perpetual. VI. MEMBERS , (1) The authorized number and qualifications of members of this corporation, the different classes of ' membership, if any, the property, voting, and other rights and privileges of members, and their liability to dues and assessments, if any, and the method of collection thereof, shall be as set forth in the Bylaws, or as decided from time to time by resolution of the Board of Directors. (2) The members of this corporation may also be the directors thereof. Additional members shall become members or shall cease to he members in accordance with the provisions set forth in the Bylaws. INDEMNIFICATION Any person who, by reason of the fact he is or was a director, officer or member of the corporation, or is or was serving at the request of the corporation as a director or officer of another corporation, partnership, joint venture, trust or other enterprise, is or was a party, or is threatened to be made a party, to any threatened, pending or completed action, suit oc proceeding, whether civil, criminal, administrative, or investigative, shall be indemnified by the corporation, provided he acted in good faith and in a manner he reasonably believed to be in or not opposed to the best interests of the corporation, and, with respect to any ' criminal action or proceeding, had no reasonable cause to believe his conduct was unlawful. The termination of any action, suit, or proceeding by judgment, order, settlement, conviction, or upon a plea of polo contendere or its equivalent, shall not, of itself, create a presumption that the person did not act in good faith and in a manner which he reasonably believed to be in or not opposed to the best interests of the corporation, oc, with respect to any criminal - - action or proceeding, that he had reasonable cause to believe that his conduct was unlawful. Expenses, including attorneys' fees, incurred in defending"a civil or criminal action, suit or proceeding may be paid by the corporation, in advance of the final disposition of the .action, suit, or proceeding as authorized by the Board of Directors in the specific case, - upon receipt of an undertaking by or on behalf of the director, officer or member to repay such amount unless it shall ultimately be determined that he is entitled to be indemnified by the corporation as authorized herein. The indemnification provided hereunder shall not be deemed exclusive of any other rights to which those seeking indemnification may be entitled under any applicable statute as amended from time to time, any Bylaws, agreement, vote of disinterested directors or otherwise, both as to action in their official capacity and as to action in another capacity while holding such office, and shall continue as to a person who has ceased to be a director, officer or member and shall -10- inure to the benefit of the heirs, executors and administrators of such person. DISSOLDTION Opon the dissolution or winding up of corporation, its assets remaining after payment of, or provision for payment of, all debts and liabilities of this corporation, shall be distributed to a nonprofit fund, foundation, or corporation which is organized and operated exclusively for'' charitable, educational, religious, and/or scientific purposes and which has established its tax-exempt status under Section 501(c)(3) of the Internal Revenue Code of 1954, as amended, or shall be distributed to the Federal government, of to a state or local government, for a public purpose. Section 1.02 Registered Office and Agent The corporation shall have and contimrously maintain in the State of Hawaii, a registered office and a registered agent whose office is identical with such registered office. ARTICLE II ~t?.~ Section 2.01 Eligibility for Membership The corporation shall have one class of members. Membeas may be individtrals or organi~tions. Section 2.07 Transfer of Membership Membership in the corporation is not transferable or assigffible. Section 2.08 Membership -Liability for Corporation's Obligations Members shall mt be liable for any debts or obligations of the corporation atd shall not be subject to a~ assessment; but the members at any annual mating or at any special meeting called for the Purpose, may fix reasonable anmral dues to become effective after not less than 30 days notice to all members of such actioa Section 2.09 Membership -Minimum Number The board will make all reasoffible efforts to maintain a broad community wide membership of not less than 25 members at any time, in addition to the Board of Directors who shall all be members of the wrporation ARTICLE III Meetings of the Members Section 3.01 Annual Mating An annual meeting of the members shall be held in Hilo, Hawaii during the second week of the month of December each year, beginning with the year 1988, for the purpose of electing directors and for the traasection of such other business as may come before the meeting. If the day fixed for the annual meeting shall be a legal holiday in the state of 2 Hawaii, such meeting shall be held on the next succeeding business day. If the election of the directors shall not be held on the day designated herein for any annual meeting, or At any adjournment thereof, the board shall cause the election to be held at a special meeting of the members as soon thereafter as convenient. Section 3.02 Special Meetings Special meetings of the members may be called by the president, the board, or not kss than one-tenth of the members. Section 3.03 Place of Meeting The board of directors may designee any place within the County of Hawaii as the place for an annual meeting or for any special meeting called by the board. If m designation is made or if a special meeting be otherwise called, the place of the meeting shall be the registered office of the corporation in the State of Hawad. Section 3.05 Information Action by Members Any action required by Iaw to betaken at a meeting of the members, or nay action which may be taken at a meeting of the members, may be taken without a meetirtg upon written consent or approval of all the members, setting forth the action so taken. Sectron 3.06 Quorum At such a meeting a quorum shall consist of twice the number of directors. If a quorum is not present at any meeting of the members, a majority of the members present may adjourn the meeting from time to time wtthout further notice. Section 3.07 Proxies (a) At any meeting of the members, a member entitled to vote may vote by proxy executed in writing by the member. No proxy shall be valid after ekvea months from 3 the date of its execution A proxy may be canceled by notice executed by the member with like formality and delivered to the secretary. (b) At each meeting of the members, every member shall be entitled to vote in person or by proxy and shall be entitled to cast one vote. The votes for directors shall be by ballot. Only the person in whose name membership is standing in the books of the corporation on the day of such meeting shall be entitled to vote in person or by proxy. (c) For any person to represent a member by proxy, such person must submit a power of attorney to the secretary of the board for examination at least one hour before the time of meeting. When the secretary has certified the power of attorney is in good order, the proxy holder shall have the right to do any and all things which might be done by the member present in person, which right shall include the establishment of a quorum and the organtzirtg of any meeting. ARTICLE IV Board of Directors Section 4.01 General Powers The affairs of the corporation shall be managed by its board of directors. Section 4.02 Number, Tenure, and QuaGficstioaa The rwmber of directors shall be at least nine, but not more thaa fifteen. The directors elected at the annual meeting to succeed the directors named in the Articles of Incorporation shall be elected to staggered terms of three, two, a~ one year. The authorized person or persons calling a special meeting of the board may fix any place within the County of Hawaii as the place for holding such meeting. a Section 4.05 Notice Notice of any special meeting of the board shall be given at least two days previously thereto by written notice delivered personally, or four days notice sent by mail or telegram, to each director at the directors address as shown by the records of the corporation If mailed, such notice shall be deemed to be delivered when deposited in the United States mail m a sealed envelope so addracsed, with postage thereon prepaid. If notice be given by telegram, such notice shall be deemed to be delivered when the telegram is delivered to the telegraph company. Any director may waive notice of any meeting. Section 4.07 Manner of Acting The act of a majority of the directors present at a meeting at which a quorum is present shall be the act of the board, unless the act of s greater number is required by law or by these bylaws. The board may also act by writtee ooa~ent, or approval of all the directors of the corporation setting forth the action takrn Section 4.Og Vacancies Any vacancy occurring in the board shall be filled by the board until the next meeting of the members and until a successor has been elected for the uixxpired term of office of the predecessor in office. Section 4.09 Compensation Directors shall not receive any compensation for their services as directors. Sectron 4.10 Directors -Absence from Mcetings Any director who misses more than three meetings during a year, without excuse satisfactory to the board, shall be deemed to have surrendered the office as director. 5 Section 4.11 Directors -Residuary Powers The board shall havt the powers and duties necessary or appropriate for the administration ofthe affairs of the corporation All powers of the corporation except those specifically granted or reserved to the members by law, the Articles of Incorporation, or by these bylaws shall be vested in the board. Section 4.12 Directors -Removal From Office A director may be removed from office, for cause, by the vote of not less than thrce- fourths of the members present at a meeting of the members, provided notice of such proposed action shall have been duly given in the notice of the meeting, and provided the director has bcen informod in writing of the charges preferred against the director at least 10 days before such meeting. The director rtrvolved shall be given an opportunity to be heard at such meeting. Any vacancy created by the r+enwval of a director shall be filled by a majority vote, which may be taken at the same meeting at which such reawval takes place. Section 4.13 Indemnification of Directors Every director or former dQrctor of the corporation shall be indemnified against expenses incurred in connection with the defense of a~ action, suit, or proceeding civil or criminal, in which the director is made party by reason of being or having been a daector. ARTICLE V Officers Suction 5.01 Officers The officers of the corporation shall be a president, vice-president, a secretary, and a treasnr+er. the board may elect or appoint such other olTxxas as it shall deem desirable, such officers to have the authoridy and perform the duties preacdbed, fi+om time to time, by the board. The ofli<xs of secretary end treasurer may be combined and held by one Person Section 5.02 Election and Term of Office (a) The officers of the corporation specified in Secton 5.01 shall be elected from the membership of the board by the board at its annual meeting or es soon tltereafter as feasible. New offices tmy be created and filled at any meeting of the board. Each officer shell hold office until the next annual elecfion of dhectors and until a successor shall have been duly elected and shall have qualified. (b) The term of the office shall be one year. Election of officers shall be by ballot cast by qualified directors. A plurality of votes cast shall elect. 6 Section 5.03 Removal Any officer elected or appointed by the board may be removed by the board by two- th>rds vote of the remaining directors whenever in its judgment the best interest of the corporation would be served thereby, but such removal shall be without prejudice to the contract rights, if any, of the officer so removed. Section 5.04 Vacancies , A vacancy in any office because of death, resignation, removal, disqualification, or otherwise, may be filled by the board by majority vote for the un-expir+ed portion of the term Section 5.05 President The presidern shall be the principal executive officer of the corporation and shall in general supervise and control all the business and affairs of the corporation The president shall preside at all meetings of the members and of the board. The president may sign, with the attestation of the secretary or eny other proper officer of the corporation authorized by the board, any deeds, mortgagee, bonds, contracts, or other instruments which the authorizes to be execrrted, except incases where the signing a~ execution theroof shall be expressly delegated by the board or these byLtws or startrrte to some other officer or agent of the corporation ~ in general shall perform all duties incident to the office of president and such other duties as may be prescribed by the board from time to time. Section 5.06 Vice President In the absence of the president or in the event of an inability or refusal to act, the vivo- president shell perlionn the duties of the president ate, when so soling, shall have all the powers of a~ be subject to all the rdtrictioav upon the preside. A~ vico-president shall perform such other duties as from time to time may be assigned by the president or the board. Section 5.07 Treasurer The treasurer shall oversee the financial responsibilities ofthe corporation and take such action to verify that the executive daector has fulfilled the financial obligations of the corporation as shall be in accordance with the provisions of Article VIII of these bylaws; and in gearal perform all duties incident to the office of the treasurer and such other duties as from time to time be assigned by the president of the board. (Amended 12/11/99) Section 5.08 Secretary 7 The secretary shall keep the minutes of the mceting of the members and board in one or more books provided for that purpose, see that all notices are duly given in accordance with the provisions of these bylaws or as required by Lrw; be custodian of and see that The seal of the corporation is affixed to all documents the execution of which on behalf of the corporation under its seal is duly authorized in accordance with the provisions of these bylaws; keep a register of the post office address of each member, which shall be furnished to the secretary by such member, and in general perform all duties as from time to time may be assigned by the president or the board. ARTICLE VI Order of Business Section 6.01 Order of Business The order of business at any regular or special meeting of the members or the board shall be: a) Reading e~ approval of aay un approved minutes. b) Reports of officers and comarittces. c) Unfinished business. d) New business. Section 6.02 Parliamentary Procedures On questions of parliamentary procedure not coverod in these bylaws, a ruling by the president shall prevail. ARTICLE VII Committees Section 7.01 Committees of Directors The board of directors, by resolution adopted by majority of the directors in office, may designate one or more committees, each of which shall consist of one or more directors, which committees, to the extent provided in said resolution shall have and exercise the authority of the board in management of the corporation; but the designation of such committces and the delegation thereto of authority shall not operate to relieve the board, or any mdividual director, of any responsibility imposed upon the board or any individual duector by law. 8 Section 7.02 Other Committees Other committees not having and exeroising the authority of the board in the management of the corporation may be designated by a resolution adopted by a majority of the directors present at a meeting at which a quorum is present. Except as otherwise provided in such resolution, members of each such committee shall be members of the corporation, and the president of the corporation shall appoint the members thereof. Any member thereof may be removod by the person or persons authorized to appoint such member whenever in their judgment, the best interests of the corporation shall be served by such removal. Section 7.03 Term of Office Each member of a committee shall continue as such urttil the next annual meeting of the members of the corporation and until a successor is appointed, unless the committee shall be sooner terminated, or unless such member be removed from such committee, or unless such member shall cease to qualify as a member thereof Section 7.04 Chairmen One member of each committee shall be appointed chairman by the persons authorized to appoint the members thereof Section 7.05 Vacancies Vacancies in the membeaship of a~ oommittce may be Shed by appointments made in the same manner as provided in the cave of the original appointmers. Section 7.06 Quorum Unless otherwise provided m the resolution of the board of directors designating a committee, a majorhy of the whole committce shall wnstitute a quorum and the act of a ma3ority of the members present at a meeting at which a quorum is present shell be the act of the committee. Section 7.07 Rules Each committce may adopt rules for its own government not inconsistent with these bylaws or with rules adopted by the board of directors. ARTICLE VIII Contracts. Checks. I)eoosits. and Funds 9 Section 8.01 Contracts The board may authorize any officer or officers, agent or agents of the corporation, in addition to the officers so authorized by these bylaws, to eater into any contract or execute and deliver a~ instrument in the creme of and on behalf of the corporation, and such authority may be general or eonSaed to specific instance. Section 8.02 Checks, Drafts, etc. , All checks, drafts, or orders for the payment of moay, notes, or other evidence of indebtedness issued in the name of the corporation shall be signed by the officer or officers, agent or agents of the corporation, and in a manner as shall from time to time, be determined by resohrtion of the board. In the absence of determination by the board, these int~~e shall be signed by the tteas~aer and ootuuersigned by the president of the corporation. Section 8.03 Deposits All funds of the corporation shall be deposited ft+om time to time to the credit of the corporation is such beaks, trust oompames, or other depositaries as the board may select. Section 8.04 Gifts The board may accept on behalf of the corporation a~ coda'bution, gib, bequest, or devise for the general purpose or for nay special purpose of the corporation ARTICLE IX Certificates of Membership Section 9.01 Certificates of Membership The board may provide for the issuance, sad determine the Soren of certificates evidencing membership is the corporation. Such certificates shall be signed by the president and the secretary, sealed whh the seal of the corporation, sad oowecutively numbered. The name e~ address of each member apd the date of issuance of the certificate shall be emerod on the records of the corporation. If any certificate becomes lost, mutilated, or destroyed, a new certificate may be issued upon such terms and conditions as the board may determine. Section 9.02 Issuance of Certificate When a member has been elected W membership and has paid any dues that may then be required, a certificate of membership shall be issued m his or her name and delivered to the member by the secretary. to ARTICLE X Books and Records The corporation shall keep correct and complete books and records of account, and shall keep minutes of the proceedings of its members, the board, and committees having any of the authority of the board of directors, and shall keep at the registered or principal office a record giving names and addresses of the members. All books and records of the corporation mny be inspected by any member, or member's agent or attorney, for any proper purposes a*. any reasonable time. The board shall cause an audit of the records of the corporation to be made each year by a competent auditor. ARTICLE XI Fiscal Year The fiscal year of the corporation shall begin on the first day of July and end on the last day of June in each year. ARTICLE XIII Waiver of Notice Whenever any rotice is required to be given under the provisions of the stattrtes of the State of Hawaii or the articles of incorporation or the bylaws of the corporation, a waiver thereof in writing signed by the person or person entitled thereto, whether before or after the time stated therein, shall be deemed equivalent to the giving of such notice. ARTICLE XlV Nepotism. Conflicts of Interest. Discrimination Section 14.01 Policy on Nepotism No two or more members of a family or kin of the fuel or second degree shall be employed by, be order contract to, or otherwise receive compensation from the corporation; provided that the board tray waive such policy when in its reasonable n discretion it determines that such waiver is in the best interest of the corporation, and provided further that the appropriate o>~cial of the State of Hawaii or County of Hawan has consented in writing if requires pursuant to Chapter 42, H.RS., or Chapter 2, H.C.C. Section 14.02 Policy on Conflicts of Interest No member shall participate in any decision of the corporation which may benefit the member's personal interest, or the interests of any corporation, partnership, or association in which the member is directly or indirectly associated. Section 14.03 Policy on Discrimination The corporation shall comply with all applicable federal and state laws prohibiting discrimination against any person on the basis of lace, color, national origin, religion, creed, xx, age, or physical handicap with reaped tv empbyment.
