The East Hawau Coalrtron for the Homeless (EHCH) rs seeking another year d support for both the Emergency
Shelter and Trensrtional Shelter Programs, from the Courriy d Hawarr's Human Services Non-Profit Grant program
This particular proposal rs wntten for the funding d the Kihel Pua Emergency Sheter program A separate
proposal is being submitted for the IOhei Pus Transitional Housing program dunng this appNcabon process EHCH
has been fortunate to have reoened fording from the County d Hawaii's Human Servioas dNrsion in past years
Thra support has tieeri d groat aaeiafanoe in helpng to serve the homeless on the Big Island Since EHCH began
operating 13 years ago. we have served over 7.000 people
Hale O Puna, is an rrrtake center located in Paha to sane the tower Puna area of East Hawan EHCH provdes
intake. aeaesarrierit, referral. case mariegeinerit, marl aervloe, telephone, laundry, emergency food packages. and
dillies No shelter service is being offered d tfrs time. However. eligibb partwperite can be screened and later

program serves displaced families and indviduals for a mazimum of six weeb. The YOhei Pua Emergency Sheller
program is designed to

Also to 1989, the Mental Health Asaoaatlon d Hawaii released a study that found the County d Hawati has the:

EHCH served 689 m 19gs}00 (518 unduplicated), and is currently on pace to house over 600 unduplicated
individuals by June 30, 2001 We are presently, at our maximum capacity in the shelter, and have been at that
level throughout the year This past Chnstinas vre housed over 30 children beMreen our Emergerxy and
Trensitional Programs In addition, Hale O Puna served more than 300, who arxeseed services from throughout
the lower Puna area

Street, in HNo, Hawaii. The EHCH Ertiergsrxy program is stalled 24 haws a ley, througtroirt the year. Case

December 14, 1987, under the laws of the State of Hawaii EHCH is a nonprofit
organizsnon operating in Hilo, Hawau, whoa purpox is to assist in the maintenance and
support of homeless persons through the provision of shelter, care, food, and other
necessities to such persons EHCH receives substantially all of their funding through
federal and state grants and contributions from the public
BESiS-Qfars~oting -The financial statements are prepared on the accrual basis of
accounting and in accordance with genarallY ~~B prinaPlea and according
to the guidelines set forth in the AICPA Ltdustry Guide for "Audits of Certain Nonprofit
Organizations" and (SOP 78-10) "Accounting Principles and Reporting Practices for
Certain Nonprofit Organizations "
I~mgSsxtl-The East Hawaii Coalition for the Homeless is determined to be a tax-
exempt organization under Section 501(cx3) of the U.S. Internal Revenue Code and is
rlwaaified as other than a private foundatioa EHCH is rocognized to be exempt from
Federal and State income taxes.
- In 1996, EHCH adopted Statemeat of F'maacial
Accounting Standards (SFAS) No. ! 17, "Finsrt~al Statements ofNot-for-Profit
Orgenizatiorta.° Under SFAS No. 117, EHCH is requited to roport information regarding
its financial position end activities according to three classes of nd assets (unrestricted net
asxts, temporarily restricted net assets, and permanently restricted net assets) based upon
the existence or absence ofdonor-imposed restrictions. As permitred by this statement,
EHCH has discontinued its rues of fiord accounting and has, accordingly, reclassified its
financial statements to presort clasxs of net assets. The reclassification had no
cumulative effect on the change in net assets for the year ended June 30, 1997
EHCH also adopted SFAS No 116, "Accounting for Contributions Received and
Contributions Made," in 1997 In accordance with SFAS No 116, contributions received
are recorded as unrestricted, temporerily restricted, or permanently restricted support,
depending on the existence and/or nature of arty donor restrictions. The adoption had no
cumulative effect on net assets at the date of the adoption. In addition, EHCH has not
received any contributions with donor-imposed restrctrons that would result in
temporarily or permanently restricted net assets

4 Investment properi~ for sale
In 1996, EHCH accepted a donation of property (house and lot) in the Hawauan Beaches
subdivision. The property wan vahred at 5105,456 at that time, and this was shown as pert of
Property do Equipment in 1996, as EHCH intended to use the property as a traasidosal hotrae. In
the previous Sscal yar, due to vandalism end the on-going deterioration of the property EHCH
decided to sell the property thas it was reclassified to Inveahnent property for eels. It was liatad
for 529,900 thus the reduction of this property to this amount and the recording of a Lou on
reduction in value of Investmatt property for sale of 562,265 (net of insurance proceeds of
513,291) in the previous yar'a fiaarn7al statements. During this fiscal yar, the property sold for
S23,078 thus the recording of a 56,822 loan as part of Loss on Sale of Investment property.
5 Notd Payable -Current
Notes Payable -Current is a 544,034 short-term promissory note dated March 19, 1997 from
Bank of Hawari with a floating 2.5% above a Base Rate interest (this interest rate was 11% u of
June 30, 1997) and a balloon paymerrt of all principal and accrued interest on or before October
28, 1997 This promissory note is secured by the Receivable from the County of Hawau HOME
program, see Note 2 above The Bank of Hawaii note payable had been paid off during fiscal yeaz
June 30, 1998

6 Lease Commitments
The East Hawaii Coel~tion for the Homeless Krherpua Shelter facility is operated on leased
property from the County of Hawarr The lease calls for an annual real of Sl with the current
term expinng m the year 2001
The East Hawati Coalition for the Homeless also leases 4 apartments on Puueo Street, fiilo for
transitional homes Payments are $1,500 per month The lease terms cover the twelve (12)
month period which commenced May 21, 1998
7 Obligations Under Capitsl Lease
East Hawaii Coalition for the Homeless leases its copying machine from GE Capital Hawau, Inc.,
under a capital lease in the original amouttt of S 18,135 The economic substance of the lease is
that East Hawaii Coalition for the Homeless is ftrtar?cing the acquisition of the assets through the
lease, and accord;ngly, it is recorded in the assets attd liabilities.

ARTICLES OF INCORPORATION
RNOW ALL MEN BY THESE PRESENTS:
That the undersigned, desiring to become incorporated
as a nonprofit corporation and to obtain the benefits
conferred on nonprofit corporations by law, hereby enter into
the followigg Articles of Incorporation, the terms of which
shall be equally obligatory upon the parties hereto as well as
upon all other persons who from time to time may be members in
the corporation.
I.
NAME
The name of this corporation shall be:
EAST HAWAII COALITION FOR THE HOMELESS
II.
ADDRESS
The place of the principal office of the corporation
shall be in Hilo, Island of Hawaii, State of Hawaii. Upon its
incorporation, the street mailing address of the initial
office of the corporation shall be 374 Walanuenue Avenue,
Hilo, Hawaii 96720. The corporation may conduct its business
at such address oc at such other office or offices within and
without the State of Hawaii as its business may from time to
time require.
III.
PURPOSES
The corporation is organized exclusively for
charitable purposes within the meaning of Section 501(c)(3) of
the Internal Revenue Code, 'including, for such purposes, the
making of distributions to organizations that qualify as
exempt organizations under said Section 501(c)(3) or
corresponding section of any future federal tax code.
The purpose of the corporation shall be the promotion
of social welfare by caring for and assisting in the
maintenance and support of homeless gersons through the
provision of shelter, care, food and other necessities to such
persons.
Provided, however, that the foregoing shall be
strictly limited to charitable purposes within the meaning of
Section 501(c)(3) of the Internal Revenue Code of 1954, as
amended. The corporation is not organized for profit and it
will not issue any stock. No part of its assets, income, or
earnings shall be distributed to any member, director,
officer, employee, or any private individual, except that

reasonable compensation may be paid for services rendered to
or for the corporation effecting one or more of its objects
and purposes or for reimbursement of expenses incurred in
behalf of the corporation. No member, director, officer, or
employee of the corporation, or any private individual, shall
be entitled to share in the distribution of any of the
corporation's assets on dissolution of the corporation. No -
part of the activities of the corporation shall include (i)
carrying on propaganda, (ii) attempting in any manner to
influence legislation, except that members of the
corporation's Board of Directors and personnel of the
corporation may testify or make other appropriate
communications where formally requested to do so by a
legislative body ,or a committee or a member thereof, in
- matters concerning legislation relating to the public purposes
of the corporation or public appropriations to program and
activities of the corporation, or (iii) participating in, or
intervening in (including the publication or distribution of
statement), or contributing to, any political campaign on
behalf of any candidate for public office.
Further, and without limiting the generality of the
foregoing,
(a) The corporation shall distribute its income for
each taxable year at such time and in such manner as not to
become subject to the tax on undistributed income imposed by

Section 4942 of the Internal Revenue Code of 1954, or
corresponding provisions of any subsequent federal tax laws.
(b) The corporation shall not engage in any act of
self-dealing as defined in Section 4941(d) of the Internal
Revenue Code of 1954, or corresponding provis1ons of any
subsequent federal tax laws.
(c) The corporation shall not retain any excess
business holdings as defined in Section 4943 (c) of the
Internal Revenue Code of 1954, or corresponding provisions of
any subsequent federal tax laws.
(d) The corporation shall not make any investments
in Such manner as to subject it to tax under Section 4944 of
the Internal Revenue Code of 1954, or corresponding provisions
of any subsequent federal tax laws.
(e) The corporation shall not make any taxable j
expenditures as defined in Section 4945(d) of the Internal
Revenue Code of 1954, or corresponding provisions of any
subsequent federal tax laws.
Notwithstanding any other provisions herein, this
corporation shall not carry on any other activities not
permitted to be carried on (a) by a corporation exempt from
Federal income tax under Section 501(c)(3) of the Internal
Revenue Code of 1954, as amended (or the corresponding
provision of any future United States Internal Revenue Law) yr
(b) by a corporation contributions to which are deductible
under Section 170(c)(2) of the Internal Revenue Code of 1954,

as amended (or the corresponding provision of any future
Onited States Internal Revenue Law).
IV.
POWER
In furtherance of the corporation's purposes, the
corporation shall have all rights, powers, privileges and
immunities affocded to a Hawaii nonprofit corporation,
including, but subject to any limitations imposed by any
Hawaii or Federal laws imposed upon nonprofit and tax exempt
corporations, the following:
(1) To acquire, improve and operate any real or
personal property orsinterest or rights therein or appurtenant
thereto.
(2) To sell;, convey, assign, mortgage or lease any
_ real and personal pro~ierty.
(3) To borrow money and to execute such evidence of
indebtedness and such contracts, agreements, and instruments
as may be necessary to execute and deliver any mortgage, deed
of trust, assignment of income, oc other security instrument
in connection therein; and
(4) To have and exercise all powers necessary or
convenient to effect any or all of the purposes set forth in
these Articles of Incorporation or reasonably incidental to
the fulfillment of its purposes or the exercise of its powers
as set forth therein.

V.
pORATION
The duration of this corporation shall be perpetual.
VI.
MEMBERS
(1} The authorized number and qualifications of
members of this corporation, the different classes of '
membership, if any, the pcoperty, voting, and other rights and
privileges of members, and their liability to dues and
assessments, if any, and the method of collection thereof,
shall be as set forth in the Bylaws, or as decided from time
to time by resolution of the Board of Directors.
(2) The members of this corporation may also be the
directors thereof. Additional members shall become members or
shall cease to be members in accordance with the provisions I
set forth in the Bylaws.
VII.
HOARD OF DIRECTORS
The business and affairs of the corporation shall be
managed by a Board of Directors consisting of not less than +
nine (9) members nor more than thirteen (13} members. All of
the members of the Board of Directors shall be residents of ~
the County of Hawaii. The initial directors of the ~

IX.
INDEMNIFICATION
Any person who, by reason of the fact he is oc was a
director, officer or member of the corporation, or is or was
serving at the request of the corporation as a director or
officer of another corporation, partnership, joint venture,
trust or other entecprise, is or was a party, or is threatened
to be made a party, to any threatened, pending or completed
action, suit or proceeding, whether civil, criminal,
administrative, or investigative, shall be indemnified by the
corporation, provided he acted in good faith and in a manner
he reasonably believed to be in or not opposed to the best
interests of the corporation, and, with respect to any
criminal action or proceeding, had no reasonable cause to
believe his conduct was unlawful. Such indemnification shall
be provided against expenses, including attorneys' fees,
judgment, fines and amounts paid in settlement actually and
reasonably incurred by him in connection with such action,
suit or proceeding; provided, however, that with respect to an
action or suit by or in the right of the corporation, such

indemnification shall be only against expenses, including
attorneys' fees, and in such cases no indemnification shall be
made in respect to any claim, issue or matter as to which such
person shall have been adjudged to be liable for negligence or
misconduct in the performance of his duty to the corporation,
unless, and only to the extent that, the court in which the
action or suit was brought determines, upon application, that
despite the adjudication of liability and in view of all the
circumstances of the case, the person is fairly and reasonably
entitled to indemnity for such expenses as the court shall
deem proper. To the extent that a director, officer or member
of the corporation has been successful on the merits or
otherwise in defense of any such action, suit, or proceeding
or in defense of any claim, issue or matter therein, he shall
be indemnified against expensesi, including attorneys' fees,
actually or seasonably incurred by him in connection with the
action, suit, or proceeding. Any other indesrificatior.
hereunder, unless ordered by a court, shall be made by the
corporation only as authorized in the specific case upon a
determination that indemnification of the director, officer or
member is proper in the circumstances because he has met the
applicable standard of conduct set forth herein. The
determination shall be made by the Soard of Directors 6y a
majority vote of a quorum consisting of directors who were not
parties to the action, suit, or proceeding, oc if such a
quorum is not obtainable, or even if obtainable if a quorum of

disinterested directors so directs, by independent legal
counsel in a written opinion. The termination of any action,
suit, or proceeding by judgment, order, settlement,
conviction, or upon a plea of nolo contendere or its
equivalent, shall not, of itself, create a presumption that
the person did not act in good faith and in a manner which he
reasonably believed to be in or not opposed to the best
interests of the corporation, or, with respect to any criminal
action or proceeding, that he had reasonable cause to believe
that his conduct was unlawful. Expenses, including attorneys'
fees, incurred in defending-a civil or criminal action, suit
or proceeding may be paid by the corporation, in advance of
the final disposition of the .action, suit, or proceeding as
authorized by the 9oard of Directors in the specific case,
upon receipt of an undertaking by or on behalf of the
director, officer or member to repay such amount unless it
shall ultimately be determined that he is entitled to be
indemnified by the corporation as authorized herein. The
indemnification provided hereunder shall not be deemed
exclusive of any other rights to which those seeking
indemnification may be entitled under any applicable statute
as amended from time to time, any Bylaws. agreement, vote of
disinterested directors or otherwise, both as to action ±n
their official capacity and as to action in another capacity
while holding such office, and shall continue as to a person
who has ceased to be a director, officer or member and shall

inure to the benefit of the heirs, executors and
administrators of such person. The corporation may purchase
and maintain insurance on behalf of any person who is or was a
director, officer or member of the corporation, or is or was
serving at the request of the corporation as a director or
officer of another corporation, partnership, joint venture,
trust or other enterprise against any liability asserted "
against him and incurred by him in any such capacity, or
arising out of his status as such, whether or not the
corporation would have the power to indemnify him against such
liability under the provisions herein.
X.
Y~ LAWS
The initial Bylaws of the porporation shall be
adopted by the directors at an initial meeting of the
directors. The Bylaws may from time to time be amended,
altered, repealed, and new bylaws map be adopted, ~ubect to
repeal or change, as prescribed in the Bylaws.
XI.
AMENDMENT
These Articles may be amended by the affirmative vote
of not less than two-thirds (2/3rds) of the directors of the
corporation at any annual meeting or at a meeting duly called
far such purpose.

DISSOLDTION
Dpon the dissolution or winding up of corporation,
its assets remaining after payment of, or provision for
payment of, all debts and liabilities of this corporation,
shall be distributed to a nonprofit fund, foundation, or
corporation which is organized and operated exclusively for'
charitable, educational, religious, and/or scientific purposes
and which has established its tax-exempt status under Section
501(c)(3) of the Internal Revenue Code of 1954, as amended, or
shall be distributed to the Federal government, or to a state
or local government, for a public purpose.

ARTICLE I
Office `
Section 1.01 Principle Office
The principal office of the corporation in the State of Hawaii shall be located at Hilo,
County of Hawaii.
Section 1.02 Registered Office and Agent
The corporation shall have and continuously maintain in the State of Hawaii, a registered
office and a registered agent whose office is identical with such registered office.
ARTICLE II
1
Section 2.01 Eligibility for Membership
The corporation shell have one clan of members. Member may be individuals or
organizations. A~ legally competent person of good reputation who resides in the
County of Hawaii, and applies for membership shall be eligible.
Section 2.02 Approval of Applications for Membership
All application for membership shall be approved at (1) any special or regular meeting of
the board of directors, when a quorum is ptrsern, by a majority wte of the board
members or (2) by a majority vote of the existing membership present at a~ annual or
special meeting held in accordance with Article III herein.
Section 2.03 Voting Rights
Each member shall be ernitkd to one wte on each matte submitted to a vote of the
members.
Section 2.04 Temvnation of Membership
A member may be suspended or expelled, for cause, by the vote of not less than threo-
fourths of the members presern ai a meeting of the members, provided notice of such
proposed action shall have been duly given in the notice of the meeting and provided the
member has been informed in writing at least ten days before such meeting. The
members shall~be given an opportunity to be heard at such meeting. The members of the
board, by a majority vote of those presem at any regularly constituted meeting, may
terminate tbe membership of any member who becomes ineligible for membership and
may suspend or expel any member who shall be in defauh with respect to any financial
obligation to the corporation
Section 2 OS Resignation
Any member may resign by filing a written resignation with the secretary.
Section 2.06 Reinstatemerrt
Upon written request signed by a former member and filed with tbe secretary, the board
may reinstate such former member to membership upon such terms as the board may
deem appropriate.
Section 2.07 Transfer of Membership
Membership in the corporation is not traavferable or assignable.
Section 2.08 Membership -Liability for Corporation's Obligations
Members shall not be liable for any debts or obligations of the corporation and shall not
be subject to any •a~~.=,• but the members at any annual meeting or at any special
meeting called Sor the purpose, may fix reasonable aomtnl dues to become effective after
not less than 30 days notice to all members of such action
Section 2.09 Membership -Minimum Number
Tbe board will make all reasonable efforts to maintain a broad community wide
membership of not less thin 25 members at any time, in addrtion to the Board of
Directors who shall all be members of tbe corporation
ARTICLE III
Meetings of the Members
Section 3.01 Annual Meeting
An annual meeting of the members shall be held in Hilo, Hawaii during the second week
of the month of December each year, beginning with the year 1988, fior the purpose of
electing daectors and for tbe transactron of such other business as may come before the
meeting. If tbe day fixed for the annual meeting shall be a legal holiday in the state of

Hawaii, such meeting shall be held on the next succeeding business day. If the election
of the directors shall not be held on the day designated herein for any annual meeting, or
At any adjournment thereof the board shall cause tbe election to be held at a special
meeting of the members as soon thereafter as convenient.
Section 3.02 Special Meetings
Special meetings of tbe members may be called by tbe president, t}te board, or not less
than one-tenth of the members.
Section 3.03 Place of Meeting
The board of directors may designate any place within the County of Hawaii as the place
for an annual meeting or for any special meeting called by the board. If no designation is
made or if a special mating be otherwise called, the place of the meeting shall be tbe
registered office of the corporation in the State of Hawaii.
Section 3.04 Notice of Meetings
Written or printed notice stating the place, day, and hour of any meeting of the members
shall be delivered either personally or by mail, to each member entitled to vote at such
meeting, not less then seven or more than thirty days bebre the date of such meeting, by
or at the direction of the president, or secretary, or the officers or petsong calling the
meeting. In case of a special meeting or when requaed by statute or these bylaws, the
Purpose or purposes for which the meeting is called shell be stated in the iatia. If
mailed, the notice of the meeting shell be deemed m be delivered whm deposited in the
United States mail addressed to the member at the address as it appears on the records of
the corporation, with postage thereon prepaid.
Section 3.05 Infotmation Action by Members
Any action requited by law to be taken at a meeting of the members, or any action which
may be taken at a meeting of the members, may be taken without a meeting upon written
consent or approval of all tbe members, setting forth tbe action so taken.
Section 3.06 Quorum
At such a meeting a quorum shell consist of twice the number of directors. If a quorum is
not present at any meeting of the members, a majority of the members present may
adjourn the mating from time to time without further notice.
Section 3.07 Proxies
(a) At any meeting of the members, a member entitled to vote may vote by proxy
executed in writing by the member. No proxy shall be valid after eleven months from

the date of its execution A proxy may be canceled by notice executed by the
member with like formality and delivered to the secretary.
(b) At each meeting of the members, every member shall be entitled to vote in person or
by proxy and shall be entitled to cast one vote. The votes for directors shall be by
ballot. Only the person in whose name membership is standing in the books of the
corporation on the day of such meeting shall be entitled to vote in person or by proxy.
(c) For any person to represent a tnember by proxy, such person must submit a power of
attorney to the secretary of the board for examination st least one hour before the time
of meeting. When the secretary has certified the power of attorney is in good order,
the proxy holder shall have the right to do any and all things which might be done by
the member present in petsoq which nght shall include the establishment of a
quorum and the organizing of any meeting.
ARTICLE IV
Board of Directors
Section 4.01 General Powers
The affairs of the corporation shall be managed by its board of directors.
Section 4.02 Number, Tenure, and Qualifications
The number of directors shall be at least nine, but not more than fifteen The directors
elected at the annual mating to succeed the daectors named in the Articles of
Inrwrporation shall be elected to staggered terms of throe, two, a~ one year. As the
terms of such directors expire, their successors shall be elected for terms of three years
and until their successors are elected and have qualified. D'aectors shall be members of
the corporation
Section 4.03 Regular Meetings
A regular annual meeting of the board shall be held, without other entice than these
bylaws, immediately after and at the same place as the annual meeting of the members.
The board may provide by resohrtion the time and place within the Comity of Hawaii, for
holding of additional regular meetings of the board without other rtotice than such
resolution.
Section 4.04 Special Meetings
Special meetings of the board may be called by or at the request of the president and shall
be called by the secretary at the request of any two directors. The authorized person or
persons calling a special meeting of the board may fix any place within the County of
Hawaii as the place for hokding such meeting.

Section 4.05 Notice
Notice of any special meeting of the board shall be given at least two days previously
thereto by written notice delivered personally, or four days notice sent by mail or
telegram, to each director at the directors address as shown by the records of the
corporation. If mailed, such notice shall be deemed to be delivered when deposited in the
United States mail in a sealed envelope so addressed, with postagethereon prepaid. If
notice be given by telegram, such notice shall be deemed to be delivered when the
telegram is delivered to the telegraph company. Any director may waive notice of any
meeting. The attendance of a director at any meeting shall constitute a waiver of notice
of such meeting, except where a director attends a meeting for the express purpose of
objecting to the transaction of any business because the meeting is not lawfully called or
convened. The business to be transacted at the meeting need not be specified in the
notice or waiver of notice of such meeting, unless specifically required by law or these
bylaws.
Section 4.06 Quorum
A majority of the board shall ooagtitute a quorum for the Uaa9action of business at any
meeting of the board; but if less than a majority of the directors are present at said
mating, a majority of the directors present may adjourn the meeting from time to time
without further notice.
Section 4.07 Mamrer of Acting
The act of a majority of the daectors present at a meeting at which a quorum is present
shall be the act of the board, unless the act of a greater number is required by law or by
these bylaws. The board may also act by written coaserrt, or approval of all the directors
of the corporation setting forth the action taken.
Section 4.08 Vacancies
Any vacancy occraring in the board shall be filled by the board until the next meeting of
the members and until a successor has been elected for the rmexpired term of office of the
predecessor in office.
Section 4.09 Compensation
Directors shall not receive any compensation for their services as directors.
Section 4.10 Directors -Absence from Matings
Any director who misses more that[ three meetings durwg a year, without excuse
satisfactory to the board, shall be deemed to have surrendered the office as director.

Section 4.11 Directors -Residuary Powers
The board shall have the powers and duties necessary or appropriate lbr the
administration of the affairs of the corporation. All powers of the corporation except
those specifically grantod or reverved to the members by law, the Articles of
Incorporation, or by these bylaws shall be vested in the board.
Section 4.12 Directors -Removal From Office ,
A director may be removed from office, for cause, by the vote of not less than three-
fouNrs of the members present at a meeting of the members, provided notice of such
proposed action shall have been duly given in the ratite of the meeting, and provided the
director has ba;n informal in writing of the charges preferred against the director at least
10 days before such meeting. The director involved shall be given an opportrmity to be
heard at such meeting. Any vacancy created by the removal of a director shall be filled by
a majority vote, which nmy be taken at the same meeting at which such removal takes
place.
Section 4.13 T~M+^±~cation of Directors
Every director or former director of the corporation shall be indemnified against expenses
incurred in concoction with the defense of any action, suit, or proceeding civil or
criminal, in which the director is made party by reason of being or having been a director.
ARTICLE V
Officers
Section 5.01 Officers
The officers of the eorporatian shall be a president, vico-presi,dent, a secretary, a~ a
treasurer. the board may elect or appoint such other officers as it shell deem desirable,
such officers to have the anthoridy and perform the dirties prexzibed, fiom time to time,
by the board. The offices of secretary a~ trrasurer may be combined and held by one

Section 5.02 Election and Term of Office
(a) The officers of the corporation specified in Section 5.01 shall be elected firm the
membership of the board by the board at its annual meeting or ea soon thereafter as
feasible. New offices may be created s~ 5lled at a~ meeting of the board. Each
officer shall hold office until the next anmral ebction of directors a~ until e
successor shall have been duly elected and shall have qualified.
(b) The term of the office shall be one year. Election of officers shall be by ballot cast
by qualified daectors. A plurality of votes cast shall elect.

Section 5.03 Removal
Any officer elected or appointed by the board may be rerraved by the board by two-
thirds vote of the ~ directors whenever in its judgment the best interest of the
corporation would be served thereby, but such removal shall be without prejudice to the
contract rights, if any, of the officer so removed.
Section 5.04 Vacancies ,
A vacancy in any office because of death, resignation, removal, disqualification, or
otherwise, may be filled by the board by majority vote for the unexpired portion of the
term
Section 5.05 President
The president shall be the principal executive officer of the corporation and shall in
general supervise and control all the business and affabs of the corporation. The
president shall preside at all meetings of the members and of the board. The president
may sign, with the attestation of the secretary or a~ other proper officer of the
corporation authorized by the board, any deeds, mortgages, bonds, contracts, or other
instruments which the atrthorizes to be executed, except incases where the signing a~
execution thereof shall be expressly delegsted by the board or these bylaws or statute to
some other officer or agent of the corporation and in geatal shall perform all duties
incident to the office of presideud and such other duties as may be preacdbed by the board
from tune to time.
Section 5.06 Vice President
In the absence of the president or in the event of an inability or refusal to ad, the vivo-
president shall perform the duties of the president nod, when so acting, shell have all the
powers of and be subject to all the restrictions upon the president. Any vice-president
shall perform such other duties as from time to time maybe assigned by the president or
the board.
Section 5.07 Treasurer
The treasurer shall oversee the fioaocisl responsibilities of the corporation and take such
action to verify that the executive daector has fulfilled the financial obligations of the
corporation as shall be in accordance with the provisions of Article VIII of these bylaws;
and in general perform all dutip incident to the office of the treasurer a~ such other
duties as from time to time be assigned by the president of the board. (Amended

Section 5.08 Secretary

The secretary shall keep the minutes of the meeting of the members and board in one or
more books provided for that purpose, see that all nottcts are duly given in accordance
with the provisions of these bylaws or as required by law; be custodian of and sce that
The seal of the corporation is affixed to all documents the exxution of which on behalf
of the corporation order its seal is duly authorized in accordance with the provisions of
these bylaws; keep a register of the post office address of each member, which shall be
furnished to the secretary by such member; and in general perform all duties as from time
to time may be assrgned by the president or the board. ,
ARTICLE VI
Order of Business
Section 6.01 Order of Business
The order of business at any regular or special meeting of the members or the board shall
be:
a) Reading and approval of any un-approved minutes.
b) Reports of officers and committees.
c) Unfmished business.
d) New business.
e) Adjournment.
Section 6.02 Parliamentary Procedures
On questions of parliamentary procedure not coverod in these bylaws, a ruling by the

Section 7.01 Committees of Directors
The board of diroctors, by resolution adopted by majority of the directors in office, may
designate one or more committees, each of which shell consist of one or arore directors,
which committees, to the extent provided in acid resolution shall have and exercise the
authority of the board in management of the corporation; but the designation of such
committees and the delegation thereto of authority shall not operate to relieve the board,
or any individual director, of any responsibility imposed upon the board or any individual
dvector by law.

Section 7.02 Other Committees
Other committees not having and exercising the authority of the board in the management
of the corporation may be designated by a resolution adopted by a majority of the
directors present at a meeting at which a quorum is present. Except as otherwise
provided in such resolution, members of each such committee shall be members of the
corporation, and the presided of the corporation shall appoint the members thereof. Any
member thereof may be removed by the person or persons authorized to appoint such
member whenever in their judgment, the best interests of the corporation shall be served
by such removal
Section 7.03 Term of Office
Each member of a comrnittce shall continue as such umil the next annual meeting of the
members ofthe corporation and until a successor is appointed, unless the committee shall
be sooner terminated, or unless such member be removed from such committee, or unless
such member shall cease to qualify as a member thereof
Section 7.04 Chairman
One member of each committee shall be appointed chairman by the petsonv authorized to
appoint the members thereof.
Section 7.05 Vacancies
Vacancies is the membership of aay committee may be filled by appointme^*Q made in
the same manner as provided in the case of the original appointmerus.
Section 7.06 Quorum
Unless otherwise provided in the resolution of the board of directors designating a
commiltce, a majority of the whob committce shall constitute a quorum and the act of
a majority of the members present at a meeting at which a quorum is present shall be the
act of the committee.
Section 7 07 Rules
Each committce may adopt rules for its own government not inconsistent with these
bylaws or with rules adopted by the board of directors.
ARTICLE VIII
Contracts. Checks. Dgposits. and Funds

Section 8.01 Contracts
The board may authorize any officer or officers, agent or agents of the corporatioq in
addition to the officers so authorized by thex bylaws, to enter into any contract or
execute and deliver any instrument in the name of and on behalf of the corporatioq and
such authority may be general or confined to speci5c instance.
Section 8.02 Checks, Drafts, etc. ,
All checks, drafts, or orders for the payment of money, notes, or other evidence of
indebtedness issued in the name of the corporation shall be signed by tl?e officer or
officers, agent or agents of the corporatioq and in a manner as shall from time to time,
be determined by resolution of the board. In the abxnce of determination by the board,
these indmmrptg shall be signed by the treasurer and countersigned by the president of
the corporation
Section 8.03 Deposits
All fiords of the corporation shall be deposited fiom time to time to the credit of the
corporation in such banks, trust companies, or other depositories as the board may xlect.
Section 8.04 Gifts
The board may accept on behalf of the corpota~on a~ contdbrtioq gib, bequest, or

ARTICLE IX
Certificates of Mc^~--^~~^
Section 9.01 Certificatesa of Membership
The board may provide Sor the ~ a~ determine the form of certificates
evidencing membership in the corporation Such oettificates shall be signed by the
president and the secretary, xaled with the xal of the cotporatioq sad comecutively
numbea+ed. The name a~ address of each member end the date of issuance of the
certificate shall be entered on the records of the corporation If any certificate becomes
lost, mutilated, or destroyed, a new certificate may be issued upon such terms and
conditions as the board may determine.
Section 9.02 Issuance of Certificate
When a member has been elected to membership and has paid any dues that may then be
required, a certificate of membership shall be issued in his or her name and delivered to
the member by the secretary.

ARTICLE X
Books and Records
The corporation shall keep con-ect and complete books and records of account, and shall
keep minutes of the proceedings of its members, the board, and committees having any of
the authority of the board of directors, and shall keep at the registered or principal office
a record giving names and addresses of the members. All books asd records of the
corporation may be inspected by any member, or member's agent or attorney, for any
proper purposes at any reasonable time. The board shall cause an audit of the records of
the corporation to be made each year by a competent auditor.
ARTICLE XI
Fiscal Year
The S.gcal year of the corporation shall begin on the first day of July and end on the last

have inscribed thereon the name of the corporation end the words, "corporate seal".
ARTICLE XIII
Waiver of Notice
Whenever any notice is required to be given under the provisions of the statutes of the
State of Hawaii or the articles of incorporation or the bylaws of the corporation, a waiver
thereof in writing signed by the person or person entitled thereto, whether before or after
the time stated therein, shall be deemed equivalent to the giving of such notice.
ARTICLE XIV
N~ootism. Conflicts of Interest. Divcrimmation
Section 14.01 Policy on Nepotism
No two or more members of a family or kin of the first or second degr+x shall be
employed by, be order contractto, or otherwise receive compensation from the
corporation; provided that the board may waive such policy when in its reasonable
discretion it determines that such waiver is in the best interest of the corporation, and
provided further that the appropriate official of the State of Hawaii or County of Hawaii
has consented in writing if requires p~~*~~"*+t to Chapter 42, H.RS., or Chapter 2, H.C.C.
Section 14.02 Policy on Conflicts of Interest
No member shall participate in any decision of the corporation which may benefit the
member's personal mterost, or the interests of any wrporation, parprership, or association
in which the member is directly or indirectly associated.
Section 14.03 Policy on Discrimination
The corporation shall comply with all applicable federal and state Taws prohibiting
discrimination against any person on the basis of race, cobr, national origin, religion,
creed, sex, age, or physical handicap with respect to empbymerrt. The acquisition of
goods and services and the provision of the corporation's programs, activities, and
services.
ARTICLE XV
lteoeal or Ame~ment of Bylaws
These bylaws may be repealed or ame~ed by a majority vote of the members present at
any annual meeting of the members, or at a~ special meeting of the members called for
such purpose, at which a quorum is present; provided, however, m such action shall
change the purpose of the corporation qo m to impair its rights and powers under the laws
of the State of Hawaii or to waive arty requirements of bond or a~ provision Sor the
safety and security of the property and fuads of the corporation or its members or to
deprive any member without as express assent of rights, privileges, or immunities then
existing. Notix of any ame~ment to be offered at a~ meeting shall be given not less
than seven nor more than thirty days before such meeting and shall set Surth such
amendment.
