RESOLUTION ACCEPTING THE DEDICATION OIT PARCELS 19, 21, 22A, 24 AND
25, FROM KAMEHAMEHA INVESTMENT CORPORATION, SITUATE AT KAHALU`U
AND KEAUHOU 1ST, NORTH KONA, COUNTY AND STATE OF HAWAII, TAX MAP
KEYS:(3)7-8-010-002 (I~ORTION), 7-8-010-035 (PORTION), AND 7-8-010-093
(PORTION), TO THE COUNTY OF HAWAII FOR THE KAHULUI-KEAUHOU
PARKWAY.
WHEREAS, KAMEHAMEHA INVESTMENT CORPORATION ("K.I.C."), is the
owner of Parcels 19, 21, and 22A, located at Kahalu`u, North Kona, Hawaii, specifically
identified as Tax Map Key:(3)7-8-010-002 (portion), being more particularly described
and delineated in the attached dedication deed (Exhibit "1 and
WHEREAS, K.I.C. is also the owner of Parcels 24 and 25, located at Kahalu`u
and Keauhou 1st, North Kona, Hawaii, specifically identified as Tax Map Keys:(3)7-8-
010-035 (portion) and 7-8-010-093 (portion), being more particularly described and
delineated in the attached dedication deeds (Exhibits "2" and "3"); and
WHEREAS, K.I.C. was required to provide and dedicate said rights-of-way
(Parcels 19, 21, and 22A) to the County of Hawaii at no cost to the County for use in
the Kahului-Keauhou Parkway project, pursuant to condition G of Ordinance No. 98-30;
and
WHEREAS, the County has now requested dedication of the rights-of-way
(Parcels 19, 21, and 22A) for use in the Kahului-Keauhou Parkway project; and
WHEREAS, K.I.C. has dedicated the subject rights-of-way to the County of
Hawaii pursuant to the County's request; and
WHEREAS, in addition, K.I.C. has graciously agreed to donate Parcels 24 and
25 to the County of Hawai`I, which are also to be used in the Kahului-Keauhou Parkway
project, but were not part of any zoning conditions; and
WHEREAS, Article XIII, Section 13-12 of the Hawaii County Charter, provides
that the Council may accept gifts which include the dedication of land on behalf of the
County of Hawaii;
NOW, THEREFOf~E, BE IT RESOLVED SY THE COUNCIL OF THE COUNTY
OF HAWA!`I, in accordance with Article XIII, Section 13-12 of the Hawaii County
Charter, that the County cf Hawai`i accepts the real properties in fihe attached
dedication deeds (Exhibits "1," "2," and "3") and more specifically identified as Tax Map
Keys:(3)7-8-010-002 (portion), 7-8-010-035 (portion), and 7-8-010-093 (portion),
Parcels 19, 21, 22A, 24 and 25, respectively, for the Kahului-Keauhou Parkway project.
SE IT FURTHER RESOLVED that a copy of this resolution be forwarded to:
(1) Kamehameha Invest~Ient Corporation, Attention Louis A. Kau, President, 567 South
King Street, Suite 600, h~onolulu, Hawaii 96813; (2) Dennis K.W. Lee, Director of Public
Works; and (3) Gerald Takase, Assistant Corp®ration Counsel.

KNOW ALL MEN BY THESE PRESENTS:
That, KAMEHAMEHA INVESTMENT CORPORATION, a Hawaii
corporation, whose principal place of business and mailing address is 567 South King Street,
Suite 600, Honolulu, Hawaii 96813, hereinafter called the "Grantor," for and in consideration of
the sum of TEN DOLLARS ($10.00) and other valuable consideration to it paid by the
COUNTY OF HAWAII, a municipal corporation of the State of Hawaii, whose principal place
of business and mailing address is County Building, 25 Aupuni Street, Hilo, County and State of
Hawaii 96720, hereinafter called the "Grantee," the receipt of which is hereby acknowledged,
does hereby grant, dedicate and convey unto the Grantee, its successors and assigns, in fee
simple, forever, the following real property:

All of those certain pieces or parcels of land situate at Kahalu`u and
Keauhoul, District of North Kona, Island and County of Hawaii, State of
Hawaii, more particularly described in Exhibit "A" and delineated on Exhibit
"B," all of which are attached hereto and made a part hereof by reference.
Being a portion of the premises conveyed to the Grantor herein by
Warranty Deed dated February 26, 1990, and recorded in the Bureau of
Conveyances of the .State of Hawaii as Document No. 90-029164.
TO HAVE AND TO HOLD the same, together with all rights, improvements, easements,
privileges and appurtenances thereunto belonging or in anywise appertaining, or held and
enjoyed therewith, unto the Grantee, its successors and assigns, in fee simple, forever.
AND the Grantor, for itself, its successors and assigns, does hereby covenant with the
Grantee, its successors and assigns, that it is seised in fee simple of the above-described
premises; that the same is free and clear of and from all encumbrances, except as aforesaid; that
it has good right to sell and convey the same as aforesaid; and that it will, and its successors and
assigns will, WARRANT AND DEFEND the same unto the Grantee, its successors and assigns,
forever, against the lawful claims and demands of all persons whomsoever.

COUNTY OF HAWAII, a municipal corporation of the State of Hawaii, whose principal place
of business and mailing address is County Building, 25 Aupuni Street, Hilo, County and State of
