BE IT RESOLVED BY THE COUNCIL OF THE COUNTY OF HAWAII
WHEREAS, AT&T WIRELESS SERVICES, INC. (hereinafter "AWS") is
licensed by the Federal Communications Commission (hereinafter "FCC") to
construct and operate one or more systems (collectively, the "AWS System") to
provide broadband Personal Communications Services under Part 24 of the FCC
rules (hereinafter "PCS") on the PCS frequencies in the Hilo, Hawaii Basic
Trading Area (C-190) (the "BTA"); and
WHEREAS, The County of Hawaii (hereinafter "County") holds Fixed
Mixed Microwave Services licenses, issued by the FCC, for three (3) 2 GHQ
Microwave Paths located, in whole or in part, in the 2 GHQ Band and specifically
described as Affected Paths Nos. 1, 2 and 3 as follows:

WHEREAS, the County operates a microwave communications system on
the Affected Paths utilizing 2 GHz microwave equipment (hereinafter the
"Microwave Facilities"), which facilities operate within the coordination distance
specified by the FCC with respect to the AWS System in the BTA;
WHEREAS, AWS has determined that the Microwave Facilities may
cause interference to the AWS System in the BTA and therefore desires the
County voluntarily and permanently cancel, delete, discontinue, decommission,
surrender and terminate its licenses and operating authority therefore in order to
cease using and terminate its right to use such Affected Paths, in whole or in
part, in accordance with FCC procedures; and
WHEREAS, because of the schedule of the launch of AWS' PCS system
and the possibility that the operation of the Microwave Facilities on the Affected
Paths may cause radio frequency interference with the operation of the AWS
System, the County has agreed with AWS to voluntarily work with AWS to install
an interim solution to replace the Microwave Facilities while the County
constructs its permanent Replacement System. The said agreement is attached
hereto as Exhibit 1; and
WHEREAS, AWS has agreed to procure, install and testa 6 GHz analog
microwave radio system for the County. Upon completion and acceptance by the
County of the Interim System, the County will relinquish to the FCC the licenses
to operate on such Affected Paths and decommission the Microwave Facilities;
and
WHEREAS, following the acceptance of the Interim System and cutover of
the County traffic to that system, the County had voluntarily agreed to re-
engineer the County's Microwave Facilities into a Replacement System. AWS
has agreed to pay the County the amount of one million, four hundred ninety-fineo
thousand, three hundred, and fifty dollars ($1,492,350) to reimburse the County
for the costs of construction of the Replacement System; and
WHEREAS, Article XIII, Section 13-12 of the Hawaii County Charter
requires a Council approval for the acceptance of gifts of donations of money,
securities or other personal property or of real estate or any interest in real
estate; and
NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE
COUNTY OF HAWAII that the amount of one million, four hundred ninety-two
thousand, three hundred, and fifty dollars ($1,492,350) shall be received from
AWS for the specific purpose of meeting the cost to the County for the
construction of the police radio Replacement System.
SF IT FURI°HFR RESOLVED that the Clerk of the County of Hawaii
transmit copies of this resolution to the Department of Finance and Hawaii
County Police Department.

MICROWAVE RELOCATION AGREEMENT
This MICROWAVE RELOCATION AGREEMENT (the "Agreement"), dated as of April 30,
2002 (the "Effective Date"), is entered into by and between AT&T Wireless Services,
Inc., a Delaware corporation (°°AWS"), and the C®unty of 4iawaii, a Hawaii political
subdivision ("COUNTY").
A. AWS (or one or more of its Affiliates) is licensed by the Federal
Communications Commission ("FCC") to construct and operate one or more systems
(collectively, the "AWS System") to provide broadband Personal Communications
Services under Part 24 of the FCC rules ("PCS") on the PCS frequencies in the Hilo,
Hawaii Basic Trading Area (C-190) (the "BTA"); and
B. COUNTY holds Fixed Microwave Services licenses, issued by the FCC, for
three (3) 2 GHz Microwave Paths located, in whole or in part, in the 2 GHz Band and
specifically described as affected Paths No. 1, 2 and 3 on Schedule A attached hereto
(the "Affected Paths"); and
C. COUNTY operates a microwave communications system on the Affected
Paths utilizing 2 GHz microwave equipment (the "Microwave Facilities"), which facilities
operate within the coordination distance specified by the FCC with respect to the AWS
System in the BTA;
AWS has determined that the Microwave Facilities may cause interference to
the AWS System in the BTA and therefore desires that COUNTY voluntarily and
permanently cancel, delete, discontinue, decommission, surrender and terminate its
licenses and operating authority therefore in order to cease using and terminate its right to
use such Affected Paths, in whole or in part, in accordance with FCC procedures,
including but not limited to, 101.69 through 101.81 of the FCC's Rules and Regulations.
E. Because of the schedule of the launch of AWS' PCS system and the
possibility that the operation of the Microwave Facilities on the Affected Paths may cause
radio frequency interference with the operation of the AWS System, COUNTY has agreed
with AWS to voluntarily work with AWS to install an interim solution to replace the
Microwave Facilities while the COUNTY constructs its permanent Replacement System.
F. As outlined in this Agreement, AWS -will procure, install and testa 6 GHz
analog microwave radio system, as that interim system is described more fully in Schedule
B (the "Interim System). Upon completion and acceptance by COUNTY of the Interim
System, COUNTY will relinquish to the FCC the licenses to operate on such Affected
Paths and Decommission the Microwave Facilities.
G. Following acceptance of the Interim System and cutover of COUNTY traffic
to that system, COUNTY °;~oluntarily agrees to re-engineer COUNTY's Microwave Facilities
into a Replacement System. AWS will pay County the amounts set out in this Agreement
to reimburse COUNTY for-the costs of construction of the Replacement System.

NOW, THEREFORE, for and in consideration of the mutual covenants and agreements
contained and for other good and valuable consideration, the receipt and sufficiency of
which are hereby acknowledged, AWS and COUNTY agree as follows:
1. Definitions
1.1 Defined Terms. As used in this Agreement, the following terms have the
following meanings:
(a) " 2 Gl~z Band" means that radio frequency band established by the
FCC in ET Docket No. 92-9 in which the FCC allocated 1850-1990
MHz for emerging technologies such as PCS.
(b) "Affiliate" with respect to a Party, means any individual or entity that
directly or indirectly controls, is controlled by or is under common
control with that Party.
(c) "basic Trading Area" or "DT~?" means a geographic area used by
the FCC as described in 47 C.F.R. § 24.202 of the rules and
regulations of the FCC defining Broadband PCS service areas, which
areas are based on the Rand McNally 1992 Commercial Atlas 8~
Marketing Guide, 123rd Edition, at pages 38-39.
(c) "Contract" means any written or oral agreement, contractor
understanding.
(d) "D@C®mmlSSl®n," "D@COmmBSSlOnf'd" Of "D~COmmiSS1or11nC~"
means that (i) COUNTY has removed, or caused the removal of,
microwave equipment from its .power source such that no radio
frequency emissions are transmitted on the Affected Paths; and (ii)
COUNTY has provided to AWS or its designee copies of the FCC
Form 601 for deletion or modification of the Affected Paths and
associated cancellation notice(s).
(e) "Microwave Operations" means the microwave system currently
operated by COUNTY on the Affected Paths.
(f) "Microwave Path" means a one way or twro-way, fixed or temporary
fixed, point-to-point or point-to-multipoint radio system consisting of
transmitters, receivers and other associated equipment, which
transmits or receives, in whole or in part, on frequencies in the 2 GHz
Sand.
(g) "Party" means, unless otherwise indicated in the Agreement, either
AWS or COUNTY, individually. The term "Parties," unless otherwise
indicated, means AWS and COUNTY collectively.
(h) "Unlicensed PCS Devices" means intentional radiating devices
operating in the 1910-1930 MHz band that provide a wide variety of
mobile and ancillary fixed communication services.

2. Decommissioning of the Affected Paths by COUNTY
2.1 No later than three (3) business days after acceptance by COUNTY of the
Interim Solution (utilizing the testing and acceptance process described in Sections 3.1.2
and 3.1.3 below) (the "Termination Date"), COUNTY shall:
(a) voluntarily and permanently Decommission and shut down operations
on the Affected Paths;
(b) deliver to AWS copies of all duly executed FCC form 601 s filed with
the Federal Communications Commission (the "FCC") and any and all
other applications, forms, requests, authorizations and other
documentation with the FGC necessary or appropriate to cancel,
delete, discontinue, modify, surrender or terminate any license,
authorization or other operating authority with respect to the Affected
Paths, or modify any license or authorization to delete the Affected
Paths and cause such licenses, authorizations and operating
authorities to be canceled;
(c) withdraw all applications pending before the FCC or any other
governmental agency for such Affected Paths; and
(d) terminate any Contract with any third party that would prevent the
Decommissioning of the Affected Paths.
3. Interim and f2eptacerraent Systems
3.1. Installation of Interim System
3.1.1 Installation. As soon as possible after the ;=ffective Date of this
Agreement, AWS will procure, install and testa 6 GHz analog radio system
(the "Interim System") to temporarily replace the Microwave Operations on
the Affected Paths. The specifications of the Interim System are set out in
detail in Schedule S to this Agreement, which is incorporated by this
reference in the Agreement. The Affected Paths will be vacated, and
COUNTY traffic cut over to the Interim System upon acceptance of the
Interim System (utilizing the procedures set forth in Sections 3.1.2 and 3.1.3,
below).
3.12 Testin .Within three (3) business days after substantial completion of
the Interim System, COUNTY and AWS shall inspect and test the Interim
System for a period of five (5) days (the "initial Testing Period"). Within three
business (3) days of the conclusion of the Initial Testing Period, COUNTY
will deliver to AWS a Certificate of Installation, in the form attached as
Schedule D hereto. Omissions and deficiencies, if any, discovered during
the Initial Testing Period will be noted on the Certificate of Installation. AWS
shall promptly correct or cause to be corrected any omissions, deficiencies
or defects in the Interim System as noted in the Certificate of Installation and
COUNTY and AWS will re-inspect and re-test the Interim System for a period
of five (5) days (the "Retesting Period"). Additional Certificate(s) of

Installation shall be provided within three (3) business days of the conclusion
of each Retesting Period, if any. Retesting Periods shall be repeated as
necessary until all material omissions, deficiencies or defects noted on the
Certificate(s) of Installation have been corrected.
3.1.3 Acceptance. If no further corrections to the Interim System are
required, or if no additional Certificate of Installation is provided to AWS
within the time period called for above, concurrently with the delivery of the
final Certificate of Installation, COUNTY shall deliver to AWS a Certificate of
Acceptance of the Interim System. The Certificate of Acceptance shall be in
a form attached as Schedule E to this Agreement.
3.1.4 AWS Use of Frequencies on the Affected Paths. The Interim System
will carry COUNTY's communications traffic now carried on the Affected
Paths for the duration of the permanent relocation project described in
Section 3.3 of this Agreement (the "Permanent Relocation Project"). Upon
completion and acceptance of the Interim System, AWS will have use of the
frequencies presently used by the Affected Paths free from interference from
COUNTY. AS OF THE DATE fiHE COUNTY IS OBLIGATED TO DELIVER
THE CERTIFICATE OF ACCEPTANCE UNDER SECTION 3.1.3 ABOVE,
COUNTY ACKNOWLEDGES AND ACCEPTS RI" INTERFERENCE TO ITS
MICROWAVE OPERATIONS ON THE AFFECTED PATHS FROM AWS'
PCS SYSTEMS INTO-IE BTA.
3.1.5 AWS Access. COUNTY shall provide AWS with necessary access to
COUNTY'S properties in order to allow AWS to install and test the Interim
System.
3.1.6 No Warranties; Reconditioned Equ~ment. The Interim System is
intended for temporary use only. Some of the equipment used for the Interim
System wild be used and reconditioned prior to installation and thus will not
have any manufacturer's warranties attaching to it. Except as specifically
stated in the Scope of Work, COUNTY ACCEPTS THE INTERIM
SOLUTION ON AN "AS IS, WHERE IS" BASIS AND THE PARTIES AGREE
THAT NEITHER PARTY I~AS MADE, AND TO~IAT THERE DOES NOT
EXIST, ANY WARRANTY, EXPRESS OR IMPLIED, INCLUDING BUT NOT
LIMITED TO WARRANTIES OF MERCI~ANTABILiTY AND FITNESS FOR
A PARTICULAR PURPOSE.
3.2. Removal, Disposal and IReplacement of Existing Itiquiprnent.
Upon receipt of the Certificate of Acceptance from the County as provided in
Section 3.1.3 above, AWS shall promptly remove and dispose of the
Microwave Facilities. AWS shall have no responsibility with regard to the
removal and/or disposal of the Interim System or with regard to any aspect of
any Replacement System that COUNTY may install. COUNTY shall, at its
sole expense, be responsible for purchasing or procuring all equipment and
services it deems necessary or appropriate in connection with design,

COUNTY to the FCC under Section 2.1 above to permanently rescind and
cancel the FCC licenses for the Affected Paths.
4.2 Payments under this Section 4.shall be made by wire transfer of immediately
available funds to an asset account established at the Bank of Hawaii (the
"Bank") by AWS for the benefit of the COUNTY. The Bank will be instructed
to release funds from that account to the COUNTY upon the request of
official(s) designated by the COUNTY.
5. Obligati®n Contirsgencies
5.1 The obligations of AWS in Section 4 with respect to the Affected Paths are
contingent on COUNTY satisfying the following conditions by the Termination
Date for such Affected Paths:
5.1.1 completion of each of the obligations set forth in Section 2.1 above;
and
5.1.2 All the representations and warranties of COUNTY made in
Section 6.1 being true and complete on the Termination Date as if
madE on that date.
5.2 The performance by AWS of its obligations under this Agreement shall be in
lieu of, and shall satisfy and discharge in full, all obligations of AWS, whether
pursuant to the rules of the FCC or otherwise, to pay for or reimburse the costs
of relocation of COUNTY's operations from the Affected Paths.
6 Representati®ns and Warranties
6.1 COUNTY represents and warrants that:
6.1.1 it has the requisite power and authority and the legal right to enter into
and perform its obligations under this Agreement;
6.1.2 the execution, delivery and performance of this Agreement by
COUNTY have been duly authorized by all necessary action on the
part of COUNTY;
6.1.3 the execution, delivery and performance of this Agreement will not
violate any requirement of law, regulation, order or any Contract of
COUNTY, including without limitation any Contract under which
COUNTY allows any other party to use the Affected Paths (either with
or without compensation), or any Contract under which a third party
manages the Affected Paths for COUNTY;
6.1.4 no litigation, investigation, petition, or proceeding of or before any
arbitrator or governmental authority is pending or, to the knowledge of
COUNTY, threatened by or against COUNTY or against any of its
Microwave Operations or the Affected Paths which could have an

adverse impact upon the ability of COUNTY to fulfill its obligations and
perform under the terms of this Agreement;
6.1.5 Schedule A contains a true and complete (i) description of COUNTY's
licenses for the Affected Paths and (ii) list of all Contracts relating to
the use or management by others of the Affected Paths, and true and
complete copies thereof have been delivered to AWS pursuant
hereto;
6.1.6 as to the Affected Paths, (i) except as indicated on Schedule A,
COUNTY is the licensee of, and is duly authorized by the FCC to
construct and/or operate, such Affected Paths and is in compliance
with all applicable federal, state and/or local rules, laws and
regulations relating thereto, including but not limited to, the rules and
regulations of the FCC and (ii) such Affected Paths are operated by
COUNTY on a daily basis;
6.1.7 it has not received or been the beneficiary of, or entered into any
agreement pursuant to which it will receive or be the beneficiary of,
any compensation, reimbursement or other payment for or in respect
of the Affected Paths or its relocation other than as provided by AWS
pursuant to this Agreement;
6.1.8 except for any FCC approval of the license for the Replacement
System, no permit, consent, approval, authorization, or registration or
filing with any third party or governmental or regulatory authority or
agency is required in connection with the execution, delivery, and
performance of this Agreement; and
6.1.9 COUNTY information provided to AWS pursuant to this Agreement is
true, complete and accurate.
6.2 AWS represents and warrants that:
6.2.1 it has the requisite power and authority and the legal right to enter into
and perform its obligations under this Agreement;
6.2.2 the execution, delivery and performance of this Agreement by AWS
have been duly authorized by all necessary action on the part of
AWS; and
6.2.3 The execution, delivery and performance of this Agreement by AWS
does not conflict with any law, regulations, orders or any Contract to
which AWS is subject or by which AWS is bound.
7 Affirmative Covenants
7.1 Subsequent to the date hereof, COUNTY shall:

7.1.1 as long as the Affected Paths are in use by COUNTY, operate them in
accordance with all applicable rules and regulations, including without
limitation, the rules of the FCC;
7.1.2 promptly provide to AWS upon receipt thereof copies of any and all
applications, amendments, correspondence or other documentation
submitted to or received from FCC or any other governmental agency
related to the Affected Paths; and
7.2.3 Inform any PCS license holder that contacts COUNTY seeking
relocation of the Affected Paths that relocation already has been
arranged.
8 Negative Covenants
8.1 Subsequent to the date hereof, COUNTY shall not:
8.1.1 on its own behalf or on the behalf of any other party, take any action
(including but not limited to action in any proceeding before any
governmental agency or court of competent jurisdiction) which would
(i) interfere in any manner with the rights of AWS or its Affiliates to use
spectrum in the 2 GHz Band in the BTA or (ii) have the effect of
causing COUNTY to delay in meeting its obligations hereunder;
8.1.2 apply to the FCC or any other govemmental agency for any
authorization of any kind for a new, modified or temporary Microwave
Path using the PCS frequencies in the BTA or which is located
outside the BTA but may transmit (either intentionally or
unintentionally) into the BTA without the express written consent of
AWS;
8.1.3 enter into any Contract relating to the Affected Paths or use thereof
without the express written consent of AWS; or
8.1.4 seek recovery of the costs of relocating the Affected Paths other than
as provided in this Agreement.
9 Waiver of Rights
By voluntarily entering into this Agreement, COUNTY hereby waives any and all rights it
has, or may have had, against AWS or its Affiliates with respect to the Affected Paths
under policies adopted by the FCC in ET Docket No. 92-9, the FCC rules promulgated
thereunder, and any related proceedings and rules. This waiver by COUNTY, includes
without limitation, the waiver of any rights COUNTY has subsequent to the date of this
Agreement to challenge AWS or its Affiliates' right as exclusive primary user of the
frequencies formerly used by the Affected Paths.

10 Limitation of Liability
NEITHER PARTY SHALL 13E LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL,
IN®IRECT OR SPECIA:4 LOSSES OR DAMAGES (INCLUDING, WITHOUT
LIMITATION, LOST PROFITS, LOST REVENUES AND LOSS OF 13USINESS) OF THE
OTHER PARTY, WHETI-IER FORESEIEADLE OR NOT, WHETHER OCCASIONED CY
ANY I°AILURE TO PERFORM OR THE DREACI-I OF ANY ODLIGATION UNDER THIS
AGREEMENT FOR ANY CAUSE WHATSOEVER OR OT4-IERWISE.
11 Indemnification
Each party agrees to indemnify and hold harmless the other party, and its owners, officers,
directors, agents, representatives, designees, Affiliates, agents and employees, from and
against any and all claims, losses, penalties, forfeitures, damages, judgments, causes of
action, suits, liabilities, costs and expenses, including, but not limited to, court costs, costs
of settlement, litigation costs and reasonable attorneys' fees ("Liabilities") arising out of or
related to (i) the breach by such party of any of the terms and conditions of this
Agreement, and/or (ii) any negligent or willful act or omission to act by such party in the
performance of its obligations under this Agreement. The obligations of this Section 11
are in addition to and in no way limited to the other party's duty to provide insurance. Any
claim for sndemnification under this Section 11 is subject to the following conditions:
(A) the party seeking indemnification (the "Indemnified Party") shall notify the party from
which indemnification is sought (the "Indemnifying Party") of any claim for which
indemnification is sough8 at the earliest practicable time; (S) the Indemnified Party will not
settle or otherwise compromise any claim without the prior written consent of the
Indemnifying Party; and (C) the Indemnifying Party will have the right, in its sole discretion,
to assume the defense 5~f any claim for which indemnification is sought, and the
Indemnified Party shall cooperate and provide such reasonable assistance as is required
by the Indemnifying Party.
12 Confsdentiality
Each party agrees to keep strictly confidential the existence and terms of this Agreement,
and not to disclose the same except (a) to its employees, agents and representatives to
the extent necessary to perform its obligations hereunder, (b) to the extent compelled by
order of any court or governmental agency of competent jurisdiction or required by law,
(c) to the extent necessary to enable AWS to recover under any cost-sharing or similar
agreements, rules or other arrangements that apply to the relocation of the Affected Paths,
provided that, with respect to disclosures required under Section 12(b), the disclosing
party shall give the nons:disclosing party prompt pr~sor written notice of any disclosure
request, application for court order, court order or other governmental process, before
making any disclosure and shall give the non-disclosing party an opportunity to object to
and seek to prevent or Irmit such disclosure. Notwithstanding the foregoing, the filing with
the FCC or any other governmental agency of any form, documents or correspondence
necessary to voluntarily cancel, delete, discontinue, surrender or terminate the Affected
Paths as contemplated 'by this Agreement shall not constitute a violation of this Section.

13 Further Assurances
From time to time hereafter, COUNTY will execute and deliver, or will cause to be
executed and delivered, such additional instruments, certificates or documents, and will
take all such actions, as AWS may reasonably request, for the purpose of implementing or
effectuating the provisions of this Agreement or to ensure that the frequencies formerly
used by the Affected Paths are available for use in the ETA in the operation of the AWS
System free from interference from operations by COUNTY on the Affected Paths on and
after the Termination Date.
14 Miscellaneous
14.1 Expenses. Except as otherwise set forth herein, each party shall bear its
own expenses, including the fees and expenses of any attorneys, accountants,
brokers, finders or other advisors, intermediaries or other persons engaged by it,
incurred in connection with this Agreement and the transactions contemplated
thereby.
14.2 Notices. All notices, requests, demands or other communications required
by this Agreement or otherwise pertaining to this Agreement shall be in writing
and shall be deemed to have been duly given to any party when delivered:
(a) personally, (b) by overnight courier service, (c) confirmed facsimile
(confirmed with a copy sent by overnight delivery or by mail), or (d) seven (7)
days after being mailed by first-class mail, postage prepaid and return receipt
requested. In each case, notice shall be given to the applicable addresses set
forth below (or to such other address as such party shall have designated by
notice so given to each other party):

14.3 Amendments, Waivers. This Agreement may not be amended, changed,
supplemented, waived or otherwise modified except by an instrument in writing,
signed by the party against whom enforcement is sought.
14.4 Cost-Sharing Cooperation. Mach party agrees to cooperate and use best
efforts with the other in effectuating compliance with the terms of this
Agreement, including without limitation, execution of any and all documents and
FCC forms which may be necessary to terminate operations of the Affected
Paths. As part of this obligation, a listing of the costs COUNTY will incur (or has
already incurred) for relocation of the Affected Paths is included as Schedule C
to this Agreement and incorporated by this reference. COUNTY agrees to
provide such cooperation and assistance as reasonably is requested by AWS to
enable AWS to recover from other PCS licensees or Unlicensed PCS Device
manufacturers a portion of the payments made for the benefit of COUNTY for
relocation of the Affected Paths.
14.5 Assignment. This Agreement shall be binding upon and shall inure to the
benefit of and be enforceable by the parties and their respective successors and
assigns. Neither party may assign this Agreement without the prior written
consent of the other party, which consent shall not be unreasonably withheld,
except that: (a) either party may assign its rights under this Agreement to any
direct or indirect subsidiary or Affiliate of that party upon delivery of written
notice to the other party; and (b) AWS may assign this Agreement and its rights
hereunder to any successor holder of the FCC license to construct and operate
AWS' system in the BTA upon delivery of written notice thereof to COUNTY.
14.6 entire Agreement. This Agreement embodees the entire agreement and
understanding between the parties relating to the subject matter hereof and
supersedes ail prior agreements and understandings relating to such subject
matter. There- are no representations, warranties or covenants by the parties
hereto relating to such subject matter other than those expressly set forth in this
Agreement an~i any writings expressly required hereby.
14.7 Specific Perf®rmance. The parties acknowledge that money damages are
not an adequate remedy for violations of this Agreement and that any party may,
in its sole discretion, apply to a court of competent jurisdiction for specific
performance or injunctive or such other,relief as such court may deem just and
proper in order to enforce this Agreement or prevent any violation hereof and, to
the extent permitted by applicable law, Hach party waives any objection to the
imposition of such relief and -any requirement that the party seeking relief post a
bond or make any similar undertaking in connection therewith.
14.8 Remedies Cumulative. All rights, powers and remedies provided under this
Agreement or otherwise available in respect hereof at law or in equity shall be

cumulative and not alternative, and the exercise or beginning of the exercise of
any thereof by any party shall not preclude the simultaneous or later exercise of
any other such right, power or remedy by such party.
14.9 No Waiver. The failure of any party hereto to exercise any right, power or
remedy provided under this Agreement or otherwise available in respect hereof
at law or in equity, or to insist upon compliance by any other party hereto with its
obligations hereunder, and any custom or practice of the parties at variance with
the terms hereof, shall not constitute a waiver by such party of its right to
exercise any such or other right, power or remedy or to demand such
compliance.
14.10 No Third-party Beneficiaries. This Agreement is not intended to be for the
benefit of and shall not be enforceable by any person or entity who or which is
not a party hereto.
14.11 Jurisdiction. Each party hereby irrevocably submits to the exclusive
jurisdiction of the appropriate state or federal court located in Honolulu, Hawaii,
in any action, suit or proceeding arising in connection with this Agreement, and
agrees that ans such action, suit or proceeding shall be brought only in such
court (and waives any objection based on forum non conven6ens or any other
objection to venue therein); provided however, that such consent to jurisdiction
is solely for the purpose referred to in this Section and shall not be deemed to
be a general submission to the jurisdiction of said Court or in the state of Hawaii
other than for such purpose.
14.12 Governing Iraw. This Agreement, all disputes hereunder, and the legal
relationships between the parties shall be governed by and construed and
enforced in accordance with FCC Rules and Regulations, the Communications
Act of 1934, the Telecommunications Act of 1996, and the internal laws of the
State of Hawaii, without giving effect to any choice of law rules which may direct
the application of the laws of any other jurisdiction.
14.13 Name, Captions. The name assigned this Agreement and the section
captions used herein are for convenience of reference only and shall not affect
the interpretation or construction hereof. lJnless otherwise specified, (a) the
terms "hereof," "herein," ar~d similar terms refer to this Agreement as a whole
and (b) references herein to Sections ref®r to sections of this Agreement.
14.14 Counterparts. This Agreement may be executed in any number of
counterparts, each of which shall be deemed to be an original, but all of which
together shall constitute one instrument. Each counterpart may consist of a
number of copies each signed by less than all, but together signed by all, the
parties hereto.
14.15 Time of Essence. Time of performance is of the essence in this Agreement
and a substantial and material term hereof.

• Replace the MR200 with a StarPoint 6000
• Procure and install one (1) 6', 6 GHz antenna at 65'
• Procure and install 95' of waveguide and accessories

• Rewire the radio using the existing mux
• Relicense
It is our intention to use the current tower for the 6' dish. The tower analysis demonstrated that the
tower is structurally sound to support the additional loading.
2.2 WIII{398 -Fire Central:
• Replace the MR200 ti:rith a StarPoint 6000
• Procure and install one (1) 6', 6 GHz antenna at about 65' {top backside of bldg.)
• Perform structural analysis and design modified antenna mounting structure.

The current antenna is installed on the roof of the Fire Station. The new antenna shall be installed

2.7 Other Tasks
• Procure and install six (6) 6 GHz Motorola Starpoint 6000 MHSB radios. Radios will be
warranted for one year or an additional two spare radios will be provided.
• Procure and install six 6 GI-Iz antenna/wave guide systems.
• Sweep wave guide and align each path.
• Veri path signal levels, ep rform equipment tests (in accordance with manufacturers
requirements) and cutover to new facilities (to include the preparation and approval of a
cutover plan).
• Create engineering drawings reflecting as-built conditions when necessary.
• De-install 2GI-Iz microwave system.
Notes:
1. Each path has been pre-engineered for centerlines. (as provided from the already performed
path surveys) and ant;;nna sizes and waveguide lengths.
2. No path requires space diversity to meet the five nines reliability requirement.
3. No changes to the channelization for each path are anticipated or expected.
4. Dehydrators or dehydrator modifications are provided when not already present or adequate
at the site to pressurize the wave guide(s).
No power plant modifications are planned for the interim as existing power sources will be
used.

13.0 CONSULTANTS/SU~CONTI2ACTORS:
Pacific Wireless Communications LLC (PWC), 710 Kakoi Street, Honolulu, Hawaii 96819
(State of Hawaii Contractors License No. C20785) shall be the primary contractor for the
project. PWC will provide the following services during the project:
• Project Management
• Equipment Staging
• Equipment Installation
• Antenna Dish Alignment
• System Acceptance Testing (Limited to 1 day per radio site)
4.1 Project Management Pacific Wireless
4.1.1 PWC will assign a qualified Project Manager to act as PWC single point of contact
during the project implementation. The PWC Project Manager will interface with
SCIENTEL's assigned Project Manager and will be responsible for coordinating the project
activities and insuring that PWC performs in accordance with the SOW. The Project
Manager will be responsible for working with SCIENTEL after contract execution to
develop a mutually acceptable project schedule and cutover plan. The PWC Project
Manager will also be responsible for scheduling and overseeing the performance of PWC
subcontractors.
4.1.2 In addition to staging the project equipment and verifying system operation prior to
installation PWC wil be responsible for:
• Provide a Project Manager.
• Provide for inventory of system components and include said inventory as part of the
system Acceptance Test Plan.
• Provide up to 6 months of equipment storage at PWC Hilo facility.
• Provide the labor necessary to stage and verify operation of the 6 GHz Microwave
System.
• Provide labor and transportation of equipment to radio sites.
• Provide labor to install StarPoint 6000 and antenna systems.
• Provide labor and test equipment for Antenna Dish Alignments.
• Provide labor to perform System Acceptance Testing (Limited to 1 day per radio site).
4.1.3 Pacific Wireless shall provide qualified microwave technicians and microwave installers to
install and optimize proposed microwave equipment.

5.1 SCIENTEL's Project responsibility
• Provide a Project Manager with full responsibility for the project as a single
Point of Contact for PWC.
• Provide all necessary Microwave equipment, antenna system hardware,
dehydrator, wave guide and wave guide connectors, and microwave system
accessories.
• Provide approvals from radio site owners for the installation of SOW equipment
& required permits.
• Provide all AC electrical power to equipment at each location if needed.
• File the necessary FCC applications to obtain operating licenses. PWC shall
assist SCIENTEL in this process.
• Provide personnel to observe, and take part in the System Acceptance.
5.2 Kick Off Meeting
Upon contract award SCIENTEL &PWC Project Manager's will schedule a kickoff
meeting, to €-eview and verify the system design and equipment list, develop a final
project schedule and the implementation and cutover plan and finalize the Statement
of Work. The system block diagram will be finalized.
6.0 GENERAL SYSTEM INFORMATION
6.1 This purpose of *~his project is to relocate 3 microwave paths for the incumbent (County
of Hawaii). The plan is to change radios from 2 GHz Analog to 6 GHz Analog for PCS
frequency clearing for AT&T ~#Vireless Services (AWS).
Links supported in this effort are:
• Public Safety l~3uilding (WF€K399) to/from Fire Center (dVi-€K398)
• Puna Police Station (VV~X320) to/from Kulani Cone (~V~X322)
• Kahua Ranch (~IK400) to/from Huehue Ranch (~V>SM603)
6.2 All microwave paths (links) were designed in accordance with industry accepted
standards to achieve a 99.9995% performance reliability.

test will be run as specified, and once the test period begins, it will be run `hands off

will fill out the data sheets as data is taken- Any deviations or anomalies will be noted in writing i
the Station Log Book and submitted to the County of I-Iawaii within 24 hours.
1. Utilize the "Installation" section of the Starpoint 6000 manual for instructions on
installing the HSWO radios.
2. Utilize the "Adjustments" section of the Starpoint 6000 manual to finalize the radios
in preparation of Initial Test period.
3. Use the follo~*~ing test sheets.

8.2 UNIT TEST
1. After radio is mounted and wired turn up radio in accordance with the Starpoint 6000
manual titled "Installation". After the radio has stabilized Use the Starpoint 6000 manual
section titled "Adjustments" for final setup. Record data on the following data sheets:
"Starpoint 6000 Fief Test Data Sheet"
2. Pressurize the waveguide to 10 lbs. Bleed system to 5 pounds, seal and verify that the
pressure does not drop more than one pound in 24 hours. Be aware of temperature
variations.
3. Perform waveguide sweeps in the following configuration:
• Vaveguide, .€Iex, and antenna.
• Place markers (numbers) on TX, RX and worst case in sweep band. Provide Graphs.
=1. Ground waveguide at the top and bottom of tower, and just inside the radio room. Use
Scotch Coat on top of Andrew grounding kit.

5. Set up baseband levels per County of Hawaii approved baseband levels.
6. Perform switching tests to ensure radios switch from main to standby and back.
7. All switching functions are to be tested to verify alarms locally and remotely.
8.3 HOP TEST (TEST IS TO BE DONE IN BOTH DIRECTIONS
Note: As data is taken fill out the" Starpoint 6000 Field Test Data Sheet".
1. Verify no path alarms are present on the radio. (Fade 19<Iargin Test)
2. Using the built in attenuator, rotate the knob until the receiver goes into squelch.
Using the chart convert the number of turns to dB. Record. Repeat for B receiver.
8.4 CUT-OVER PLAN
1. Record a sample of individual multiplex levels for channels that both pass
through, and terminate at :he site (if available). These levels dvill be used to verify
that basebans levels have not changed between the new and old radios. (Channels
will be selectAd by SCIENTEL in conjunction with County of Hawaii.)
2. Verify all parties are ready for cutover (both ends of the path).
3. Remove the BNC's for the baseband bridge that connect to the 2 gHz radio.
4. Connect the pre-labeled BNC's from the Starpoint 6000 to the baseband bridge.
5. Verify the path is carrying traffic.
6. Verify VF levels have not changed.
7. Verify alarm system is reporting.
8. Start "Initial Testing Period"

8.5 ~ DAY LIVE TEST
The purpose of the 5 day live test is to verify the system operates carrying live traffic.
The County of Hawaii will be monitoring the radios during the test and will report to
SCIENTEL any problems that are encountered.
Typical problems that could occur (but are not expected) are:
1. Module Failure
2. Traffic impairments
3. Path Fades
Anomalies reported to SCIENTEL will be investigated and a written report will be
submitted to the County of Hawaii and AT&T Wireless Services within 24 hours of the
County's initial report of problems.

9.1 The spares list is current in development. At a minimum the spares list will contain one
complete set of radios.
11.0 DESIGN DRAWINGS:
11.1 All design drawings will be created in accordance with ANSI Y14 and applicable
subsections. Drawings will be released on a site by site basis, each release will provide a
composite set of drawings reflecting activities performed at the site.
Project drawings shall be used as reference during project activities. Atypical set of
project drawings will consist of a plan view, interconnection drawing and rack face
layout. A composite project (system) map drawing will be provided at the onset of the
project for reference.
