RECITALS
A. The STATE is in need of the goods or services, or both, (also referred to as
"goods and services', described in this Contract and its .attachments. The CONTRACTOR is
agreeable to providing the goods and services.
B. This Contract is for (check one box):

NOW, THEREFORE, in consideration of the promises contained in this Contract,
the STATE and the CONTRACTOR agree as follows:
1. Scope of Services. The CONTRACTOR shall, in a proper and satisfactory
manner as determined by the STATE, provide all the goods or services set forth in Attachment I,
which is hereby made a part of this Contract
2. Compensation. The CONTRACTOR shall be compensated iri a total amount
not to exceed FIFTY THOUSAND AND NO/100
DOLLARS so.ooo.DO including approved costs incurred and taxes, according to the
Compensation and Payment Schedule set forth in Attachment 2, which is hereby made a part of this
Contract.

4. Standards of Conduct Declaration. The Standards of Conduct Declaration of
the CONTRACTOR, is attached and is made a part of this Contract.
5. Other Terms and Conditions. The General Conditions and any Special
Provisions aze attached hereto and made apart of this Contract. In the event of a conflict between
the General Conditions and the Special Provisions, the Special Provisions shall control.
6. Liquidated Dama¢es. Liquidated damages shall be assessed in the amount

7. Notices. Any written notice required to be given by any party to this Contract
shall be (a) delivered personally, or (b) sent by United States first class mail, postage prepaid. Notice
required to be given to the Procurement Officer or the CONTRACTOR shall be sent to the
respective address as indicated in this Contract. A notice shall be deemed to have been received three
(3) days after mailing or at the time of actual receipt, whichever is earlier. The CONTRACTOR is
responsible for notifying the STATE in writing of any change of address.
IN VIEW OF THE ABOVE, the parties execute this Contract by their signatures, on
the dates below, to be effective as of the date first above written.

ATTACHMENTI
SCOPE OF SERVICES
CONTRACTOR shall perform and provide, in a satisfactory and proper manner
as determined by STATE, all goods and services described below and as set forth in the
"Hawaii Tourism Authority Product Development Program Request for Proposals,
Solicitation No. 02-02," and incorporated herein by reference, and in the
CONTRACTOR'S accepted proposal dated November 9, 2001, ("PROPOSAL"),
attached hereto and incorporated herein as Exhibit A, including the following:
1. CONTRACTOR shall plan, conduct, and provide a volcano viewing
program from June 1, 2002 through May 31, 2003, and as further
described in CONTRACTOR'S PROPOSAL; including the (a)
development of a data base of existing information and interpretive
materials relating to cultural, historical, geological, and spiritual aspects of
a volcano viewing program; (b) development and implementation of a
plan for a certified interpretive guide training program that will educate,
inform, and engage visitors in understanding and appreciating the science,
the magic, and the cultural significance of Hawai`i's volcanos; and, (c) to
work with an advisory task force and the general community to monitor
the volcano viewing program and develop long range plans (hereinafter
referred to as the "PROJECT").
2. CONTRACTOR shall provide operating and administrative services in the
manner provided in its amended budget dated March 4, 2002 ,attached
hereto and incorporated herein as Exhibit B.
3. Upon request by the HTA, the CONTRACTOR shall provide a progress
report describing the status of all work performed and as provided in the
above-stated Paragraph 1 herein.
4. The CONTRACTOR shall complete and submit a final written report to
the STATE prior to the completion of the contract period and final
payment by the STATE by using the "Hawaii Tourism Authority Product
Development Final Report Form," attached hereto and incorporated herein
as Exhibit C.
5. The CONTRACTOR shall credit the Hawaii Tourism Authority as a
sponsor of its volcano viewing program and the PROJECT.
6. CONTRACTOR shall use its best efforts to perform the goals and
objectives stated in its PROPOSAL.
7. CONTRACTOR shall consult with the Hawaii Visitors and Convention
Bureau ("HVCB") to coordinate HVCB's mazketing efforts with the
CONTRACTOR by including, to the extent possible, the PROJECT on
HVCB's web site through the placement of the PROJECT as a listing on
the HVCB's calendar of events, and by participating in HVCB's "Hawai`i
Knowledge Bank" program.
8. CONTRACTOR shall provide the STATE a schedule and copy of all
advertising and promotional activities. The HAWAII TOURISM
AUTHORITY shall be credited as a sponsor on all advertising and
promotional materials.
9. Furnish any additional reports or information that STATE may, from time
to time, require or request, including a progress report describing the
status of all work required to be completed under this Contract.
