Gentlemen:
As you know we are tho attorneys for Waikoloa Land Company, Inc. and its
various affiliates and subsidiaries, including Transcontinental Development Co.,
Transcontinental Development (Hawaii) Co., Waikoloa Development Co. and Waikoloa Land &
Cattle Co. (collectively, "Waikoloa Land"). This letter is submitted on behalf of Waikoloa Land
in connection with the application filed by Bay Pacific Development LLC ("Bay Pacific") for
Amendment of State Land Use Boundary (from Agricultural to Urban) and for County Rezoning
(Open to ML-1 A) with respect to 14.902 acres of land near the Waikoloa Village or, the Island of
Hawaii, as set forth in Hawaii County Bills 233 and 234.
We will not be testifying at the Second Reading for the above-described Bills
which are scheduled to be heard on Apri121, 2004. Nevertheless, for the reasons stated in our
letter to you dated April 6, 2004, and also pursuant to our testimony at the First Reading for these
measures on April 7, 2004, we believe that Bay Pacific's applications should be denied. We
appreciate your consideration in this matter.
