RESOLUTION NO. 75 05
RESOLUTION AUTHORIZING THE OFFICE OF THE MAYOR TO ENTER INTO AN
AGREEMENT WITH THE STATE OF HAWAII DEPARTMENT OF BUSINESS,
ECONOMIC DEVELOPMENT & TOURISM, PURSUANT TO HRS 46-7, FOR THE
BIG ISLAND BIODIESEL INDUSTRY GRANT
WHEREAS, the State of Hawaii Department of Business, Economic Development & Tourism
(DBEDT) has authorized funding to the County of Hawaii Department of Environmental Management
for its Big Island Biodiesel Industry Project; and
WHEREAS, the Solid Waste Division had previously received a grant from the DBEDT to
conduct a study on the potential of a biodiesel industry; and
WHEREAS, DBEDT's new grant funding will be used to conduct an educational and outreach
program to disseminate the results of the survey conducted in 2004 of all potential generators of used
cooking oil and grease trap waste, and to disseminated information on alternatives to disposal for
cooking oil and grease trap waste; and
WHEREAS, Hawaii Revised Statutes, Section 46-7, requires that county departments obtain
the consent of the council to enter into agreements with the federal or state governments respecting
action to be taken pursuant to any of the powers granted by law to furnish, expend, and receive any
funds or other assistance in connection with projects being or to be undertaken pursuant to those
powers.
NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE COUNTY OF HAWAII,
in accordance with section 46-7, Hawaii Revised Statutes, that the Mayor of the County of Hawaii is
authorized to execute, on behalf of the County, the letter of agreement, attached hereto and
incorporated herein by reference as Exhibit "A", to enable the County to conduct educational and
outreach services to support a biodiesel industry on the Big Island.

Letter of Agreement

Dear Ms. Bell:
This letter confirms an Agreement between the Department of Business, Economic
Development, and Tourism, hereinafter referred to as STATE, by its Designated Representative,
Maurice H. Kaya, Chief Technology Officer (REPRESENTATNE) and the County of Hawaii,
hereinafter referred to as CONTRACTOR, whose principal address is 25 Aupuni Street #214,
Hilo, Hawaii 96720, Taxpayer I.D. number 99-6000567 for services related to education and
outreach to support a biodiesel industry on the Big Island of Hawaii. The pazties hereto agree to
the terms, conditions, and provisions as follows:
1. Scope of Services. CONTRACTOR shall provide the following services:
a. Conduct an education and outreach program to disseminate the results of the survey
conducted in 2004 of all potential generators of used cooking oil and grease trap
waste, and to disseminate information on alternatives to disposal for cooking oil and
grease trap waste. Such work shall include, but not be limited to:
i. Development of
a) a summary of the survey conducted in 2004;
b) informational materials concerning the highest valued uses for biodiesel and
other fuels derived from used cooking oil and grease trap waste; and
c) a tri-fold brochure to educate the general public about the economic benefits
of recycling used cooking oil and grease trap waste into alternative fuels.
ii Distribution of copies of the survey summary and informational materials to all
entities on the initial survey distribution list.
iii Distribution of 2,500 brochures to educational institutions and the general public,
and placement of the brochure on the CONTRACTOR'S website for public
access.
EXHIBIT "A"
b. Submit for STATE approval the survey summary, informational materials, and
draft brochure pursuant to 1. a. i.
c. Submit for STATE approval the final brochure and plan for distribution to
educational institutions and the general public.
d. Submit for STATE approval a final report on the education and outreach program
including but not limited to findings and recommendations for prograzn continuation.
2. Time of Performance. The services described herein shall commence upon the
effective date of this Agreement, and shall be completed by December 31, 2005.
a. This letter of Agreement maybe extended for a total period of time not to exceed
three (3) months. However, the initial extension shall not exceed one (1) month with
one additional extension allowable that shall not exceed two (2) months. The
CONTRACTOR shall submit any extension request in writing for STATE approval a
minimum of one (1) month prior to the termination of the contract. Said request shall
provide detailed reasons for the delay in and steps to be taken to ensure the timely
completion of the project. If the STATE approves the extension request, an amended
Letter of Agreement shall be executed by both parties in accordance with the General
Conditions. The CONTRACTOR shall not be entitled to any additional
compensation to complete the work described in the Letter of Agreement.
3. Compensation and Method of Payment. In consideration for services to be rendered
under this Agreement, STATE agrees to pay a total sum of money not to exceed TEN
THOUSAND AND NO/100 DOLLARS ($10,000.00), inclusive of all taxes. This is a
firm-fixed fee Agreement and STATE will not provide additional funds beyond the not-
to-exceed amount stipulated above. Payment shall be made by STATE in accordance
with the following provisions.
a. FNE THOUSAND AND NO/100 DOLLARS ($5,000.00) upon receipt and STATE
approval of the survey summary, draft informational materials and draft brochure as
described in pazagraph 1. b., "Scope of Services" herein, and original invoice;
b. FOUR THOUSAND AND NO/100 DOLLARS ($4,000.00) upon receipt and STATE
approval of the final brochure design and plan for distribution pursuant to pazagraph
1. c., "Scope of Services" herein, and original invoice; and
c. ONE THOUSAND AND NO/100 DOLLARS ($1,000.00) upon receipt of the final
report pursuant to pazagraph 1. d., "Scope of Services" herein, and original invoice,
and satisfactory completion of all services in accordance with this Agreement.
4. General Conditions. The State of Hawaii, Department of Business, Economic
Development, and Tourism, General Conditions, aze attached hereto and incorporated
herein as Attachment A. In the event of a conflict between the General Conditions and
the Special Conditions of this Agreement, the Special Conditions shall control.
5. Special Conditions.
a. The State of Hawaii, Department of Business, Economic Development, and Tourism,
Special Conditions, aze attached hereto and incorporated herein as Attachments B
and C.
b. The acceptance of this Agreement by the CONTRACTOR serves to bind said
CONTRACTOR with regazd to CONTRACTOR's fulfillment of all terms,
conditions, and provisions as set forth in this Agreement.
