1. r.imitetion of liabf 1ity. Article IX Limitations o!
Liability of County of Hawaii references specific lease
aections to which the limitation o! liability applies. It is
my understanding that the concept oI limiting the County's
liability is to apply generally to the lease provisions. For
example, the indemnity provisions vi sections 5.01(a), 5.05, \
5.10, 5.11, 5.17(a), 5.23(4), 5.27, 5.29, 10.03, ari4 11.04,
should be limited ns provided in articles 27t or should not be
a reed b th at 11. The nature o! the spev~I`

and delivered to a handler or packinghouse. Howaver• Papaya
Product is dalined as all irult harvested, prior to culling and
processing, ragardleas of the use or Bale of each product.
Thera may be a ditterenae between trait harvested and lruit
sold and Aeiivered to s handler or packinghouse. xt ie our
understanding that the manner in which the draft lease provides
Percentage Rent is calculated is the intended manner. Ws note
this iasua simply to clarify the ieaus.
3. Waste Land. Section 2.01 on page 9 defines ^Waats
Land." Please clarity what ^lava land^ is with respect to
excluding it from Waste Land as defined on paga 9. Is it
auitabla and feasible to grow papaya on ^lava land.„ Zt not•
then such land should be included as Waste Land.
4. Determination or Nat Araa: section 3.0+. The floor
of 573 acres o! Nat Area is Ot concern t0 the Department o!
Agriculture (^DOA^). At this point in time, it is simply not
}mown what the arable acreages will ba and that acreage is not
necessarily within the partiaa• control.
5. Maximum Building Arenr 4.o77a]. The aggregate area
figure o! one-half acre is relatively conservative according to
the DoA•s estimates. tae would suggest a figure o!
three-quarters of an acre.
6. Laesee•e Reiaase~ 5.01[b] and 5.14_i~i. Please
olarify whether the proposed releaas languages is intended to
cover the preasnes er release of any Hnzardoue Materials
occurring prior to the Tarm of the Lease (see 3.oi(b)(i) or not
(sea 5.o1(b)(iii)). Release should not cover events occurring
prior to the term of the lease. Zn general, rxleaass should
not extend beyond the amount o! the tunda eatabliahed in the
Permit.
7. Ernironmental Screening Surveys 5.01[x]. Please
oontirm that the lessor will be the party paying for the ~
saxxllne Aaaaaamant.
8. Conye^ance Taxs '3.03tb1. Section 247-4, Hawaii
Revised Statutes, provides that the lessor uhall pay the
conveyance tax.

continuously bears trait, n.g., it may have a ^arop^ one weak
and another ^crop^ a weak later. So reference to two crop
rotations couid moan a relatively young tres. The DOA would
suggest referring to papaya trees which have borne fruit
through two (2) or mots years.

If the cost o! the environmental engineer or consultant is to
ba borne by the County, then the selection o! the engineer or
consultant should ba made by the County; however. it should be
noted that this may involve compliance with procurement
raquiremsnts.
21. Mediation/Arbitration. Any provision !or mediation
and arbitration cannot ba passed on tea State agencies.
17, tandtilisr S_31. According to the DOA, the general
practice in disposing oY infected plants is to cut the papaya
tree down to a stump, ahemieally treat the stump, and chop up
and spread the remainder o! the plant. Ones the tree is out,
the virus is contained as long as the stump is treated ao that
no regrowth cnn occur of the infected punt. The chopped up
plants do not present any risx o! further disease spread. This
provision should include this general practice as a permitted
activity.
14. M~taoa of Tarminntion tbV Lessee): 5.32tb). The
provision o! 18o days !or the lessee to give notice o!
tormination to the iaseor is too long in the case o! an
unoontrollabla infestation of the disease. Wa would suggest a
period of sixty (60) days instead.
16. u~,,,_p„bs_titLtions 3.32te). Tha DOA Objects t0 this
provisien as an unreasonable restriction.

era acceptable.
17. Fair Market Va~L+e of the Premises: 7.04fa). Any
agreement as tv the fair market value of the premises is
premature and inappropriate at this time.
