Enclosed, please find a copy of Addendum Number 2 of the Request for Stage 1 Proposals (RFP
No. 2210). Addendum Number 2 addresses official questions, concerns, and requests received
by the Director of Finance since RFP No. 2210, Addendum 1, was issued on February 6, 2006.

ADDENDUM NUMBER 2

TO: RECIPIENTS OF THE REQUEST FOR STAGE 1 PROPOSALS

SUBJECT: ADDENDUM NUMBER 2
This Addendum Number 2 shall be made part of the Request for Stage 1 Proposals
Waste Reduction Facility Design-Build-Operate Project (RFP No. 2210) issued by the County of
Hawaii, Hawaii on December 28, 2005 (the `stage 1 RFP'. Pursuant to Section 3-122-16.06 of the
Hawaii Administrative Rules, Addendum Number 2 sets forth amendments to the Stage 1 RFP and
clarifications (including written questions).
The County has decided to make this Addendum Number 2 available on its website
(in PDF format) along with the Stage 1 RFP and Addendum No. l:

ACKNOWLEDGEMENT OF ADDENDUM NO. 2: To be considered
responsive, Stage 1 RFP Respondents shall acknowledge receipt of this Addendum No. 2 in the
space provided on Stage I Proposal Submittal Form 1.
SECTION 1. AMENDMENTS
Section 1.1: Section 1.4 Status of Project Development Activities - Project
Ownership/Financing (Page 3), Section 3.1.5 Project Ownership/Financing (Pages 11-12),
Attachment B: Preliminary Contract Principles (Page 1) -County Financing, and Attachment
B: Preliminary Risk Matrix - Financing/Economic (Page 8)
Sections 1.4, 3.1.5 and Attachment B of the Stage 1 RFP generally indicate that the County could
require private financing/ownership of the facility under certain circumstances. This Addendum
No. 2 intends to clarify the County's current position on a private financing/ownership approach.
The County anticipates that the Stage 2 RFP will allow proposals that include the private
financing/ownership approach

SECTION 2. CLARIFICATIONS
Section 2.1: Section 5.4 CONTENT REQUIREMENTS AND EVALUATION CRITERIA -
Financial QualiTcations (Pages 29-31)
Clarification regarding Financial Qualifications: In the event that a sole purpose company is
created as the contracting party for the Project, the financial qualifications requirement set
forth in Section 5.4 of the Stage 1 RFP shall apply to the proposed Project Guarantor only.
Section 2.2: Section 4.3.2 INFORMATION DISCLOSURE TO THIRD PARTIES (Pages 19-
20) and Section 5.4 CONTENT REQUIREMENTS AND EVALUATION CRITERIA -
Financial Qualifications (Pages 29-31)
Clarification regarding Information Disclosure to Third Parties: Notwithstanding the last
sentence of the second paragraph under the "Financial Statements" heading in Section 5.4
(on page 30), in awordance with Section 4.3.2 of the Stage 1 RFP, any financial statements
or other information provided by Proposers that are clearly marked as "confidential",
"proprietary" or "exempt from disclosure" shall be kept confidential by the County to the
extent permitted by law.
Section 2.3: Question 1, Section 4 Questions and Answers (Addendum No. 1) -Does the
County Administration have the Council and the public backing to move this RFP forward?
Clarified Response to Question 1, Section 4 of Addendum No. 1: Issuance of the Stage 1
RFP, which embodies principles approved by the Council's Environmental Management
Committee at the October 17, 2005 meeting, demonstrates the Committee's support to
implement a waste reduction facility technology project. Six members of the Committee
voted in favor, 0 voted against, and 3 members were excused. The Environmental
Management Committee consists of all 9 members of the County Council.
SECTION 3. QUESTIONS AND ANSWERS
The County received a number of written questions regarding the Stage 1 RFP from several
potential proposers between December 28, 2005 and February 20, 2006. Most written questions
were addressed in Addendum No.l. This section sets forth an additional written question submitted
to the County during this comment period and a written response to this question
uestion 1: To what extend is it possible to change the composition of the team, once that team
has been pre-qualified for Stage 2?
Response: Section 4.1.4 of the Stage 1 RFP, page 17, sets forth that "modifications of teams
afrer short-listing will only be allowed when: 1) there has been a change beyond the control
of the team lead; and/or 2) it strengthens the team's ability to meet specific Project
requirements." Short-listed firms must use Form 7, included in Attachment D, to notify the

County's Project Manager of any proposed change in team members prior to submitting
their Stage 2 Proposal. Furthermore, short-listed firms should note that such substitution of
team members using Form 7 requires Countyapproval.
