Request for Reimbursement of Sewer Charges for Construction of Sewer Extension Dear Council Members: This will supplement my prior request of January 7, 1998 regarding dedication of the Waiakea Center sewer extension (Exhibit 1 -Project Location), and the request of Maryl Development Inc., now known as Maryl Group, Inc., ("Maryl") for reimbursement of sewer charges for hookups to that extension. BACKGROUND From 1975 until 1996, the Hawaii County ordinances provided for the construction of sewer extensions in two different ways. First, a party desiring a sewer extension could request that the County build one and, upon County approval and the applicant's payment of one-half of the estimated construction costs, the County would construct the extension. See Hawaii County Code 21-26' & -27 (Exhibit 2). Alternatively, Section 21-28 of the County ordinances ("Section 21-28") allowed a party desiring a sewer extension to construct'- the extension at its own expense, in which case that party would be entitled to recapture its costs from the sewer service charges paid by others who connected to the sewer extension. See Hawaii County Code § 21-28.' During this period the County sewer ordinance also generally required other parties along the proposed extension to connect to it at their own expense. See Hawaii County Code 21-5(a). Thus, this approach was particularly attractive to those contemplating construction of a sewer extension because it allowed them to build the extension on their own timetable and at a cost that was both relatively low (because they did not have to bear the cost of constructing laterals to others required to hook up to the extension) and recoverable from fees paid by other properties ~ Section 21-26 reads: Upon receipt of a written application for a sewer extension, the engineer shall make an estimate of the costs thereof and submit it to the applicant. If the applicant then deposits with the County a sum equal to one-half of such cost, the matter shall be referred to the council and, subject to their approval and the appropriation of the County's share of cost, the extension shall be made as soon as possible. z Although Section 21-28 states only that a party invoking its provisions shall bear the entire cost of constructing a sewer extension, the practice in the County apparently was for that party, not the County, to actually build the extension. ~ Section 21-28 reads: If the applicant prefers, he may pay the full cost for the extension and for ten years after completion of the extension receive al] moneys for sewer service charges collected by the County from other properties connecting to the extension less construction costs to serve these properties. However, the total of such reimbursements shall not exceed the cost for the extension. The County, of course, benefitted from this practice because necessary infrastructure was built at little or no cost to the County.' A party desiring to construct a sewer extension under Section 21-28 was required to notify the County Department of Public Works' Wastewater Division of its intention and submit its construction plans and engineering reports for review. Those plans had to provide for the installation of laterals to the boundaries of properties along the extension that would be required to hook up, and generally had to comply with County construction standards. Construction of a sewer extension under Section 21-28 was not, however, subject to any discretionary approvals by the County Council or any County agencies. Waiakea ('enter, Inc., is the developer of the Waiakea Center project near the Prince Kuhio Plaza. Maryl is the applicant for dedication of the sewer line extension, and the applicant for reimbursement of sewer fees herein. The Waiakea Center site was not connected to the County sewer system and, early in the course of developing the Center, Maryl reviewed the then-existing Hawaii County Code provisions relating to sewer line extension reimbursements and decided that building a sewer extension to the Center would be more cost-effective than providing on-site sewer treatment in light of the sewer fee reimbursement from other properties. Accordingly, in September 1995, Maryl informed the County's Chief Engineer, Donna Kiyosaki, that it planned to construct a major sewer extension to the Waiakea Center at its own expense pursuant to Section 21-28. Maryl's notice to the County specifically noted that Maryl planned to provide laterals to the property lines of neighboring landowners that would be required to hook up to the extension, and also noted that Maryl expected to recapture its development costs pursuant to Section 21-28 (Exhibit 3). In the following months, Maryl provided the County Department of Public Works Wastewater Division with all of the plans and reports required to invoke Section 21-28. For example, on November 8, 1995, it submitted its Preliminary Engineering Report on the sewer extension to the chief of the Department of Public Works' Wastewater Division (Exhibit 4). On December 6, 1996 the Department of Public Works' Wastewater Division The County Code does provide for County guarantees of loans made to those required to hook up to new sewer extensions. See Hawaii County Code § 21-37, et sue. , James Arakaki Dominic Yagong Aaron Chung Donna Kiyosaki July 24, 1998 Page 4 referred its comments on these plans (Exhibit 5), and on December 11, 1995, Maryl submitted its final off=site sewer installation plans. All of the plans that Maryl submitted to the County during this period reflected Maryl's plan to utilize Section 21-28. Maryl incurred substantial expenses during this period in designing and planning the sewer extension. On February 20, 1996, the County's Chief Engineer approved the plans that Maryl had submitted for its proposed sewer extension (Exhibit 6). This notice also noted that, because the project would affect County roadways, Maryl needed to obtain a County Department of Public Works Permit to Dig Up Streets. On March 6, 1996 Maryl's contractor applied for and received that permit (Exhibit 7). On February 29, 1996, Maryl's contractor obtained approval of the state Deparhnent of Transportation Permit to Perform Work Upon State Highways (Exhibit 8). In approximately March of 1996, Maryl learned of certain proposed amendments to the County's sewer ordinances which would, for the first time, require Maryl to secure County Council approval of its planned sewer extension and any reimbursement to the applicant for construction of the sewer extension. See Hawaii County Council Bill No. 229, adopted as Ordinance No. 96-51, Sections 3 and 6, on May 2, 1996 (Exhibit 9). In his May 2, 1996 letter to the County Council, Mayor Stephen K. Yamashiro noted his reservations on Bill No. 229, and let the measure be adopted without his signature. (Exhibit 10). The latter requirement would significantly increase MaryPs initial costs in developing the sewer extension. The Maryl off-site sewer extension from Waiakea Center was completed and connected to the County Sewer System in approximately November of 1996, at a total cost of $1,405,491.71. The Department of Public Works approved operation of the Waiakea Center sewer improvements in its letter of December 6, 1996 (Exhibit 11). On June 2, 1998, the County Council's Committee on Public Works and Parks held a public hearing on Bill No. 228, which proposed amendments to Hawaii County Code Chapter 21 relating to sewers (Exhibit 12). These amendments basically sought to "turn back the clock" on the May 2, 1996 amendments to Chapter 2l, with the exception that reimbursement would be limited to "one-half of all moneys for sewer charges collected by the County This proposal sought to bring the County's sewer regulations back into line with the requirements of the State Department of Health, the Clean Water Act, i James Arakaki Dominic Yagong Aaron Chung Donna Kiyosaki July 24, 1998 Page 5 and the funding requirements for the County's wastewater treatment facility in Hilo. These proposed amendments are still pending further action by the Council. On June 16, 1998 the Department of Public Works transmitted to the County Council the Resolution Authorizing The Acceptance of the Sewage Works Constructed by Maryl Development Incorporated, and Authorizing the Reimbursement of the Full Costs for the Sewage Works (Exhibit 13). That submittal is pending County Council action. For the reasons set forth below, the County cannot under these circumstances, limit Maryl's reimbursement of sewer charges to either (1) the "new Law" of Ordinance No. 96-51, or (2) the County Council's proposed 1998 amendments to the County sewer ordinances, and should grant Maryl the relief requested herein. II. THE U.S. CONSTITUTION BARS THE COUNTY FROM REQUIRING MARYL TO COMPLY WITH THE SEWER ORDINANCE AMENDMENTS A. Section 21-28 of the County Sewer Ordinances Creates Franchise and Contract R~hts for Parties That Construct a Sewer Line Extensions. In this context, a franchise is generally defined as: a privilege conferred by government on an individual or a corporation to do that "which does not belong to the citizens of the country generally by common right." For example, a right to lay rail or pipes, or to string wires or poles along a public street, is not an ordinary use which everyone may make of the streets, but is a special privilege, or franchise, to be granted for the accomplishment of public objects which, except for the grant, would be a trespass. 36 Am. Jur. 2d (Franchises) § 1. L James Arakaki Dominic Yagong Aaron Chung Donna Kiyosaki July 24, 1998 Page 6 A franchise is typically created when a governmental authority enacts statutes or ordinances defining the terms of the franchise and a private entity accepts the franchise, either by a formal acceptance or by undertaking to perform the terms of the franchise. Id. § 17. To this extent, a franchise is, therefore, essentially a contract. See United States v. Slav, 717 F. Supp. 689, 693 (E.D. Mo. 1989) ("a franchise, once granted by the government for valuable consideration and accepted by the individual or corporation, becomes property in the form of a binding contract between the government and the franchisee"). Although they are not expressly styled as such, the pre-amendment sewer extension provisions of the Hawaii County Code, particularly as applied by the County, essentially set forth the terms of a franchise to which a party desiring to construct a sewer extension may avail itself Specifically, those ordinances provide that such a party may invoke this statutory scheme by submitting a written application to construct such an extension to the Chief Engineer of the County Department of Public Works. See Hawaii County Code § 21-26 & -28. Unlike an application for the County to construct such an extension, such an application is not, under the terms of the ordinances, subject to discretionary approval by the County. Cf. Hawaii County Code § 21-26 (providing for County Council approval of sewer extension applications where the County will bear a portion of the costs of construction); and Hawaii County Counci] Ordinance No. 96-51 (amending the sewer ordinances to provide that all sewer extensions applications shall be subject to County Council approval.). Instead, only ministerial approval of the application is required, whereupon the applicant may proceed with the construction of the sewer extension and recoup its costs, under the terms set forth in Section 21-28, from the sewer fees paid by others who are required to connect to the sewer extension. Here, Maryl submitted a written application to the Chief Engineer of the County Department of Public Works to construct a sewer extension pursuant to Section 21-28. Maryl's submission of the required supporting plans and engineering reports in late 1995 completed Maryl's application, as confirmed by the County's Chief Engineer's February 20, 1996, approval letter to Maryl. Where an application for a governmental approval or permit is not subject to discretionary review, the applicant's right to the approval or permit vests when the James Arakaki Dominic Yagong Aaron Chung Donna Kiyosaki July 24, 1998 Page 7 applicant has complied with all application requirements. See Aeed Hawaiians v. Hawaiian Home Commission, 78 Haw.192, 2] 1, 891 P.2d 279 (1995) (holding that Hawaiian Home Lands applicants that had filed complete applications qualifying them for a Hawaiian Home Lands award had vested property interests in award entitled to due process protection); Walz v. Town of Smithtown, 46 Fad 162 (2d Cir.), cert. denied 1 ] 5 S.Ct. 2557 (1995). Thus, for example, in Walz homeowners in a New York town applied for and received permission from the municipal water authority to install a lateral connecting their property to a municipal water line and, in connection therewith, filed an application to the municipal superintendent of highways for a permit to excavate the street under which the water line lay. The statute governing such permits required only that such applications be in writing and state the nature, location, extent and purpose of the proposed excavations, and did not contain any language indicating that such permits were subject to discretionary review. Walz, 46 F.3d at ] 68. Nevertheless, the permitting authority refused to issue the necessary permit unless the applicants agreed to additional conditions that were not contained in the permit statute. Id. The applicants filed suit to compel the permitting authority to issue the permit that would allow them to connect to the water system, claiming their rights to that permit vested when they filed the complete application. On appeal, the Second Circuit Court of Appeals affirmed that the applicants' right to the permit needed to connect to the municipal water system vested when they filed their complete application: We believe the discretion of the Superintendent of Highways to deny an excavation permit is so circumscribed that the [applicants] possessed an entitlement to a permit. So long as an application form states "the nature, location, extent and purposes of the proposed excavation," the Superintendent of Highways has no discretion to decline to issue a permit... . We therefore conclude that the [applicants] had a vested property right in receiving the excavation permit. Walz, 46 F.3d at 168; see also Swanson v. Babbitt, 3 Fad 1348, 1352-3 (9th Cir. 1993) (right to non-discretionary mining permit vests upon filing of completed application). James Arakaki Dominic Yagong Aaron Chung Donna Kiyosaki July 24, 1998 Page 8 Prior to the 1996 amendments, Section 21-28 did not provide for any discretionary approval by the County of applications to privately construct a sewer extension. Accordingly, when Maryl submitted its completed application to the Chief Engineer of the County Department of Public Works to construct a sewer extension pursuant to Section 21-28, and said application was approved on February 20, 1996, Maryl's rights to construct and operate the sewer extension under Section 21-28 vested. B. The Contract Clause of the U S. Constitution Prohibits the Count ApUlying the 1996 Amendments to the Sewer Extension Ordinances to Marvl. The "Contracts Clause" of the United States Constitution provides that "no state shall ...pass any ...Law impairing the Obligation of Contracts." U.S. Const. Art. 1, § 10. As the Hawaii Supreme Court has explained, the Contract Clause prohibits laws and ordinances that have "a substantial, material, and ...draconian effect on existing contractual obligations and property rights." Anthony v. Kualoa Ranch, 69 Haw. l 12, 736 P.2d 55, 63 (1987) (holding that statute requiring landlords to reimburse lessees under residential leases for costs of improvements upon expiration of their leases was unconstitutional as applied to leases that existed prior to the date of the statute because it impermissibly impaired the rights of landlords under those leases). As discussed above, a municipal franchise, once created, is essentially a contract between the municipality and the franchisee. As such, it is entitled to the same protections as any other contract under the U.S. Constitution: Since a franchise constitutes a contract and, as such, is within the protection of constitutional guarantees, the terms and conditions thereof are not subject to alteration without the consent of the holder [of the franchise] unless the right of alteration has been reserved in the grant or provided for by the general law. Nor may the grantor subsequently, by amendment or independent enactment, impose additional conditions upon the privilege of exercising the franchise or using the right previously granted, or destroy or impair other vested property rights incidental to the ownership of the franchise. L James Arakaki Dominic Yagong Aaron Chung Donna Kiyosaki July 24, 1998 Page 9 Thus, after conditions have been accepted and acted upon by the grantee of a franchise, the municipality granting it cannot make them more onerous without the consent of the grantee. 36 Am. Jur. 2d Franchises § 51; see also United States v. Slav, 7l7 F. Supp. 689, 693 (E.D. Mo. 1989) ("a franchise, once granted by the government for valuable consideration and accepted by the individual or corporation, becomes property in the form of a binding contract between the government and the franchisee"). Here, as explained above, Maryl's franchise rights under the County sewer ordinances vested when Maryl complied with all of the applicable requirements of Sections 21-26 and -28. Those rights are defined by the terms of the ordinances then in effect, including the provisions requiring other parties along the proposed extension to connect to it at their own expense, which meant that Mary] did not have to bear the expense of connecting those users. See Hawaii County Code 21-5 & -23. The 1996 amendments of the sewer ordinance in Ordinance No. 96-51 significantly increase the initial costs to a party desiring to privately construct a sewer extension. While there is no constitutional prohibition against imposing this additional burden on new applicants for sewer extensions, the Contract Clause of the U.S. Constitution bars the County from applying this new requirements to those, like Maryl, whose franchise rights to construct and recoup costs from a sewer extension vested prior to the date of the 1996 amendments. See Anthony, 736 P.2d at 63 (holding that statute adjusting landlords' rights under residential leases was, under the Contracts Clause, unconstitutional as applied to leases made prior to the statute). C. The County is Also Equitably Estopped From Appl~g the 1996 Amendments to the Sewer Extension Ordinance to Marvl. The County of Hawaii's approval of all final discretionary and ministerial approvals for the construction of the sewer extension. As such, the County cannot legally apply the 1996 amendments to the sewer extension ordinance to Maryl to block reimbursement ol'sewer charges for hook ups to that line extension. The closely related legal doctrines of"equitable estoppel" and "vested rights" both support the contention that James Arakaki Dominic Yagong Aaron Chung Donna Kiyosaki July 24, 1998 Page 10 Maryl was entitled to rely on official approvals for the sewer line extension project under the former regulations in effect prior to the 1996 amendments. See e¢ nerally Development Ri¢hts in Hawaii, 6 U.H.L.Rev. 437, (Fall 1984). Maryl had the right to rely on the official assurances of the County of Hawaii as expressed in its administrative approvals and the Hawaii County Code, and in good faith made substantial expenditures based upon the laws in effect at the time of construction of the project. Any reading of the procedural history of development of the Waiakea Center sewer line extension compels a conclusion that Maryl should, and under the laws of the State of Hawaii, is entitled to its reimbursement for reimbursement of construction costs for the sewer extension. IIL REIMBURSEMENT TO THE APPLICANT MARYL DEVELOPMENT, INC. FOR CONSTRUCTION OF THE SEWER EXTENSION In light of the above discussion on equitable estoppel, vested rights and the franchise rights held by the applicant Maryl Group, Inc. regarding the May 2, 1996 Ordinance No. 96-51 amendments to Chapter 21, and the fact that to our best knowledge, there have been no sewer hook ups from other properties connecting to the extension, it is clear that the terms of Hawaii County Code Section 21-28 regarding reimbursement to the applicant be construed so that the "ten years after completion of the extension" does not start to run until the first hook up from "other properties connecting to the extension" occurs, as required in the pre-May 2, 1996 Chapter 21 provisions. As detailed in the above discussion, the "rules of the game" were changed in mid- stream by the County Council's adoption of Ordinance No. 96-51, which fundamentally changed the feasibility analysis for construction of private sewer line extensions. We are informed that there is the potential for connection of the Prince Kuhio Mall development to the sewer extension developed by Maryl. There may also be other developments which are projected to hook up within the next year or so to the sewer line extension. Initiating the ten year period from the first of those hook ups would allow Maryl to recoup, at least in part, its $1,405,491.71 expenditure for the sewer line extension. As an additional means of more equitably compensating Maryl for the infringement of its legal rights, Maryl also requests that the County Council approve reimbursement to James Arakaki Dominic Yagong Aaron Chung Donna Kiyosaki July 24, 1998 Page 11 Maryl of all sewer charges collected by the County from the Waiakea Center project developed by Waiakea Center, Inc. Maryl has entered into a lease with Waiakea Center, Inc., for one of the tenant spaces for its use during development of the project. Thus, Maryl now has a leasehold interest within the Waiakea Center development, and thus can now technically qualify as the "applicant" for reimbursement of sewer charges "collected by the County from other properties connected to the extension". Maryl asserts that the above request for reimbursement for sewer charges will only be a portion of the projected original reimbursement had all properties along the sewer line extension been required to hook up, as required by the laws in effect at the time Maryl secured its contractual and other rights to construct the sewer and receive reimbursement from property owners along the extension. Additional unresolved issues raised by the absence of sewer hookups to this date is whether the County of Hawaii has failed to comply with 1) the applicable State Department of Health regulations which mandate that " [a]ll building(s) generating wastewater and located within or near proximity of an available public sewer system as determined by the director shall connect to the public sewer" (emphasis added) (DOH Title 11, Section 11-62-06 (b), and 2) the Federal funding requirements for the construction of the Hilo wastewater treatment plant. See Exhibit 10. 1V. CONCLUSION When Maryl submitted and received County approval of its completed application to construct a sewer extension pursuant to the provisions of Hawaii County Code Section 21-28, it acquired vested and other rights in the nature of a franchise under the terms of the ordinances then in effect. Under those ordinances, Maryl's franchise allowed it to construct its extension and recoup its construction costs from the sewer fees paid by adjacent property owners that were required, under the ordinances, to connect to the extension. Those ordinances did not, however, require Maryl to bear the expense of connecting those adjoining property owners to its sewer extension. The May 2, 1996 amendments (Ordinance No. 96-51) to the sewer ordinance shifted the costs of connecting adjoining property owners to parties seeking to construct a sewer extension. However, since Maryl's franchise rights to develop its sewer extension vested prior to the date of this amendment, the Contracts Clause of the U.S. Constitution prohibits the County from applying this new statutory burden to Maryl's sewer extension James Arakaki Dominic Yagong Aaron Chung Donna Kiyosaki July 24, 1998 Page ] 2 for the Waiakea Center. In other words, Maryl was entitled to proceed with its development as already approved, without bearing the costs of connecting adjacent property owners to its extension, and receive reimbursement of the sewer charges from projected hookups for ten years, up to the $1,405,491.71 cost of construction. Any effort by the County to hinder such reimbursement will constitute an unconstitutional violation of Maryl's rights. We look forward to being placed upon your agenda for resolution of this matter. (b) The user charge rystem shall take precedence over any terrtts or conditions or agreements or contracts which are inconsistent with the requirements of Section 204 (b) (1) (A) of the Clean Water Act and 40 CFR 35 ' 140. (c) Every user of the public sewer system shall be notified annually of the user's current sewer service charge rate and that portion of the rate and/or ad valorem taxes which are attributable to wastewater treatment service in accordance with 40 CFR 3.'_140. Notification may be in conjunction with a regular bill, newspaper notice, or other means acceptable to the regional administrator, Environmental Protection Agency. (1977, Ord. No. 316, sec. I; Am. 1985, Ord. No. 85.15, sec. 8.) Section Z1-36. Penalty. Any person convicted of violating any of the provisions of this chapter shall be guilty of a misdemeanor and shall be punished by a fine no[ exceeding 5500. In reviewing the Bill, I have a concern that we are not in accordance with an Environmental Protection Agency grant condition related to the funding for the Hilo Wastewater Treatment Facility. The grant condition states in part that every existing dwelling within the service area will be connected to the sewer system. A second concern is that this amendment will exempt in perpetuity all properties along a privately constructed sewer line from connecting to the County sewer system. Properties could not be forced to connect even with a change of ownership or if a vacant lot is developed. I am allowing Bill 229 to pass because I do not want to affect an ongoing project, but I strongly suggest the Council reexamine this measure in the near future and do the remedial work necessary to make implementation of this Bill successful. If we do not address these concerns now, we may be compelled to make changes in the future. RESOLUTION AUTHORIZING THE ACCEPTANCE OF THE SEWAGE WORKS CONSTRUCTED BY MARYL DEVELOPMENT, INC., AND AUTHORIZES THE REIlNBURSEMENT OF THE FULL COST FOR TILE SEWAGE WORKS. WHEREAS, Maryl Development, Ina ("Applicant") has wmpletcd the sewer line extension from the Waiakea Center located at TMKs (3)2-2-47.056, 63 and 64, through the line extension along Makaala Street connecting to the existing County system located on Leilani Street, as detailed on Exhibit "A"; and WHEREAS, the Applicant is now desirous of transfemng the sewer extension to the County ofHawau; and WHEREAS, pursuant to Section 21-19, Hawaii Gounty Cade, all sewage works found acceptable by the engineer shall become the property of the County and shall be maintained and operated as part of the public system; and WHEREAS, the Chief Engineer for the Department of Public Works has found the said sewage works to be acceptable; and WHEREAS, the Applicant is desirous of receiving reimbursement of the cost of said sewage works from the County pursuant to Section 21-28, Hawau County Code, which provides for the reimbursement for ten years after its completion, all moneys for sewage charges collected by the County from other properties connecting to the extension; and WI~.REAS, Section 21-28, Hawaii County Code, further provides that reimbursement to the Applicant shall not exceed the cost incurred by the Applicant to construct the extension; and WHEREAS, the full cost of the said sewage works is One Million Four Hundred Five Thousand Four Hundred N-mety-One and 71/100 Dollars ($1,405,491.71); and WHEREAS, Ordinance 96-51 requires that plans to reimburse the Applicarrt for construction of the sewer extension shall require the approval of the County Council by resolution. NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIIi.. OF TH$ COUNTY OF HAWAII that in accordance with Sections 21-19 and 28, Hawau County Code, the Chief Engineer is authorized to accept the aforementioned sewage works, and reimburse the Applicant for said cost.
