Dear Steve:
Thank you for your recent inquiry. I've discussed your questions with the rest
of the management team. Although our due diligence process could hardly be
considered complete at this juncture, we are comfortable about releasing a
"conceptual offer" along the following lines as concerns the implementation of
a Biosphere ProcessTM gasification facility on the Big Island.
First, however, know that our Business Model is not predicated on the need for
a client-funded Feasibility Study. (This is basically an old-school method by
which clients are charged for the vendors' costs to do their homework and
marketing, and we do not believe that such costs should be passed along to
our client communities).
AW2E does not sell the Biosphere TM to our clients. Thus, there is no capital
cost burden imposed on our clients. There is no need for a city or county to
float bonds or increase taxes; our projects are 100% privately funded, without
fiscal liabilities of any kind transferred to our clients and their posterity.
Best of all, this is a truly and uniquely Zero Waste process. If the Biosphere TM
is fronted by an effective recycling program, 100% of a MSW (Municipal Solid
Waste) stream is converted to electricity, water and a small quantity of
recyclable byproducts. There is NO further need for a landfill with this process;
in fact, existing landfill sites can actually be reclaimed for development by
integrating existing materials into the Biosphere TM feedstock.
Our preliminary business model for Hawaii County, then, is predicated upon
the following assumptions:
• 85,000 tons per year of MSW processed through the BiosphereT ; and
• No increase in tipping fees charged for 5 years.
What we would propose would be a five-year trial, offered at no cost to Hawaii
County. If, at the end of that time, the County is not completely satisfied, we
would remove our equipment, at no cost, leaving behind any improvements to
roads, buildings, utilities or other infrastructure, free and clear.

As I understand the incinerator proposal currently being considered by Hawaii
County, our approach represents at least a $300 Million dollar "swing" in
citizens' dollars over the life of the proposed incinerator contract. (Instead of
having to pay out $250 Million or more, the County would receive a more than
$75 Million revenue sharing windfall from AW2E).
We feel that this represents a strong yet realistic offering to Hawaii County; I
