RESOLUTION AUTHORIZING THE OFFICE OF THE MAYOR TO ENTER INTO AN
AGREEMENT WITH THE STATE OF HAWAII DEPARTMENT OF HEALTH,
PURSUANT TO HRS 46-7, FOR THE CHRONIC DISEASE SELF MANAGEMENT
PROGRAM
WHEREAS, the State of Hawaii Department of Health has authorized funding to the Hawaii
County's Office of Aging for the Chronic Disease Self Management Program (CDSMP); and
WHEREAS, these funds, derived from the U.S. Administration of Aging, will be used to
implement the CDSMP, which is an evidenced-based prevention program that closely replicates a
specific intervention that has been tested through randomly controlled experiments with published
results; and
WHEREAS, the Office of Aging will coordinate the delivery of this program through an aging
service provider organization; and
WHEREAS, the goals of this project is to build an Aging Network capacity in evidenced based
(EB) programming and to embed the Chronic Disease Self Management Program in the Aging
Network; and
WHEREAS, the major objectives are to a) staff the Hawaii County Office of Aging's Health
Aging Project (HAP), b) participate on the HAP Steering Committee and Evaluation Subcommittee, c)
train a minimum of two (2) individuals as Master trainers, d) replicate CDSMP with fidelity in Older
Americans Act funded programs in Hawaii County, and e) support ten (10}older adult participants to
complete the 6 week CDSMP program and evaluation protocol; and
NOW, THEREFORE, BE IT RESOLVED BY`THE COUNCIL OF THE COUNTY OF HAWAII,
in accordance with section 46-7, Hawaii Revised Statutes, that the Mayor of the County of Hawaii is
authorized to execute, on behalf of the County, a Contract for Goods and Services with the State of
Hawaii Department of Health, attached hereto and incorporated herein by reference as Exhibit "1 ", to
enable the County of Hawaii to implement Chronic Disease Self Management Program.
BE IT FURTHER RESOLVED that the Mayor of the County of Hawaii is authorized to sign the
above-referenced agreement and any related documents on behalf of the Office of the Mayor and the
County of Hawaii pursuant to the Hawaii County Charter.
BE IT FURTHER RESOLVED that the County Clerk of the County of Hawaii shall transmit
copies of this resolution to the Office of the Mayor, the Department of Finance, and the Office' of
Aging

RECITALS
A. The STATE is in need- of the goods and services, or both, described in this
Contract and its attachments. The CONTRACTOR is agreeable to providing the goods and services,
or both, as the case maybe.
B. This Contract is for (check one box):

Revised Statutes ("HRS"), and chapter 3-120, Hawaii Administrative Rules ("HAR"); or

NOW, THEREFORE, in consideration of the promises contained in this Contract, the
STATE and the CONTRACTOR agree as follows:
1. Scone of Services. The CONTRACTOR shall, in a proper and satisfactory
manner as determined by the STATE, provide all the goods or services, or both, set forth in Attachment-
S 1, which is made a part of this Contract.

2. r Cor nsation. The CONTRACTOR shall compensated for goods
supplied or services performed, or both, under this Contract in a tonal amount not to exceed
SIXTY-SDC THOUSAND, TEN AND NO/100 DOLLARS
{$ 66,010.00 ), including approved costs incurred and taxes, according to the Compensation and
Payment Schedule set forth in Attachment-S2, which is made a part of this Contract.
3. Time of Performance. The services or goods required of the CONTRACTOR
under this Contract shall be performed and completed in accordance with the Time of Perfomance set
forth in Attachment-S3, which is made a part of this Contract.
4. Bonds. The CONTRACTOR ^ is required to provide or ®is not requred to
provide: ^ a performance bond, ^ a payment bond, ^ a performance and payment bond in the

5. Standards of Conduct Declaration. The Standards of Conduct Declaration of the

6. Other Terms and Conditions. The General Conditions and any Special
Conditions aze attached to and made a part of this Contract. In the event of a conflict between the
General Conditions and the Special Conditions, the Special Conditions shall control.
7. Liguidated Dama¢es. Liquidated damages shall be assessed in the amount of

8. Nofices. Any written notice required to be given by any party to this Contract
shall be (a) delivered personally, or (b) sent by United States first class mail, postage prepaid. Notice to
the STATE shall be sent to the HOPA'S address indicated in the Contract. Notice to the
CONTRACTOR shall be sent to the CONTRACTOR'S address indicated in the Contract. A notice shall
be deemed to have beeri received three (3) days after mailing or at the time of actual receipt, whichever
is eazlier. The CONTRACTOR is responsible for notifying the STATE in writing of any change of
address.

The County of Hawaii ("CONTRACTOR") through its Hawaii County Office of Aging
("HCOA") shall, in a satisfactory and proper manner as determined by the State of Hawaii
"STATE"), and in accordance with the terms and conditions of this Contract, use the funds
received under this Contract to implement the Chronic Disease Self Management Program
("CDSMP"). CDSMP is an evidenced-based prevention program that closely replicates a
specific intervention that has been tested through randomly controlled experiments with
published results. The CONTRACTOR shall:
1. Implement the progam pursuant to the terms and conditions as prescribed by the United
States Administration on Aging's ("AoA") Empowering Older People to Take Control of
Their Health through Evidenced Based Prevention Programs, APublic/Private
Collaboration, OMB Approval No. 0985-0018, which aze incorporated herein by
reference.
2. Execute and monitor contract with Older Americans Act ("OAA") funded provider to
deliver CDSMP.
3. Coordinate with OAA funded provider to offer CDSMP training to a minimum of two (2)
individuals to become Master Trainers.
4. Coordinate with OAA fended provider to offer CDSMP training to a minimum of two (2)
individuals to become lay leaders, as needed.
5. Replicate the CDSMP with fidelity in OAA funded programs in Hawaii County.
a. Prepaze to implement CDSMP at an OAA funded nutrition site.
b. Monitor that the implementation of CDSMP is replicated with fidelity.
c. Coordinate with OAA funded provider to market CDSMP.
d. Recruit and support a minimum often (10) older adults to participate and
complete the six (6) week CDSMP program and evaluation protocol. r

a. Convene meetings, develop agendas, and compile and distribute minutes of the
meetings.
b. Work with the HAP Steering Committee to identify and invite new parhiers.
c. Provide updates to the HCOA advisory committee.
7. Participate on the statewide HAP Steering Committee and Evaluation Sub-comrittee.
8. Coordinate with the STATE Executive Office on Aging to build the Aging Network
capacity in evidence-based programming.
9. Oversee progress towards goals and objectives.
10. Support Healthy Aging Partnership -Empowering Elders ("HAPEE") parhrer in fidelity,
monitoring'and program evaluation.
11. Submit the following reports to the STATE:
a. Semi-Annual Progress Report, due thirty (30) days after the six (6) month and
twelve (12).month periods, that shall include majoi activities and
accomplishments, problems, significant findings and events, dissemination
activities, future activities, and copies of meetings, agendas and other related
materials.
b. Semi-Annual Financial Status Reports (SF-269) due thirty (30) days after the six
month and twelve (12) month periods:
c. Any other additional information or special reports required or requested by the
STATE.

~~o,a COMPENSATION AND PAYMENT SCHEDULE
In full consideration for the services performed by the CONTRACTOR under this Contract, the
STATE agrees, subject to receipt of federal funds under the Federal Grant and subject to
allotments to be made by the Duector of Finance, State of Hawaii, pursuant to Chapter 37,
Hawaii Revised Statutes, to pay to the CONTRACTOR a total sum of money not to exceed
SD{TY-SDC THOUSAND TEN AND NO/100 DOLLARS ($66,010.00), consisting of federal
funds to be received under the Federal Grant, which shall be paid in accordance with and subject
to the following:
a,. Payments shall be made according to scheduled deliverables upon
submission by the CONTRACTOR of invoices in triplicate for the
services provided in accordance with Attachment-Sl, "Scope of Services,"
and in accordance with the Project Workplan attached hereto as Exhibit
"A" and made a part hereof. The STATE shall withhold TWENTY
THOUSAND ONE HUNDRED SD{TY-NINE AND NO/100 DOLLARS
($20,169.00) until final settlement of this Contract.
b. Invoices shall be certified by the CONTRACTOR and accompanied by
progress reports describing the services performed in providing the
deliverables required under the Contract.
c. Final settlement of this Contract shall include submission and acceptance
of all reports and other materials to be submitted by the CONTRACTOR
to the STATE, resolution of all discrepancies in the deliverables received
or performance of services, and completion of all other outstanding
matters under this Contract.
