HomeMy WebLinkAboutRES 337 Draft 01 1994-1996COL' `~ OF HAWAII STATE OFF' ''VAII RESOLUTION ~ RESOLUTION AUTHORIZING THE MAYOR OF THE COUNTY OF HAWAII TO ENTER INTO A SERVICE AGREEMENT WITH GTE HAWAIIAN TELEPHONE COMPANY, INC. WHEREAS, Section 10-11 of the County Charter requires that any contract, lease, or other obligation requiring payment of funds from the appropriations of a later fiscal year or more than one fiscal year be approved by resolution; and WHEREAS, the County of Hawaii wishes to enter into a multi-year lease for two (2) years with the ability to renegotiate after this period for all Hawaii County Police Department pagers; and WHEREAS, the present pagers are obsolete and has high monthly costs, encouraging the department to look for new alternatives; and WHEREAS, a contract with GTE Hawaiian Telephone Company, Inc. will result in a tremendous Cost savings to the County of Hawaii and improve communications within the Police Department; NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE COUNTY OF HAWAII, that the Mayor of the County of Hawaii is authorized to execute the above-noted Agreement for the County of Hawaii. BE IT FURTHER RESOLVED, that the Clerk of the County of Hawaii transmit copies of this resolution to the Honorable Stephen K. Yamashiro, Mayor of the County of Hawaii, GTE Hawaiian Telephone Company, Inc. and the Police Department. Dated at Hilo, Hawaii, this ~_ day of ,1„i., 1996. D BY: ME~B` OCR LINTY RADIO PAGING TWORK ACE ~tVI A REEMENT This Radio Paging Network Access Service Agreement is emered this MAY 22 , 1996 by and between GTE HAWAIIAN TELEPHONE COMPANY INCORPORATED (°Company'~, a Hawaii corporation, ~~ ~ p~~yp~ business address at 1177 Bishop Street, Honolulu, Hawari 96813, and with its mailing address at P.O. Box 2200, Honolulu, Hawaii 96841, and City & County of Hawaii, Hawaii police Department ("Customer"), a Hawaii corporation, with its principal business address at 349 Kapiolani Street, Hilo, HI 96720 and its mailing address at same. WHEREAS the Company is in the business of offering Radio Paging Network Access Services, including infra-island private page access service; and WIlEREAS the Company may offer Radio Paging Network Access Services at special monthly recurring rates within the parameters of the Company's Tariff No. 6, Section 2, Subsection III.B. (2), 4th Revised Sheet 2, Sled with the Public Utilities Commission (PUC); and WHEREAS Customer desires to purchase from the Company Radio Paging Network Access Services in a volume and for a duration of time that would merit a special monthly recurring rate for the service agreement period. NOW THEREFORE, the Company and Customer agree as follows: 1. The term of this agreement is for a period of 24 months, commencing from the date indicated above, and expiring on MAY 21. 1998 2. For the duration of this term, Customer agrees to rent from the Company a minimum of 84 radio paging network access lines. 3. The Company will configure Customer's radio paging network access lines to service digital radio paging service and alpha numeric radio paging service. 4. For the duration of this term, Customer's monthly recurring rate for each radio paging network access line is: (65) Digital on-island radio paging $ 4.80 (19) Digital statewide radio paging $ 7.95 Voice Mail No charge PPP No charge Accordingly, for the duration of this agreement, Customer's minimum monthly recurring charge is $463.05. 5. Until the date of expiration of this agreemenrt, Customer agrees to timely pay to the Company this minimum monthly recurring charge. Customer's obligation to timely pay this minimum monthly recurring charge continues even if the number of radio paging network access lines required or used by Customer decreases below the minimum number of radio paging network access lines agreed to by the parties in Section 2 above. 6. If Customer elects to terminate its radio paging network access services prior to the ,. expiration date of this agreement (indicated in Section 1 above), Customer must give the Company 30 days' advanced written notice. In the event of such early termination, Customer is required to pay to the Company, in a single lump sum payment, the equivalent of Customer's minimum monthly recurring charge multiplied by the total number of months remaining in the balance of Customer's service agreement term in which payments have not yet been received by the Company. Customer must pay this single lump sum payment to the Company no later than 15 days after the effective early termination date or no Iater than the expiration date indicated in Section 1 above, whichever date is sooner. 7. All relevant terms and conditions of the Company's tariff Sled with the Public Utilities Commission (PUC) are hereby incorporated in this service agreement by reference. Copies of tine Company's PUC tariff are available for inspection on the Company's premises during normal business hours upon Customer's written request. ff any conflict arises between the terms and conditions of this service agreement and those of either the Company's PUC tariff, the applicable tariff provision will be controlling and govern.
