WHEREAS, on September 5, 1990, the County Council of the County
of Hawaii passed Resolution No. 225-90; and
WHEREAS, Resolution No. 225-90 resolved that the offer of
Kamehameha Investment Corporation to construct and turn over the
Keauhou Fire and Rescue Station to the County of Hawaii to operate
was the most expeditious manner by which fire and rescue services
could be provided to the Keauhou Resort Community; and
WHEREAS, Resolution No. 225-90 requested Mayor Larry Tanimoto to
work with Kamehameha Investment Corporation to finalize an agreement
with the County of Hawaii regarding the Keauhou Fire and Rescue
Station; and
WHEREAS, Mayor Tanimoto and Kamehameha Investment Corporation
have executed an Agreement, dated November 21, 1990, regarding the
construction, equipping, furnishing, staffing and operation of the
Keauhou Fire and Rescue Station for a period of at least twenty
years; and
WHEREAS, Section 10-11 of the Charter of the County of Hawaii
states that any contract or obligation of the County of Hawaii which
requires the payment of funds from the appropriations of more than
one fiscal year must be approved by the County Council; and
WHEREAS, the Agreement between Kamehameha Investment Corporation
and the County of Hawaii has been fully considered by the County
Council, and it being the opinion of the County Council that the
Agreement is desirable and should be approved.
NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE COUNTY OF
HAWAII that it is determined and found that the Agreement between
Kamehameha Investment Corporation and the County of Hawaii, dated
November 21, 1990, regarding the construction, equipping,
furnishing, staffing and operation of the Keauhou Fire and Rescue
Station is desirable and said Agreement is hereby approved.
BE IT FURTHER RESOLVED THAT the Clerk of the County of Hawaii
transmit copies of this resolution to the Honorable Lorraine Inouye,
Mayor, County of Hawaii and to Mr. Robert Herkes, Kamehameha
Investment Corporation.

AGREEMENT
THIS AGREEMENT made this 21st day of November
1990, by and between KAMEHAMEHA INVESTMENT CORPORATION, a Hawaii
corporation, whose principal place of business and mailing
address is 567 South King Street, Suite 120, Honolulu, Hawaii,
96813, hereinafter called "KIC" and the COUNTY OF HAWAII, a
political subdivision of the State of Hawaii, whose principal
place of business and mailing address is 25 Aupuni Street, Hilo,
Hawaii 96720, hereinafter called the "COUNTY".
W I T N E S S E T H:
WHEREAS, by Deed dated September 7, 1983, recorded in
the Bureau of Conveyances of the State of Hawaii in Liber 17442,
Page 36, KIC conveyed to the COUNTY Lot 8 of the Keauhou Kona
Phase II subdivision, area 0.693 acres (herein the "Property")
for the purpose of providing the COUNTY with sufficient land to
build a fire station to service the Keauhou Resort Community; and
WHEREAS, the aforesaid Deed to the COUNTY expressly
provided that the Property would be used solely for public fire
and rescue station purposes and that if the COUNTY failed to
construct a fire and rescue station on the property within
fifteen (15) years from the date of the Deed that the Property
would revert to KIC; and
WHEREAS,' the COUNTY has arranged for the equipment and
manpower to service such a fire and rescue station, but has not
undertaken to and has no present intention to undertake within
the next few years the construction of a public fire and rescue
station on the Property because of a lack of funds to pay for the
same; and
WHEREAS, KIC has proposed to the COUNTY that it will
undertake to raise through private sources the funds necessary to
pay for all costs and expenses associated with and will supervise
t:~e dssig: and construction, of a fire and rescue station on the
Property through private sources (herein the "Keauhou Fire and
Rescue Station"), and upon completion of the facility will turn
it over to the COUNTY to equip, staff and operate; and
WHEREAS, the COUNTY has determined that KIC's proposal
is acceptable and has agreed to provide KIC with the right of
entry and other authorizations necessary to enable KIC and its
contractors, subcontractors, laborers, etc. to enter upon the
Property for the purpose of constructing the Keauhou Fire and
Rescue Station; and
WHEREAS, KIC and the COUNTY wish to set forth below
their respective agreements and understandings regarding the
Keauhou Fire and Rescue Station.
NOW, THEREFORE, in consideration of the premises and
other good and valuable consideration, receipt whereof is hereby
acknowledged, the COUNTY and KIC do hereby mutually covenant and
agree as follows:
1. KIC to Raise Funds. KIC shall use its best
efforts to raise sufficient funds through private sources to pay
all costs and expenses which it estimates will be incurred in
connection with the design, plan and permit approval,
construction and installation of the Keauhou Fire and Rescue
Station. If KIC is unable to raise at least the sum of
$1,200,000.00 within one hundred eighty (180) days following
approval of this Agreement by the COUNTY, then and in such event
KIC shall have the right and option to terminate this Agreement
upon fifteen (15) days prior written notice to the COUNTY.
2. Five-Year Exemption From Fire Sprinkler
Ordinance. If the owner of the Keauhou Beach Hotel, Kona Lagoon
Hotel and/or Kona Surf Hotel, as the case may be, shall
contribute to the building trust fund to be established under
paragraph 1 above its pro rata share of the costs for the design,
construction and installation of the Keauhou Fire and Rescue
Station, then and in such event the existing hotel improvements
owned by such contributing owner shall be considered by the
COUNTY for deferment from compliance with any fire sprinkler
ordinance that may be hereafter enacted by the COUNTY for a
period of five (5) years following the COUNTY's approval of this
Agreement, provided that all other terms and conditions of this
Agreement are satisfied.
3. Plans and Specifications. The COUNTY shall
provide KIC with copies of and the right to use without cost the
plans and specifications for the COUNTY'S existing South Kohala
Fire and Rescue Station. The COUNTY understands that it is KIC's
intent to use a Hawaii licensed architect or engineer to adapt
those plans to the Property so as to minimize the cost of any
such plans and specifications. KIC shall use its best efforts to
have plans and specifications for the Keauhou Fire and Rescue
Station (the "Plans and Specifications") prepared for submission
to the COUNTY'S Building Department within one hundred eighty
(180) days following approval of this Agreement by the COUNTY,
provided that the precondition set forth in paragraph 1 above is
satisfied.
4. COUNTY Ap royal of Plans. The Plans and
Specifications for the Keauhou Fire and Rescue Station shall be
subject to the prior written approval of the COUNTY and the
County of Hawaii Fire Department, which approvals shall not be
unreasonably or arbitrarily withheld or delayed. The COUNTY
shall assist and cooperate with KIC in the processing of said

Plans and Specifications through the Building Department so as to
obtain all necessary building or other permits for construction
and installation of the Keauhou Fire and Rescue Station.
5. Construction of Keauhou Fire and Rescue
Station. After KIC shall have obtained approval of the Plans and
Specifications and issuance of the necessary building and other
permit(s) from the COUNTY, KIC shall contract with a Hawaii
licensed general contractor for the construction and installation
of the Keauhou Fire and Rescue Station in accordance with the
approved Plans and Specifications. The construction contract for
the Keauhou Fire and Rescue Station to be entered into by KIC
shall not be subject to nor shall KIC be required to conform to
the bidding procedures and wage requirements which would be
applicable if the COUNTY were the contracting party.
6. License and Riqht of Entry. The COUNTY does
hereby grant to KIC and its employees, agents, architects,
engineers, contractors, subcontractors, suppliers and materialmen
a license and right of entry to enter upon, in and under the
Property in connection with the investigation, planning, design,
development, construction, installation and completion of the
Keauhou Fire and Rescue Station in accordance with said Plans and
Specifications. The license and right of entry granted hereby
shall continue for so long as KIC requires to complete the
design, construction and installation of the Keauhou Fire and
Rescue Station and its acceptance by the COUNTY.
7. Acceptance of Keauhou Fire and Rescue Station
by COUNTY. Upon completion of construction of the Keauhou Fire
and Rescue Station, free and clear of liens and encumbrances, the
COUNTY shall accept the Keauhou Fire and Rescue Station, and KIC
shall execute a Bill of Sale in favor of the COUNTY transferring
to the COUNTY all of KIC's right, title and interest in and to
the improvements comprising the Keauhou Fire and Rescue Station
to the COUNTY, whereupon the license and right of entry granted
hereby shall automatically terminate. The improvements
comprising the Keauhou Fire and P.escue Station shall be conveyed
by KIC to the COUNTY "as is" without any warranties, express or
implied. KIC shall, however, assign to the COUNTY any rights it
may have under any warranties arising under the construction
contract for the Keauhou Fire and Rescue Station.
B. COUNTY to Equip, Furnish and Operate.
Following acceptance of the Keauhou Fire and Rescue Station, the
COUNTY hereby agrees that it will, at its sole cost and expense,
promptly and expeditiously equip, furnish and staff the Keauhou
Fire and Rescue Station so that the COUNTY can continually
operate as a County fire and rescue station on a 24-hour basis
for not less than twenty (20) years. The COUNTY shall also use

its best efforts to obtain the necessary funding to staff a 24-
hour ambulance service at the Keauhou Fire and Rescue Station.
9. Bond. Before commencing any construction on
the Property, KIC shall at its own expense, cause to be deposited
with the COUNTY a bond, or certificate thereof, naming the COUNTY
as obligee, in a penal sum not less than one hundred percent
(100) of the estimated cost of such construction, and in form
and with surety satisfactory to the COUNTY, guaranteeing
performance of the construction contract, free and clear of all
mechanic's or materialmen's liens. KIC may also elect to provide
the COUNTY with some other reasonable assurance, acceptable to
the COUNTY, that the contract for construction will be performed
and the work completed free and clear of mechanic's or
materialmen's liens.
10. Indemnity. KIC will indemnify and hold the
COUNTY harmless from and against all claims and demands for loss
or damage, including property damage, personal injury and
wrongful death, arising out of or in connection with the
construction and installation of the Keauhou Fire and Rescue
Station on the Property by KIC or any other person under KIC,
except to the extent such loss or damages is caused by the
negligence or willful misconduct of the COUNTY or its agents,
employees, licensees or invitees, and will reimburse the COUNTY
for all its costs and expenses including reasonable attorneys'
fees incurred in connection with the defense of any such claims.
11. Title and Headings. Title and headings to
articles, paragraphs and subparagraphs herein are for the purpose
of convenience and reference only, and shall in no way limit,
define or otherwise affect the provisions thereof.
12. Severability. If any provisions of this
Agreement or the application thereof to any person or
circumstance shall be invalid or unenforceable to any extent, the
remainder of this Agreement and the application of such
provisions to other persons or circumstances shall not be
affected thereby.
13. Time is of the Essence. Time is specifically
declared to be of the essence of this Agreement, and of acts
required to be done and performed by KIC and the COUNTY.
14. Governing Law. This Agreement is executed
and delivered and is to be performed in, and shall be governed by
and construed in accordance with, the laws of the State of
Hawaii.

15. Attorney's Fees. Should either party hereto
reasonably retain counsel for the purpose of enforcing or
preventing the breach of any provision hereof, including but not
limited to instituting any action or proceedings to enforce any
provision hereof, for damages by reason of any alleged breach of
any provision of this Agreement, for a declaration of such
party's rights or obligations hereunder or for any other judicial
remedy, then the prevailing party shall be entitled to be
reimbursed by the other party for all costs and expenses incurred
in connection therewith, including but not limited to reasonable
attorneys' fees for the services rendered to such prevailing
party.
16. No Party Deemed Drafter. The parties agree
that no party shall be deemed to be the drafter of this Agreement
and further that ir. the event that this Agreement is ever
construed by a court of law, such court shall not construe this
Agreement or any provision of this Agreement against any party as
the drafter of the Agreement.
17. Amendment. This Agreement may be amended only
by a writing signed by each of the parties hereto.
18. Parties in Interest. This Agreement, and
each and every term and provision hereof, shall inure to the
benefit of, and be binding upon and enforceable against, KIC and
the COUNTY and their respective legal representatives, successors
and assigns.
19. Entire Agreement. This Agreement constitutes
and contains the entire agreement between KIC and the COUNTY and
supersedes any and all prior negotiations, correspondence,
understandings and agreements between the parties respecting the
subject matter hereof.
20. Forum Selection. No action or proceeding
involving this Agreemenet shall be commenced by either party
except in the Circuit or District Courts of the Third Circuit,
County of Ha.~aii, State of Hawaii; nor shall any action commenced
in such court be removed or transferred to any other state or
federal court.
21. County Council Approval. In accordance with
§10-11, Hawaii County Charter, which requires County Council
approval of contracts or other obligations of the County for
which appropriations must be made in more than one fiscal year,
this Agreement shall not be effective unless and until the County
Council approves it by resolution.

Your Committee on Finance, to which was referred Resolution
No. 263-91, reports as follows:
The purpose of Resolution No. 263-91 is to request the Council's
favorable consideration and approval of the agreement document dated
November 21, 1990 and eaecuted by Kamehameha Investment Corporation
(KIC) and the County of Hawaii in which parties undertake to
construct and operate a fire-rescue station in the Keauhou Resort
Community area.
It also refers to Resolution 225-90, passed by the Council on
September 5, 1990, which urges the Administration to consider KIC's
proposal to construct the fire-rescue station facility and then
transferring it to the County of Hawaii for operational
re~~ponsibilities for a period of at least 20 years.
Reference is made to Section 10-11 of the Hawaii County Charter
which states that all contracts requiring payment of funds from
appropriations of more than one fiscal year must be approved by the
County Council.
As information, the copy of the agreement between KIC and the County
of Hawaii is attached indicating that KIC conveyed .693 acre of land
in Keauhou to the County of Hawaii for the sole purpose of
establishing a fire-rescue facility in the Keauhou Resort Community
area. The land conveyed by deed dated September 7, 1983, stipulated
that a fire-rescue facility was to be constructed within 15 years
from deed date. However, the County has not been able to undertake
construction of the facility due to lack of funds and KIC is now
proposing to construct the facility with private resources and then
let the County assume responsibility of staffing, equipping and
operating the station for a period of 20 years.
Some of the covenants of interest were as follows:
1. KIC to raise sufficient funds through private sources and pay
all cost and expenses associated with design, plan and permit
approval, construction and installation. If KIC is unable to raise
at least $1,200,000 within 7.80 days following County approval of
agreement, KIC has the right to terminate the agreement.

2. If Keauhou Beach Hotel, Kona Lagoon Hotel or Kona Surf Hotel, as
the case may be, contributes to the building fund, their existing
hotel improvements shall be considered for deferment from any County
fire sprinkler ordinances that may be enacted for a period of
5 years from County approval of agreement.
3. County to provide, without cost to KIC, plans and specs of the
South Kohala fire and rescue station in order to submit plans and
specs to the County Building Department within 180 days following
the County's approval of agreement.
4. County to grant KIC and its employees, agents, architects,
engineers, contractors, subcontractors, suppliers and materialmen a
license and right of entry to the property in connection with the
investigation, planning, design, development, construction,
installation and completion of the fire-rescue facility for so long
as KIC requires to complete project.
5. KIC to execute a Bill of Sale in favor of the County in order to
transfer the completed facility without any warranties except for
warranties arising under the construction contract. At this time,
the license and right of entry granted shall automatically terminate.
6. Upon acceptance, County to promptly and expeditiously equip,
furnish and staff the fire-rescue facility on a 29-hour basis, for
not less than 20 years. County is also expected to use its best
efforts to fund a 24-hour ambulance service at the new facility.
7. KIC to provide performance bond in an amount not less than 100%
of estimated construction cost; however, KIC may also elect to
provide County other reasonable assurance, acceptable to the County,
that the construction contract will be performed and the work
completed free and clear of mechanic's or materialmen's liens.
Your Committee heard from the developer's representative that the
date of the agreement was in error and should be changed to
November 21, 1990. This change is significant as the developer is
hopeful in getting the assessment commitments completed within six
months of the date of the agreement. During the Committee
discussion, the developer also explained the assessment rate for the
various types of units based upon a full buildout of the Keauhou
development.

Your Committee has amended the resolution by changing reference to
the September 5, 1990 agreement date to the November 21, 1990
agreement date.
Your Committee on Finance concurs with the intent of Resolution
No. 263-91, Draft 2, and recommends its adoption. The Committee
also moved that the Council Chairman send a letter of appreciation
to Kamehameha Investment Corporation.
