Re: Resolution Accepting Donation
Enclosed is a resolution accepting a donation of real property from the Bank of Hawaii. This
property is currently the Bank of Hawaii' Kohala Branch, located at 54-3888 Akoni Pule
Highway, Kapa'au, in the District of North Kohala, and identified by Tax Map Keys: (3)5-4-005-
002 (approximately 5,851 sq. ft.) and (3)5-4-005-003 (approximately 14,125 sq. ft.). The Bank
of Hawaii Corporation has agreed to convey this real property to the County of Hawaii in fee
simple with a reservation that the existing Automated Teller Machine and Night Depository
remain in place and accessible for use by its customers.
The Department of Parks and Recreation and the Office of Aging will utilize this property, of
which the entry and parking lot are compliant with Americans with Disabilities Act
requirements, for community based programs. There are no outstanding Real Property Taxes
due for this property and the Department of Finance recommends acceptance of the donation.
We are requesting that this Resolution be waived from the Finance Committee and be placed
on the April 4, 2012 Council Agenda in order to meet the Bank of Hawaii's requirement that the
transaction be completed by April 15, 2012. If there are any questions, please do not hesitate

A. REQUEST:
Prepare a resolution to accept the donation of real property from the Bank of Hawaii. This property consists
of an approximately 5,851 sq. ft. parcel, and a 14,125 sq. ft. parcel, which includes the Bank of Hawaii,
Kohala Branch building located at 54-3888 Akoni Pule Highway, Kapa'au, in the District of North Kohala and
identified respectively by Tax Map Keys: (3)5-4-005-002 and(3)5-4-005-003. The entry and parking lot are
ADA (American with Disabilities Act) compliant.
B. BACKGROUND AND JUSTIFICATION (USE ADDITIONAL SHEETS AS NEEDED):
The Bank of Hawaii Corporation has agreed to convey this real property to the County of Hawaii in fee
simple with a reservation that the existing Automated Teller Machine and Night Depository remain in place
and accessible to use by its customers, both of which are a benefit to the general public and local business
of the Kapa'au area.
The Department of Parks and Recreation and the Office of Aging will utilize this property for community
based programs.
We are requesting the Resolution be waived from the Finance Committee and be placed on the April 4, 2012

Dear Mayor Kenoi:
Bank of Hawaii ("Bank") proposes to donate the above-referenced property owned by the Bank
and currently occupied by the Bank's Kohala Branch,to the County of Hawaii for use by the Office
of Aging and Parks and Recreation for community based programs of these departments.
The property,currently known as the Bank of Hawaii Kohala Branch, is located at 54-3888 Akoni
Pule Highway, Kapaau,in the District of North Kohala,County and State of Hawaii. The property is
more specifically identified as Tax Map Keys:(3)5-4-005-002 being approximately 5,851 square feet and
(3)5-4-005-003, being approximately 14,125 square feet,and more particularly described on the
attached Exhibit"A"(the"Property").
The Bank proposes to convey the Property to the County of Hawai'i in fee simple, as-is and
where is, without warranty or representation. In exchange for the donation of the Property,
the Bank will have a right of entry to maintain and operate the existing automated teller
machine("ATM") and night depository("Night Depository") located on the Property for use by
its customers,servicing vendor and employees. Further, it is agreed that Bank of Hawaii will
have the exclusive right to provide ATM and Night Depository services at this location.
It is necessary for the County of Hawaii to accept the donation by April 15 so that both the
Bank and the County will be able to proceed in documenting the terms of the conveyance and
other requisite details in a timely manner.

The Bank believes that the County of Hawaii and its Office of Aging and Parks and Recreation
Departments will use the property to provide needed services to the Kohala community while
allowing the Bank to continue to make the ATM and Night Depository available to the general
public and businesses of the area.
We look forward to completing the necessary process to accomplish this task.

of the Assistant Registrar of the Land Court of Hawaii with

described in Owner's Duplicate Certificate of Title No.
22,196r and conveyed by that certain Deed dated April 1, 1965
from which Certificate of Title Nos. 202694 ; 102695,- and
102696 were issued, which Deed was also recorded in the
Bureau of Conveyances at Liber 5012, Page 499; SUBJECT,
HOWEVER, to the encumbrances mentioned in said Deed and on
said Certificates of Title.

Pursuant to Section 2(g) of Rule 4 of the Rules of Procedure of the Council of the County of
Hawai`i, this written request is submitted with my approval that the above-referenced matter be
waived from the Committee on Finance to the full Council for immediate action. In reviewing this
matter, timely approval is crucial. It is therefore advantageous that approval is granted and the
matter be placed onto the next Council agenda for review. However, in the event this request is
denied, for whatever reason, I understand the matter shall be referred to the Committee on Finance
for placement on its future agenda.
