SPECIAL WARRANTY DEED WITH CONDITIONS,
EXCEPTIONS AND RESERVATIONS
KNOW ALL MEN BY THESE PRESENTS:
That HILO COAST PROCESSING COMPANY,
a Hawaii Corporation, hereinafter called the
"Grantor", for and in consideration of the sum of TEN DOLLARS
($10.00) and other good and valuable consideration to Grantor paid ��''••
by PAPA'I-KOU LANDING INC., a corporation registered in the
Province of Alberta, Canada, whose address is P. O. Box 4697,
Station C, Calgary, Alberta T2T5P1 Canada, hereinafter called the
— "Grantee", receipt whereof is hereby acknowledged, does by these
presents grant, bargain, sell and convey the real property
described in Exhibit "A" hereto attached and expressly made a part
hereof, unto Grantee;
And the reversions, remainders, rents, issues and profits
thereof and all of the estate, right, title and interest of the
Grantor, both at law and in equity, therein and thereto;
TO HAVE AND TO HOLD the same, as to said real property,
together with all buildings, improvements, tenements, heredita-
ments, rights, easements, privileges and appurtenances thereunto
belonging or appertaining or held and enjoyed therewith unto
Grantee, absolutely and in fee simple;
Grantor for itself and its successors and assigns does
hereby covenant with Grantee, and its successors and assigns, that
it has good right to convey said premises, that the interest of
Grantor is free and clear from all encumbrances made by, through,
or under Grantor, except as herein mentioned, and current real
property taxes, if any, which are to be prorated as of the date of
recording of this instrument, and that it will warrant and defend
the same unto Grantee, and its successors and assigns, against the
lawful claims and demands of all persons claiming by, through or
under Grantor, except as aforesaid.
Grantee acknowledges that the property more particularly
described in Exhibit "A" attached hereto and made a part hereof,
and the buildings situated thereon, have previously been used as a
sugar mill, with its related industrial and commercial uses. The
property has been exposed to or used for and/or the storage of
gasoline, fuel oils, petroleum lubricants, machinery-related
chemicals, pesticides and other poisons, lime, molasses,
herbicides, etc. In addition, various asbestos containing products
are also located on the property. Grantee represents and agrees

the matters set forth above. Grantor represents that it has
received no claim, threaten claim or demand concerning the property
relating to damage, contribution, compensation, loss or injury
resulting from any Hazardous Materials.
Definitions. (1) Hazardous Materials Laws. The term "Hazardous
Materials Law" means and includes all federal, state or local laws,
ordinances, rules or regulations, now or hereafter in effect,
relating to environmental conditions, industrial hyg ieenthio,
Hazardous Materials (as that term is defined below) on,
under or about the property, including, without limitation, the
Comprehensive Environmental Response, Compensation and Liability
Act of 1980, as amended, 42 U.S.C. Section 9601, at 4e57_; the
Resource Conservation and Recovery Act, 42 U.S.C. Section 6901, at
s o.; the Hazardous Materials Transportation Act, 49 U.S.C. Section
1801, et. sea.; the Clean Water Act, 33 U.S.C. Section 1251, at
sea.; the Clean Air Act, 42 U.S.C. Section 7401., at sea.; the
Toxic Substances Control Act, 15 U.S.C. Sections 2601 through 2629;
the Safe Drinking Water Act, 42 U.S.C. Sections 300f through 300j;
Hawaii Revised Statutes Chapters 342B-342N and 342P, as amended;
and any similar federal, state or local laws or ordinances and the
rules and regulations now or hereafter adopted, published and/or
promulgated pursuant thereto. (ii) Hazardous Materials. The term
"Hazardous Materials" means and includes any and all radioactive
materials, asbestos, organic compounds known as polychlorinated
biphenyls, flammable explosives, petroleum, chemicals known to
cause cancer or reproductive toxicity, pollutants, contaminants,
hazardous wastes, toxic substances, and any and all other
substances or materials defined as or included in the definition of
"hazardous substances," "hazardous wastes," "hazardous materials,"
or "toxic substances" under, or for the purposes of, the Hazardous
Materials Laws, or listed in the United States Department of
Transportation Table (49 CFR Section 172.101 and amendments
thereto) or by the Environmental Protection Agency (or any
successor agency or department) as hazardous substance (40 CFR Part
302 and amendments thereto). (iii) Hazardous Materials Claims. The
terms "Hazardous Materials Claims" means and includes (A) any and
all enforcement, clean-up, removal, mitigation or other
governmental or regulatory actions instituted in respect of the
property pursuant to any Hazardous Materials Laws, and (B) any and
all claims made or threatened by any third party against Grantor or
Grantee seeking damages, contribution, indemnification, cost
recovery, compensation, injunctive relief or similar relief

resulting from any Hazardous Discharge or from the existence of any
Hazardous Materials on, within, under or about the property.
EXCEPTING AND RESERVING unto Grantor, its successors and
assigns the right to grant and convey to the County of Hawaii, a
body corporate and politic of the State of Hawaii, or to such other
authorized governmental entity (hereinafter "County"), an easement
over that certain parcel of land more particularly described in
Exhibit "B" attached hereto and made a part hereof in connection
with said County's construction, maintenance, and operation of a
sewage treatment plant.
Grantee 'hereby covenants that Grantee is aware,
understands and agrees that all of the property described in said
Exhibit "A", including the land and improvements, are sold and
hereby accepted by Grantee in their present "AS IS" condition as of
the date hereof.
The terms "Grantor" and "Grantee", as and when used
herein, or any pronouns used in place thereof, shall mean and
include the masculine, feminine or neuter, the singular or plural
number, individuals, corporations or partnerships, and their and
each of their respective successors, successors in trust, heirs,
personal representatives and assigns, according to the context
thereof. If these presents shall be signed by two or more Grantors
or by two or more Grantees, all covenants of such parties shall for
all purposes be joint and several.
This document may be executed in counterparts. Each
counterpart shall be executed by one or more of the parties to this
document and the several counterparts shall constitute one document
to the same effect as though the signatures of all of the parties
were upon the same document.
