As discussed in the previous issue of The Y2K Reporter, publicly traded corporations continue to provide inadequate disclosure of their progress in fixing the Year 2000 Problem for investors. This is despite the Securities and Exchange Commission (SEC) July 1998 Interpretative Memo, which strongly advised them to provide much more information on the subject. I continue to sift through the mostly useless verbiage in the quarterly (10Q) and annual (10K) reports filed by corporations with the SEC for the any worthwhile nuggets of information.' I provided excerpts of some of them in the previous Reporter. Slow Progress. In this study, I examine corporate progress by studying Y2K budget data available in some of the third quarter filings. Only 315 of the 415 S &P 500 companies currently showing a third quarter report on the SEC's Edgar database, detail the total estimated cost of the Y2K project and also how much has been spent so far. Clearly, many companies simply ignored the SEC's request that all corporations provide this information.' The following charts and tables detail the percentage of Y2K budgets that have been spent as of the third quarter for the companies reporting this information. I believe that there must be a good direct correlation between the percentage of budget spent and progress in Y2K remediation. If this assumption is correct, then many companies have a great deal of work to do in a very short period of time before the Y2K "dreadline." Indeed, all told, the companies in my sample collectively have spent only 42% of their budgets as of the end of the third quarter. Though not strictly comparable, the US government seems to be making more progress than American corporations. According to the latest progress report from the Office of Management and Budget, 61% of mission - critical systems were fixed by the federal agencies as of mid - November 1998.' Why do companies have so much of their budgets to spend during the final three months of 1998 and all of 1999? Many information technology experts believe that the toughest, and most time - consuming part of the Y2K remediation process may be the final phase, namely, end -to -end regression testing. Lots Of Laggards. Here are some additional conclusions based on the data presented in the following charts and tables. 1) On average, the S &P 500 industry that is at the top of the spending -to- budget progress list is the financial sector, with a ratio of 53.3 %. Utilities are at the bottom of the list of S &P industry sectors! If they don't work, nothing else will. 2) No industry is uniformly ahead of the others. There are laggards in every major industry. Even in the leading financial sector, 36% of the sample has spent less than half of their Y2K budget through the third quarter of 1998. 3) There are a disturbing number of laggards. Fully 33% of the companies I surveyed spent less than one -third of their budgets so far. And 14% of the companies spent less than 20% of their projected Y2K budget through the third quarter of 1998. 4) Only 8 companies claim that they are nearly finished, having spending -to- budget ratios of 80% or more. 5) In the utility sector, only five of the 34 companies in my survey claim to have spent more than 50% of their budget. And 10 of these have spent less than 20 %! Near the bottom of the list are Niagara Mohawk Power (12 %), Sonat (13 %), and Consolidated Natural Gas (15 %). Among the telephone companies, MCI Worldcom seems to be significantly behind with a 30.2% reading compared to 42.2% for AT &T, 47.8% for GTE. Bell Atlantic is also lagging with a 31.8% score. 6) In the energy sector, Chevron is second from the bottom with a shockingly low 13.3 %. Merger partners Exxon and Mobil are right next to each other with in -the- middle readings of 47.3% and 49.6 %, respectively. In basic materials, Union Carbide, is fourth from the bottom of the list with 11.7 %. 7) In capital goods, Boeing, which just announced a major cutback in employment and production, is second from the bottom of the list with only 15.2 %. In the technology sector, Motorola, which may have sold lots of noncompliant products over the years, is only 20.6 %. Intel is surprisingly low at 14.0 %. 8) In the health care sector, Pfizer is at only 23 %, well below Eli Lilly's (55 %), Schering- Plough (60 %), and Pharmacia & Upjohn (66.7 %). Hedge Clause. Use the following information with caution. Companies that have spent most of their projected budgets are most likely to be Year 2000 compliant. However, keep in mind that most, if not all Y2K disclosure is self - reported; it is not independently verified, audited, or certified. Also, please read the entire Y2K disclosure statement before jumping to any conclusions from the following data. You are likely to find that companies that rank highly in the following spending progress tables are also very worried about the readiness of their key vendors. In other words, even compliant companies could suffer greatly in 2000 if plausible worst -case scenarios unfold. Some companies may be overestimating the total cost of their project. Such liberal budgeting would indicate that management is actually taking the problem seriously and committing more than enough money to fix the problem. Some companies reported Y2K budget ranges. The top of the range was used for this study. Nevertheless, if you own some of the spending laggards, you probably should spend some time reading the Y2K disclosure statements in all their SEC filings since the beginning of 1998. One last warning: Reading through so many disclosure reports to find the data for this study was not much fun. There could be errors. The data was double- checked, but you may want to check it again for specific companies you are concerned about. If you do start doing some heavy sifting, please pass along any interesting findings.
