Cunningham is founding the GVS Transmedia Accelerator(GTA) which, in conjunction with the Accelerator Development Fund, will accelerate selected Hawai'i-based entrepreneurs and their companies through their development phase that infuse creative storytelling content into multiple innovative technology platforms (transmedia) positioning them for successful financing. Through its disciplined model for development, Advisory Committee of entertainment and innovative technologies experts, consummate consultants, and related networks for potential follow-on funding, GTA will draw out and empower Hawaii's emerging creative sector entrepreneurs. Stage of Development The GVS Transmedia Accelerator is a new initiative building upon the experience and track record that Cunningham and Global Virtual Studio have in developing transmedia products and companies. The GVS Transmedia Accelerator Program's partnership between GVS Transmedia Accelerator, the Hawai'i Strategic Development Corporation and the County of Hawai'i will maximize resources, relationships and visibility to draw out and equip Hawaii's creative entrepreneurs and develop the economy's creative sector. Target Entrepreneurs GTA will target companies with Intellectual Property (IF') geared for wide commercial audiences and sustainable business models for maximizing return on investment through multiple product platforms. A core Accelerator principle is to create and develop IF' that is locally owned or that has a significant Hawai'i nexus. In addition, preference will be shown to candidates who demonstrate plans to produce products or to capture and retain the value of their IP in Hawai'i, or continue business activities in Hawai'i. Method Each year six companies will be mentored through a disciplined development process, honing their business plans and pitching skills as well as developing and refining their creative ideas in line with the Accelerator Pipeline model created by David L. Cunningham. Seed funding for Accelerator companies from the Accelerator"Development Fund" (see "Program Funding" below), will finance a variety of development processes and products. At the end of the six month intensive program, each company will have a polished and packaged transmedia franchise plan including investor presentation and business plan for GVS Transmedia Accelerator Program-Executive Summary 1 (Method cont'd) at least three different expressions of their IP constituting multiple revenue streams. This portion of the program will end with an investor Showcase Day. The companies will then be poised to rapidly raise follow-on funding over the next six month period of supported pitching and fundraising. Strength of Accelerator Program Transmedia entrepreneurs, products and companies - from feature films to digital downloads to interactive eBooks - share very similar development processes and thereby benefit from the synergy created by the Accelerator cohort environment. The seed funding ($50,000 per company) is a crucial injection to a transmedia startup in its vulnerable development phase and will finance the disciplined "Transmedia Project Pipeline" processes (see Fig. 2) for product development and testing which will accelerate the development of viable companies with compelling creative products. In this way, the companies will be polished and packaged ready for follow-on funding (or alternatively in some cases partnerships or acquisition). In addition, the day-to-day hands-on approach by the companies' lead coaches and the strategic pairing of professional mentors (each at the top of their game in their respective spaces) creates a nurturing, tailor-made development curriculum for each company. The lead coach will engage directly and on an ongoing basis with their company through one-on-one coaching sessions. The lead coach together with the assigned mentor will work with the company to set targets, benchmarks and deadlines for each development process and give feedback and suggestions on development work completed at the various stages. Where advantageous, workshops with various consultants will be facilitated for all-cohort participation as well as peer work-shopping at various stages. Accelerator Team David L. Cunningham will serve as the Executive Director for the Accelerator and lead the Management and Coaching Team staffed by Cunningham's "GVS Development" team. The Physical Facility will be managed by local production and location services company, Big Island Gigs. An Advisory Committee, made up of experienced professionals in their respective fields will serve as advisors, mentors and consultants to the Accelerator and its cohorts. Members of the Advisory Committee will be matched as a mentor for each company based on need and fit. In addition, the Advisory Committee will be available to consult with the Executive Board on the suitability of candidates as well as provide training and seminars, and access to their investor networks at the end of the training period. GVS Transmedia Accelerator Program-Executive Summary 2 (Accelerator Team,cont'd) Program Funding The Accelerator Program will have a Development Fund made up of Investment Funding and finances purposed for Accelerator Yearly Running Costs and will be overseen by an Executive Board. The Investment Funding will be in the amount of $1 million, raised from HSDC and private investors. Investment Funding will be invested as seed capital in exchange for equity in the companies selected for participation in the Accelerator. Accelerator Yearly Running Costs are budgeted at $400,000 per year and will be provided to the Development Fund by the HSDC and the County of Hawai'i on a yearly basis. In addition to the Development Fund, one-time initial setup costs for the Accelerator Facility in the amount of$103,000 will be financed by the County of Hawai'i. Accelerator Program Cohort Selection and Funding The Development Fund's Executive Board is the decision-making body that will both select and fund each Accelerator cohort as well as approve funding for Accelerator Running Costs on an annual basis. In addition, the Executive Board will set any policies and operating guidelines for the Development Fund as it sees fit. The Executive Board may call upon members of the Advisory Committee to assist the Executive Board in performing its functions, including screening and recommending suitable applicants and monitoring and reporting on outcomes. Investment& Returns Structure A group of private equity investors and the State of Hawai'i will be equal partners in the investment activities of the Development Fund. The Fund will invest in 18 companies over three years in return for an equity stake in each company. Profit from the successful Accelerator slate of companies will initially pay off the Investment Funding capital of the Development Fund, after which profits will be split 70/30 between the Development Fund investors (HSDC and private equity group) and the Accelerator, to support long term sustainability*. *Please note:This profit share with the Accelerator will exclude projects in which David L.Cunningham has a financial interest. In this instance,the investors would receive 100%of the profit share. GVS Transmedia Accelerator Program-Executive Summary 3 Appendix A Project Description for Agreements GVS Transmedia Accelerator(GTA)will accelerate six startup transmedia companies per year/cycle for three years.Transmedia companies are businesses with with Creative Content/Intellectual Property that has the potential to tell story across multiple platforms to broaden and engage audience participation. GTA will lead these six companies per cycle through a disciplined process to develop at least 3 transmedia products(per company)that are grown out of their creative content,where they will hone their business plans and pitching skills as well as develop and refine their creative ideas in line with GVS' unique Accelerator Pipeline model for an intensive 6-month period positioning them for successful follow-on financing. Participant companies will receive$50K in seed monies from the Accelerator Development Fund to finance their development processes in exchange for a percentage equity ownership. Companies will also receive significant value from mentorship by industry experts, specialty consultants, peer workshops and evaluation, co-work space in the facility, etc. Following the cohort showcase and graduation from the initial curriculum, companies will then be launched into their fundraising phase(second 6-month period)where participants continue to have access to co-work space in the facility,Accelerator staff and coaches for consulting, and assistance with package updates. Global Virtual Studio (GVS)will utilize the facility in exchange for in-kind services including (but not limited to)the recruitment and nurturing of the experienced and influential Advisory Committee and mentor team, executive level consulting, and overall leadership in advising, connecting and empowering the creative entrepreneurs accepted into the Accelerator program. Kona based production and location services company Big Island Gigs(BIG)will utilize the facility in exchange for managing the facility on behalf of the County of Hawai'i(as an in-kind service). In addition to supporting the accelerator program-BIG will utilize the facility to host and support various film and media productions on the island. In partnership with the County of Hawaii Film Office, BIG considers the facility a strategic step in building the creative industries infrastructure on Hawai'i Island. This step will help foster the growth of Hawai'i creative professionals and attract more film and media productions to the island. GVS& BIG's in-house work happening on-site as well as seminars and community outreach events will also help grow infrastructure and opportunity and generate a creative, productive and engaging environment. Executive Director DAVID L. CUNNINGHAM David L Cunningham is an international filmmaker. Besides David's many documentary credits, he has directed seven movies - Beyond Paradise (Independent), To End All Wars (Goldcrest/Fox), Little House on the Prairie (ABC -Wonderful World of Disney), The Path to 9/11 (ABC/Disney), After... (First Look), The Seeker(Fox/Walden), and most recently Hakani(SBT). Cunningham is also the founder and director of The Film Institute (TFI). TFI facilitates training, scholarships and endowments for developing storytellers and incubates new transformational models and initiatives in film and transmedia. TFI Incubated initiatives have included Global Virtual Studio, an innovative internationally networked content creation studio, Chosen & Dearly Loved, a multi-media, multi-platform campaign offering a voice for orphans with special needs and Grassroots News International, a non-profit training movement of global citizen journalism. Cunningham is currently working with Producer Grant Curtis to adapt the Lion of War novel series for the silver screen. Cunningham is a member of the Director's Guild of America, represented by the United Talent Agency, and lives on the Big Island of Hawaii with his wife and three children. Development Fund Executive Board RALPH WINTER Winter is a successful producer on some of the largest tent-pole movies: four X-MEN movies, two Fantastic Four movies, and Tim Burton's Planet of the Apes. All have set box office records, and over $2BB in world wide theatrical box office. Currently, Ralph is the Executive Producer of The Giver based on the novel; Phillip Noyce (Salt) directing, starring Jeff Bridges, Meryl Streep, Katie Holmes, Alex Skarsgard, and Taylor Swift. Winter is also Executive Producer on Captives, the Ashley Smith story based on The Purpose Driven Life. The movie stars David Oyelowo, and Kate Mara. Mr. Winter is a graduate of UC Berkeley, a member of the DGA, The Producers Guild, and the Academy of Motion Pictures Arts & Sciences. (Development Fund Executive Board cont'd) 1 ROBERT CROTTY Robert Crotty's career has spanned 18+ years in the film industry in fields as diverse as feature film development and financing, post-production, visual effects, home entertainment marketing, digital asset management and workflow software. Robert's began in feature film post-production, where he produced the digital effects for studio films such as Dr. Dolittle, Virus, The General's Daughter, and Godzilla. Robert later made the natural progression to digital film finishing as the General Manager for the Digital Intermediate Group, the US subsidiary of India's largest film production and lab facility, the Prasad Group. Robert went on to produce extended and director's cuts for such films as Angels & Demons, Ghost Rider and Donnie Brasco, and managed production for creative content and menus for DVDs and Bluray. Based on his success, he was tapped by Sony to parachute into various departments to manage marketing campaigns for the domestic and international marketing teams. Currently, Robert is serving as the VP of Business Development for 5th Kind, an industry pioneer in digital asset management software for feature films, studios and creative industries whose CORE software has managed production assets for over 40 big budget studio films as well as providing Marvel Studios with an integrated workflow platform for productions, publishing, marketing and their archive. During the last 3+ years, Robert has been instrumental in 5th Kind's growth, managing enterprise-level deals for companies as varied as Warner Bros., Nissan North America, Rovio Entertainment, Toyota Motor Sales and NASA. MIKE FRANK Mike Frank is a recognized expert on taking leaders to higher levels of performance and impact, with more than three decades of senior-level executive experience at multi-national Fortune 500 corporations, start-up entrepreneurial ventures and non-profits. Frank has worked in a wide variety of industries for companies such as Mutual of Omaha, General Mills, IZOD, PepsiCo, Frito-Lay, Taco Bell, Walt Disney Company, MFS Communications, and Level 3 Communications (Founder). He has been an entrepreneur/advisor for a significant number of startups as well. 2 Advisory Committee Grant Curtis- Feature Film Producer From the mystical drama The Gift to the eye-popping Spider-Man series, producer Grant Curtis has been instrumental in the creation of the recent work of celebrated director Sam Raimi. Curtis is currently teaming up with director David L. Cunningham to adapt Day of War, a novel chronicling the adventures of King David and his Mighty Men. Lance Priebe-Tech Entrepreneur A quintessential inventor, Lance Priebe is equal parts designer, artist and entrepreneur. Priebe is a twelve-year veteran of the online game industry with a focus on finding solutions for new properties. Along with his partners, he co-founded and created Club Penguin - also acting as the lead designer and programmer- and finally sold the game to The Walt Disney Company in 2007 for$350M.
