Re: Resolution Accepting Donation
Enclosed is a resolution accepting the donation of a tanker apparatus from Maui County c/o the
Honorable Alan M. Arakawa, Mayor, County of Maui, 200 Dairy Road, Kahului, Hawaii 96732,
to Jeffrey A. Murray, Fire Chief, County of Maui, 200 Dairy Road, Kahului, Hawaii 96732, and
to Daniel Agsalog, Director of Finance, County of Maui, 200 Dairy Road, Kahului, Hawaii
96732. The tanker apparatus will be assigned as part of the apparatus fleet for the reactivation of
Station 10A-Pahoa Fire Station Annex.

B. BACKGROUND AND JUSTIFICATION (USE ADDITIONAL SHEETS AS NEEDED):
The County of Maui, Department of Fire and Public Safety has approved a donation to the County of Hawai'i
one (1) 3,000 gallon tanker---a 2006 Peterbilt E-One tanker---previously used by the County of Maui as a
relief tanker.
Attached are copies of the letter from the Fire Chief of the County Maui and the Memorandum of Agreement
to execute the transfer to the County of Hawai'i.
The veh;cie will be assigned as part of the apparatus fleet for the reactivation of Station 10A - Pahoa Fire
Station Annex (the old station).

MEMORANDUM OF AGREEMENT
GRANT OF MAUI FIRE DEPARTMENT RELIEF TANKER 14
TO
HAWAII COUNTY FIRE DEPARTMENT
This MEMORANDUM OF AGREEMENT made this day of
, 20 , by and between the County of Maui ,
Department of Fire and Public Safety, whose address is 200 Dairy
Road, Kahului, Hawaii 96732 ( "Fire" ) , and the Hawaii Fire
Department , whose address is 25 Aupuni Street, Hilo, Hawaii
96720 ( "HIED" ) .

WITNESSETH :
WHEREAS, the County of Maui is the owner of Relief Tanker 14 ;
anh
WHEREAS, Relief Tanker 14 is no longer necessary as a relief
apparatus; and
WHEREAS, Section 2 . 72 . 054 , Maui County Code, states that the
Director of Finance may authorize the grant of personal property
for which the county no longer use, to a governmental entity; and
WHEREAS, Fire desires to grant ownership of Relief Tanker 14
to HIFD; NOW, THEREFORE,
FURTHER WITNESSETH THAT :
Fire, for and in consideration of HIFD' s covenants and
agreements set forth herein, agrees to grant ownership of Relief
Tanker 14 to HIFD and HIFD accepts Fire' s grant of ownership of
Relief Tanker 14 subject to the covenants and agreements set forth
below:
1 . Relief Tanker 14 Description:

f Refurbished Purchase Price : $333 , 000
2 . Fee shall grant Relief Tanker 14 to HIFD for no cost . It has
been determined that Relief Tanker 14 does not have resale or
scrap value . This Agreement does and shall not be interpreted
t:o create a financial obligation on the part. of Fire and the
County of Maui .
3 . IHFD shall be responsible for any costs relating to the transfer
of ownership of Relief Tanker 14 .
4 . HIFD shall be responsible for all costs relating to
transportation and shipping of Relief Tanker 14 .
5 . Prior to taking possession of Relief Tanker 14 , HIFD shall
ensure that Relief Tanker 14 is properly insured .
6 . HIFD, to the extent permitted by law, shall indemnify, defend,
and hold harmless the County of Maui , its officers, employees,
and agents from and against any and all claims, including
attorneys' fees, for bodily injury, wrongful death and/or
property damage by any persons caused by, occasioned by, arising
from, or resulting from this Agreement and/or Relief Tanker 14 .
7 . Upon the transfer of ownership to HIFD, as owner of Relief
Tanker 14 , HIFD shall assume all risk and liability relating to
Relief Tanker 14 .
8 . "As is" Condition. Fire makes no representations or warranties
regarding title to Relief Tanker 14 or its suitability or
fitness for firefighting operations . HIFD shall make its own
assessment of Relief Tanker 14 and shall receive Relief Tanker
14 in its present condition.
9 . This Agreement is the entire agreement of the Parties with
] espect to Relief Tanker 14 , and shall supersede all
negotiations , agreements, and understandings with respect
thereto .

10 . The parties hereto agree that this Agreement may be executed in
counterparts, each of which shall be deemed an original , and
said counterparts shall together constitute one and the same
agreement , binding all of the parties hereto, notwithstanding
all of the parties are not signatory to the original or same
counterparts . For all purposes, duplicate unexecuted pages of
the counterparts may be discarded and the remaining pages
assembled as one document .

RE: Resolution No. 580-14 : A Resolution Authorizing the Acceptance of a Donation of
Tanker Apparatus from Maui County.
Pursuant to Section 2(g) of Rule 4 of the Rules of Procedure of the Council of the County of
Hawai`i, this written request is submitted with my approval that the above-referenced matter be
waived from the Committee on Finance to the full Council for immediate action. In reviewing
this matter, timely approval is crucial. It is therefore advantageous that approval is granted and
the matter be placed onto the next Council agenda for review. However, in the event this request
is denied, for whatever reason, I understand the matter shall be referred to the Committee on
Finance for placement on its future agenda.
