Please find attached proposed amendments to Resolution No. 126-15. The amendments are illustrated below in Ramseyer format with respect to the contents of Resolution No. 126-15 (material to be deleted is bracketed and stricken through; material to be added is underscored). A draft copy of Resolution No. 126-15, Draft 2, is attached with the proposed amendments incorporated. 1. The title is amended to read as follows: "A RESOLUTION AUTHORIZING THE PAYMENT OF FUNDS OF A LATER FISCAL YEAR AND OF A MULTI -FISCAL YEAR AGREEMENT FOR FURNISHING ORGANIC WASTE DIVERSION OPERATIONS IN WEST [�T "�'.Lk"] HAWAII AND EAST [HASAIAI-1] HAWAI`I FOR THE DEPARTMENT OF ENVIRONMENTAL MANAGEMENT." 2. A new second Whereas clause is added to read as follows: "WHEREAS, the County recognizes the value of removing greenwaste and other compostables from the landfill not only to extend the life span of the landfill but to reduce the production of methane in the landfill. Greenwaste and other compostables generate methane which increases air pollution, increases the risk of fire, and necessitates the installation of expensive methane exhaust infrastructure at the landfill; and" Comm. The eighth (presently seventh) Whereas clause is amended to read as follows: "WHEREAS, the new procurement will also solicit the costs for providing [a] one or more closed vessel compost demonstration [project for a ] projects. The demonstration [}r-ejeeqrp ojects will provide the County with valuable data on the success of composting greenwaste [;] as well as other organics including foodwaste, soiled paper, and compostable plastics, the market for selling compost, the revenue generated from sales and other information[. The tenth (presently ninth) Whereas clause is amended to read as follows: "WHEREAS, it is in the County's best interest to contract for the operation of organic waste diversion sites based on an initial multi-year agreement not to exceed four [(4)] years. The contract period will include three [(-3)] years of operations and up to one [(1-)] year for site preparation and mobilization & demobilization[. The agr-eement will provide the option to extea for- up to two (2) additional e (,) year- ,-iods]; and„ 5. A new eleventh Whereas clause is added to read as follows "WHEREAS, in the event securing permits to compost organics over and above greenwaste, in particular to include food scraps, soiled paper, and compostable plastics, takes more than the specified preparation period of one year, then the initial four year agreement may be unilaterally extended by the operator or operators for up to two additional years to compensate for any additional period taken to secure permits for the closed vessel system, and" 6. The twelfth (presently tenth) Whereas clause is amended to read as follows: "WHEREAS, Article X, Section 10-11 of the County Charter requires that any contract, lease or other obligation requiring payment of funds from the appropriations of a later fiscal year or more than one fiscal year be approved by resolution; [and] now, therefore," 7. The enacting clause is amended to read as follows: "[ ,] BE IT RESOLVED BY THE COUNCIL OF THE COUNTY OF [HT "Fi] HAWAI`I that in accordance with Article X, Section 10-11 of the [14awar4] Hawaii County Charter, the Mayor is hereby authorized to enter into [ ] one or more multi-year contracts for services of furnishing and implementing [greenwaste] greenwaste collection sites in West [Hawai'i] Hawaii and East [Hawai'i] Hawaii for the Department of Environmental Management and that sufficient funds be budgeted in future fiscal years to cover the anticipated obligation of the County under the terms of the April 13, 2015 Page 3 agreement [..] including for the additional closed vessel composting demonstration projects." A RESOLUTION AUTHORIZING THE PAYMENT OF FUNDS OF A LATER FISCAL YEAR AND OF A MULTI -FISCAL YEAR AGREEMENT FOR FURNISHING ORGANIC WASTE DIVERSION OPERATIONS IN WEST HAWAII AND EAST HAWAII FOR THE DEPARTMENT OF ENVIRONMENTAL MANAGEMENT. WHEREAS, the County 2009 Integrated Resources and Solid Waste Management Plan identified that 54% or 114,000 tons of the waste disposed at County landfills were organic materials that could be recycled, thereby preserving valuable landfill space; and WHEREAS, the County recognizes the value of removing greenwaste and other compostables from the landfill not only to extend the life span of the landfill but to reduce the production of methane in the landfill. Greenwaste and other compostables generate methane which increases air pollution, increases the risk of fire, and necessitates the installation of expensive methane exhaust infrastructure at the landfill; and WHEREAS, the County established in 2013 organics diversion operation sites referred to as the West Hawaii Organics Facility adjacent to the West Hawai'i Sanitary Landfill and the East Hawaii Organics Facility adjacent to the Hilo Sanitary Landfill where greenwaste and untreated wood pallets are processed into mulch; and WHEREAS, the County has an existing organics diversion contract that will expire on December 31, 2015; and WHEREAS, the County is developing a new procurement to replace the current contract for the operation of the West Hawaii Organics Facility and the East Hawaii Organics Facility; and WHEREAS, the new contract will accept greenwaste generated from county recycling and transfer stations, landfills and other private entities. The types of organic material will include greenwaste and untreated wood pallets; and WHEREAS, the new procurement will solicit the costs for providing treatment of the mulch for invasive species before being distributed to the public at the West and East Hawaii Organics Facilities; and WHEREAS, the new procurement will also solicit the costs for providing one or more closed vessel compost demonstration projects. The demonstration projects will provide the County with valuable data on the success of composting greenwaste as well as other organics including foodwaste, soiled paper, and compostable plastics, the market for selling compost, the revenue generated from sales and other information; and WHEREAS, the high equipment and operations start-up costs, that are estimated between $500,000 to $1,000,000, justify a multi-year commitment to recoup costs and secure reasonable terms for equipment financing. A multi-year commitment also provides the County the most favorable opportunity for competitive bids; and WHEREAS, it is in the County's best interest to contract for the operation of organic waste diversion sites based on an initial multi-year agreement not to exceed four years. The contract period will include three years of operations and up to one year for site preparation and mobilization & demobilization; and WHEREAS, in the event securing permits to compost organics over and above greenwaste, in particular to include food scraps, soiled paper, and compostable plastics, takes more than the specified preparation period of one year, then the initial four year agreement may be unilaterally extended by the operator or operators for up to two additional years to compensate for any additional period taken to secure permits for the closed vessel system; and WHEREAS, Article X, Section 10-11 of the County Charter requires that any contract, lease or other obligation requiring payment of funds from the appropriations of a later fiscal year or more than one fiscal year be approved by resolution; now, therefore, BE IT RESOLVED BY THE COUNCIL OF THE COUNTY OF HAWAII that in accordance with Article X, Section 10-11 of the Hawaii County Charter, the Mayor is hereby authorized to enter into one or more multi-year contracts for services of furnishing and implementing greenwaste collection sites in West Hawaii and East Hawaii for the Department of Environmental Management and that sufficient funds be budgeted in future fiscal years to cover the anticipated obligation of the County under the terms of the agreement, including for the additional closed vessel composting demonstration projects. BE IT FINALLY RESOLVED that the County Clerk shall forward a copy of this resolution to the Mayor, the Director of Environmental Management and the Director of Finance. 2
