WITNESSETH WHEREAS,the COUNTY wishes to obtain the services of the CONSULTANT to render all the necessary professional services required to perform an Environmental Assessment for a Composting Facility for the County of Hawai'i Department of Environmental Management Solid Waste Division hereinafter called the"PROJECT"and WHEREAS,the CONSULTANT is qualified,ready,willing and able to provide such services; and WHEREAS,the COUNTY and the CONSULTANT have detailed the scope of work to be performed by the CONSULTANT on the PROJECT in a separate attachment entitled "EXHIBIT A—SCOPE OF WORK",a copy of which is attached hereto; and NOW THEREFORE,the COUNTY and the CONSULTANT,in consideration of the mutual promises hereinafter set forth,hereby agree as follows: 1. That the CONSULTANT shall perform all of the services required for the PROJECT in accordance with the General Terms and Conditions for Consultant Service PBR Hawaii Inc.—Environmental Assessment for Composting Facility 1 Contracts dated October 22,2014; attached hereto and hereinafter called the GENERAL TERMS &CONDITIONS; and 2. That the compensation for the work covered under the AGREEMENT,subject to the General Terms and Conditions shall consist of a fee not to exceed SEVENTY SIX THOUSAND AND NO/ 100 DOLLARS ($76,000.00),inclusive of all taxes,except in the case of a contract amendment increasing or decreasing the scope of work; and 3. That the work under"EXHIBIT A—SCOPE OF WORK" on this AGREEMENT shall be completed within 365 days after the COUNTY has given the official written notice to proceed,exclusive of review time as may be required by the COUNTY and other agencies; and 4. That if a disagreement concerning this AGREEMENT or CONSULTANT'S work on the PROJECT arises which the parties cannot settle pursuant to the dispute resolution clause of the General Terms and Conditions for Consultant Contracts appended hereto and incorporated by reference herein,the parties agree that no action or proceeding involving this AGREEMENT or CONSULTANT'S work on the Project shall be commenced by either party except in the Circuit or District Courts of the Third Circuit,County of Hawai'i,State of Hawai'i;nor shall any action commenced in such court be removed or transferred to any other state or federal court. A. Coordinate and review any required technical sub-consultant studies,which may include: 1. Preliminary Engineering Report(by Client); 2. Archaeological Survey Letter Assessment or Inventory Survey (by Consultant's archaeological sub-consultant); 3. Cultural Impact Assessment(by Consultant's cultural sub-consultant); 4. Traffic Study(by Consultant's traffic engineer); 5. Biological Survey(by Consultant's biological sub-consultant);and 6. Other studies as determined to be necessary(by additional services). B. Coordinate pre-assessment consultation process by developing a list of consulting agencies and sending relevant agencies a letter containing a short project description and a location map. C. Respond to public and agency comments received during the consultation period. D. Prepare an in-house Draft EA, including the following: 1. Summary sheet; 2. Project description; 3. Based on in-house review,finalize Draft EA. 3. Obtain transmittal letter from the proposing/approving agency to the Office of Environmental Quality Control(OEQC). 4. Submit required copies of Draft EA to OEQC for publication of a notice of availability in the OEQC The Environmental Notice. 5. Coordinate the distribution of the Draft EA. Assume five (5) hard and thirty (30) electronic copies for distribution and five (5) hard and five (5) electronic copies for the Client,proposing/approving agency(ies) and planning team. Revise Draft EA(incorporating public review comments)as necessary;prepare Final EA. 2. Provide an in-house draft of the Final EA to.the Client, appropriate members of the planning team,and the proposing/approving agency(ies). 3. Based on in-house review,finalize Final EA. 4. Follow-up with the proposing/approving agency to obtain a FONSI, which shall also serve as a transmittal letter to OEQC. 5. Submit required copies .of the Final EA to OEQC for publication of a notice of availability in the OEQC The Environmental Notice. 6. Coordinate the distribution of the Final EA. Assume five(5)hard and five(5)electronic copies for distribution and five (5) hard and five (5) electronic copies for the Client, • proposing/approving agency(ies), and planning team. Task 2: Special Permit , Upon authorization by Client, this task involves preparing a Special Permit application package meeting the requirements of County of Hawaii Planning Commission Rule 6 and, as applicable, the State Land Use Commission rules if the permit area exceeds 15 acres. • 2.1 Prepare and process a Special Permit A. Where the permit area is 15 acres or greater 1. Recommend to Client a land use attorney experienced in processing matters before the State Land Use Commission. To retain the attorney-client privilege, the Client shall contract directly with an attorney of their choice("Attorney"). 2. Attorney shall take the lead to prepare and process the Special Permit before the.County Planning Commission and the State Land Use Commission. Consultant shall assist Attorney as requested by Client or Attorney. B. Where the permit area is less than 15 acres,Consultant shall: • 1. Research and prepare preliminary project information. 2. Arrange, attend, and facilitate a pre-application meeting with the County Planning Department staff. . (14) Photographic documentation of the property showing: (a) Street access(ingress and egress)to the project site; (b) Uses on adjoining properties; (c) Building setbacks from property. lines, distances to neighboring buildings, parking areas,and other uses,on the site; (d) Views from adjoining streets. (15) Tax clearance from the Real Property Tax division. 5. Provide copy of draft application package for Client review and comment. Revise per Client review. 6. Submit required copies of the application package to the County Planning Department. Application fee to be paid by the Client. • 7. Prepare and send out a first notice to surrounding property owners as required under Section'25-2-4 of the Hawaii County Zoning Code within 10 days after filing the application with the Planning Department.Prepare an affidavit confirming that adjoining property owners were sent written notification. 8. Coordinate with the County Planning Department during their review of application for completeness. 9. Notify Client when application is formally accepted for processing. 10. Cause a sign to be posted for public notification as required under Section 25-2-12 of • the Hawaii County Zoning Code within ten days of being notified of the acceptance of the application. Prepare an affidavit confirming that the sign was posted. 11. Prepare and send out a second notice to surrounding property owners as required under Section 25-2-4 of the Hawaii County Zoning Code within 10 days after receiving notice from the Director of Planning of the date of the scheduled Planning Commission hearing but not less than 10 days prior to the date of the scheduled hearing. Prepare an affidavit • confirming that adjoining property owners were sent written notification. 13. Review the County Planning Department staff report and recommendations. 14. Coordinate to the extent possible with County Planning Director to secure approval of the applications. 15. Prepare appropriate presentation materials and attend up to two Planning Commission hearings to seek Planning Commission approval. Should there be a contested case hearing,the additional services will be provided on a time and materials fee basis. EXCLUSIONS/ASSUMPTIONS The following items of work are not included in the Scope of Services. Any items of work performed by the Consultant upon Client request will be considered additional services and billed on a time and materials basis. 1. Attendance, participation and presentation at meetings and presentations are not included in this proposal for Task 1. Fees for these services can be provided to the Client under a separate proposal. 2. The proposed Scope of Services covers preparation and processing for a HRS Chapter 343 EA/FONSI as opposed to an Environmental Impact Statement (EIS). Should it be determined that an EIS, or any other additional requirements are needed during the scoping/consultation or any other phase-of the project, a proposal can be provided to the Client for additional services. 3. Aside from the technical studies identified within the Scope of Work above (such as archaeological, cultural impact assessment, biological, traffic, etc.), this proposal does not include any other studies (such as a metes and bounds survey, or a preliminary engineering report) which may be required by any governmental agencies. Also excluded are plans, additional studies, etc., that are not specifically identified in the above scope of work, but cannot be confirmed to be required until the environmental documentation process has commenced. These additional studies, plans, etc., can be prepared under a separate proposal or directly contracted by the Client. 4. Should Client decide to use federal finds, the preparation and processing of documents to meet federal environmental requirements are not included in Task 1. This additional task can be undertaken under a separate proposal, - l 5. Hard and compact disk copies of reports and submittals provided will be limited to the l° number of copies identified within the Scope of Services. PDFs can be provided to the Client for printing. PERFORMANCE SCHEDULE • Task 1 The Consultant anticipates being able to complete Task 1 within six(6)months(including two(2)to three (3)months for the preparation of the EA/FONSI and completion of consultant studies,and two (2)to three (3) months for processing). This time is exclusive of time required by the Client, other project consultants and affected agencies to review the Consultant's work and assumes timely • submittal of sub-consultant reports, Client review and proposing/approving agency(ies) review. Excluded is the time required by State Historic Preservation Division's review and approval of the archaeological assessment or archaeological inventory survey. Task 2 Where the permit area is less than 15 acres, Task 2 can range from 3 months to 6 months for the preparation and processing of the application, and 6 to 12 months depending on whether the Land Use Commission must approve the application. COMPENSATION Task 1 The Client shall compensate the Consultant a lump sum fee of Seventy-Six Thousand Dollars ($76,000.00). Billings shall be monthly based on the percentage of work complete. Task 2 The Client shall compensate the Consultant on a time and materials basis not to exceed Seventeen Thousand One Hundred Dollars ($17,100.00). Billings shall be monthly based on documented work completed and according to our current rates. Currently our rates are as follows: Principal $155.00-$255.00 per hour Associate/Director $ 90.00-$175.00 per hour Planner $ 40.00-$110.00 per hour Landscape $ 35.00-$110.00 per hour Graphic Design $ 40.00-$ 70.00 per hour Administrative Assistant $ 40.00-$ 85.00 per hour If the Special Permit area is 15 acres or greater, a lump sum estimate for a land use attorney to prepare and process the Special Permit before the County Planning Commission and State Land Use Commission is$75,000.00. The Consultant will keep the Client informed monthly of the time expended and expenses incurred and shall advise the Client of any additional costs. No additional costs will be incurred or services rendered without the prior approval of the Client. If the services covered by this proposal have not been completed within 18 months of the date of the proposal,fees set forth in this proposal shall be subject to renegotiation. Should the described services and fee meet with your agreement, a contract should be provided for review and execution by both parties.
