KIND OF BUSINESS: Applicant continues to serve local Hawaiian cuisine from
11:00 a.m.- 9:00 p.m., seven (7) days a week. Applicant has approximately 74 employees, 24 of
whom are certified by the Department of Liquor Control to supervise the sale, service and
consumption of liquor.
Applicant currently has live entertainment in the form of a soloist two to three times during the
week and an occasional amplified band.
MANNER OF OPERATION: The current licensee, Umekes LLC dba Umeke's Fish Market
Bar & Grill, has had no violations and has operated in a reputable manner.

ASSIGNMENT AND ASSUMPTION OF LEASE AGREEMENTS: This Assignment and
Assumption of Lease Agreements ("Assignment"), was entered into as of June 28, 2026
("Effective Date"), by and between Umekes LLC ("Assignor"), and Umekes Bar and Grill, LLC
("Assignee").
Assignor hereby assigns, conveys, transfers, and sets over to Assignee, its successors and
assigns, all of Assignor's right, title, and interest in, to, and under the Brewery Block Subleases
("Lease") by and between Manini Holdings, LLC ("Lessor"), and Assignor, terminating on
January 31, 2029.
The Department received a letter dated June 26, 2026, from Manini Holdings LLC ("Lessor")
consenting to the transfer from Umekes LLC to Umekes Bar and Grill, LLC.
TEMPORARY LIQUOR LICENSE: A temporary liquor license was issued with the effective
date of June 28, 2026.
ZONING: General Industrial
SURROUNDING AREA: A survey of the surrounding area reveals there are no schools,
churches, or playgrounds within 500 feet of the licensed premises. There are three (3) liquor
licenses with the same class and kind located within 500 feet of the licensed premises.

APPLICANT: The applicant, Sohn LLC, is a domestic limited liability company, registered with the

managed with its sole member as follows:

LOCATION OF PREMISES: The proposed licensed premises is located at 76-5924 Mamalahoa
Hwy, in Holualoa, Hawaii. The proposed licensed premises is located on the makai side of Mamalahoa
Highway in a commercial building formerly occupied by Paul's Place retail store. The building is

DETAILS OF PREMISES: The proposed licensed premises consists of approximately 3,750 square
feet of space which includes a cashiers station, retail area offering refrigerated items, dry goods,
souvenirs, packaged food, locally grown fruits and vegetables, cigarettes and beverages, as well as a
coffee and tea station, food prep area which sells hot food items to -go, and a community center with
couches and tables for dining. A unisex restroom is available for customers and employees within the
community center. Liquor inventory and backstock will be stored in a locked office within the proposed
licensed premises.

KIND OF BUSINESS: Applicant plans to operate a retail establishment that serves both the local
community and visitors. Applicant plans to have multiple seating areas within the establishment and
outside for its customers to enjoy food and non-alcoholic beverages. No consumption of liquor will be
permitted in the proposed licensed premises or on the surrounding property. The applicant will monitor
the premises to ensure compliance.
Applicant will be open six (6) days a week, Monday through Friday, from 6:00 a.m. to 6:00 p.m., and
Saturday from 7:00 a.m.to 4:00 p.m. and closed on Sundays. Applicant plans to have three employees
initially, two of whom will be certified by the Department of Liquor Control to supervise the sale of
liquor. For further information, refer to the business plan attached as Exhibit 4.
Applicant does not currently plan to have any alcohol delivery service.
WARRANTY DEED: Danny Yeoungho Sohn, the sole member of Sohn LLC, and his wife, Eun Soon
Sohn, are the owners of parcel 7-6-008-029. The applicant is in the process of obtaining a lease
agreement between the property owners, Danny Yeoungho Sohn and Eun Soon Sohn, and the business
entity, Sohn LLC.

SURROUNDING AREA: Survey of the surrounding area reveals that there are two churches, Antioch
Church Hawaii, and Kona Koyasan Daishiji Mission, and one school, H61ualoa Elementary School,
located within 500 feet of the proposed licensed premises.
There are no liquor licenses of the same class and kind located within 500 feet of the proposed licensed
premises.
At the present time there are 163 of the same class and 146 of the same kind of liquor licenses being
lawfully exercised in the County of Hawaii.
DETERMINING PROTESTS WITHIN 500 FEET OF A SCHOOL OR PLAYGROUND:
Section 281-39.5 of the Hawai` i Revised Statutes, as amended, states in relevant part, "The liquor
commission ... may deny or restrict the issuance of a liquor license for on -site sale and consumption by
the drink to any applicant whose establishment is or would be located within five hundred feet of a
public or private elementary, intermediate, or high school, or public playground utilized extensively by
minors, as determined by the liquor commission."
Section 281-39.5 of the Hawaii Revised Statutes, as amended, also states in relevant part, "...that the
liquor commission... shall deny the issuance of a liquor license if forty per cent of the registered
voters... owners and lessees of record of real estate and owners of record of shares in a cooperative
apartment within five hundred feet of the nearest point of the premises for which the licensed is asked;
have duly filed or caused to be filed their protests against granting the license."
SECTION 281-56(6), HRS: The applicant is not disqualified and has complied with the minimum
requirements set forth under Chapter 281, Hawaii Revised Statutes, as amended, relative to the making
and filing of this application.

catered events typically feature a variety of live entertainment, including soloists, small bands, open mic
contests, comedy, storytelling showcases, and similar performances. The applicant, Uila Records LLC
is now applying for its own liquor license to conduct regular liquor sales and service at the proposed

approximately 828 square feet. The interior will consist of built-in bench seating throughout the
premises, a stage, a bar area, and locked office area where liquors will be stored. Separate men's and

KIND OF BUSINESS: The Applicant currently operates as a record store at the proposed licensed
premises and has live entertainment several times a week. The applicant plans to offer a small cold -
kitchen tapas menu, including pupus, charcuterie board, small plates and other miscellaneous specials in
conjunction with liquor service. Proposed hours of operation are daily from 11:00 a.m. to 11:00 p.m.
Employment will consist of approximately four (4) employees, all of whom will be certified by the
Department of Liquor Control to supervise the sale, service, and consumption of liquor. The applicant
will ensure that all liquor rules and regulations regarding the sale and service of alcohol are followed.
LEASE: This Lease, made and entered on December 5, 20229 by and between Niu Pia Land Company,
Ltd. ("Landlord"), and Electric Records LLC ("Tenant"), is for a term of fifty-nine (59) months,
commencing on December 1, 2022, and expiring on October 31, 2027. The Tenant shall have one (1)
option to extend the Term of this Lease for an additional fifty-nine (59) months.
AMENDMENT TO LEASE: This Amendment to Lease ("Amendment") is made and entered on
February 10, 2023, by and between Niu Pia Land Company, Ltd., ("Landlord") and Uila Records LLC
formerly known as Electric Records LLC, ("Tenant"), and documents the name change to Uila Records

LOCATION OF PREMISES: The licensed premises is located at 73-4854 Kanalani Street,

DETAILS OF PREMISES: The licensed premises contains approximately 24,500 square feet
of warehouse space. For further information, refer to Exhibit 4.
KIND OF BUSINESS: Applicant continues to operate as a Wholesaler and is open five (5)
days a week, Monday — Friday, from 8:00 a.m. — 5:00 p.m.
Employment consists of approximately twenty-five (25) to thirty (30) employees.
MANNER OF OPERATION: The current licensee, Young's Market Company, LLC dba
RNDC of Hawaii, has no violations since acquiring their liquor license and has operated in a
reputable manner.
ASSIGNMENT AND ASSUMPTION OF LEASE: This Assignment and Assumption of
Lease ("Assignment") is made and entered into effective as of May 29, 2026 ("Effective Date")
by and between Young's Market Company, LLC, ("Assignor") and Island Distributing, L.L.C.,
("Assignee").
Whereas, Assignor is the tenant under that certain lease dated as of August 1, 2019 between
Young's Holdings, Inc. ("Landlord"), and Assignor, as tenant, as amended by that certain first
amendment dated as of January 3, 2024 ("Lease"), and extended to June 30, 2029, for the
premises at 73-4854 Kanalani Street, Kona -Hawaii, HI ("Premises").
TEMPORARY LIQUOR LICENSE: A temporary liquor license was issued with the effective
date of May 30, 2026.

SECTION 281-56(6), HRS: The applicant is qualified and has complied with the minimum
requirements set forth under Chapter 281, Hawai` i Revised Statutes, as amended, relative to the
