for which this corporation is organized and its powers in connection therewith are exclusively <br /> for the development of the District and the furtherance of the Business Improvement District <br /> goals set forth in Hawai'i County Code chapter 35. The District Association will be organized <br /> exclusively for charitable and educational purposes as specified in Section 50 1 (c) 3 of the <br /> Internal Revenue Code of 1954, as amended. <br /> 3.2 BOARD OF DIRECTORS <br /> 3.2.1 Election <br /> The District Association shall be governed by the District Board and voting members will elect <br /> the Board of Directors of the District Association ("District Board"), which will execute the <br /> responsibilities and activities prescribed in this Downtown Hilo Business Improvement District <br /> Plan ("District Plan") on behalf of the District Association. Members whose properties are <br /> exempt from the assessment are nonvoting members. <br /> 3.2.2 Board Members <br /> The District Board shall have a total of 17 members, who shall be elected or appointed in <br /> accordance with the articles of incorporation of, and in the manner prescribed by the bylaws <br /> of, the District Association and as follows: <br /> • Voting Members. There shall be 15 voting members. <br /> a Non-Government. Thirteen of the voting members shall include representatives <br /> of fee simple owners, lessees of land, and tenants of commercial space within <br /> the district; provided, however,that not less than a majority of the District <br /> Board members shall represent fee simple owners and lessees of land; and <br /> provided further that tenants of commercial space within the district shall also <br /> be represented on the District Board. <br /> o Government. Two voting members shall include the mayor (or mayor's <br /> designee), and the council member of the district within which the majority of <br /> the land area within which the district is located (or the council member's <br /> designated representative). <br /> • Non-Voting Members. Two non-voting members shall include: the director of public <br /> works (or the director's designated representative) and the director of finance (or the <br /> director's designated representative). <br /> 4 SUPPLEMENTAL SERVICES <br /> The following supplemental services are intended to be provided and financed by the District <br /> Association: <br /> 4.1 INFORMATION,PUBLIC SAFETY,LANDSCAPING,AND MAINTENANCE. <br /> The objective of providing a safe and enjoyable environment for businesses, residents and <br /> visitors of Downtown Hilo shall be attained through the presence of"Clean Sweep Crews" hired <br /> 3 <br />
