SECTION 1. The Board of Directors may authorize the Executive Director and/or any other officer or <br />officers, agent or agents of the Corporation to enter into any contract or to execute and deliver any <br />document, instrument, or writing of any nature in the name of and on behalf of the Corporation, and <br />such authority may be general or confined to specific instances. <br />SECTION 2. All checks, letters of credit, drafts, or orders for the payment of money, notes, or other <br />evidences of indebtedness issued in the name of the Corporation shall be signed by the Executive <br />Director and/or such other officers or agents of the Corporation and in such manner as shall be <br />determined from time to time by the Board of Directors. In the absence of such determination by the <br />Board of Directors, the instruments shall be signed by the Executive Director. <br />ARTICLE XI BOOKS AND RECORDS <br />SECTION 1. The Corporation shall keep correct and complete books and records of account and shall <br />also keep minutes of the proceedings of its Board of Directors and committees having any of the <br />authority of the Board of Directors. The Corporation shall keep a copy of the following records at its <br />principal office: <br />a) Articles of Incorporation and all amendments currently in effects; <br />b) Bylaws and all amendments currently in effects; <br />c) Resolutions adopted by the Board of Directors relating to the characteristics, qualifications, rights, <br />limitations, and obligations of members or any class or category of members; <br />d) Minutes of all meetings of members and records of all actions approved by members for the past <br />three years; <br />e) Annual financial statements for the past three years; <br />f) A list of the names and addresses of its current Board members and officers; and <br />g) The most recent annual report filed with the Director of the Department of Commerce and Consumer <br />Affairs. <br />SECTION 2. The records required to be kept at the Corporation's principal office and any other records <br />as required by law, shall be open to inspection at a reasonable time upon written demand of any <br />member providing notice of five (5) business days or more. <br />ARTICLE XII AMENDMENTS <br />SECTION 1 These Bylaws may be amended or repealed by the vote of a majority of the Board of <br />Directors present at a meeting called for that purpose. <br />ARTICLE XIII — GOVERNANCE <br />SECTION 1.
