1. Property: The Property depicted in Exhibit A, situated in Papalele, Hamakua, <br />(Section 1) Hawai`i <br />TMK No.'s.: (3) 4-4-002-005 (por.) <br />(3) 4-4-002-006 (por.) <br />(3) 4-4-009-008 (por.) <br />2. Term: ` Two (2) years <br />(Section 2) December 1, 2025, through November 30, 2027, unless sooner <br />terminated as provided in this Agreement. <br />3. Purpose(s) for Entry shall be for the following purpose(s): <br />Entry: <br />(Section 3) Permittee, its officers, employees, agents and representatives <br />(collectively "Permittee's Authorized Personnel') and any of <br />Permittee's contractors ("Permittee's Contractors") (the Permittee's <br />Authorized Personnel and Permittee's Contractors collectively the <br />("Authorized Persons' shall have the right to enter upon the Property <br />for the limited purposes of: <br />1) Installing a temporary access road ("Kalopa Alternate Access <br />Road") and other necessary improvements from Hawaii Belt <br />Road through the Property to Kalopa Road during closure of <br />one -lane wooden bridge on Kalopa Road; <br />2) Emergency access and use of Kalopa Alternate Access Road <br />between Hawaii Belt Road and Kalopa Rd, for further access <br />to Apelahama Road; <br />3) Maintenance of Permittee's improvements on TMK Q) 4-4- <br />002:005 including, but not limited to, Kalopa Alternate Access <br />Road, gates, posts, barriers, and signs; <br />4) Maintenance of Permittee's improvements on TMK (3) 4-4- <br />002:006 and (3) 4-4-009:008 including, but not limited to, <br />bridge infrastructure, Kalopa Road, and barriers; <br />5) Management of Kalopa Alternate Access Road when road is <br />opened as an emergency access route for the Kalopa mauka <br />community; and <br />6) Conduct due diligence for continued use as an alternative <br />access route. <br />Any other use of the access road or surrounding Property is strictly <br />prohibited unless approved in writing by Owner. <br />4. Insurance: Self -insured. Item No. 7 in the General Provisions is not applicable; <br />(Section 7) provided that Permittee will.provide to Owner, a Statement of Self- <br />POW-Lmd-A.22(a).doc <br />Revocable ROE 6.13.19 <br />
