(c) Util_ties. All land and rights-of-way which
<br /> Lessor in Lessor's sole discretion may from time to time require
<br /> for Lessor, Lessor's other tenants, other grantees or permittees
<br /> of Lessor, for roads, roadways, trails, ditches, flumes,
<br /> pipelines, irrigation facilities, pole and wire lines or
<br /> telecommunication facilities and the right to enter the Premises
<br /> and construct, maintain, repair and replace any such facilities;
<br /> provided, however, that this right shall be exercised in such
<br /> manner as to occasion the least practicable interference with the
<br /> use of the Premises by Lessee, and the Base Rent (defined below)
<br /> reserved in this Lease for the remaining part of the Premises not
<br /> used for such additional roads, roadways, trails, ditches or
<br /> flumes shall be reduced for and during the unexpired Term
<br /> (defined below), effective as of the date of commencement of such
<br /> use to an amount determined by multiplying the current Base Rent
<br /> by the ratio that the Net Area (defined below) of such remaining
<br /> portion of the Premises in cultivation not so taken bears to the
<br /> total Net Area of the Premises formerly in cultivation prior to
<br /> the taking, it being intended that there shall be no reduction in
<br /> Base Rent following a taking of any portion of the Premises not
<br /> comprising the Net Area.
<br /> (d) Historic Sites and Burial Sites. All Historic
<br /> Sites and Burial Sites, including without limitation places,
<br /> objects or specimens, if any, as defined in Section 2.01 of this
<br /> Lease, which may be on the Premises, together with the right at
<br /> all times to enter the Premises for the purpose of searching,
<br /> exploring for and conducting research on objects, antiquities and
<br /> specimens of Hawaiian or other ancient art or handicraft of
<br /> prehistoric, historic or archeological interest, and removing the
<br /> same for preservation.
<br /> (e) Mineral Rights. All mineral and metallic mines of
<br /> every description.
<br /> (f) Withdrawal Rights. The right unto Lessor at any
<br /> time or times during the Term to withdraw certain portions of the
<br /> Premises, or to terminate and cancel this Lease, all as more
<br /> particularly set forth in Section 5.25 of this Lease.
<br /> (g) Native Hawaiian Rights. The right of native
<br /> Hawaiians to exercise traditional rights, customs practices,
<br /> prerogatives, privileges and usufructs on the Premises in
<br /> accordance with law.
<br /> TO HAVE AND TO HOLD the same, together with all
<br /> improvements, rights, easements, privileges and appurtenances
<br /> thereunto belonging or appertaining, unto Lessee for the Term as
<br /> defined below, unless the Term shall be sooner terminated as
<br /> provided in this Lease, Lessee YIELDING AND PAYING therefor unto
<br /> Lessor net over and above all taxes, rates, assessments and other
<br /> charges hereunder payable by Lessee, in advance during the Term,
<br /> without any deduction, all Base Rent as provided in this Lease.
