F. The Quarantine Program will provide DOA and CTAHR <br /> researchers a unique opportunity to study the epidemiology of <br /> papaya ring spot vi~~us, to evaluate each others' management <br /> measures, and implement technology developed and being developed <br /> by CTAHR and DOA to control papaya ring spot virus infestation. <br /> G. Lessee proposes to lease land from Lessor to <br /> implement the Quarantine Program. The Quarantine Program will <br /> establish a quarantine area of at least 1,000 acres within which <br /> area Lessee will license Portions of the Premises (defined below) <br /> to be planted by Permittees (defined below) selected by DOA with <br /> the assistance of the Papaya Administrative Committee ("PAC"). <br /> H. Lessee will require Permittees to plant papaya <br /> pursuant to the crop development plans and implement disease <br /> control measure to be promulgated by DOA. These measures include <br /> surrounding plantings of traditional varieties of papaya with <br /> planting of biologically engineered virus resistant (transgenic) <br /> papaya plants, the fruit from which trees may not be sold until <br /> final approval is granted by the U.S. Food & Drug Administration, <br /> the U.S. Environmental Protection Agency, and license agreements <br /> are reached with the holders of patents to market transgenic <br /> fruit. CTAHR will make available to Permittees seed for virus <br /> resistant transgenic papaya plants necessary to implement the <br /> Quarantine Program. <br /> I. Lessee and DOA do not have sufficient funds to <br /> initiate the leasing of land to implement the Quarantine Program <br /> and have requested a three year rent deferral from Lessor. <br /> Lessor desires to encourage Lessee's and DOA's efforts to prepare <br /> the land for planting by Permitees and to encourage the <br /> experimental Quarantine Program to control papaya ring spot virus <br /> infestation. Lessor is willing to defer rent payment for the <br /> first three Lease Years (defined below) of the Term in order to <br /> encourage implementation of the Quarantine Program, provided that <br /> upon termination or sooner expiration of the Lease, Lessee will, <br /> at Lessor's election, pay deferred rent to Lessor or expend <br /> deferred rent payments to implement further quarantine measures <br /> on Lessor's other lands on the island of Hawaii. <br /> J. Lessee, DOA, UH and the Research Corporation of <br /> the University of Hawaii ("RCUH") will enter into a memorandum of <br /> agreement (the "Memorandum of Agreement") to describe the <br /> respective responsibilities each party will assume and perform in <br /> order to implement the Quarantine Program. As a part of their <br /> cooperative effort, Lessee will designate RCUH as its fiscal <br /> agent ("Fiscal Agent") to serve as the collecting and disbursing <br /> agent for all funds, including permit fees and received by and <br /> provided by Lessee for the purposes of implementing the <br /> Quarantine Program. Acting as Fiscal Agent, RCUH will establish <br /> a special account (the "Special Account") into which account all <br /> such funds shall be deposited and from which account all such <br /> expenses, including rent, shall be paid.
