7/96 Attachment <br /> Pace <br /> GENERAL COND[TIONS <br /> Contractor shall secure assurances and verify that all of its subcontractors meets <br /> the following: <br /> 1. Smoking Policy. The Contractor shall implement and maintain a written <br /> smoking policy as required by Chapter 328K, Hawaii Revised Statutes. <br /> 2. Conflicts of Interest. The Contractor represents that neither the Contractor. <br /> nor any employee or agent of the Contractor, presently has any interest, and promises that no <br /> such interest, direct or indirect, shall be acquired, that would nor might conflict in any manner or <br /> disagree with the Contractor's performance under this Agreement. <br /> 3. Compliance with Laws. The Contractor shall comply with all federal. State <br /> and county laws, ordinances, codes, rules, and regulations, as the same may be amended from <br /> time to time, that in any way affect the Contractor's performance under this Agreement. <br /> 4. Indemnification and Defense. The Contractor shall defend, indemnify, and <br /> hold harmless the State of Hawaii, the STATE, and their officers, employees, and agents from <br /> and against all claims, damages, and costs, including attorneys' fees, arising out of our <br /> connection with the acts or omissions of the Contractor under this Agreement. The provisions of <br /> this paragraph shall remain in full force and effect notwithstanding the expiration or early <br /> termination of this Agreement. <br /> 5. Insurance. <br /> a. The Contractor shall require that each private subcontractor shall obtain, <br /> maintain, and keep in force throughout the period of this Agreement comprehensive liability <br />
