7/96 Attachment <br /> 42. 43 <br /> Page 5 <br /> construed to limit Contractor's liability hereunder or to fulfill the indemnification provisions and <br /> requirements of this Agreement. Notwithstanding said policy or policies of insurance. <br /> Contractor shall be obligated for the full and total amount of any damage, injury, or loss caused <br /> by negligence or neglect connected with this Agreement. <br /> 6. COPYRIGHT AND PATENT. No summary, report. map, chart. graph. <br /> table. study or other document or discovery, invention, or development produced in whole or in <br /> part with funds made available under this Agreement shall be the subject of an application for <br /> copyright or patent by or on behalf of Contractor, its officers, its agents, its employees or its <br /> subcontractors without prior written authorization from the STATE. Contractor shall ensure that <br /> this limitation is applied to and complied with by its subcontractors. <br /> 7. Relationship of Parties. Independent Contractor Status and Responsibilities, <br /> Including Tax Responsibilities. <br /> a. In the performance of this Agreement, the Contractor is an "independent <br /> contractor," with the authority and responsibility to control and direct the performance required <br /> under this Agreement; however, the STATE shall have a general right of inspection to determine <br /> whether, in the STATE's opinion, the Contractor is in compliance with this Agreement. <br /> b. The Contractor and the Contractor's employers and agents are not, by reason <br /> of this Agreement, agents or employees of the STATE for any purpose, and the Contractor, and <br /> the Contractor's employees and agents are not entitled to claim or receive from the STATE any <br /> vacation, sick leave, retirement, workers' compensation, unemployment insurance, or other <br /> benefits provided to state employees. <br />
