VI. <br />VII. <br />No Liability <br />OHA and HCPD each agree that it will be responsible for its own acts and the results <br />thereof and shall not be responsible for the acts of the other party and the results <br />thereof and will assume all risk and liability to itself, its agents, or its employees for <br />any injury to persons or property resulting in any manner from the conduct of its own <br />operations, and the operations of its agents or employees under this agreement, and <br />for any loss, cost damage, or expense resulting at any time from any and all causes <br />due to any act or acts, own employees, while occupying or visiting the premises under <br />and pursuant to the agreement. <br />Other Terms and Conditions <br />A. Notices <br />All notices required and pennitted under this Agreement shall be in writing and <br />shall be deemed delivered in person or deposited in the United States mail, <br />postage prepaid, addressed as follows: <br />OHA: <br />OFFICE OF HAWAIIAN AFFAIRS <br />711 Kapi'olani Boulevard, Suite 500 <br />Honolulu, Hawaii 96813 <br />Attn: Clyde W. Namu'o <br />HCPD: <br />Hawaii Police Department <br />349 Kapi'olani Street <br />Hilo, Hawaii 96720 <br />Attn: Harry S. Kubojiri <br />Such address may be changed from time to time by either party by providing <br />written notice to the other in the manner set forth above. <br />B. Termination of MOA <br />If, for any cause, the HCPD fails to satisfactorily fulfill in a timely and proper <br />manner, the HCPD's obligation under this MOA or breaches any of the promises, <br />terms, or conditions of this MOA, and having been given reasonable notice of an <br />opportunity to cure any such default and not having taken satisfactory corrective <br />action within the time specified by OHA, OHA shall have the right to terminate <br />this Agreement by giving written notice to the HCPD of such termination at least <br />SEVEN (7) calendaz days before the effective date of such termination. <br />Furthermore, either party may terminate this MOA without statement of cause at <br />any time by giving written notice to the other party of such termination at least <br />SEVEN (7) calendar days before the effective date of such termination. <br />C. Modification of MOA <br />Any modification, alteration, or change to this MOA, including modification of <br />the services to be performed and/or extension of time of performance shall be <br />Memorandum of Agreement Between OHA and Hawai i County Police Department Page 4 of 6 <br />
