<br />Contract. <br /> <br />All persons hired or used by Grantee shall be <br /> <br />Grantee's agents and employees and Grantee shall be responsible <br /> <br />for the accuracy, completeness, and adequacy of any and all work <br /> <br />and <br /> <br />services <br /> <br />performed <br /> <br />by <br /> <br />its <br /> <br />agents <br /> <br />and <br /> <br />employees. <br /> <br />Furthermore, Grantee intentionally, voluntarily, and knowingly <br /> <br />assumes the sole and entire liability if such liability lS <br /> <br />determined to exist, to its agents and employees or to third <br /> <br />persons, <br /> <br />Grantee's <br /> <br />for all loss, <br /> <br />cost, <br /> <br />damage or injury caused by <br /> <br />agents <br /> <br />and <br /> <br />employees <br /> <br />in <br /> <br />the <br /> <br />course <br /> <br />of <br /> <br />their <br /> <br />employment. <br /> <br />The performance of work under this Contract alone <br /> <br />shall not be construed as employment with the State of Hawaii <br /> <br />and shall <br /> <br />not <br /> <br />entitle Grantee's <br /> <br />agents <br /> <br />and employees <br /> <br />to <br /> <br />vacation, sick leave, retirement, or other benefits directly <br /> <br />afforded state <br /> <br />employees by statutes. <br /> <br />Grantee <br /> <br />shall <br /> <br />be <br /> <br />responsible for payment of all applicable federal, state, and <br /> <br />county fees which may become due and owing by the Grantee by <br /> <br />reason of the Contract, including but not limited to (i) income <br /> <br />taxes, (ii) employment related fees, assessments and taxes and <br /> <br />(iii) general excise taxes. <br /> <br />The Grantee also is responsible for <br /> <br />obtaining all licenses, permits and certificates that may be <br /> <br />required in order to perform this Contract. <br /> <br />2. <br /> <br />This <br /> <br />section <br /> <br />shall <br /> <br />not <br /> <br />be <br /> <br />enforced <br /> <br />if <br /> <br />Grantee lS an agency of the State of Hawaii. <br /> <br />Revised 8/09 <br /> <br />13 <br />
