1000 HENRY <br />SUBLEASE AGREEMENT <br />THIS SUBLEASE ( "Lease ") is made as of September Aq , 2009 by and between <br />A.R.B.P., LLC, a Delaware limited liability company ( "Landlord "), and Maryl Realty, <br />Inc., a Hawaiian corporation, ( "Tenant "). <br />THE PARTIES COVENANT AND AGREE AS FOLLOWS: <br />I. 1 SPECIAL LEASE PROVISIONS <br />A. Leased Premises Approximately 1,875 square feet, more or less, <br />identified as Suite No. 203 (the "Premises ") as shown on Exhibit A -2 attached hereto in <br />the building at 1000 Henry Street, located on Lot 1 of the Crossroads subdivision, District <br />of North Kona, County and State of Hawaii, Tax Map Key (3) 7 -5- 004:058 (Lot 1 and the <br />improvements thereon are shown on Exhibit A -1 hereto and shall hereafter collectively <br />be called the "Property "). This Lease is a sublease subject to that certain Indenture of <br />Lease dated November 10, 1994, made by and between CLARENCE STANLEY <br />RAPOZA, JULIE ANN VILORIA and BARBARA JUNE BOHNENKAMP, as Lessor, and <br />Landlord's predecessor, as Lessee, a Short Form of which, dated November 4, 1994, is <br />recorded in the Bureau of Conveyances of the State of Hawaii as Document No. 94- <br />202007, as amended from time to time, herein referred to in this Lease as "the Master <br />Lease ". If there is any conflict between the provisions of this Lease and the provisions <br />of the Master Lease, the Master Lease shall control. Tenant covenants and agrees that <br />it will not violate any term, covenant or condition contained in the Master Lease and on <br />the part of Landlord to be observed and performed. <br />B. Leasehold Improvements <br />Landlord's Construction Obligation None <br />2. Tenant's Construction Obligation None <br />C. Term <br />Term. Unless sooner terminated as provided herein, the term of this <br />Lease shall be for 36 months commencing on August 1, 2010 ( "Commencement Date ") <br />and ending on July 31, 2013 (the "Termination Date "). <br />Tenant shall have one option to extend the term of this Lease for a period <br />of 2 years at the then prevailing rental rate, as detailed in paragraph 37. <br />1 <br />
