ARTICLE VHI <br /> Election of Directors <br /> Section 1. Charter members. Charter Members of the Board of Directors shall not have a <br /> limited term of service. Vacancies resulting from resignation or expulsion shall be subject to the <br /> following sections. <br /> Section 2. Term of service_ The term of service for Directors other than Charter Members <br /> shall be for three (3) years. A director may serve for not more than two (2) consecutive terms or <br /> a total of six (6) years consecutively. Following two (2) consecutive terms, a Director must take a <br /> break for not less than one year before he/she is eligible for another term. <br /> Section 3. Nominations to the Board. Nominations can be made from the Board of <br /> Directors,community organizations or individuals seeking participation in ATA. Nominations are <br /> to be in written form and sent to the ATA office sixty(60)days prior to the next scheduled meeting <br /> for consideration by the Board of Directors. <br /> Section 4. Vacancies. All vacancies shall be filled by a vote of the majority of the Board <br /> of Directors present at a scheduled meeting where quorum has been established. <br /> Section 5. Attendance at Board Meetings_ Notification shall be made by the Secretary of <br /> the Board to all Board of Directors at least 2 weeks prior to the scheduled meeting. Absences of <br /> more than the majority of meetings scheduled for any given fiscal year, may be grounds for <br /> automatic resignation by said director or officer from the Board of Directors. <br /> ARTICLE IX <br /> Duties of Officers <br /> Section 1. The President shall preside at the meetings of the Board of Directors. He or <br /> she shall at the scheduled meetings of the Board communicate matters pertinent to the purpose of <br /> the organization and make suggestions as may be needed to promote the prosperity and increase <br /> efficiency and usefulness of ATA. He or she shall perform such duties as usually pertain to the <br /> office of President. <br /> Section 2. The Vice-President shall assist the President, and in the absence or disability of <br /> the President, shall perform the duties of the President. <br /> Section 3. The Secretary shall perform such duties as usually pertain to the office. <br /> Section 4. The Treasurer shall be in charge of all financial affairs of ATA and shall submit <br /> a financial statement at its scheduled meetings, or at the request of the Board of Directors. <br /> 26-05 <br />
