ARTICLE V <br /> Membership <br /> ATA shall have no members. <br /> ARTICLE VI <br /> Officers and Executive Committee <br /> Section 1: Officers. The officers of ATA shall be a President, Vice-President, Secretary <br /> and Treasurer. All officers shall be elected bi-annually by and from among the Board of Directors <br /> as soon as practicable after October 1.The officers shall hold office for two(2)fiscal years or until <br /> their successors are duly elected. <br /> Section 2: Executive Committee. The Board of Directors may appoint an Executive <br /> Committee to consist of as many persons from the Board of Directors as the Board shall determine <br /> and to include the above officers. The Executive Committee shall meet as necessary to consider <br /> issues that may arise. Each member shall be entitled to one (1) vote. The executive Committee <br /> shall have all the powers and duties of the Board of Directors, while the Board is not in session, <br /> except as expressly limited by a resolution of the Board. <br /> ARTICLE VII <br /> Board of Directors <br /> Section 1. Composition of the Board. The Board of Directors shall consist of persons with <br /> geographical ties to portions of the Ala Kahakai National Historic Trail, community members and <br /> a non-voting member from the National Park Service on the island of Hawai`i.Directors who were <br /> on the Board in 2011 shall be referred to as "Charter Members"of the organization. The minimum <br /> number of members shall be 3 and the maximum IS or a larger number as voted on by the majority <br /> of the Board of Directors as deemed necessary to fulfill the purposes of ATA as described in <br /> Article III Section 1 (a-g). <br /> Section 2_ Duties of the Board. The Board of Directors shall carry out the objectives and <br /> purposes of ATA according to the Articles of Incorporation and the By-laws and shall have general <br /> charge of all affairs of ATA and the control and management of all property and affairs of ATA. <br /> Section 3. Powers of the Board. The Board of Directors shall have power to make, alter, amend <br /> and enforce rules not inconsistent with these By-laws,regulating from time to time the affairs <br /> and conduct of ATA, giving effect to all the rules of its committees as shall meet with the <br /> approval of the Board; and decide questions and matters not specifically provided for in these <br /> By-laws. <br /> 26-05 <br />
