<br /> <br />c. Meetings. The Agency may meet and exercise its powers in any part of the <br />County of Hawaiʻi. <br /> <br />(1) Regular Meetings. All meetings of the Agency, except executive sessions, <br />shall be open to the public and held on the last Wednesday of each month <br />at 2:00 pm at the Aupuni Center Conference Room located at 101 Pauahi <br />Street, Suite 1, Hilo, Hawaiʻi, 96720, or other date, time or public place as <br />set forth by the Agency. <br /> <br />(2) Executive Sessions. The Agency may hold an executive session, closed to <br />the public, upon an affirmative vote, taken at an open meeting, of two <br />thirds of the members present. The vote of each member on the question <br />of holding a meeting closed to the public and the reason for holding such a <br />meeting shall be recorded and entered into the minutes of the meeting. A <br />meeting closed to the public may be held only for one or more of the <br />following purposes: <br /> <br />(a) To consider the hire, evaluation, dismissal or discipline of an <br />officer or employee or charges brought against him, where <br />consideration of matters affecting privacy will be involved; <br />provided, that if the individual concerned requests an open <br />meeting, an open meeting shall be held; <br /> <br />(b) To consult with the Agency’s attorney; <br /> <br />(c) For any other specific purposes hereafter authorized by law. <br /> <br />(3) Chance Meetings. The rules governing meetings shall not apply to any <br />chance meeting, as defined by Section 92-2, Hawaiʻi Revised Statutes, at <br />which matters relating to official business are not discussed. No chance <br />meeting or electronic communication shall be used to circumvent the spirit <br />or requirements of the meetings provisions to make a decision or to <br />deliberate toward a decision upon a matter over which the Agency has <br />supervision, control, jurisdiction or advisory power. <br /> <br />(4) Notice <br /> <br />(a) The Agency shall give written public notice of any regular, special <br />or rescheduled meeting. The notice shall include an agenda which <br />lists all of the items to be considered at the forthcoming meeting, <br />the date, time and place of the meeting. <br /> <br />(b) The Agency shall file the notice in the Office of the County Clerk <br />and in the Agency’s office for public inspection at least six (6) <br />days before the meeting. The notice shall also be posted at the site <br />of the meeting whenever feasible. The Agency shall not add items <br /> <br />
